PortalVR Motion End User License Agreement

This End User License Agreement ("EULA") governs your use of PortalVR Motion, distributed via Steam. By installing or using the software, you agree to this EULA.

This EULA is a supplemental agreement between you and Portal VR, Inc. ("Portal VR") and applies in addition to the Steam Subscriber Agreement ("SSA"). In the event of a conflict between this EULA and the SSA with respect to your use of the Software, the SSA controls as it relates to Steam's services. This EULA controls as to your relationship with Portal VR and your use of the Software itself.

This EULA also incorporates Portal VR's Privacy Policy, which explains how we collect, use, and share information.

1. The Software
"Software" means PortalVR Motion as distributed on Steam, including the Portal VR OpenXR and SteamVR runtimes and any related components, tools, SDKs, and updates that Portal VR makes available through Steam under this Steam product.

2. License Grant
Subject to your compliance with this EULA and the SSA, Portal VR grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for personal, development, and runtime use on devices that you own or control. Your license is tied to your Steam account and is activated, managed, and validated by Steam in accordance with the SSA. Portal VR does not issue separate license keys for the Steam version of the Software.

3. Permitted Use and Commercial Scope
  • Personal and individual use: The license granted under this EULA covers use by an individual for personal projects, learning, evaluation, and development.
  • Small organization internal use: An organization may use copies purchased through Steam for that organization's internal business purposes, on devices it owns or controls, where the organization's annual revenue or funding (trailing 12 months) is under $100,000.
  • Larger organizations and commercial deployment: Use by organizations with annual revenue or funding of $100,000 or more, deployment on customer or end-user devices, embedding the Software in a managed, hosted, or customer-facing offering, and any white-label or resale arrangement, each require a separate written agreement with Portal VR.   • No redistribution of the Software: You may not copy, redistribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Software except as expressly permitted by the SSA (for example, Steam family sharing where applicable).

4. Updates
The Software may be updated automatically through Steam, including to add, change, or remove features. Continued use after an update constitutes acceptance of changes to the Software. Portal VR may update this EULA as described in Section 12.

5. Acceptable Use
You agree that you will not:
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except to the extent that applicable law expressly permits such activity notwithstanding this restriction.
  • Remove, disable, or circumvent any technical protection, watermark, usage limit, telemetry, or licensing mechanism in the Software.
  • Use the Software to violate any law, infringe any third party's rights, or distribute malicious code.
  • Use the Software in unsafe contexts or where failures could cause death, personal injury, or serious physical or environmental damage. Always follow VR safety guidelines.

6. Open-Source Components
The Software includes third-party open-source components under their own licenses. Those licenses govern the components; this EULA governs Portal VR's proprietary portions of the Software. Notices and license texts for third-party components are included with the Software where required.

7. Intellectual Property
Portal VR and its licensors retain all right, title, and interest in and to the Software and related marks, logos, and content. Except for the limited license expressly granted in this EULA, no rights are granted to you by implication, estoppel, or otherwise.

8. Feedback
If you provide Portal VR with comments, suggestions, or other feedback about the Software, you grant Portal VR a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or obligation.

9. Pricing, Payment, and Refunds
All purchases of the Software on Steam are processed by Valve through Steam. Pricing, taxes, billing, payment methods, and refunds are governed by the SSA and Steam's then-current refund policy. Portal VR does not separately process payments for, or issue refunds for, Steam purchases of the Software.

10. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. PORTAL VR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PORTAL VR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL OPERATE IN COMBINATION WITH ANY PARTICULAR HARDWARE, SOFTWARE, OR SERVICE.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTAL VR AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. PORTAL VR'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID TO VALVE FOR THE SOFTWARE ON STEAM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU PAID NOTHING.

12. Changes to This EULA
Portal VR may modify this EULA by posting an updated version with a new "Last updated" date. Material changes will be effective 30 days after posting. Your continued use of the Software after changes become effective constitutes acceptance of the updated EULA.

13. Term and Termination
This EULA remains in effect until terminated. Portal VR may suspend or terminate your license to the Software immediately if you breach this EULA. Your access to the Software on Steam may also be suspended or terminated by Valve in accordance with the SSA. Upon termination of this EULA, you must stop using the Software. Sections that by their nature should survive termination (including Sections 7, 8, 10, 11, and 14) will survive.

14. Governing Law and Venue
This EULA is governed by the laws of the State of Delaware, without regard to its conflicts of law rules. Subject to any mandatory consumer protection laws of your place of residence, any disputes arising out of or relating to this EULA will be resolved exclusively in the state or federal courts located in Delaware, and you consent to jurisdiction and venue there. Nothing in this EULA limits your rights under, or alters the dispute resolution provisions of, the SSA as between you and Valve.

15. Export and Sanctions
You may not use, export, or re-export the Software in violation of U.S. export laws and regulations or applicable sanctions of the United States or any other relevant jurisdiction.

16. Age Requirements
The Software is not directed to children under 13. You must be at least 13 years old to use the Software. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's permission to use the Software, in addition to meeting the age requirements of the SSA.
