This Agreement is entered into between Wang Nianjie, the developer of the Software (published on Steam under the name "NUOXING TECH", hereinafter "the Developer"), and you.
Please read this Agreement before installing or using the Software. By installing, copying, or otherwise using the Software, you accept all terms of this Agreement. If you do not agree, do not install and stop using the Software.
1. License Grant
You are granted a non-exclusive, non-transferable license to install and use one copy of the Software on devices you own or control, for personal, non-commercial use only.
The Software is sold as a one-time purchase. You are not required to pay any subscription fee to use its core features.
2. AI Services
The Software does not bundle any AI service and does not include any model API key.
The AI conversation feature requires you to obtain and configure an API key from a third-party AI provider (for example DeepSeek, OpenAI, or another compatible service). Any fees are charged by that provider under its own billing terms and are unrelated to the developer of the Software.
AI-generated replies are produced by that third-party service. The developer cannot control them in advance and makes no warranty as to their accuracy, completeness, or fitness for any purpose.
3. Restrictions
You may not:
1. redistribute, sell, rent, lend, or sublicense the Software;
2. reverse-engineer, decompile, or disassemble the Software, except where expressly permitted by law;
3. remove or alter any copyright notice, trademark, or other proprietary marking in the Software;
4. use the Software for any activity that violates applicable law;
5. induce the AI to generate content that is illegal, sexual, hateful, discriminatory, or infringing the rights of others;
6. use the Software's artwork, character likeness, voice, or interface for commercial purposes, or to train AI models similar to the Software, without the Developer's prior written permission.
You are solely responsible for any consequences of breaching these restrictions.
Requests for commercial licensing or model-training permission may be submitted through the customer support link on the Software's Steam store page.
4. Disclaimer
The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
The developer does not warrant that the Software will run uninterrupted or error-free, or that it will be fully compatible with other software or hardware on your device.
To the maximum extent permitted by law, the developer shall not be liable for any direct, indirect, incidental, or consequential damages arising from the installation, use, or inability to use the Software, including but not limited to loss of data, damage to equipment, or third-party service fees.
You understand and agree that the character in the Software is a fictional persona and that her statements are generated by artificial intelligence and do not represent the views of the developer.
5. Intellectual Property
All content of the Software — including but not limited to source code, interface design, artwork, the likeness and name of the character "Nuoxing," logos, text, and audio — is owned by the developer, Wang Nianjie, and protected by copyright law and international treaties.
This Agreement grants you a license only; it does not transfer any ownership to you.
"Nuoxing" and the cat-ear Möbius loop logo are names and marks used by the developer.
6. Third-Party Components
The Software includes third-party open-source components and SDKs, including but not limited to .NET, WebView2, the Live2D Cubism SDK, and several open-source libraries.
Each component is licensed under its own terms, and the relevant notices are distributed with the Software. Live2D is a trademark of Live2D Inc.
7. Termination
This license terminates automatically if you breach any term of this Agreement. Upon termination you must stop using the Software and delete all copies of it.
You may terminate this Agreement at any time by uninstalling the Software.
8. General
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, excluding its conflict-of-law rules.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force.
The developer may update this Agreement from time to time. Updated versions are released with new versions of the Software, and continued use constitutes acceptance.
