**END USER LICENSE AGREEMENT**
The original version of this Agreement is drafted in English. In the event of any discrepancies between other language versions and the English version, the English version shall prevail.
This End User License Agreement (hereinafter referred to as the "EULA" or this "Agreement") contains important terms; therefore, please read it carefully before you begin playing Gene Weaver (hereinafter referred to as the "Game Software").
When a user installs, copies, or uses the Company's games, the Game Software, or other services, the user is deemed to have accepted and agreed to comply with the terms of this Agreement and the Privacy Policy established by TZUNING WU Corp. and its affiliated companies or subsidiaries (hereinafter referred to as "TZUNING WU" or the "Company"). The terms of service and user agreements of Valve Corporation—namely, the relevant terms and rules of the STEAM platform—shall also apply to the purchase and use of the Game Software.
**Article 1 (End User License Agreement)**
The purpose of this Agreement is to establish the fundamental terms and conditions governing the use of the Game Software and related game services between the Company and the service users (hereinafter referred to as "Users" or "Members") who use the game services of the game software provided by TZUNING WU (the "Game Software").
If you do not agree to this End User License Agreement (this "Agreement") and the platform terms, you may not use the Game Software. In addition, your use of the Game Software shall be governed by the STEAM Subscriber Agreement and relevant terms and conditions established by Valve.
If you agree to the terms set forth in this Agreement, you may select "Agree" to install the Game Software, thereby indicating that you understand and agree to the terms (or contents) of this Agreement and the conditions of use for the Game Software.
If you do not agree to the terms set forth in this Agreement, you must select "Disagree," in which case TZUNING WU shall not grant you a license to use the Game Software (as defined below).
**Article 2 (Ownership)**
TZUNING WU owns all title, intellectual property rights, and all other rights in and to the Game Software and all related materials (including titles, computer code, themes, objects, characters, character names, stories, dialogue, catchphrases, locations, concepts, artwork, character rosters, structural or landscape designs, animations, sounds, musical compositions and sound recordings, audiovisual effects, storylines, and methods of operation).
The TZUNING WU and Gene Weaver trademarks and logos are trademarks applied for or registered by TZUNING WU in Taiwan and other countries, and all rights, title, and interest in and to such trademarks are owned by TZUNING WU.
The game, and all materials, information, and data contained therein—including documents, services, website designs, text, graphics, logos, images, icons, all other items displayed on the website, and their arrangement—are owned by TZUNING WU.
The User agrees to the foregoing, and TZUNING WU's rights shall be protected under copyright laws of countries worldwide, international copyright treaties and conventions, and other applicable laws and regulations.
**Article 3 (General Provisions)**
To run and use the Game Software, you must create a "Steam" account and download, install, and use the Steam software/platform. "Steam" is an online service and platform provided by Valve Corporation, not by TZUNING WU.
The User's use of a Steam account is subject to Valve Corporation's mandatory terms and conditions (including, but not limited to, acceptance of the Steam Subscriber Agreement and other policies), and such terms may place restrictions on the User's rights.
TZUNING WU assumes no responsibility or liability for the accounts used by Users on Steam, or for other services or features provided by Valve Corporation or other third parties.
The Game Software may contain license management software that restricts the User's use of the Game Software.
**Article 4 (Limited License)**
TZUNING WU hereby grants you a limited, non-exclusive, and non-transferable end-user license to use the Game Software solely for your personal gaming purposes, in accordance with this Agreement and the Terms of Service posted on the websites of TZUNING WU and its affiliates or subsidiaries, and subject to your continued compliance with such terms.
The grant of this license does not convey any ownership of the Game Software to you, nor does it constitute a sale or transfer of any intellectual property rights or other rights in the Game Software.
Except for the rights or licenses expressly granted under this Agreement, all rights in and to the Game Software and related services are reserved by TZUNING WU or its authorized licensors.
**Article 5 (License Terms and Restrictions)**
The license granted to the User is subject to the following conditions. Any use of the game in violation of these conditions shall be deemed an infringement of TZUNING WU's copyrights or related rights. By agreeing to this Agreement, the User agrees to use the Game Software, in whole or in part, in compliance with this Agreement and shall not, under any circumstances, engage in the following acts:
1. Copy, duplicate, reproduce, translate, reverse engineer, derive source code from, modify, disassemble, or decompile the Game Software, in whole or in part, or create derivative works based on the game (except as expressly permitted by applicable law; any statutory modifications, improvements, and all copyrights and moral rights shall be deemed to belong exclusively to TZUNING WU and its authorized licensors).
2. Use unauthorized programs, macros, or other devices or tools ("Unauthorized Programs"), as well as cheats, bots, hacks, or automated software intended to disable technical protection measures, interfere with normal operations, or play the game in an unintended manner.
3. Remove, disable, or circumvent technical measures used to control access to security software or the Game Software.
4. Sell, pledge, transfer, lease, or sublicense the Game Software or services to third parties in a manner not expressly permitted by this Agreement.
5. Transfer the Game Software and its services to others, distribute the Game Software without authorization, permit others to use the Game Software in internet cafes or computer gaming centers, or use, advertise, or exploit the Game Software, in whole or in part, for commercial purposes without prior written consent from TZUNING WU.
6. Collect in-game currency, items, or resources to sell or provide in-game services (such as power-leveling third-party characters) in exchange for real-world money outside the game, without express written permission from TZUNING WU.
7. Steal data belonging to other players, the game, or the Company; engage in data mining through the game or services; or utilize unauthorized third-party software.
8. Modify files of the Game Software, or make modifications for reasons not explicitly approved by TZUNING WU.
9. Emulate, copy, or retransmit the communication protocols used by TZUNING WU, or use the game unlawfully to host, provide, or develop specific services, regardless of the purpose.
10. Pirate or clone the Game Software or services, connect to unauthorized private or cloned servers, or distribute, promote, or maintain such servers.
11. Create data or executable programs containing pirated or cloned data or functionality from the Game Software.
12. Sell, lease, sublicense, distribute, upload to internet servers or websites, or transfer the Game Software, in whole or in part, without prior written consent from TZUNING WU.
13. Remove, alter, deface, or circumvent proprietary notices, trademarks, or labels contained within the Game Software.
14. Export or re-export the Game Software, any copies thereof, or any modifications thereto in violation of this Agreement or applicable export laws and regulations of the countries where the Game Software and services are provided.
**Article 6 (Software Updates)**
TZUNING WU may provide updates, patches, and other modifications for the Game Software that users are required to install.
TZUNING WU may update, patch, or modify the Game Software, as well as access the Game Software installed on the User's computer; the User hereby authorizes TZUNING WU to deploy and apply such updates, patches, and modifications.
The term "Game Software" as used in this Agreement shall include all such updates and modifications.
**Article 7 (Disclaimer of Warranties)**
The Game Software and related services are provided to users on an "AS IS" basis. To the maximum extent permitted by applicable law, TZUNING WU makes no warranties regarding the following:
1. Fitness for a particular purpose and merchantability (including that the game meets your or any other person's requirements).
2. Freedom from infringement of third-party intellectual property rights or proprietary rights.
3. The accuracy, reliability, authenticity, or completeness of the Game Software.
4. The operational performance of the Game Software (including delays, interruptions, errors, viruses, defects, or omitted content).
5. Any content generated by third parties, or the performance or non-performance of any other acts or related warranties by TZUNING WU.
6. Any issues arising during the course of dealing, course of performance, or usage of trade.
Certain jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, Users may have different statutory rights depending on their jurisdiction.
**Article 8 (Limitation of Liability)**
Except in cases of intentional misconduct or gross negligence by TZUNING WU, TZUNING WU shall not be liable for any direct, special, indirect, incidental, punitive, or consequential damages, or any loss of use, loss of profits, loss of data, or any other losses arising out of or related to the ownership, use, malfunction, or any related aspect of the Game Software or services, or software related thereto.
Furthermore, if a User suffers any damage arising from the ownership, use, malfunction, or any related matter concerning the Game Software, services, or related websites, TZUNING WU's total aggregate liability—whether based on contract, warranty, tort, product liability, strict liability, or any other legal theory—shall be limited to the amount paid by the User to TZUNING WU for the use of the Game Software or other software.
Because some jurisdictions do not allow the exclusion or limitation of liability for certain damages, the above limitations or exclusions may not apply to the User.
**Article 9 (Indemnification)**
Except in cases of intentional misconduct or gross negligence by TZUNING WU, the User agrees to defend, indemnify, and hold harmless TZUNING WU, its partners, affiliates, contractors, authorized licensors, officers, directors, employees, and authorized agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising directly or indirectly from the User's conduct related to the use of the Game Software or any breach of this Agreement. These User obligations shall survive the termination or expiration of this Agreement.
**Article 10 (Term and Termination)**
This Agreement remains effective while you use, operate, or run the Game Software. If the User fails to comply with any provision of this Agreement, this Agreement shall terminate automatically.
TZUNING WU may terminate any service related to the Game Software for any necessary technical or operational reasons.
The User may terminate the license granted under this Agreement at any time by deleting all files containing the Game Software.
Upon termination of this Agreement, all licenses granted herein shall terminate immediately, and the User must delete and destroy all files containing the Game Software.
Provisions regarding "Ownership," "License Terms and Restrictions," "Limitation of Liability," "Indemnification," "Term and Termination," "Injunctions," and "Governing Law and Dispute Resolution" shall survive any revocation or termination of this Agreement or the licenses granted hereunder.
**Article 11 (Injunctions)**
The User acknowledges and agrees that breach of this Agreement may cause irreparable harm to TZUNING WU. Accordingly, the User agrees that, in addition to any other remedies available under applicable laws and regulations, TZUNING WU is entitled to seek necessary equitable relief, such as injunctive relief, without the requirement of posting a bond or providing other proof of actual damages.
**Article 12 (Governing Law and Dispute Resolution)**
In the event of any dispute between the User and TZUNING WU, TZUNING WU shall provide a neutral and efficient mechanism to resolve the dispute expeditiously.
The User and TZUNING WU agree that any action, proceeding, or dispute arising out of or relating to this Agreement or the services (hereinafter referred to as a "Claim") shall be resolved as follows:
The legal contract and relationship between the User and TZUNING WU shall be governed solely by the laws of Taiwan, excluding the application of principles of private international law (conflict of laws) and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The User and TZUNING WU agree that the courts of Taiwan shall have exclusive jurisdiction and venue. However, the User agrees that TZUNING WU may apply for provisional measures, preliminary injunctions, or other equitable relief in any court of competent jurisdiction.
For any Claim where the total amount sought is less than ten thousand US dollars (USD 10,000), the parties may resolve the dispute efficiently through binding non-appearance-based arbitration, except for claims seeking provisional remedies, injunctive relief, or other equitable relief. Any party initiating arbitration shall do so through an established Alternative Dispute Resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules:
1. The arbitration shall be conducted, at the option of the party seeking relief, solely by telephone, online, or based exclusively on written submissions.
2. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties.
3. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
All Claims filed against TZUNING WU must be resolved in accordance with this dispute resolution section. Any Claim filed in violation of this section shall be deemed improperly filed. If a User files a Claim in violation of this section and fails to promptly withdraw it upon receiving notice from TZUNING WU, TZUNING WU may recover reasonable attorney's fees up to one thousand US dollars (USD 1,000.00).
**Article 13 (Amendments)**
TZUNING WU reserves the right to amend this Agreement at any time and shall post such amendments on its official website.
If a User does not agree to subsequent amendments to this Agreement, or no longer wishes to abide by this Agreement, the User may terminate this Agreement pursuant to the termination provisions herein.
Continued use of the Game Software following updates or modifications to the Game Software, or following notification of amendments to this Agreement, constitutes the User's acceptance of all revised terms and conditions.
**Article 14 (Collection and Use of Information)**
By agreeing to this Agreement and installing or using the Game Software, the User consents to the terms and conditions regarding the collection and use of information set forth in TZUNING WU's Privacy Policy.
TZUNING WU may collect information relating to the User or their use while using the software products, including, but not limited to: accounts used on STEAM, gameplay activity, progression rates and other metrics, scores, rankings, transactions, communications between players, browser types, platform types, and internet service details.
TZUNING WU may access or use personal information, or provide such information to third parties pursuant to entrustment agreements, for purposes such as improving user convenience, ensuring personal information security, or delivering rewards. Personal information must be destroyed once the purpose of its use has been fulfilled.
Information regarding your Internet Service Provider (ISP) and software usage may be provided or collected periodically for the purposes of software updates, product support, and other services related to the software product.
TZUNING WU may use the collected information to improve products, manage software products, analyze trends, or provide services or technical support. In addition, TZUNING WU may utilize information related to software usage for research, development, management, support, and marketing of TZUNING WU's products and services.
If you do not wish for your information to be used or shared in this manner, you must not use the Game Software product. For more information regarding the data TZUNING WU may collect and how TZUNING WU uses such data, please refer to TZUNING WU's Privacy Policy, which is accessible on the official website.
**Article 15 (Monitoring)**
When a User plays the games provided by the Company or uses communication tools on the website, the Company may store the User's IP address (the Internet Protocol address used to access the aforementioned services).
Following an update or patch, the Company's patching routines may inspect the User's device to verify whether specific game files are up to date.
If a User sends communications via in-game chats or communication tools within the Company's games (even if marked as "private messages"), the User acknowledges that such communications are transmitted through the Company's servers and may be monitored by the Company.
The User explicitly consents to the monitoring of communications transmitted or received by the User.
**Article 16 (Gene Weaver Service-Related Terms and Policies)**
To enable TZUNING WU Corp., TZUNING WU Taiwan Corp., and their affiliates or subsidiaries (hereinafter referred to as "TZUNING WU" or the "Company") to provide regular services, your agreement to this Agreement shall be deemed your acceptance of the following terms and policies.
You may review the Terms of Service, Privacy Policy, and Event Regulations for Gene Weaver on the official website.

14. Export or re-export the Game Software, any copies thereof, or any modifications thereto in violation of this Agreement or applicable export laws and regulations of the countries where the Game Software and services are provided.
**Article 6 (Software Updates)**

For any Claim where the total amount sought is less than ten thousand US dollars (USD 10,000), the parties may resolve the dispute efficiently through binding non-appearance-based arbitration, except for claims seeking provisional remedies, injunctive relief, or other equitable relief. Any party initiating arbitration shall do so through an established Alternative Dispute Resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules:
1. The arbitration shall be conducted, at the option of the party seeking relief, solely by telephone, online, or based exclusively on written submissions.
2. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties.
3. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
All Claims filed against TZUNING WU must be resolved in accordance with this dispute resolution section. Any Claim filed in violation of this section shall be deemed improperly filed. If a User files a Claim in violation of this section and fails to promptly withdraw it upon receiving notice from TZUNING WU, TZUNING WU may recover reasonable attorney's fees up to one thousand US dollars (USD 1,000.00).
**Article 13 (Amendments)**
TZUNING WU reserves the right to amend this Agreement at any time and shall post such amendments on its official website.
If a User does not agree to subsequent amendments to this Agreement, or no longer wishes to abide by this Agreement, the User may terminate this Agreement pursuant to the termination provisions herein.
Continued use of the Game Software following updates or modifications to the Game Software, or following notification of amendments to this Agreement, constitutes the User's acceptance of all revised terms and conditions.
**Article 14 (Collection and Use of Information)**
By agreeing to this Agreement and installing or using the Game Software, the User consents to the terms and conditions regarding the collection and use of information set forth in TZUNING WU's Privacy Policy.
TZUNING WU may collect information relating to the User or their use while using the software products, including, but not limited to: accounts used on STEAM, gameplay activity, progression rates and other metrics, scores, rankings, transactions, communications between players, browser types, platform types, and internet service details.
TZUNING WU may access or use personal information, or provide such information to third parties pursuant to entrustment agreements, for purposes such as improving user convenience, ensuring personal information security, or delivering rewards. Personal information must be destroyed once the purpose of its use has been fulfilled.
Information regarding your Internet Service Provider (ISP) and software usage may be provided or collected periodically for the purposes of software updates, product support, and other services related to the software product.
TZUNING WU may use the collected information to improve products, manage software products, analyze trends, or provide services or technical support. In addition, TZUNING WU may utilize information related to software usage for research, development, management, support, and marketing of TZUNING WU's products and services.
If you do not wish for your information to be used or shared in this manner, you must not use the Game Software product. For more information regarding the data TZUNING WU may collect and how TZUNING WU uses such data, please refer to TZUNING WU's Privacy Policy, which is accessible on the official website.
**Article 15 (Monitoring)**
When a User plays the games provided by the Company or uses communication tools on the website, the Company may store the User's IP address (the Internet Protocol address used to access the aforementioned services).
Following an update or patch, the Company's patching routines may inspect the User's device to verify whether specific game files are up to date.
If a User sends communications via in-game chats or communication tools within the Company's games (even if marked as "private messages"), the User acknowledges that such communications are transmitted through the Company's servers and may be monitored by the Company.
The User explicitly consents to the monitoring of communications transmitted or received by the User.
**Article 16 (Gene Weaver Service-Related Terms and Policies)**
To enable TZUNING WU Corp., TZUNING WU Taiwan Corp., and their affiliates or subsidiaries (hereinafter referred to as "TZUNING WU" or the "Company") to provide regular services, your agreement to this Agreement shall be deemed your acceptance of the following terms and policies.
