Language:
1. Acceptance and Scope
This End-User License Agreement ("EULA") is a legal agreement between you and Maeers Entertainment Inc. ("Maeers," "we," "us") covering your use of the video game The Do-Over, including its updates, patches, downloadable content, and related online features (together, the "Game").
By installing, accessing, or playing the Game, you confirm that you have read and agree to this EULA. If you do not agree, do not install or play the Game, and request a refund through the platform where you bought it, subject to that platform's refund policy.
You must be at least the age of majority where you live, or have the permission of a parent or legal guardian who agrees to this EULA on your behalf. [Confirm any minimum age the Game requires.]
2. License Grant
Maeers grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and play the Game on devices you own or control, for your personal, non-commercial entertainment, in accordance with this EULA and the rules of the platform where you obtained it.
The Game is licensed, not sold. You receive no ownership of the Game, its code, or its content. Any rights not expressly granted here are reserved by Maeers.
3. Restrictions
Except where applicable law gives you a right that cannot be waived by contract, you agree not to:
• copy, sell, rent, lease, sublicense, distribute, or publicly perform the Game, other than as this EULA permits;
• reverse engineer, decompile, disassemble, or extract the source code, assets, or data of the Game;
• modify, adapt, or create derivative works of the Game, except through mod tools or features we expressly make available;
• use cheats, bots, exploits, automation, or any third-party software that gives an unfair advantage or interferes with other players;
• bypass, disable, or tamper with security, anti-cheat, or access-control measures;
• host, emulate, or reverse-engineer servers or services connected to the Game;
• use the Game for commercial purposes, including operating it in a cyber cafe or arcade, without our written permission; or
• remove or alter any copyright, trademark, or other proprietary notice.
4. Platform Terms (Steam and Epic Games Store)
If you obtained the Game through Steam, you must also follow the Steam Subscriber Agreement. If you obtained it through the Epic Games Store, you must also follow Epic Games' applicable store terms and end user license terms. We call each of these a "Platform."
This EULA is between you and Maeers only. Valve Corporation, Epic Games, Inc., and their affiliates are not parties to it and are not responsible for the Game, its content, support, or maintenance, and have no obligation to provide any warranty or support for it. Purchases, payments, refunds, and account matters are handled under the Platform's own terms.
If this EULA conflicts with a Platform's mandatory terms, the Platform's terms control for that conflict only. Your use of the Game may stop working if your Platform account is suspended or terminated.
5. Ownership and Intellectual Property
Maeers and its licensors own all rights in the Game, including its code, art, characters, story, music, sound, text, names, logos, and trademarks, as protected by copyright, trademark, and other laws in Canada and around the world. "The Do-Over" and "Maeers Entertainment" are trademarks of Maeers Entertainment Inc.
The Game may include third-party software or materials licensed to us. Those materials remain the property of their owners and may be subject to separate license terms. Nothing in this EULA transfers any ownership to you.
6. User Content, Mods and Feedback
If the Game lets you create or submit content (such as names, text, screenshots, or mods), you keep ownership of what you create. You grant Maeers a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to use, reproduce, modify, display, and distribute that content in connection with operating, promoting, and improving the Game. You confirm you have the rights to grant this license and that your content does not infringe anyone else's rights or break the law.
If you send us ideas, suggestions, or feedback, we may use them freely without payment or credit to you.
You may record and share gameplay videos, streams, and screenshots of the Game, including on monetized channels, provided you do not suggest that Maeers endorses you or your content and you follow any content guidelines we publish. [Adjust this permission to match your policy.]
7. Online Features, Conduct and Termination
When using any online or multiplayer feature, you agree not to harass or threaten others, post unlawful, hateful, or sexually explicit content, impersonate anyone, disrupt the Game or its servers, or collect other players' personal information.
We may suspend or terminate your access to online features, or end this EULA, if you break this EULA, abuse our services, or if the law requires. We may also end or limit online features where we need to for security, legal, or operational reasons.
You may end this EULA at any time by uninstalling the Game and destroying all copies. On termination, your license ends and you must stop using the Game. Sections 3, 5, 6, and 8 to 12 survive termination.
8. Updates, DLC and Virtual Items
We may release updates, patches, and downloadable content, and some may install automatically. Updates and DLC are part of the Game and are covered by this EULA unless they come with their own terms. We may change, add, or remove features or content over time.
Any virtual items, currency, or content in the Game have no cash value, are licensed rather than owned, and cannot be sold or transferred outside the Game unless we say otherwise. We may modify or discontinue online services after reasonable notice where practicable, and we do not promise that online features will be available indefinitely.
9. Privacy and Data
We collect and use personal information only as described in our Privacy Policy at [Privacy Policy URL], which forms part of this EULA. Depending on the Game's features, this may include your Platform user ID, gameplay and technical data, crash reports, and any information you submit through online features.
The Game is not directed at children under 13, and we do not knowingly collect personal information from them. [Confirm the Game's age rating and align this section with your Privacy Policy and applicable laws, including PIPEDA, GDPR, and COPPA.]
10. Disclaimer of Warranties and Limitation of Liability
To the fullest extent permitted by law, the Game is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
To the fullest extent permitted by law, Maeers, its directors, officers, employees, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Game. Our total liability for any claim relating to the Game is limited to the amount you paid for the Game (if any).
Nothing in this EULA excludes or limits liability that cannot be excluded or limited by law, or any statutory consumer rights you have where you live.
11. Governing Law and Disputes
This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. You and Maeers submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising from this EULA or the Game, except that where mandatory consumer protection laws give you the right to bring a claim in your home jurisdiction, those laws apply.
If any part of this EULA is found unenforceable, the rest stays in effect, and the unenforceable part will be enforced to the greatest extent permitted. [Have a lawyer decide whether to add arbitration or a class-action waiver; enforceability varies by region.]
12. General Provisions and Contact
Entire agreement. This EULA, with the Privacy Policy and any terms that come with specific content, is the whole agreement between you and Maeers about the Game and replaces earlier understandings.
Assignment. You may not transfer this EULA or your rights under it. Maeers may assign it as part of a merger, sale, or reorganization.
No waiver. A failure to enforce any term is not a waiver of it.
Changes. We may update this EULA from time to time. We will post the updated version and, for material changes, give notice in the Game or on the Platform. Continuing to play after the effective date means you accept the update.
