Bid Rivals — End User License Agreement (EULA)

- Product: Bid Rivals (the "Game")
- Developer / Publisher: Crowned Games, New South Wales, Australia ("we", "us", "our", the "Company")
- Contact: crownedgames@protonmail.com
- Effective date: 30 September 2026

The Steam Subscriber Agreement and Valve's Privacy Policy also apply to all users and are not
replaced by this Agreement.

1. Acceptance of this Agreement

This End User License Agreement ("Agreement") is a binding contract between you and the Company
governing your access to and use of the Game and its related online services (together, the
"Service"). By installing, accessing, or playing the Game you accept this Agreement. If you do not
agree, do not install or play the Game. If you are under the age of majority in your jurisdiction,
you may only accept this Agreement with the involvement of a parent or legal guardian, who agrees
to be bound on your behalf.

This Agreement is in addition to, and does not replace, the Steam Subscriber Agreement and Valve's
policies that govern your Steam account and any purchases made through Steam.

2. License grant

Subject to your continuous compliance with this Agreement, the Company grants you a personal,
limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use
one copy of the Game client for your own private, non-commercial entertainment, and to access the
Service. All rights not expressly granted are reserved by the Company and its licensors. You obtain
no ownership interest in the Game, the Service, or any in-Game content.

3. Ownership and intellectual property

The Game and the Service, including all software, code, artwork, characters, audio, text, user
interfaces, and other content, and all associated intellectual-property rights, are owned by the
Company or its licensors and are protected by law. Some assets are AI-assisted 2D art that was
pre-generated and hand-curated by the Company (see the Game's store page disclosure); the Company
holds or has licensed the rights necessary to distribute them. You may not copy, modify, distribute,
sell, rent, reverse engineer, decompile, or create derivative works from the Game or Service except
to the limited extent this restriction is prohibited by applicable law.

4. Account, eligibility, and security

4.1 Access to the Service requires a valid Steam account and an authenticated Steam login. You are
responsible for all activity that occurs through your account and for keeping your credentials
secure.

4.2 You agree to provide accurate information and to comply with the Steam Subscriber Agreement. One
person may not maintain multiple accounts to gain an unfair advantage, evade a suspension, or
manipulate the in-Game economy or matchmaking.

4.3 The Service is online-only and server-authoritative: your progress, collection, wallet
balance, and purchase records are stored on the Company's servers, not on your device. A working
internet connection and a reachable Company backend are required to play. See Section 9.

5. Virtual currency and virtual items ("Gold" and in-Game content)

5.1 The Game uses a single in-Game virtual currency displayed as "Gold", together with virtual
items, characters, cosmetics, and collection pieces (collectively, "Virtual Content"). You may earn
Gold and Virtual Content through play (including a starting bonus, daily rewards, and free refill
grants) or, where enabled, acquire Gold through in-Game purchases (Section 6).

5.2 Gold and all Virtual Content have no real-world or monetary value. Gold is used only inside
Bid Rivals. It cannot be withdrawn, cashed out, traded, gifted, redeemed, sold, transferred
between accounts, or converted into real money, Steam Wallet funds, cryptocurrency, gift cards, or
anything else of value. This is a deliberate design of the Service and is reflected on every
purchase, market, daily-reward, and recovery screen.

5.3 You receive only a limited, personal, revocable license to use Virtual Content within the Game.
You do not own it. The Company may, in its reasonable discretion, manage, regulate, modify,
rebalance, add, or remove Virtual Content and adjust prices, drop rates, and economy values, and
may do so without owing you a refund of Gold or any real-world compensation, except where
non-waivable law requires otherwise.

5.4 Virtual Content is not part of any deceased user's estate and is not transferable by
inheritance. Your license to all Virtual Content and to any unspent Gold ends when your account or
the Service is terminated (Sections 8 and 9), except where non-waivable consumer law provides
otherwise.

5.5 The Game offers sealed mystery lots whose contents are random. The probability of each rarity
in every auction hall is disclosed in the Game (Gold shop → Drop Rates). Gold is never required to
obtain a random reward — free Gold is always available — and paid Gold buys more access and larger
swings, never a guaranteed win.

6. Purchases and refunds

6.1 Where in-Game purchases are enabled, Gold is sold only through the Steam Wallet. All
payments are processed by Valve/Steam under the Steam Subscriber Agreement; the Company does not
collect or store your payment-card details. Prices shown in-Game are display values; the actual
charge is the regional price presented by Steam at checkout.

6.2 Gold is a consumable virtual currency: once Gold is added to your account it is available
for immediate use in the Game. To the extent permitted by law, purchases of Gold are final.

6.3 Refunds are handled by Steam under Valve's refund policy. You may request a refund through
Steam Support, subject to Valve's eligibility rules. Consumed Gold and Virtual Content acquired,
spent, or otherwise used may be ineligible for refund. Nothing in this Agreement limits any
non-waivable statutory withdrawal or refund right you have under the consumer law of your country
or region (for example, EU/UK/AU cooling-off and consumer-guarantee rights).

6.4 The Company may reverse, void, or claw back Gold and Virtual Content obtained through a
chargeback, payment reversal, fraud, error, exploit, or a transaction later found invalid, and may
suspend accounts with unresolved payment disputes.

7. Rules of conduct and prohibited activity

You agree not to, and not to attempt to or assist others to:

- cheat, use unauthorized third-party software, bots, automation, macros, memory editors, packet
manipulation, or any tool that gives an unfair advantage;
- exploit bugs, glitches, or economy/matchmaking flaws instead of reporting them, or duplicate,
farm, or manufacture Gold or Virtual Content through unintended means;
- collude with other players, engage in match-fixing, win-trading, or coordinated manipulation of
auctions, matchmaking, rankings, or the in-Game market;
- operate multiple or "smurf" accounts to gain advantage, evade bans, or distort matchmaking;
- buy, sell, or exchange accounts, Gold, or Virtual Content for real-world value, or facilitate any
such off-platform trade (all of which is void and unenforceable, and Gold has no such value);
- access, probe, or interfere with the Service's servers, security, or infrastructure, or attempt
to reverse engineer, decompile, or derive source code except where law prohibits this restriction;
- harass, threaten, defraud, impersonate, or abuse other players or staff, or transmit unlawful,
infringing, or harmful content through any in-Game or community feature;
- misrepresent your identity or eligibility, or use the Service in violation of applicable export,
sanctions, or other laws.

Violation may result in warnings, removal of Gold or Virtual Content, temporary suspension, or
permanent termination, at the Company's discretion and, where practical and appropriate, with
notice.

8. Suspension and termination by the Company

8.1 The Company may suspend, restrict, or terminate your access to the Service or your account, in
whole or in part, if you breach this Agreement, if required by law or by Valve, to protect the
Service or other players, or for prolonged inactivity. Where the breach is serious (for example
cheating, fraud, or economy manipulation) suspension or termination may be immediate.

8.2 On termination for cause, your license under Section 2 ends and you may lose access to your
account, Gold, and Virtual Content without refund, except where non-waivable law requires
otherwise. Sections that by their nature should survive termination (including 3, 5, 10, 11, 12,
13) survive.

8.3 You may stop using the Service at any time and may request deletion of your account and
associated personal data as described in the
Bid Rivals Privacy Policy.

9. Online service; changes to and discontinuation of the Service

9.1 The Game is an online-only, live service. It depends on the Company's servers and a Steam
login, and it is not playable offline. All progress and Gold are stored server-side; there is no
local save.

9.2 The Company may modify, update, patch, rebalance, suspend, limit, or discontinue the Service or
any feature, in whole or in part, at any time, including for maintenance, security, legal, or
business reasons. The Company will use commercially reasonable efforts to give advance notice of a
permanent shutdown of the Service where practical.

9.3 If the Service is permanently discontinued, or if the Company's backend becomes unavailable, the
Game and your Gold, collection, and progress may become inaccessible and may be permanently lost.
Because Gold and Virtual Content have no real-world value (Section 5), no real-world refund or
compensation is owed for such loss, except where non-waivable law requires otherwise. This risk is
disclosed on the Game's store page.

9.4 The Company does not warrant that the Service will be uninterrupted, error-free, or available at
any particular time, and is not liable for downtime or availability that depends on third parties
(including Valve/Steam and the hosting provider).

10. Disclaimers of warranty

To the maximum extent permitted by law, the Service is provided "as is" and "as available"
without warranties of any kind, whether express, implied, or statutory, including implied warranties
of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty
that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the
exclusion of certain warranties, so some of the above may not apply to you, and you may have
statutory rights that this Agreement does not limit. If you are a consumer in Australia, nothing in
this Agreement excludes, restricts, or modifies any guarantee, right, or remedy you have under the
Australian Consumer Law that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, the Company and its officers, employees, and licensors will
not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages,
or for loss of profits, data, goodwill, or in-Game content (including Gold and Virtual Content),
arising out of or relating to the Service or this Agreement, even if advised of the possibility of
such damages. To the maximum extent permitted by law, the Company's total aggregate liability for
all claims relating to the Service will not exceed the greater of (a) the total amounts you actually
paid to the Company (or to Valve for the Game) in the twelve (12) months before the event giving
rise to the claim, or (b) USD 50. Nothing in this Agreement excludes or limits liability that
cannot be excluded or limited under applicable law (including liability for death or personal
injury caused by negligence, fraud, or a party's non-waivable consumer rights).

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its
licensors from claims, damages, and reasonable expenses (including reasonable legal fees) arising
out of your breach of this Agreement, your misuse of the Service, or your violation of any law or
third-party right.

13. Governing law and dispute resolution

This Agreement is governed by the laws of New South Wales, Australia, without regard to its
conflict-of-laws rules. The parties submit to the non-exclusive jurisdiction of the courts of New
South Wales, Australia. Nothing in this section deprives a consumer of the protection of the
mandatory law of their country of residence or of the right to bring proceedings there where such
law so provides.

14. Changes to this Agreement

The Company may update this Agreement from time to time. Material changes will be notified through
the Game, the store page, or another reasonable means, and will take effect as stated in the notice.
Continued use of the Service after changes take effect constitutes acceptance. If you do not agree
to the updated Agreement, you must stop using the Service.

15. Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions remain in effect.
The Company's failure to enforce a provision is not a waiver. You may not assign this Agreement; the
Company may assign it in connection with a merger, acquisition, or sale of assets. This Agreement,
together with the Steam Subscriber Agreement and the Bid Rivals Privacy Policy, is the entire
agreement between you and the Company regarding the Service.
