END-USER LICENSE AGREEMENT

READ THIS END-USER LICENSE AGREEMENT CAREFULLY.
This End-User license agreement (« EULA ») regulates the use by yourself, of the video game, of the app, of the software as well as their upgrades, patches and updates and associates services (the « Product ») which are currently provided or will be provided in the future by Quentin BEYLARD, individual entrepreneur of the company ENDAI (referred to in this End-User License Agreement, « ENDAI »).
This EULA sets out the conditions under which ENDAI puts the Product at your disposal (« User » or « you ») and in which you can use it.
ENDAI reserves the right to change, modify, add or delete at any time some articles of this EULA according to the procedures describe below in the article 7.
Article 1 : Licensing
1.1 ENDAI grants you a personal and non-commercial licence, non-assignable, not limited and and not subject to sublicensing, to install and/or use the Product (in whole or in part) and any Product (the « License ») until you or ENDAI terminate this EULA. You must under any circumstances. not use, not authorized a third person to use the Product ou this License for commercial purposes without the express authorization of ENDAI. Updates, upgrades, patches and modifications can be necessary to permit you to continue to use the Product on some devices.
THIS PRODUCT IS MADE AVAILABLE TO YOU UNDER LICENSE, IT IS NOT SOLD TO YOU.
1.2 You will not, directly or indirectly, (i) sell, lease, rent, grant under a license, distribute, commercialize, exploit the Product or one of its parts commercially, (ii) submit this Product to reverse engineering operations, decompile it, disassemble it, adapt it, reproduce it in whole or in part or create derivative works from it, (iii) create, use and/or distribute "auto", "trainer", "script" or "macro" computer programs or other "cheat" or "hack" software applications for this Product (whether in the context of an online multiplayer game or a single-player game on the internet or on the local network); (iv) remove, modify, deactivate or circumvent any copyright and trademark notices or other information, notices or labels on the author and origin that appear in or on this Product and (v) export or re-export this Product or a copy of adaptation in violation of applicable laws or regulations.
1.3 When you use the Product, you agree to comply with all applicable laws, rules and regulations. You may only use the Product as intended.
For example, and without this limiting ENDAI’s rights to take action against you, you cannot:
A. Create, use, share and/or publish by any means whatsoever in connection with the Product a document (text, words, images, sounds, videos, etc.) that would be contrary to an obligation of confidentiality, that infringes an intellectual property right or the right to privacy of an individual or that incites an illegal act (piracy, cracking or distribution of counterfeit software in particular)
B. Modify, distort or block the Product, impose an abnormal load on it, interrupt, slow down and/or hinder the operation of the Product’s partner networks, or attempt to do so;
C. Transmit or propagate a virus, trojan horse, worm, bomb, corrupted file and/or similar destructive device or corrupted data in connection with the Product, and/or organize, participate in or be involved in an attack on the servers of ENDAI, the Product and/or those of its partners and service providers.
D. Create, provide or use other means of using the Product, such as server emulators;
E. Spamming the chat or any official conversation space, whether for commercial or personal purposes, by interrupting the flow of conversation with repeated posts of a similar nature;
F. Transmit or communicate documents or contents that according to ENDAI, are considered or deemed offensive, and in particular words that are damaging, illegal, abusive, discriminatory, defamatory, contemptuous, obscene, sexually explicit, or objectionable from a racial or ethnic point of view, yes others;
G. Harass or threaten other Product users;
H. Misuse the claim buttons or send inaccurate reports to the company ENDAI.
I. Falsely claiming to be an employee or representative of ENDAI or its partners and/or agents.
J. Falsely invoke a bond in connection with the Product or ENDAI.
Article 2 : Property
2.1 All title, proprietary rights and intellectual property rights in the Product (and in particular all text, graphics, music or sounds, all messages or information, fictional characters, names, themes, objects, landscapes, costumes, effects, dialogues, slogans, places, characters, diagrams, concepts, choreographies, videos, audio-visual effects, domain names and any other elements that form part of the Product, alone or combined with each other) and all copies made thereof are the property of ENDAI.
The Product is protected by national and international copyright laws, treaties, conventions, and other statutes. This Product may contain licensed materials and, if so, the licensors of ENDAI can protect their rights in case of breach of this Agreement. Any reproduction or representation of these licensed elements in any way and for any reason whatsoever is prohibited without the prior authorization of ENDAI represented by Quentin BEYLARD. Unless otherwise expressly provided in this EULA, all rights not granted to you under this contract are expressly reserved by ENDAI.
2.2 This License does not convey any right or ownership in the Product and shall not be construed as an assignment of rights in the Product.
Article 3 : Product’s Access
3.1 The Product will be available on the STEAM platform (hereinafter referred to as « STEAM »).
3.2. If you use the Product on a compatible mobile terminal, this Section 3.2 applies to you and your use of the Product:
For the purposes of this EULA, "Compatible Mobile Terminal" means any portable device capable of connecting to the Internet to access the Product. The term "compatible mobile terminals" refers to feature phones, smartphones, tablets and personal digital assistants (PDAs).
Access to the Product. To use the Product on a compatible mobile terminal, you must have access to an electronic communication network. The connection fees (and in particular the fees charged by providers and/or mobile phone operators) are your exclusive responsibility. You acknowledge that the quality of the Product, the response time or access to certain features may depend on the capabilities of your compatible mobile Terminal and electronic communication network. ENDAI will in no way be held responsible for a decrease in user comfort. You acknowledge that the Product may not be available on all mobile devices or through all network operators or service providers.
Article 4: Absence of guarantee, limitation of responsibility
YOU EXPRESSLY ACKNOWLEDGE THAT YOU USE THE PRODUCT AT YOUR OWN RISK. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCT IS PROVIDED "AS IS" AND "SUBJECT TO AVAILABILITY ». ENDAI, ITS LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS MAKE NO CONDITIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, AND DISCLAIM ALL SUCH TERMS AND OTHER TERMS, INCLUDING WITH RESPECT TO: (A) ITS SUITABILITY, ACCURACY, TIMELINESS, COMPLETENESS, RELIABILITY OR SAFETY; (B) ITS FITNESS FOR A PARTICULAR PURPOSE; (C) IMPLIED WARRANTIES OF TITLE AND NON-INFRINGEMENT; (D) ITS MARKET VALUE; OR (E) YOUR SATISFACTION. ENDAI DOES NOT WARRANT THAT THE PRODUCT WILL BE FREE OF INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED OR THAT THE PRODUCT IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME FULL RESPONSIBILITY FOR SELECTING THE PRODUCT TO ACHIEVE THE RESULTS YOU EXPECT, AND FOR ITS INSTALLATION, USE AND THE RESULTS YOU OBTAIN. WITHIN THE LIMITS PERMITTED BY CURRENT LAW, ENDAI ITS LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE SUFFERED IN CONNECTION WITH THE USE OF THE PRODUCT OR AN ASSOCIATED THIRD-PARTY SERVICE. ARE INCLUDED, WITHOUT LIMITATION (A) ALL DAMAGES OF ANY KIND, WHETHER RESULTING FROM TORT (INCLUDING NEGLIGENCE AND BREACH OF STATUTORY DUTY), CONTRACT, MISREPRESENTATION (ACCIDENTAL OR NEGLIGENT) OR (B) DIRECT DAMAGE; (C) ACCIDENTAL DAMAGE, (D) INCIDENTAL DAMAGE, (E) CONSEQUENTIAL DAMAGE, AND (F) INDIRECT DAMAGE.
NOTWITHSTANDING THE ABOVE LIABILITY LIMITATIONS, YOUR SOLE AND EXCLUSIVE REMEDY, IN THE EVENT OF A DISPUTE WITH ENDAI OR ITS LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS, IS TO STOP USING THE PRODUCT AND, IF APPLICABLE, TO CLAIM DAMAGES FOR YOUR LOSSES. FOR ANY PRODUCT PURCHASED FOR USE ON A COMPATIBLE MOBILE TERMINAL OR VIA THE STEAM PLATFORM THAT DOES NOT COMPLY WITH THE APPLICABLE LEGAL GUARANTEES, THE LIABILITY OF ENDAI IS LIMITED TO THE REIMBURSEMENT (DIRECTLY OR INDIRECTLY THROUGH ITS DISTRIBUTION PARTNERS OR ASSOCIATED SERVICE PROVIDERS) OF THE PURCHASE PRICE OF THE PRODUCT. ENDAI, LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS SHALL IN NO CASE BE LIABLE FOR DAMAGES EXCEEDING THE PRICE YOU PAID TO ENDAI FOR THE PRODUCT DURING THE TWELVE (12) MONTHS PRIOR TO THE BIRTH OF YOUR ACTION CAUSE.
NO TERM IN THIS ARTICLE 4 SHALL AFFECT ENDAI’S LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM ENDAI’S NEGLIGENCE OR FOR FRAUD OR MISREPRESENTATION, NOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER CURRENT LAW.
FOR THE PURPOSES OF THIS ARTICLE 4, LICENSORS OF ENDAI, ITS DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS ARE THIRD-PARTY BENEFICIARIES OF THE LIABILITY LIMITATIONS SPECIFIED HEREIN AND MAY ENFORCE THIS EULA AGAINST YOU.
Article 5 : Indemnisation
You assume full responsibility for any damage caused to ENDAI to its licensors, distribution partners, associated service providers and subcontractors, other users of the Product and any other person or entity, by your breach of this EULA.
YOU HEREBY UNDERTAKE TO GUARANTEE ENDAI, THEIR LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS AS WELL AS THEIR SUBCONTRACTORS AGAINST ALL CLAIMS, DEMANDS, LIABILITIES, LOSSES AND DAMAGES ALLEGED AND AGAINST ALL COSTS (INCLUDING ATTORNEYS' FEES), directly or indirectly attributable to your fault and/or resulting from (A) the non-performance of a term of this Agreement or (B) the use, abusive or not, to which you submit the product.
ENDAI reserves the right to assume alone, at its own expense, the management of the dispute of any request against which you have undertaken to guarantee ENDAI. The terms of the article 7 shall survive termination of this EULA.
Article 6 : Termination
The EULA takes effect on the date you purchase the Product, download it or start using it, whichever is earlier, and shall remain in force until terminated in accordance with its terms. You and ENDAI (or its licensors) may terminate this EULA at any time and for any reason whatsoever. Termination of this EULA on the initiative of ENDAI will take effect (a) as soon as you are notified or (b) on the date of ENDAI’s decision to stop offering the Product and/or providing support for it.
This EULA will be automatically terminated if you fail to comply with any of its terms and conditions. Upon termination for any reason, you must immediately uninstall the Product and destroy all copies thereof in your possession.
Article 7 : Modification of this EULA or the Product
ENDAI reserves the right, in its sole discretion, to revise, update, change, modify, add, supplement or delete certain terms of this EULA for security, legal, best practice or regulatory reasons. You will not be required to receive prior notice of the changes taking effect. You can review the most recent version of this EULA by clicking on the "EULA" link found on the STEAM platform. It is your responsibility to review this EULA periodically for changes. If any future modification of this EULA is unacceptable to you or causes you to no longer agree with or comply with this EULA, you may terminate this EULA in accordance with Section 6 and must immediately uninstall the Product and destroy all copies of the Product. By continuing to use the Product after a revision of this EULA, you accept fully and irrevocably all modifications made to the EULA. may modify the Product for any reason whatsoever or without specific reason, at any time and at its own discretion, in particular for technical reasons such as updates, maintenance operations and/or resets intended to improve and/or optimize the Product. You agree that the Product may install or download the changes automatically. You agree that ENDAI may stop providing Product support as soon as an updated version is available. Distribution partners and associated service providers of ENDAI have no obligation to provide maintenance or customer support for the Product.
Article 8 : Miscellaneous
8.1 Export controls
The Product is subject to all current export restrictions. You must comply with all export and import laws, restrictions and regulations promulgated by any agency or authority in the United States or any other country with respect to the Product and your use of it. The Product may not be the subject of any download, installation, export or re-export by or to a national or resident of a country against which the United States has voted an embargo, or to a person listed on the US Department of the Treasury’s Specially Designated Nationals list or the US Department of Commerce’s Table of Denial Orders. You represent and warrant that you are not located in, under the control of, a national or resident of, or registered with any such country.
8.2 Autonomy of terms.
If any competent authority or court finds that any term of this EULA is invalid, illegal or unenforceable, the term or part thereof shall be deemed, to the extent necessary, be deleted, and the validity and enforceability of the other terms in this EULA shall not be affected. In the event that any invalid, unenforceable or illegal term of this EULA is valid, enforceable and legal if part of such term is deleted, it shall apply with the minimum modification necessary to make it legal, valid and enforceable while reflecting the initial intentions of ENDAI.
8.3 No waiver.
The fact, for ENDAI (or its licensors) , to delay in asserting or not at all assert a right or remedy provided for in this EULA or by law shall not constitute a waiver of such right or remedy or any other right or remedy, nor shall it prevent or restrict the future exercise thereof. The exercise on a single occasion or partial exercise of this right or remedy shall not prevent or restrict the exercise of the right or remedy in question or any other right or remedy. The waiver of a right or remedy may be considered effective only after the signature of a written declaration of such content by ENDAI or by the user.
8.4 Law and jurisdiction.
This EULA is governed by the laws of France, without application of its rules relating to conflicts of law; and you expressly acknowledge the exclusive jurisdiction of the French courts for any claim or dispute with ENDAI or in any way relating to this EULA or your use of the Product, and you further agree and expressly consent to the exercise of territorial jurisdiction in French courts in connection with any such dispute, including any claim involving ENDAI and their respective subcontractors, vendors and content providers.
THIS EULA APPLIES ONLY TO THE EXTENT PERMITTED BY LAW.

ENDAI, LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS SHALL IN NO CASE BE LIABLE FOR DAMAGES EXCEEDING THE PRICE YOU PAID TO ENDAI FOR THE PRODUCT DURING THE TWELVE (12) MONTHS PRIOR TO THE BIRTH OF YOUR ACTION CAUSE.

FOR THE PURPOSES OF THIS ARTICLE 4, LICENSORS OF ENDAI, ITS DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS ARE THIRD-PARTY BENEFICIARIES OF THE LIABILITY LIMITATIONS SPECIFIED HEREIN AND MAY ENFORCE THIS EULA AGAINST YOU.
Article 5 : Indemnisation
You assume full responsibility for any damage caused to ENDAI to its licensors, distribution partners, associated service providers and subcontractors, other users of the Product and any other person or entity, by your breach of this EULA.
YOU HEREBY UNDERTAKE TO GUARANTEE ENDAI, THEIR LICENSORS, DISTRIBUTION PARTNERS AND ASSOCIATED SERVICE PROVIDERS AS WELL AS THEIR SUBCONTRACTORS AGAINST ALL CLAIMS, DEMANDS, LIABILITIES, LOSSES AND DAMAGES ALLEGED AND AGAINST ALL COSTS (INCLUDING ATTORNEYS' FEES), directly or indirectly attributable to your fault and/or resulting from (A) the non-performance of a term of this Agreement or (B) the use, abusive or not, to which you submit the product.
ENDAI reserves the right to assume alone, at its own expense, the management of the dispute of any request against which you have undertaken to guarantee ENDAI. The terms of the article 7 shall survive termination of this EULA.
Article 6 : Termination
The EULA takes effect on the date you purchase the Product, download it or start using it, whichever is earlier, and shall remain in force until terminated in accordance with its terms. You and ENDAI (or its licensors) may terminate this EULA at any time and for any reason whatsoever. Termination of this EULA on the initiative of ENDAI will take effect (a) as soon as you are notified or (b) on the date of ENDAI’s decision to stop offering the Product and/or providing support for it.
This EULA will be automatically terminated if you fail to comply with any of its terms and conditions. Upon termination for any reason, you must immediately uninstall the Product and destroy all copies thereof in your possession.
Article 7 : Modification of this EULA or the Product
ENDAI reserves the right, in its sole discretion, to revise, update, change, modify, add, supplement or delete certain terms of this EULA for security, legal, best practice or regulatory reasons. You will not be required to receive prior notice of the changes taking effect. You can review the most recent version of this EULA by clicking on the "EULA" link found on the STEAM platform. It is your responsibility to review this EULA periodically for changes. If any future modification of this EULA is unacceptable to you or causes you to no longer agree with or comply with this EULA, you may terminate this EULA in accordance with Section 6 and must immediately uninstall the Product and destroy all copies of the Product. By continuing to use the Product after a revision of this EULA, you accept fully and irrevocably all modifications made to the EULA. may modify the Product for any reason whatsoever or without specific reason, at any time and at its own discretion, in particular for technical reasons such as updates, maintenance operations and/or resets intended to improve and/or optimize the Product. You agree that the Product may install or download the changes automatically. You agree that ENDAI may stop providing Product support as soon as an updated version is available. Distribution partners and associated service providers of ENDAI have no obligation to provide maintenance or customer support for the Product.
Article 8 : Miscellaneous
8.1 Export controls
The Product is subject to all current export restrictions. You must comply with all export and import laws, restrictions and regulations promulgated by any agency or authority in the United States or any other country with respect to the Product and your use of it. The Product may not be the subject of any download, installation, export or re-export by or to a national or resident of a country against which the United States has voted an embargo, or to a person listed on the US Department of the Treasury’s Specially Designated Nationals list or the US Department of Commerce’s Table of Denial Orders. You represent and warrant that you are not located in, under the control of, a national or resident of, or registered with any such country.
8.2 Autonomy of terms.
If any competent authority or court finds that any term of this EULA is invalid, illegal or unenforceable, the term or part thereof shall be deemed, to the extent necessary, be deleted, and the validity and enforceability of the other terms in this EULA shall not be affected. In the event that any invalid, unenforceable or illegal term of this EULA is valid, enforceable and legal if part of such term is deleted, it shall apply with the minimum modification necessary to make it legal, valid and enforceable while reflecting the initial intentions of ENDAI.
8.3 No waiver.
The fact, for ENDAI (or its licensors) , to delay in asserting or not at all assert a right or remedy provided for in this EULA or by law shall not constitute a waiver of such right or remedy or any other right or remedy, nor shall it prevent or restrict the future exercise thereof. The exercise on a single occasion or partial exercise of this right or remedy shall not prevent or restrict the exercise of the right or remedy in question or any other right or remedy. The waiver of a right or remedy may be considered effective only after the signature of a written declaration of such content by ENDAI or by the user.
8.4 Law and jurisdiction.
This EULA is governed by the laws of France, without application of its rules relating to conflicts of law; and you expressly acknowledge the exclusive jurisdiction of the French courts for any claim or dispute with ENDAI or in any way relating to this EULA or your use of the Product, and you further agree and expressly consent to the exercise of territorial jurisdiction in French courts in connection with any such dispute, including any claim involving ENDAI and their respective subcontractors, vendors and content providers.
THIS EULA APPLIES ONLY TO THE EXTENT PERMITTED BY LAW.
