Closed Playtest Non-Disclosure Agreement (NDA)

Developer: Bermuda Computer Club, a Delaware U.S.A. corporation (“Developer”)
Tester: An individual accessing the Playtest through a Steam account identified by SteamID and Steam Username/Persona Name (“Tester”)

1. Purpose

Developer is providing Tester access to a confidential, pre-release playtest version of La Mer, La Guerre (the “Game”) for testing and feedback.
All information, files, and materials related to the Game are confidential until publicly released by Developer.

2. Identification of Tester

Tester’s legal identity is represented by their Steam account, including:

Steam User Name
Steam ID

Tester acknowledges that all obligations in this Agreement apply to the Steam account launching the Game, even if their real-world identity is not collected.
Steam’s logs, installation records, and platform data may be used as evidence of acceptance and participation.

3. Confidential Information
“Confidential Information” includes, without limitation:

gameplay, mechanics, art, code, assets, story, UI, or design materials;

screenshots, videos, streams, comments, descriptions, or written notes;

any launcher files, executables, depots, builds, or access credentials.

All forms of access, including information discovered through data mining or file exploration, are also confidential.

4. Tester’s Obligations

Tester agrees to:

Not post, upload, stream, record, screenshot, share, or describe non-public Game content;

Not extract, unpack, decrypt, modify, reverse engineer, or data-mine any part of the Game;

Not upload or distribute the Game, its files, or derivative content to any platform, website, Discord, social media, or file-sharing service;

Not attempt to bypass Steam DRM or Valve’s platform protections;

Use access solely for testing and providing feedback to Developer;

Immediately notify Developer if they become aware of a leak, accidental disclosure, or breach.

Unauthorized distribution, data mining, or bypassing protections constitutes piracy and a serious breach of this Agreement.

5. Ownership

All Game content and related materials are the exclusive property of Developer.
Tester receives no license or ownership rights beyond temporary testing access.
Any suggestions or feedback may be used freely by Developer without compensation.

6. Duration

This NDA is effective upon launch or installation of the Playtest build and remains in force until the earlier of:

(a) Developer’s public release of the Game or written notice lifting this NDA;
or
(b) One (1) year from the Effective Date.

Anti-piracy and confidentiality obligations survive termination.

7. Enforcement and Remedies

If Tester breaches this Agreement, Developer may:

  • Immediately revoke playtest access through Steam;
  • Request Valve to enforce bans, remove playtest entitlement, or limit account access to confidential depots;
  • Issue DMCA takedowns for leaked content;
  • Pursue injunctions, monetary damages, and recovery of losses.

Applicable Laws:

This Agreement and all disputes arising from it shall be governed by and construed in accordance with US law, even if the User has his domicile abroad. In relation to Users who are consumers, this choice of law shall only apply insofar as the User is not deprived of such protection which is provided by mandatory statutory provisions, i.e. which cannot be waived by private agreement, of the country in which the User has his habitual residence.

United States: Enforcement may rely on the Digital Millennium Copyright Act (DMCA, 17 U.S.C. § 1201 et seq.), the Computer Fraud and Abuse Act (18 U.S.C. § 1030), and state trade-secret and contract laws.

European Union: Enforcement may rely on Directive 2004/48/EC (Enforcement of Intellectual Property Rights), Directive 2016/943/EU (Protection of Trade Secrets), and applicable national copyright statutes.


Evidence & Identification:
Tester consents to the use of:

Steam logs, depot access logs, API data, build watermarks, account telemetry, or watermarking techniques as evidence in the case of a suspected leak or violation.

8. No Warranties / Liability

The Playtest is provided “as is.” Developer is not liable for crashes, data loss, or any damages arising from Playtest participation.

9. Entire Agreement

This NDA constitutes the full understanding between Developer and Tester.
Modifications must be issued by Developer in writing through Steam announcements or official Developer channels.
If any clause is unenforceable, the rest remains valid.

10. Acceptance Through Steam

By performing any of the following actions, Tester confirms they have read, understood, and agreed to this NDA:

  • Installing La Mer, La Guerre Playtest through Steam;
  • Launching the Playtest executable;
  • Clicking “I Agree” on the Playtest access screen;
  • Accessing any Playtest depot or build content through their Steam account.

Tester’s binding identity is their Steam Account, SteamID and Steam Username.
