请仔细阅读本终端用户许可协议。本终端用户许可协议(“EULA”)用于规范您对 UBISOFT ENTERTAINMENT S.A. 或其任何附属公司或联属公司当前或未来提供的电子游戏、应用程序、软件、其相关升级、补丁、更新以及相关服务(“产品”)的使用,包括但不限于 UBISOFT EMEA SAS、UBISOFT INC. 或 UBISOFT MOBILE GAMES SARL(以下统称“育碧”)。

本 EULA 陈述了育碧在制造向您(“用户”或“您”)提供的产品时所使用的基础,以及您在使用这些产品时所依据的基础。育碧的隐私政策(《隐私政策》,可登录http://www.ubi.com查阅)构本 EULA 的重要组成部分。通过安装或使用产品,您同意始终接受并遵守 (1) 本 EULA及 (2) 隐私政策。如果您不接受其中任何一项,请勿安装或使用产品。 如果您已经在http://www.ubi.com(“账户”)中拥有育碧账户,本 EULA 将与使用条款共存,且不会取代使用条款。如本协议条款与使用条款产生冲突,则以使用条款为准。

育碧保留随时根据下文第 9 条所述的程序变更、修改、新增或删除本 EULA 条款的权利。

本 EULA 中所有未定义的词语应具有使用条款中赋予的意义。

1. 许可证的授予。

1.1 育碧(或其授权商向您授予安装及/或使用产品(整体或一部分)以及任何产品的非排他、不可转让、不可转授、非商业及个人使用许可证(“许可证”),有效期至您或育碧终止本 EULA 之日。未经育碧的批准,您不得自行或允许他人将产品或本许可证用于任何商业用途。为能够持续在某一硬件中使用产品,可能需要进行一系列更新、升级、补丁和修正。本产品系向您授权,而非出售。

在适用情况下,产品的某一部分可能使用第三方功能部件,某些功能部件受第三方供应商的控制,因此可能适用附加条款及/或费用。您必须遵守此类附加条款:例如,如果产品带有 VoIP 应用程序,则您在使用产品时必须遵守相关的无线数据服务协议。请仔细查阅此类附加条款与费用。

1.2 您不得直接或间接 (i) 出于商业目的销售、出租、租赁、授权、分销、出售、开发产品或其任何部分;(ii) 对本产品的整体或部分实施逆向工程、反编译、分解、改编、复制或创造衍生作品(除非产品使您能够通过某一具体功能来创造、产生或提交用户原创内容,且您需要为此创建一个账户并遵守使用条款);(iii) 为本产品创造、使用及/或传播“自动”、“修改器”、“脚本”或“宏”计算机程序或其它“作弊”或“黑客攻击”程序或软件应用程序(不论是互联网或局域网中的在线联机游戏或是单机游戏);(iv) 移除、更改、禁用或回避本产品中含有的任何版权和商标标志或其它原著和原创信息、声明或标签;及(v) 违反任何适用法律或规定出口或再出口本产品或任何改编拷贝。

1.3 在使用产品时,您同意遵守所有适用法律、规则与规定。您也同意遵守规范您使用产品的某些行为守则(“行为守则”),但其并非足够详尽,且育碧可随时对其进行修改。在任何情况下,您仅可根据产品的预期用途使用产品。

例如(但不限制育碧对您采取行动的权利),您不得:

a. 以任何形式创造、使用、共享及/或发布与产品有关而可能违反保密责任,侵犯任何知识产权或个人隐私权,或煽动非法活动(尤其是盗版、披露或传播仿冒软件)的任何资料(文本、文字、图像、声音、视频等);

b. 修改、曲解、阻挡、异常负担、扰乱、拖延及/或妨碍产品发挥其正常功能,或干扰产品对于其他用户的可访问性和产品合作伙伴网络的正常运行,或试图进行以上任何行为;

c. 传播或繁殖任何病毒、特洛伊木马、蠕虫、炸弹、受损文件及/或类似的毁灭性装备或与产品有关的损坏数据,及/或以任何形式组织、参与或被卷入对育碧服务器及/或产品及/或其服务供应商与合作伙伴的攻击;

d. 创造、提供或使用产品的替代使用方法,例如服务器模拟器;

e. 不论是出于个人或商业目的滥发聊天信息,通过重复发送类似信息而扰乱对话流程;

f. 传播或交流被视为具有攻击性的任何材料或内容(由育碧酌情判断),包括但不限于具有伤害、威胁、非法、辱骂、骚扰、诽谤、蔑视、淫秽、色情性质或具有人种、种族歧视或引起异议的言语;

g. 骚扰或威胁产品的任何其他用户;

h. 不当使用帮助服务或投诉按钮,或向育碧的工作人员发送虚假报告;

i. 冒充育碧的员工、代表、合作伙伴及/或代理商;

j. 冒充与产品或育碧有关的背书。

2. 所有权。

产品所含或涉及的所有权利、所有权和知识产权(包括但不限于以单独或组合形式展现的所有文本、图像、音乐或声音、所有消息或信息条目、虚拟人物角色、姓名、主题、对象、场景、服装、效果、对话、口号、地点、特征、图表、概念、舞艺、影像、视听效果、域名以及产品所包含的任何其它元素),以及上述内容的任何及所有拷贝均属育碧或其授权商所有。产品受国家和国际法律、著作权条约和惯例以及其它法律的保护。产品可能含有某些特许材料,在该等情况下,育碧的授权商可能会在本协议被违反时保护其权利。未经育碧(在适用时也包括育碧的授权商和代表)的事先允许,不得出于任何原因或以任何方式复制或展示此类特许材料。除非本 EULA 有明确规定,否则育碧将明确保留本协议未向您授予的所有权利。

本许可并无授予产品的任何所有权或拥有权,且不应被视为销售产品中的任何权利。

3. 访问产品

3.1 产品可能受数字版权管理软件(“DRM 软件”)的保护。据此,您同意、认可并赞成以下有关 DRM 软件的条款:(I) 您在计算机中安装产品时,将一并安装 DRM 软件;(II) DRM 软件可能限制产品的安装次数;(III) DRM 软件可能会在您的计算机上安装其它组件以进行复制保护;及(IV) 安装及/或首次启动产品时,可能需要连接互联网以通过 DRM 软件解锁产品。对于任何经 DRM 软件安装到您的计算机上的组件,育碧概不承担责任。更多信息请访问在产品安装期间出现的 DRM 软件网址。在使用及访问产品的在线服务和功能部件时,可能需要连接互联网、UPLAY 账户,安装 UPLAY 客户端软件 (WWW.UPLAY.COM),并注册随附的一次性序列号。根据当地法律规定,访问在线服务和功能部件时可能施行年龄制。

3.2 如果您是在兼容移动终端上使用产品,本第 3.2 条适用于您和您对产品的使用:

根据本 EULA,“兼容移动终端”是指任何能够连接互联网以访问产品的便携式设备。“兼容移动终端”包括特殊功能电话、智能电话、平板电脑和个人数字助理 (PDA)。

a. 产品访问。要在兼容移动终端上使用产品,您必须访问电子通讯网络。联网费用由您个人承担(包括但不限于移动服务供应商和/或运营商收取的费用)。您承认产品的质量、响应时间或访问特定功能的能力取决于您的兼容移动终端和电子通讯网络的质量。对于由此给用户带来的不便,育碧概不承担责任。您承认产品并非适用于所有移动设备,也并非能够借助所有运营商或网络服务供应商使用。

b. 个人数据的收集:为了向您提供更好的游戏体验,改进服务和产品支持,育碧可能收集并存储您使用产品时产生的相关数据、您的联网信息及/或您的兼容移动终端信息。某些数据将被记录、归档、分析和使用,以创建用户统计数据。育碧十分重视您的隐私,除非经过您的明确授权或在特殊情况下,否则育碧不会向任何第三方泄漏您的个人资料。当需要遵守法律义务或保护育碧的权利和其他用户与第三方的权利时,育碧可能有责任披露或共享您的个人资料。这包括与其他公司和组织交换信息以进行欺诈保护并降低信用风险。此外,育碧保留收集、存储和使用您的匿名数据的权利。有关育碧将如何使用您的个人资料的更多信息,请参阅隐私政策。

c. 分析工具和广告投放技术。育碧使用第三方分析工具收集您和其他用户的游戏习惯和产品使用信息。所收集的信息可能包括但不限于以下方面:移动设备的唯一识别号或其它设备识别码与设置、运营商、操作系统、本地化信息、花费在产品上的日期和时间、游戏得分、游戏记录标准和统计、功能用途、广告转换率、货币兑换率、购买历史记录和其它类似信息。育碧使用可以通过在产品中投放广告而收集信息的第三方广告投放技术,因此可能会在产品中临时性地显示广告内容。所收集信息和用于目标广告的信息可能包括但不限于以下内容:年龄与性别、广告的观看次数、移动设备唯一识别号或其它设备识别码及设置、您的产品使用信息、兼容移动终端和您访问过的其它互联网网站(包括第三方网页和移动网站)以及访问日期与时间、投放的广告、广告在游戏中的位置和长度,以及您对广告的回应(如有)。分析工具和广告投放技术可能使用服务器日志文件、网站信标、cookies、跟踪像素和其它技术来收集上述信息,也可能将收集到的信息与在其它育碧产品和服务中收集的信息、从其它第三方网站和移动产品与服务收集的信息,以及用户信息统计、广告、市场和其它分析调查结果相结合。这些信息单独而言并非个人资料;然而,如果育碧将这些信息与个人资料相结合,育碧将视这些信息为个人资料,并根据隐私政策进行处理。您可在https://legal.ubi.com/partners/ 中找到我们的产品所使用的分析工具和广告投放技术的所属合作伙伴不完全列表。育碧将竭尽所能向您提供这些合作伙伴各自的隐私政策链接,他们根据这些政策使用其工具与技术,在适用情况下,您可通过这些链接选择不使用其服务。

4. 同意监控。

当您使用产品时,产品可能会监控您的硬件并随机访问内存 (RAM) 以监控本文第 1 条所禁止的未授权第三方程序与产品产生互动。如果产品发现有此类未授权的第三方程序,不论是否向您另行通知,产品将会向育碧报告相关信息,包括您的账户

名、您的互联网协议 (IP) 地址,未授权的第三方程序的详细信息,以及未授权的第三方程序被发现的时间和日期,以及硬件规格和性能参数。如果产品发现您使用了未授权的第三方程序,不论是否向您另行通知,此许可协议与您的产品访问权限均可能被终止。

然而,请注意,对于您在产品中显示或发送的意见、建议及/或推荐内容(包括在游戏聊天中),育碧不会承担责任或表示认可。此类信息由发言用户承担全部责任。

5. 物理媒介形式产品的有限质保。

如果您购买了物理媒介形式的产品(CD、卡带或 DVD-ROM),此第 5 条将适用于您:

育碧保证自您购买含有产品的物理媒介之日起九十 (90) 天内,此媒介不会出现任何材料和工艺缺陷。如果在该期限内,含有产品的媒介被证实存在缺陷,育碧将可酌情选择免费 (a) 修正任何缺陷,(b) 更换产品,(c) 替换为等于或高于产品价值的类似产品(如产品不再由 育碧制造或无法由育碧库存供应),或 (d) 向您退款,但您需要向育碧出示购买缺陷媒介的书面证明。这是本条所述的明确质保向您提供的唯一补救方法。在退还产品以申请保修更换时,请提供带有外包装的产品原装磁碟、卡带或 DVD(如适用),并包括:(1) 带有日期的销售凭据复印件;(2) 以打印体清晰显示的您的姓名和退回地址;(3) 缺陷、您遇到的问题以及您运行程序的硬件和系统的简要说明。

6. 质保免责声明,责任限制。

您明确承认使用本产品的风险由您自行承担。在适用法律的最大许可范围内,产品以“按原样”及“按所提供”的基础供应。育碧、育碧授权商、渠道合作伙伴和相关服务供应商并无就下列各项作出任何形式的明示、暗示或法定的任何保证、条件、担保或其它条款,并明确表示不对此承担责任:(A) 其合格性、准确性、时效性、可靠性或安全性; (B) 其对特定用途的适用性;(C) 所有权、无侵权的默示担保;(D) 其市场价值;或 (E) 您的满意度。育碧不保证产品的连续可用性和无误性,不保证修复缺陷,也不保证产品不带有任何病毒或其它有害成分。对于选择产品以实现您的预期用途,以及安装、使用产品和由此所产生的结果,所有责任由您全权承担。

在适用法律所允许的最大范围内,对于因使用产品或任何相关第三方服务所造成的任何损失或损害,育碧、育碧授权商、渠道合作伙伴和相关服务供应商概不承担责任。这包括但不限于 (A) 任何形式的损失,不论是否为侵权行为(包括违反或忽视法定责任)、合约、虚假陈述(不论是否为无辜或无意)或其它;(B) 直接损失;(C) 意外损失;(D) 附带损失;(E) 后果性损失;及 (F) 间接损失。

尽管有前述责任限制,如果您与育碧或其授权商、渠道合作伙伴和相关服务供应商产生纠纷,您的唯一补救方式是停止使用产品以及(如适用)寻求损失赔偿。如果将产品用于可能不符合适用法定质保的兼容移动终端,育碧的责任仅限于退还购买产品的费用(直接或间接通过其渠道合作伙伴或相关服务供应商进行退款)。在任何情况下,育碧、其联属公司、授权商、渠道合作伙伴和相关服务供应商的赔偿责任仅限于在您的讼因产生前十二 (12) 个月内您向育碧支付的产品费用。

本第 6 条不应影响育碧对因为育碧的疏忽、欺诈或虚假陈述而造成的死亡或人身伤害所应承担的法律责任,也不应影响根据适用法律不可排除或限制的任何其它责任。

就本第 6 条而言,育碧授权商、渠道合作伙伴和相关服务供应商是本条所述责任限制的第三方受益人,并有权对您执行本 EULA。

7. 赔偿。

如果您违反本 EULA,您应负责承担由此对育碧、其授权商、渠道合作伙伴和相关服务供应商及分包商、产品其他用户或任何其他个人或法律实体造成的任何损害。

您据此同意保卫、赔偿并保护育碧、其授权商、渠道合作伙伴和相关服务供应商及分包商免于遭受任何索赔或宣称的索赔、责任、损失赔偿及所有费用(包括律师费),不论其是否直接或间接由您的过错引起,及/或因 (A) 违反本 EULA 的任何条款,或 (B) 您使用或滥用产品而导致。育碧保留对任何您同意赔偿育碧的索赔独力进行辩护的权利,费用由其自身承担。本第 7 条应在本 EULA 终止后继续有效。

8. 终止。

本 EULA 自您购买、下载或使用产品(以较早者为准)之日起生效,直至根据其条款终止。您和育碧(或其授权商)可出于任何理由随时终止本 EULA。如果由育碧终止本 EULA,终止将在 (a) 向您发出通知,或 (b) 终止您的育碧账户(如有),或

(c) 育碧决定停止提供及/或支持产品之时起生效。如果您未能遵守本 EULA 的任何条款与条件,本 EULA 将自动终止。在本 EULA 因为任何理由而终止之后,您必须立即卸载产品并销毁您手中的所有产品拷贝。

9. 本EULA 或产品变更。

育碧保留出于安全、法律、最佳实践或监管等原因而酌情修订、更新、更改、修改、新增、补充或删除本 EULA 任意条款的权利。此类变更未必会向您提前进行通知。您可点击产品中的 “EULA” 链接或登录 ubi.com 查阅本 EULA 的最新版本。您应定期查看本 EULA 以了解相关的变更。如果您不接受本 EULA 日后的任何变更,或该等变更导致您不再同意或遵守本 EULA,您可根据第 8 条终止本 EULA,且必须立刻卸载产品并销毁所有产品拷贝。如果您在本 EULA 进行修订后继续使用产品,则表示您完全且不可撤销地接受任何及所有相关变更。

育碧可出于任何原因(尤其是出于技术原因以改善及/或优化产品,例如更新、维护运行及/或重启)或在没有特定原因的情况下随时酌情对产品作出修改。您同意产品可自动安装或下载修改程序。您同意育碧可在发布更新版本后停止支持产品的早前版本。育碧的渠道合作伙伴和相关服务供应商没有义务提供有关产品的任何维护或客户支持。育碧也保留修改第 1 条中的行为守则的权利,以对产品的使用设定限制。

10. 其它条款。

10.1 出口控制。产品受所有适用的出口限制规限。您必须遵守所有进出口法律与限制,以及美国和境外机构或当局颁布的有关产品及产品使用的法规。产品不得被再出口、下载或以其它方式出口至美国发出贸易禁令的任何国家,或美国财政部特别指定的国家或列于美国商务部拒绝订购表中的国家,也不得被该等国家的国民或居民安装。您声明并保证,您并非居住在或受控于任何上述国家,也并非上述国家的国民或居民。

10.2 分割性。如果任何具有司法管辖权的法院或主管当局判定本 EULA 中的任何条款为无效、非法或不可执行,该条款或该条款的相关部分应被视为已删除,本 EULA 其它条款的有效性和可执行性将不受影响。如果本 EULA 的任何无效、不可执行或非法条款在删除了某一部分后成为有效、可执行和合法的条款,则该等条款应在反映育碧的原有意图的前提下进行最小程度的修改,以使其合法、有效及可执行。

10.3 无放弃权利。如育碧(或其授权商)未能或延迟行使本 EULA 或法律所赋予的权利或补救,并不构成对该等权利或补救或任何其它权利或补救的放弃,也不会排除或限制该等权利或补救或任何其它权利或补救的进一步行使。行使其中一项或部分权利或补救,并不排除或限制进一步行使该等权利或补救或任何其它权利或补救。仅当育碧或用户签署书面声明确认放弃行使后,权利或补救的放弃行使方可生效。

6. 支持服务。因为该“软件”是“按原样”提供的,所以我们可能不为其提供支持服务。

7. 完整协议。本协议以及您使用的补充、更新、基于 Internet 的服务和支持服务的有关条款,共同构成了该软件和支持服务的完整协议。

8. 适用法律。

a. 美国。如果您是在美国购买该软件,对本协议的解释以及由于违反本协议引起的索赔均以华盛顿州法律为准并受其管辖,但不适用法冲突规则。您所居住的州的法律管辖所有其他索赔项目,包括根据州消费者保护法、不正当竞争法、以及侵权法提出的相关索赔。

b. 美国以外。如果您在任何其他国家/地区购买该软件,则您所在国家/地区的法律适用。

9. 法律效力。本协议规定了某些合法权利。根据您所在州或国家/地区的法律规定,您可能享有其他权利。您还可能享有与您的软件卖方相关的权利。如果您所在国家/地区的法律不允许本协议改变您所在国家/地区法律赋予您的权利,则本协议将不改变您按照所在国家/地区的法律应享有的权利。

10. 保证免责条款。该软件按“原样”授予许可。使用该软件的风险需要您自己承担。MICROSOFT 不提供任何其他明示的担保、保证或条件。根据所在地区的法律,您可能拥有其他本协议无法更改的消费者权利。在您当地法律允许的范围内,MICROSOFT 排除有关适销性、针对特定目的的适用性和不侵权的默示担保。

11. 损害和赔偿责任的限制和排除。您只能因直接损害从MICROSOFT 及其供应商处获得退款,且退款金额上限为 5.00 美元。您不能因任何其他损害获得退款,包括后果性的、利润损失、特殊、间接或附带的损害。

该限制适用于

Microsoft Corporation (or based on where you live, one of its affiliates) licenses this supplement to you. If you are licensed to use Microsoft Windows operating system software (for which this supplement is applicable) (the “software”), you may use this supplement. You may not use it if you do not have a license for the software. You may use a copy of this supplement with each validly licensed copy of the software.

The following license terms describe additional use terms for this supplement. These terms and the license terms for the software apply to your use of the supplement. If there is a conflict, these supplemental license terms apply.

By using this supplement, you accept these terms. If you do not accept them, do not use this supplement.

If you comply with these license terms, you have the rights below.

1. SUPPORT SERVICES FOR SUPPLEMENT. Microsoft provides support services for this software as described at www.support.microsoft.com/common/international.aspx.
