Unreal Engine 3 UDK ライセンス条項「同意する」ボタンをクリックすると、次に述べる条項に同意したことになります。本契約の内容をよくお読みください。使用者が本契約の条件に拘束されることに同意されない場合、ここから先に進むことを禁じます。「同意する」ボタンをクリックすることにより、(A） 本契約全文を読んだこと、(B) 本契約の次に挙げる条項を含め、本契約の全条件に委細にわたって拘束されることに同意したことを表明することになります。第1条 (サードパーティ・ソフトウェア)、第3条 (ライセンス制限事項)、第4条 (所有権と守秘義務)、第8条 (契約解除)、第9条 (その他の知的所有権事項)、第12条 (準拠法と裁判管轄権)、第13条 (保証の放棄)、および第14条 (付随的、間接的、およびその他の特定の損害の除外)。本エンドユーザーライセンス契約（「契約」）は、お客様個人またはお客様が代表する団体のどちらか（「お客様」）と、米国メリーランド州の企業であるEpic Games, Inc. （住所: 620 Crossroads Boulevard, Cary, North Carolina, 27518, U.S.A）（「Epic」）の間で結ばれる法的な契約です。本ライセンスの目的は、Epicによって提供されるUnreal Engine 3 UDK（「UDK」）とそのアップデートを、以下に定める条件に基づいてお客様が使用できるようにすることです。お客様が本契約に同意しない場合、UDKを使用していただくことはできせん。1. サードパーティ・ソフトウェア UDKにはサードパーティ・ソフトウェアが含まれています。かかるソフトウェアに関する特定の追加条件は、本契約の最後に記載されています。これらのサードパーティ条件は、本契約にて言及することにより本契約の一部となると共に本契約に組み込まれます。サードパーティ・ソフトウェアに適用される条件と、本契約が食い違う場合は、サードパーティ・ソフトウェアに適用される条項に従い解釈されるものとします。本契約に同意することで、お客様は、本契約に記載された追加の条件を承諾することとなります。サードパーティ・ソフトウェアは、UDKと共に使用する目的でのみライセンスを供与されています。その他のいかなる使用も禁じられています。2. ライセンスの許諾 お客様が以下第3条の「ライセンス制限事項」を含めた本契約の条件に残らず従うことを条件に、Epic Games は、適用法に従い、UDKの知的所有権の法的保護の全期間に渡り（第7条を条件に）、(a) 無制限の数のアプリケーションを開発する目的でUDKをインストールおよび使用する、(b) UDKの派生作品を開発する、(c) 無制限の数のアプリケーションを開発する目的でお客様が開発したUDKの派生作品を使用する、(d) UDKおよびUDKの派生作品を使用してお客様が開発するアプリケーションを、本契約に含まれるEpicの権利と矛盾せず同等のEpicの権利の保護条件を持つエンドユーザーライセンス契約に従うユーザーのみを対象に、オブジェクトコード形式に限り、アプリケーションと分離不可能な一部としてのみ、エンドユーザーだけを対象に配布するための、限定的、個人的、非独占的、世界的、サブライセンス不可、および譲渡不可のライセンスをお客様に供与します。本ライセンスはお客様に無料で提供されます。3. ライセンス制限事項 Epicおよびそのサプライヤは、本契約内でお客様に明示的に付与されていないすべての権利を留保します。この制限に関わらず、適用法がお客様により多くの権利を付与していない限り、本UDKは本契約にて明示的に許可された方法でのみ使用できます。このため、お客様はUDKを第2条に記載されたとおりに使用できます。ただし、以下は許可されていません。· 個人的またはその他のいかなる形であれ、お客様またはその他誰かの直接もしくは間接の報酬または商業上の利益につながる方法で、次に挙げる項目を使用または不当に利用すること。(a) UDK (またはその一部)、(b) UDKの派生作品 (またはその一部)、または (c) UDKコードと内容の両方またはその一方を含むアプリケーション、または (d) UDKコードと内容の両方またはその一方の派生作品を含むアプリケーション。上記に関わらず、お客様のUDKアプリケーションをコンテスト(例えばMake Something Unrealまたはインディペンデント・ゲームズ・フェスティバル)に出し、賞金を($100,000を超えない金額で)受け取ることは許可されます。UDKを使用して、UDKまたはEpicが開発したその他のミドルウェアもしくはゲーム開発ソフトウェアと競合するか、または競合する可能性のあるアプリケーションを開発することUDKをリバースエンジニアリングまたは逆コンパイルすること。ただし、このような制限があるにもかかわらず、適用法においてかかる行為が明示的に許可されている場合、そのような範囲に限って除外しますEpic Games, Inc.によるものではないライセンスに従い一部または全部のUDKコードまたは内容をリリースすることEpic Games, Inc. が提供していないライセンス下にある UDK コードまたはコンテンツのリリース。ただし、Apple 社の標準エンドユーザー使用許諾契約条件に従いリリースされたUDK:iOS アプリケーションは唯一の例外とします。 KismetGame_Assets.upk に属するアセットを用いた UDK アプリケーション (非商用または商用) のリリース。 本契約を第三者に譲渡することチート、ハックまたは類似したアプリケーションを作成するためにUDKを使用すること UDKから製品識別票もしくは商標・著作権・所有権表示、説明文、記号、ラベル、または本契約を除去または変更すること。ただし、お客様にはスプラッシュ画面を変更する権利があります。この権利には、UDKロゴおよび製品識別票をスプラッシュ画面から削除する権利が含まれますが、スプラッシュスクリーンの後に表示されるPowered by Unreal TechnologyおよびBink Videoロゴビデオを削除または変更する権利はありませんEpicの商標、ロゴ、商号、またはサービス・マークを（上記の箇条に記載された、UDKの商標表示をそのままにしておくこと以外に）どんな方法であれ使用することEpicまたは第三者の知的所有権もしくは所有権、権利、プライバシーまたはパブリシティー権を侵害またはそれらに違反すること画像、音声、ビデオ、または文章のいずれの媒体を通してでも、お客様が居住するか、またはUDKをインストールまたは使用する国の法律上、違法（例えば児童ポルノなど）、好ましくない、または不快なアプリケーションを開発するために、UDKを使用すること。 アプリケーションの対象となるプラットフォーム(例：Apple, Microsoft, Google, Sony など)のガイドラインおよびライセンシー契約に違反すること本契約を変更するか、または本契約（またはその修正版）を自分のものとして採用または使用すること。UDKの任意の形式またはバージョンを、本契約のお客様独自のバージョンで代用すること。4. UDK アドオン UDKアドオンの正式なクリアリングハウスはありません。アドオン・ソフトウェア・アプリケーションは、Epicによって承認されていませんので、お客様ご自身の責任にてご使用ください。Epicはアドオンのインストール方法について説明を提供しません。次の条件に従った場合のみ、お客様のアドオンをUDKと統合し、お客様のアドオンソフトウェア作品が「UDK™」または「Unreal® Development Kit」に対応していることを記載できるものとします。アドオンソフトウェア・アプリケーションがお客様自身の作品であること。UDKライセンス条項に違反していないこと。アドオンがどのような方法、形、または形式のUDKロゴも使用していないこと。必須の「承認またはサポートなし」声明を、ユーザーに見える所に記載すると共に、アドオンの宣伝用ウェブサイトに掲示しなければなりません。声明として、「本製品は、Epic Games, Inc.によって開発されたものではありません。Epic Games, Inc.からのサポートは提供されず、同社による承認も受けていません。Epic GamesのUnreal Development Kit（UDK）について詳しくは、www.udk.comをご覧ください。」と記載すること。お客様は、アドオンの前に「Unreal Development Kit」または「UDK」を使用することなく、アドオンの作成者として希望する通りにクレジットを表示することができます。また、Epic Games, Inc.がお客様、お客様のアドオン、またはお客様によるUDK使用を承認しているかのように示唆することを禁じます。アドオンをUDKと組み合わせて、1つの製品として出荷することはできません。お客様のアドオンを、UDKと分離した状態でのみ提供できるものとします。5. 所有権 当事者の中で、Epicまたはそのサプライヤ（第1条に記載されたとおり）は、UDKの全派生作品を含め、UDKの所有権、著作権、その他の知的所有権を保有しています。お客様はUDKおよびその派生作品を使用してご自身が開発したアプリケーションの所有権、著作権、およびその他の知的所有権を保有していますが、UDKおよびUDKの派生作品の所有権、UDKのあらゆる部分、およびUDKの派生作品はEpicが保有しています。Epicがかかる権利を保護、維持、擁護、強制、および保全するために、差し止め、公平法上の救済、またはその他の類似の救済、さらにその他利用可能な救済を求めることができ、さらにそのような救済を得る権利をEpicが保有していることに、お客様は同意するものとします。お客様の裁判管轄に適用される法律が、UDKの派生作品の所有者がお客様であることを規定している場合、Epicの書面による明確な許可を事前に得ることなしに、本契約書に別途記載されている許可された使用方法を除き、そのような派生作品を作成または使用することを禁じます。6. UDK ネットワーク Epicが利用可能にする範囲において、お客様はEpicのUDKネットワークに参加することを選択できます。お客様は、次に挙げる項目を複製、配布、上演、展示、作成、販売、インポート、変更、派生作品を作成、またはその他の方法で使用および利用するための、あらゆる既知の種類の使用方法について、非独占的、全額支払済み、使用料免除、世界的、恒久的、取消不能、サブライセンス可能、解除不可能、移転可能、譲渡可能なライセンスをEpicに供与します。(a) お客様がEpicのUDKネットワークに投稿するか、他の方法でEpicに提供する情報、コード、およびその他の有形または無形の資材、および (b) お客様がUDKネットワークを介してEpicに提供するか、またはその他の方法でEpicに提供するUDKの変更または追加。これには、UDKの障害、不具合、または意図しない方法での動作の原因となるエラーその他の望ましくない予定外の状況を修正する目的のものを含みますが、これに限られません。上記に関わらず、該当する場合には、お客様の裁判管轄の法律の下での、作成者としての制定法上の権利は引き続き影響を受けません。恒久的ライセンスや解除不可能ライセンスがお客様の裁判管轄において許可されない範囲については、お客様がEpicに付与する上記第5条に記載されたライセンスは、適用法に従ってEpicに付与される知的所有権の法的保護の期間にわたって有効となります。7. 輸出 UDKは米国内輸出法規および国際輸出法規に従います。お客様は、UDKに適用されるあらゆる輸出法規に従わなければなりません。この法律には、目的地、エンドユーザー、最終用途に対する規制が含まれます。 8. 契約解除 他のどの権利も損なうことなく、(a) いずれかの当事者が本契約のどの条件に違反した場合にも、相手方からの通知なしに本契約は直ちに解除されます。また、（b） Epicは、お客様に通知することで、いつでも本契約を解除することができます。本契約が解除されると、お客様は、UDKとその構成部分すべての全コピーと、それに関連したあらゆる文書の使用を取りやめると共に破棄しなければなりません。お客様が本契約に違反した場合に、Epicがお客様に対して法的措置を取ることを決定した場合、お客様がEpicの合理的な弁護士費用を負担するものとします。9. その他の知的所有権事項 (a) 本契約においてEpicが提供する約束と引き換えに、UDKのどのバージョンに関しても、またはその使用に関して、お客様が所有または管理している可能性のある特許、特許権、またはその他の知的財産権の侵害に対し、お客様は、Epicに対して賠償請求、法的措置、訴訟手続を行わないことに同意します。 (b) お客様は、形式に関わらず、お客様によるUDKあるいはその一部の使用に基づいた、営業秘密もしくはその他知的財産権の特許もしくは著作権の侵害、悪用、または不正使用の損害賠償請求、または、本契約に従って付与された権利をお客様が実行したことを原因とするかそれに関連したその他のあらゆる賠償責任について、あらゆる費用（合理的な弁護士費用を含む）およびその他すべての賠償責任を補償し、Epicを免責することに同意します。10. 完全合意、存続 本契約およびお客様が使用する追加プログラムおよびアップデートの条項は、お客様とEpicの間におけるUDKに関する完全合意であり、UDKまたは本契約の適用を受けるその他のすべての事項に関して以前または同時に行われた、口頭または書面による通信、提案、表明のすべてに優先します。本契約書の第3、4、6、9～19章（9章と19章を含む）は、本契約が解除されるか、または失効した後も存続します。 11. 契約の分離取扱 本契約の一部の条項が裁判管轄権を有する裁判所によって無効、失効、強制不可能または違法であるとみなされた場合も、残りの条項は引き続き完全な法的効力を有するものとします。 12. 準拠法と裁判管轄権 法の抵触に関する原則に関わらず、ノースカロライナ州の法律が、本契約の解釈を決定し、その違反に対する請求に適用されます。消費者保護法、不公正競争法、および不法行為に関する申し立てを含む、その他のあらゆる申し立てには、米国内でお客様が居住する州の法律が適用されます。また、お客様が米国外に居住している場合は、居住地域の裁判管轄の法律が適用されます。お客様と弊社は、本契約を起因とするか、本契約に関するすべての係争について、米国ノースカロライナ州ウェイク郡の州立裁判所または連邦裁判所を専属管轄および裁判地とすることに最終的に同意します。更にお客様は、Epicがどの裁判管轄においても差し止めによる救済（または同等の法的救済）を申請できることに同意します。誤解を避けるために、本契約は、国際物品売買契約に関する国連条約の適用を受けずに解釈および強制されるものとし、同条約は本契約に適用されません。 13. 保証の放棄 UDKは「現状有姿」でライセンス供与されます。お客様は、UDKを使用するリスクを負います。Epicおよびそのサプライヤは、明示的または法定な表明、保証、または状態保証を提供しません。また、Epicおよびそのサプライヤは、商品性、所有権、耐久性、特定の目的への適合性、権利侵害がないことの保証を含む、あらゆる黙示的保証を除外します。本契約のどの部分も、お客様が消費者として常に権利を与えられている、そして、お客様が契約による変更や放棄に同意することが不可能な制定法上の権利に影響を与えません。(a) Epicの重過失または故意の不法行為が原因でお客様が損害をこうむった場合、または、（b）Epicがお客様の生命、身体、安寧を侵害した場合は、その範囲内で、損害賠償の制限および除外は適用されません。 14. 付随的、間接的、およびその他の特定の損害の除外 お客様は、直接の損害をEpicから最高25ドルまでのみ回収することができます。お客様はEpicまたはそのサプライヤから、その他の逸失利益もしくはデータの損害、派生損害、特別損害、直接損害、間接損害、または付随損害を回復することはできません。この制限事項には、以下が含まれますが、これらに限定されません。(a) UDKまたはサービス(該当する場合)に関連するものおよび (b) 契約違反、保証違反、状態違反、厳格責任、過失、または他の不法行為の申し立て。これは、たとえEpicが損害の可能性を知っているか、または知っているべきであったとしても、適用されます。 上述の損害賠償責任の制限は、上記の保証と否認および本契約のその他すべての局面に適用されることを目的としています。(a) Epicの重過失または故意の不法行為が原因でお客様が損害をこうむった場合、または、（b）Epicがお客様の生命、身体、安寧を侵害した場合は、その範囲内で、損害賠償の制限および除外は適用されません。 15. 米国政府機関エンドユーザー UDKと関連文書は、48 C.F.R. §12.212または48 C.F.R. §12.212でそれぞれ定義された「商業用コンピュータソフトウェア（Commercial Computer Software）」および「商業用コンピュータソフトウェア文書（Commercial Computer Software Documentation）」で構成される、48 C.F.R. §2.101で定義された「商品（Commercial Items）」です。48 C.F.R. §12.212または48 C.F.R. §227.7202-1から227.7202-4の定めに従い、商業用コンピュータソフトウェアおよび商業用コンピュータソフトウェア文書は、米国政府機関のエンドユーザーに（a）商品としてのみ、および（b）本契約に従って他のすべてのエンドユーザーに付与される権利に関してのみ使用許諾されています。非公開の権利は、アメリカ合衆国の著作権法に基づき留保されています。16. 権利不放棄 本契約、コモンロー上、または衡平法に従ったEpicの権利の行使、非行使、または行使の遅れは、契約上、コモンロー上、または衡平法上において認められる前述の権利またはその他の権利あるいは救済の放棄とみなされません。17. サポートなし Epicもそのサプライヤも、UDKまたはUDKのいかなる部分についてもサポート・サービスを提供する義務を一切負いません。18. 譲渡禁止 お客様は、Epicの書面による同意を事前に得ることなく、本契約書に定められた権利または義務のすべてまたは一部を譲渡、移転するか、使用料請求、下請契約、またはその他の方法で取引することはできません。Epicは、いつでも、本契約書に定められた権利または義務のすべてまたは一部を譲渡、移転するか、使用料請求、下請契約、その他の方法で取引することができます。19. 法的効果本契約は特定の法的権利を記述します。お客様は、お客様の裁判管轄の法律に基づき他の権利をお持ちである可能性があります。本契約は、お客様の裁判管轄の法律が権利の変更を許していない場合、その法律の下でお客様がお持ちの権利を変更するものではありません。一部の裁判管轄では、お客様特有の状況における本契約の保証および救済の制限および除外を禁じているため、制限および除外がお客様に当てはまらない場合があります。本契約の特定の条項がお客様の裁判管轄で強制不可能な場合は、そのような条項は適用法の下で可能な範囲で強制されるものとします。UDK Third Party Software Notices and/or Additional Terms and ConditionsThis page and/or pages linked from this page contain Third Party Software Notices and/or Additional Terms and Conditions for the UDK. Controlling Law and Severability. This Agreement will be governed by and construed under the laws of the State of California without reference to its conflicts of law principles. The rights and obligations under this Agreement shall not be governed by the United Nations Convention on Contracts or the International Sale of Goods, the application of which is expressly excluded. Each party hereto submits to the jurisdiction of the state and federal courts of Santa Clara County and the Northern District of California for the purpose of all legal proceedings arising out of or relating to this Agreement or the subject matter hereof. Each party waives any objection which it may have to contest such forum. 10. Complete Agreement.
