END USER LICENSE AGREEMENT
IMPORTANT: PLEASE READ CAREFULLY
This End User License Agreement ("Agreement") is a legal document between you and ARÇELİK A.Ş., located at Sütlüce Mah. Karaağaç Cad. 2-6 Beyoğlu İstanbul, and its affiliated companies (collectively, "BEKO"). By installing, copying, and/or using DOMINO, The Little One (the "Software"), you agree to be bound by the terms of this Agreement.
You may be subject to additional terms and conditions that apply when you use or purchase other Domino : The Little One’s services, which Domino : The Little One will provide to you at the time of such use or purchase.
1. LICENSE GRANT
Subject to your compliance with the terms and conditions of this Agreement, BEKO grants you a non-exclusive, non-transferable, limited right and license to install and use
- one copy of the Software on
- one computer hard drive at any given time solely for your personal use
(the "License"). All rights not specifically granted under this License are hereby reserved by BEKO and, as applicable, by its licensors. the Software is licensed to you, not sold or transferred, and this License does not convey any title or ownership in the Software.
2. OWNERSHIP
You acknowledge and agree that all title, ownership rights, and intellectual property rights associated with the Software and any copies thereof, including but not limited to derivative works, titles, computer code, themes, objects, characters, character names, stories, dialogs, catchphrases, locations, concepts, artwork, graphics, animation, sounds, musical compositions, audio-visual effects, text, screen displays, methods of operation, moral rights, and any related documentation are owned by BEKO or its licensors. The Software is protected by the copyright laws of Turkey, Berne Convention and other international copyright treaties and conventions, trademark laws, and other applicable laws. All rights are reserved globally.
With the exception of special provisions found in the relevant legislation such as the provisions of the Industrial Property Law No. 6769, the provisions of the Law on Intellectual and Artistic Works No. 5846, and the provisions of the Turkish Commercial Code No. 6102, which are explicitly stated in the legislation, regardless of whether it is for personal or commercial purposes, you agree not to use, allow the use of, or support such actions or initiatives, with the aim of generating income or not. You also undertake not to engage in these uses or acquire other products and/or services offered within the scope of these uses, and in the event of such acquisition, not to use them in connection with BEKO or the products and/or services offered within BEKO. In case of non-compliance, BEKO has the right and authority to take all kinds of legal, technical, or administrative measures or restrictions regarding BEKO user accounts or transactions.
Additionally, some parts of the Software are licensed by BEKO from others, and BEKO and its licensors will protect their rights in case of any Agreement violation.
3. LICENSE CONDITIONS AND RESTRICTIONS
In consideration of the License granted to you, you agree to adhere to the following conditions and restrictions:
(a) You shall not use the Software on more than one computer, game console, handheld device, or PDA at the same time without obtaining an additional license from BEKO.
(b) Without written permission from BEKO, you shall not use, advertise, or exploit the Software or any of its components, certain materials for commercial purposes.or make available to use to public for commercial purposes.
(c) The use of the Software in a network, multi-user arrangement, or remote access arrangement, including any online use, is strictly prohibited, except as explicitly permitted by BEKO in writing.
(d) Selling, renting, leasing, licensing, distributing, uploading to any Internet server or website, or transferring any portion of this Software or any copies without the explicit prior written consent of BEKO is prohibited. The recipient must agree to the terms of this Agreement, and you are solely responsible for any taxes, fees, duties, withholdings, charges, and assessments associated with such transfer.
(e) Reverse engineering, source code derivation, modification, decompilation, disassembly, or creation of derivative works of the Software, in whole or in part, is strictly prohibited, unless expressly permitted by applicable law, in which case all lawful modifications, adaptations, improvements, and related rights shall be deemed assigned to, and shall vest in, BEKO and/or its licensors upon creation.
(f) Removal, modification, defacement, or circumvention of any proprietary notices or labels contained on or within the Software is prohibited.
(h) You shall not remove, disable, or bypass any safeguards or technical measures controlling access to the Software.
4. SOFTWARE UPDATES AND PATCHES
BEKO reserves the right to supply necessary updates, patches, and alterations to the Software to ensure its proper functionality. BEKO may remotely update, patch, or modify the Software, and this Agreement grants BEKO the authority to implement such updates, patches, and modifications on the Software located on your system. It's important to note that within this Agreement, any mentions of the "Software" encompass these updates, patches, and modifications.
5. NO WARRANTY
Your use of the Software and the media on which it is recorded is at your sole risk.
Except as expressly set forth in this Agreement, the Software is provided "AS IS," without any warranty, either express or implied, including but not limited to implied warranties of condition, uninterrupted use, merchantability, fitness for a particular purpose, or non-infringement. No oral or written advice or information given by BEKO or its authorized representatives shall create a warranty or expand the scope of this Limited Warranty. In some states and jurisdictions, the exclusion of, or limitations on, implied warranties may not be allowed. In such cases, BEKO's and its licensors' liability shall be limited to the maximum extent permitted by law, and you may have other rights that vary by state or jurisdiction.
6. LIMITATIONS ON LIABILITY
BEKO and its licensors shall not be liable for special, incidental, or consequential damages arising from possession, use, or malfunction of the Software. Such damages include, without limitation, lost profits, damage to property, lost or corrupted data or files, loss of goodwill, console, computer, or handheld device failure, errors, lost business, or other information. Even if BEKO has been advised of the possibility of such loss or damages, BEKO and its licensors shall not be liable for personal injuries. Additionally, BEKO and its licensors shall not be liable for special, consequential, or incidental damages arising from the breach of any express or implied warranties or any other terms of this Agreement. In all cases, BEKO's total liability shall not exceed the actual price paid for the Software. These limitations apply even if any remedy fails of its essential purpose.
You acknowledge that materials and content on the internet can be created and maintained by third parties and you (such as avatars, message boards/forums) and that such materials' sections may contain sexual, explicit, offensive, or illegal content. You understand that the BEKO cannot be held directly or indirectly responsible for any material that arises from yours or third-party access to the service. All risks and responsibilities arising from your general use of the internet and the service are solely yours. The Company disclaims all liability for content containing yours and third-party materials, regardless of how it is provided.
Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
7. TERM AND TERMINATION
The License shall remain in effect for as long as you use, operate, or run the Software. The License shall terminate automatically if you fail to comply with its terms and conditions. In such event, you must uninstall and destroy all copies of the Software. You may also terminate the License at any time by destroying the Software and uninstalling it from your computers or other applicable hardware. The sections titled "Ownership," "License Conditions and Restrictions," "Limitations on Damages," "Term and Termination," "Injunction," "Indemnity," "Choice of Law and Jurisdiction," and "Miscellaneous" shall survive any termination of this License.
8. ENFORCEMENT
You consent that BEKO holds the right, without the necessity of posting a bond, providing security, or demonstrating the extent of damages, to undertake any actions necessary, which may encompass seeking injunctive relief and other equitable remedies. This authority is in addition to any other legal remedies accessible under relevant laws.
9. INDEMNITY
You agree to indemnify, defend, and hold harmless BEKO, its partners, affiliates, contractors, licensors, officers, directors, employees, and agents from all claims, damages, costs, and expenses (including legal fees) arising directly or indirectly from your acts or omissions in connection with using the Software or any breach by you of the terms of this Agreement.
10. GEOGRAFIC RESTRICTIONS
The Company is based in Turkey and provided for access and use primarily by persons located in Turkey, and is maintains compliance with Turkey laws and regulations. If you use the app from outside Turkey, you are solely and exclusively responsible for compliance with local laws.
11. CHOICE OF LAW AND JURISDICTION
In the resolution of disputes arising from the implementation of this Agreement, the commercial books and electronic records of BEKO are accepted as exclusive evidence in accordance with Article 193 of the Turkish Code of Civil Procedure.
This Agreement is governed by Turkish law. For the resolution of any disputes related to this Agreement, the courts and execution offices of Istanbul (Çağlayan) shall have exclusive jurisdiction.
12. CHANGES
BEKO reserves the right to amend this Agreement at its sole discretion, with notice provided on the BEKO website or through the application. If any future changes to this Agreement are unacceptable to you or cause you to no longer be in compliance, you may terminate the Agreement in accordance with the Termination provisions. Your installation and use of any updates or modifications to the Software, or your continued use of the Software following notice of changes to this Agreement, will constitute your acceptance of such changes.
13. MISCELLANEOUS
This Agreement constitutes the entire agreement between you and BEKO regarding the License and your rights to use the Software, superseding all prior agreements, representations, warranties, or understandings, whether negligently or innocently made, excluding those made fraudulently, concerning the same subject matter. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and unaffected.
