I. Licence agreement concerning the use of WAVEOR software
This document sets out the terms of the agreement between WAVEOR GmbH, Franz-Mayer-Straße 1, 93053 Regensburg (“Licensor”) and you (“Licensee”) as user of the software which forms the subject matter of this EULA. By accepting this EULA and installing the WAVEOR software, you agree to be bound by the terms of this EULA.
1. Subject matter
This EULA applies in respect of the WAVEOR software “Virtual Surfing”, including all documentation made available in written or electronic form, and including all media products included or incorporated in the software, including, without limitation, images, graphics, sound files, 3D data sets, or shader programs, (the afore-mentioned products hereinafter collectively referred to as "WAVEOR Software"). The WAVEOR Software will be made available to Licensee via STEAM or for download in the form of a setup file which Licensee must then install.
Important information regarding open source software
The WAVEOR Software contains some open source software components (herein-after “OSS”). The complete text of the respective licence agreements is provided in Part II of this EULA below.
Licensee is entitled to use the OSS according to the terms of the respective licences. The terms of the licence agreements of the respective OSS take precedence over the terms in Part I of this EULA in respect of the use of the OSS.
2. Rights to use of WAVEOR software
2.1 Licensor hereby grants Licensee a non-exclusive, perpetual, non-transferable and non-sublicensable right to use the WAVEOR Software in accordance with this EULA.
2.2 Licensee is not entitled to use, copy, process or transfer the WAVEOR Software in full or in part in any way other than that described in this EULA or in the accompanying documentation. The only exception from the first sentence is that Licensee may create one (1) copy, solely for archiving and backup purposes.
2.3 Licensee is not entitled to use reverse engineering techniques on the WAVEOR Software or to convert the software into any other form. Such techniques include, in particular, disassembly (translating machine instructions in a binary executable into a human-readable assembler language) or decompilation (translating binary machine instructions or assembler instructions in source code into higher level language instructions), including the use of 3D rippers or similar technologies, unless such use is permitted, in exceptional cases, on the basis of exemptions under copyright law.
2.4 Licensee is not entitled to give the WAVEOR Software to a third party, in return for payment or free of charge, without the prior consent of Licensor. Licensee hereby agrees to use the WAVEOR Software (including the accompanying documentation) solely for the purposes of exercising the rights under this EULA.
Licensee may only give the WAVEOR Software and all licence keys that may be required in order to use the Software, with the exception of Software identified accordingly, to third parties if and to the extent that (i) Licensee has removed from their system the WAVEOR Software and any backup copies as well as the licence keys required in order to use the Software by deletion or deinstallation and (ii) the third party has given Licensor an assurance that they will comply with this EULA. Licensee’s right to use the Software expires at the point of giving the Software to a third party.
2.5 Licensee is not entitled to rent or lease out the WAVEOR Software or to grant other rights of use or sublicences in relation to the rights of use granted to Licensee under this EULA.
2.6 Licensee shall require the prior written consent of Licensor should Licensee intend to create and distribute software derived from the WAVEOR Software.
2.7 Licence management and copy protection mechanisms applied to the WAVEOR Software may not be analysed, published, circumvented or disabled.
2.8 All rights which are not expressly granted to Licensee in this EULA shall expressly remain with Licensor. In particular, Licensee is not permitted to communicate the WAVEOR Software to the public, for example by way of public performance (e.g. in schools, hotels etc.) or by making it available to the public on the internet. For the avoidance of doubt, the Licensor points out that it is entitled to take action against unauthorized uses of the Software, such as using the Software in videos on the Internet, and to remove such uses or have them removed by third parties. For all rights of use which are not expressly granted to Licensee under this EULA, a separate licensing agreement must be concluded with Licensor.
3. Modifications by Licensor
Licensor reserves the right to extend, improve or otherwise modify, or terminate the WAVEOR Software, including the accompanying documentation, at any time and without prior notice, or to have such modifications performed by third parties. In particular, Licensor is entitled to delete any content, such as videos or other media, contained in the WAVEOR Software, or to have third parties perform such deletion. This EULA shall then continue to apply to the further developed or modified Software.
4. Warranty for WAVEOR Software
4.1 The latest versions of the WAVEOR Software and the documentation will be made available to Licensee. The term of the warranty for the WAVEOR Software is 24 months. The warranty will be honoured solely by way of replacement. The statutory right of withdrawal remains unaffected. The limitation of warranty rights shall not apply if Licensee is a consumer within the meaning of Sec. 13 German Civil Code (Bürgerliches Gesetzbuch, BGB). Licensor does not provide any warranty on the OSS contained in the WAVEOR Software in itself. This shall not affect the warranty for the WAVEOR Software as a whole or the functioning of the OSS within the WAVEOR Software.
4.2 The warranty shall not cover errors which are due to improper use or other causes outside of Licensor’s control.
5. Liability
Licensor shall not be liable for any loss or damage as a result of lost profits, loss of data or other financial losses which are incurred in the course of the use of WAVEOR Software. This limitation of liability applies to all claims for damages of Licensee, regardless of the legal grounds. The level of liability is limited to the purchase price of the product. This limitation of liability does not apply in respect of loss or damage suffered as a result of intent or gross negligence on the part of Licensor or Licensor’s vicarious agents or other persons engaged by Licensor in the performance of Licensor’s contractual obligations.
Furthermore, the limitation of liability does not apply in respect of loss or damage arising from injury to life, limb or health as well as guarantees provided by Licensor (guarantee liability).
Any claims of Licensee based on statutory provisions regarding product liability remain unaffected by the limitation of liability as does any liability for loss or damage resulting from an at least negligent violation of an obligation essential to the agreement (material obligation). Material obligations are any obligations the violation of which could jeopardise the purpose of the agreement and the observance of which the contractual partner is entitled to rely on.
6. Applicable law and place of jurisdiction
This EULA is governed by German law with the express exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). As far as consumers are concerned, this choice of law shall not affect the applicability of those proviions under the law of the country in which the consumer is resident which cannot, according to the law of that country, be deviated from by contract.
The place of jurisdiction is the court having jurisdiction where Licensor has its registered office. This shall not apply if Licensee is a merchant, is not a legal person under public law and is not a special fund under public law or if Licensee has no general court of jurisdiction in Germany.
7. Side agreements and contractual alterations and amendments
Side agreements, amendments and alterations must be in writing in order to be valid. There is an English and a German version of this EULA. However, the English version is only for information purposes. In the event of any problems of clarity or disputes arising from this EULA, the German version shall be binding.
8. No consumer arbitration under German Act on Alternative Dispute Resolution in Consumer Matters (Verbraucherstreitbeilegungsgesetz, VSBG)
Licensor will not take part in consumer arbitration before a consumer arbitration body under the VSBG.
