YOU MAY NOT USE LUCID LAYERS SOFTWARE UNLESS YOU AGREE TO THESE PROVISIONS.
BY USING THIS SOFTWARE, YOU AGREE TO ALL OF THESE PROVISIONS.
1. Introduction
This End User License Agreement ("EULA") is a legal agreement between (a) You (either an individual or a single entity) and (b) LUCID LAYERS that governs Your use of any Software Product (Colory VR), installed or made available by LUCID LAYERS.
By clicking “I agree” or “I accept” or whatever call to action is requires at this step to accept the agreement and to take any further step to install this product, You as the user of Colory VR will be bound by the terms of this "EULA".
You also must represent that You are of the legal age of the legal age of majority in Your state, province jurisdiction of residence and if applicable, If You do not accept the "EULA" terms, do not use the software product.
2. Licensing of Use
LUCID LAYERS grants you a limited, non-exclusive, non-transferrable, revocable license to use the Colory VR software for your personal purpose.
You can behave freely with content you created in Colory VR and give the right to LUCID LAYERS to do so as well.
3. Copyright
All title and copyrights in and to the Software Product (including but not limited to any images, photographs, clipart, libraries, and examples incorporated into the Software Product) and any copies of the Software Product are owned by the Author of this Software. The Software Product is protected by copyright laws and international treaty provisions. Therefore, You must treat the Software Product like any other copyrighted material. The licensed users or licensed company can use all functions in the Software Product to create new content.
4. Restrictions of Use
All rights of any kind in Colory VR which are not expressly granted in this License are entirely and exclusively reserved to and by LUCID LAYERS. You may not rent, lease, modify, translate, reverse engineer, decompile, disassemble or create derivative works based on Colory VR. There are no third party beneficiaries of any promises, obligations or representations made by LUCID LAYERS herein.
5. Termination of Use
Without prejudice to any other rights, Licensor may terminate this EULA if END-USER fails to comply with the terms and conditions of this EULA.
This EULA will continue to be in force until the expiry or termination.
Upon termination You shall cease all use of the Software and shall destroy all copies thereof.
You acknowledge that the provisions of this EULA, which by their nature are intended to survive termination, will remain in effect after termination of this EULA.
6. Disclaimers and Limitation of Liability and warranty
LUCID LAYERS and any third party that has been involved in the creation, production, or delivery of the Software are under no circumstances liable for consequential or indirect damages (including damage for loss of profit, business interruption, loss of data, and the like arising out of the use or inability to use the Software).
LUCID LAYERS and any third party that has been involved in the creation, production, or delivery of the Software are under no circumstances liable for
any damages that were caused by using a Virtual Reality application.
LUCID LAYERS disclaims all warranties about the ColoryVR Application to the fullest extent permitted by law.
This software, and all accompanying files, data and materials, are distributed “AS IS” and with no warranties of any kind, whether express or implied. Good data processing procedure dictates that any program be thoroughly tested with non-critical data before relying on it. The user must assume the entire risk of using the program. This disclaimer of warranty constitutes an essential part of the agreement.
Unreal Engine
Colory VR includes the Unreal® Engine code and other code, materials, and information (the “Epic Materials”) from Epic Games, Inc. (“Epic”). All Epic Materials are provided on an “as is” and “as available” basis, “with all faults” and without warranty of any kind. LucidLayers, Epic, and Epic’s affiliates disclaim all warranties, conditions, common law duties, and representations (express, implied, oral, and written) with respect to the Epic Materials, including without limitation all express, implied, and statutory warranties and conditions of any kind, such as title, non-interference with your enjoyment, authority, non-infringement, merchantability, fitness or suitability for any purpose (whether or not Epic knows or has reason to know of any such purpose), system integration, accuracy or completeness, results, reasonable care, workmanlike effort, lack of negligence, and lack of viruses, whether alleged to arise under law, by reason of custom or usage in the trade, or by course of dealing. Without limiting the generality of the foregoing, LucidLayers, Epic, and Epic’s affiliates make no warranty that (1) any of the Epic Materials will operate properly, including as integrated in the Colory VR, (2) that the Epic Materials will meet your requirements, (3) that the operation of the Epic Materials will be uninterrupted, bug free, or error free in any or all circumstances, (4) that any defects in the Epic Materials can or will be corrected, (5) that the Epic Materials are or will be in compliance with a platform manufacturer’s rules or requirements, or (6) that a platform manufacturer has approved or will approve this Colory VR, or will not revoke approval of this Colory VR for any or no reason. Any warranty against infringement that may be provided in Section 2-312 of the Uniform Commercial Code or in any other comparable statute is expressly disclaimed by LucidLayers and Epic. LucidLayers, Epic, and Epic’s affiliates do not guarantee continuous, error-free, virus-free, or secure operation of or access to the Epic Materials. This paragraph will apply to the maximum extent permitted by applicable law.
To the maximum extent permitted by applicable law, neither LucidLayers, Epic, Epic’s licensors, nor its or their affiliates, nor any of Colory VR's or Epic’s service providers, shall be liable in any way for loss or damage of any kind resulting from the use or inability to use the Epic Materials or otherwise in connection with this EULA, including but not limited to loss of goodwill, work stoppage, computer failure, or malfunction, or any and all other commercial damages or losses. In no event will LucidLayers, Epic, Epic’s licensors, nor its or their affiliates, nor any of Colory VR's or Epic’s service providers be liable for any loss of profits or any indirect, incidental, consequential, special, punitive, or exemplary damages, or any other damages arising out of or in connection with this EULA or the Epic Materials, or the delay or inability to use or lack of functionality of the Epic Materials, even in the event of Colory VR's, Epic’s, or Epic’s affiliates’ fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if LucidLayers, Epic or Epic’s affiliates have been advised of the possibility of such damages. These limitations and exclusions regarding damages apply even if any remedy fails to provide adequate compensation.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of LucidLayers, Epic, Epic’s licensors, its and their affiliates, and any of Colory VR's or Epic’s service providers shall be limited to the full extent permitted by law.
