DUB PARTY END USER LICENSE AGREEMENT

1. WHO OPERATES DUB PARTY

Dub Party is published under the name Kestrel Interactive.

The legal operator and publisher is:

In this End User License Agreement ("EULA"), "Kestrel", "we", "us" and "our"
refer to that operator.

This EULA governs your use of Dub Party. Nothing in this EULA excludes or
limits rights that cannot legally be excluded or limited, including mandatory
consumer rights that apply in your country.

2. LICENSE TO USE THE GAME

Subject to this EULA and the applicable Steam terms, Kestrel grants you a
limited, non-exclusive, non-transferable license to install and use Dub Party
for personal, non-commercial gameplay and ordinary streaming, recording or
sharing where the content used in that recording or stream permits it.

You do not acquire ownership of Dub Party, its source code, official assets,
branding, characters, artwork, music, licensed content or other intellectual
property merely by purchasing or using the game.

You may not reverse engineer, circumvent technical protections, distribute
unauthorized copies of the game, or use the game to attack, compromise or gain
unauthorized access to another system, except to the extent that applicable
law expressly gives you a right that cannot be restricted by this EULA.

3. STEAM

Dub Party is distributed through Steam and may use Steam for purchases,
entitlements, identity, profile information, avatars, multiplayer networking,
invitations, lobbies, Steam Workshop and content delivery.

Your Steam account and your use of Steam are also governed by Valve's own
agreements, rules and privacy policy. Purchases, payment processing and Steam
refund requests are handled through Steam to the extent provided by Steam and
applicable law.

Kestrel does not directly receive your payment card or PayPal credentials from
Steam.

You must satisfy the age and account requirements that apply to your Steam
account and your country.

4. USER CONTENT

Dub Party allows users to create or use content including voice recordings,
dubbed scenes, imported videos, custom scenes, text, images and related
materials ("User Content").

You retain the rights you hold in your own original contributions, including
your original voice recordings and original creative material.

Creating, editing, dubbing, importing or packaging content in Dub Party does
not give you ownership of third-party video, animation, characters, music,
artwork, trademarks, performances, voices or other material contained in it.

You are responsible for having the rights, permissions, licenses or other
lawful basis needed for material that you import, use, export, share or
publish.

Except where these terms or the Dub Party Workshop Terms say otherwise,
Kestrel does not obtain ownership of your original User Content merely because
you create it with Dub Party.

5. MULTIPLAYER AND VOICE RECORDINGS

Solo recordings normally remain on your device unless you choose to export,
publish or otherwise share them.

In online multiplayer, a completed take may be automatically transmitted to
the other participants in the room so the group can build and play the
completed dub. Other participants may store those recordings on their own
devices as part of the session, project or resulting dub.

Kestrel does not ordinarily receive or centrally store the multiplayer voice
recordings exchanged between players.

Deleting or replacing a recording on your device cannot guarantee deletion of
copies already received by another participant. A participant may also create
backups, exports or other copies outside Kestrel's control.

Before recording for the first time in online multiplayer, Dub Party will
display a clear notice explaining that completed takes may be transmitted to
other participants and stored on their devices, and will allow the player to
leave or return without recording.

Dub Party does not provide continuous live voice chat. Local microphone tests
are not intended to be transmitted as multiplayer voice.

6. MULTIPLAYER CONDUCT

You must not use Dub Party to:

  • violate applicable law or another person's rights;
  • intentionally distribute malware, exploits or harmful files;
  • attack, disrupt or gain unauthorized access to another participant's device,
account or network;
  • unlawfully expose personal information;
  • impersonate another person or Kestrel for fraudulent or seriously harmful
purposes;
  • deliberately bypass security protections for unauthorized purposes; or
  • engage in serious threats, harassment, fraud or other unlawful conduct.

Kestrel does not routinely monitor private multiplayer voice recordings or
private room activity.

Where reasonably necessary and technically possible, Kestrel may restrict
access to online or Workshop functionality for serious or repeated violations,
security threats, unlawful activity or infringement of third-party rights.
Any restriction is subject to mandatory rights that apply under applicable law.

7. CUSTOM SCENES AND STEAM WORKSHOP

Dub Party allows users to import custom material and may allow compatible
custom scenes to be published through Steam Workshop.

Importing or publishing material does not mean that Kestrel has verified its
ownership, license status or legality.

Before publication, Dub Party may require the uploader to identify the basis
on which they are allowed to publish the material, confirm that they have the
necessary rights, accept the Dub Party Workshop Terms, and access or accept
applicable Steam Workshop terms.

Steam may require a separate Steam Workshop Legal Agreement. Acceptance of the
Dub Party Workshop Terms does not replace any agreement required by Valve.

Additional rules for Workshop publication are set out in the Dub Party
Workshop Terms.

8. OFFICIAL AND LICENSED CONTENT

Dub Party may include official content owned by Kestrel or licensed from third
parties.

Official or licensed content remains the property of Kestrel or the relevant
rights holder. Access to such content inside Dub Party does not by itself grant
a right to extract, republish, redistribute or commercially exploit the
underlying material.

Permissions for exporting completed dubs, streaming, social-media sharing or
monetization may differ between official scenes. Where Dub Party displays a
scene-specific notice or restriction, that notice applies to the extent
required by the relevant license and applicable law.

9. EXPORTS AND SHARING

Dub Party may allow users to export completed dubs.

For user-imported material, you are responsible for having the rights needed
for the intended export, publication, stream or other distribution.

For official or licensed scenes, export and sharing rights may depend on the
rules attached to that scene.

10. UPDATES AND AVAILABILITY

Dub Party may change through updates for development, compatibility, security,
legal compliance, Steam requirements or changes to third-party services and
licenses.

Kestrel does not guarantee that every third-party integration, Workshop item,
online feature or licensed scene will remain available indefinitely.

Nothing in this section removes any mandatory legal obligation to provide
updates, remedies or conformity for digital content where such an obligation
applies.

11. DISCLAIMER AND LIABILITY

Dub Party, online features and user-generated content may contain errors,
interruptions or compatibility problems. Third-party and Workshop content may
not be reviewed by Kestrel before it is downloaded or used.

To the maximum extent permitted by applicable law, Kestrel does not promise
that every online service, third-party service or user-created item will be
uninterrupted, error-free, lawful or compatible with every device.

Nothing in this EULA excludes or limits liability where doing so would be
unlawful. Nothing in this EULA removes mandatory consumer remedies, including
rights relating to defective or non-conforming digital content where those
rights apply.

12. SUSPENSION AND TERMINATION

You may stop using Dub Party at any time.

Kestrel may suspend or restrict online or Workshop functionality where
reasonably necessary because of serious or repeated violations of this EULA,
security risks, unlawful conduct, infringement of third-party rights, or a
requirement imposed by Steam or applicable law.

Where appropriate and legally required, Kestrel may provide the reason for a
restriction and a reasonable way to contest it.

Termination or restriction does not automatically erase copies of User Content
already exported, downloaded or received by other users.

13. CHANGES TO THIS EULA

Kestrel may update this EULA when reasonably necessary because of changes to
Dub Party, Steam, security requirements, third-party licenses or applicable
law.

If a change materially affects user rights or obligations, Kestrel may present
the updated terms and, where appropriate or required, ask the user to accept
them before continuing to use the affected functionality.

Minor editorial changes that do not materially affect rights or obligations do
not require renewed acceptance unless applicable law requires otherwise.

Dub Party may store the accepted EULA version and acceptance date locally.

14. GOVERNING LAW AND CONSUMER RIGHTS

The law applicable to this EULA is determined by applicable law and mandatory
conflict-of-law rules.

If you are a consumer, nothing in this EULA deprives you of mandatory
protections available under the law of your country of residence or prevents
you from using courts or dispute-resolution rights that cannot legally be
waived.
