Asiden — End User Licence Agreement and Terms of Use

These Terms are a binding agreement between you ("you", "the user") and Asiden Labs Ltd, a company registered in England & Wales (company number 17312549), whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us", "our"), for the Asiden desktop application and related services ("the App").

By purchasing, installing, or using the App, or by accepting these Terms in the App, you agree to these Terms. If you do not agree, do not purchase, install, or use the App.

The Privacy Policy, available in the App and at https://asiden.ai/privacy/, forms an integral part of these Terms and describes how we handle data locally and in the cloud.


1. Eligibility (18+)
You must be at least 18 years old to use the App. The App is an adult AI companion product that can produce mature, non-explicit content and is not intended for, or directed at, children. Explicit sexual content is prohibited and filtered as described in Sections 6 and 7. By using the App you warrant and confirm that you are 18 or over. Providing false information about your age is a material breach of these Terms.

2. Licence We Grant You
Subject to these Terms and your purchase or subscription tier, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on device(s) you own or control, for your own personal, non-commercial use.

You must not:
(a) resell, rent, sublicense, or redistribute the App or access to it;
(b) reverse-engineer, decompile, disassemble, or otherwise attempt to derive, reconstruct, or gain access to the source code, prompts, model instructions, or cryptographic leases of the App, or of any compiled, native, encrypted, or otherwise protected component of it, except to the extent this restriction is prohibited by law (including any non-excludable right to decompile for interoperability);
(c) circumvent, disable, remove, or interfere with any technical measure we use to protect, licence, meter, or control access to the App or to the Asiden Confidential Materials defined in Section 3;
(d) intercept, capture, log, proxy, instrument, or otherwise observe or record communications between components of the App, or between the App and any local or remote AI model, in order to obtain the Asiden Confidential Materials;
(e) use prompts, instructions, injected content, or any other input to cause the App to reveal its own system prompts, persona instructions, or safety rules, or otherwise attempt to extract them through the conversational interface;
(f) remove or obscure any proprietary or third-party notices; or
(g) use the App, its output, or the Asiden Confidential Materials to build, train, fine-tune, distil, benchmark against, or otherwise develop any competing product, service, or AI model.

3. Our Intellectual Property & Bundled Assets
The App is published by Asiden Labs Ltd (company number 17312549), which trades as "Asiden". The App and its code, and the avatars, voices, artwork, animations, default personas, and other assets we provide ("Asiden Assets"), together with the Asiden name, logo, and branding, are owned by Asiden Labs Ltd or its licensors — © Asiden Labs Ltd — and are licensed to you for use within the App only. You must not extract, copy, redistribute, resell, publish, repackage, or reuse any Asiden Asset outside the App, nor use any Asiden Asset to train or fine-tune any model. Some bundled assets are provided under third-party licences that carry their own restrictions (for example, embedded VRM usage flags or attribution requirements); those restrictions apply in addition to these Terms, and nothing here grants you rights in any third-party asset beyond in-App use.

3.1 Asiden Confidential Materials

The following are the confidential information and trade secrets of Asiden Labs Ltd (together, the "Asiden Confidential Materials"), whether or not they are marked as such and whether or not they are technically accessible to you on your own device:

- the system prompts, persona instructions, prompt architecture, and instruction text the App composes and sends to any AI model, including every part of them and the way they are assembled, ordered, and varied;
- the personality configurations and their authored trait, voice, and behaviour definitions;
- the safety, crisis-detection, and content-classification rules, thresholds, keyword sets, and logic;
- the memory, retrieval, and relationship-progression logic, including its scoring and thresholds; and
- any non-public technical, design, or evaluation material relating to the App.

Asiden Confidential Materials derive commercial value from not being generally known, and we take reasonable steps to keep them secret — including compiling proprietary components to native code, shipping no development or inspection surfaces in released builds, and imposing the restrictions in Section 2.

You must not disclose, publish, distribute, sell, or make available any Asiden Confidential Materials to any third party, or use them for any purpose other than your own personal use of the App as permitted by these Terms. This obligation applies however you come by them — including by observing the App in operation, reading data in transit on your own device, inspecting files, or prompting the App to disclose them — and continues after your licence ends or these Terms terminate, for as long as the material remains confidential.

Nothing in this Section restricts you from using information that becomes public through no breach by you, that you already lawfully held, or that you independently develop without reference to the Asiden Confidential Materials; nor does it override any right you have by law that cannot be excluded by agreement.

4. Third-Party Models & Their Licences
The App includes, downloads, or runs third-party local AI models and may use third-party cloud services, each under their own licences and acceptable-use policies (see the in-app Credits screen and the bundled CREDITS.md). This includes models governed by Meta's Llama Community Licence and Acceptable Use Policy, as well as Google Gemma 4 models released under Apache-2.0, among others. Where an upstream licence imposes conditions on end users, including acceptable-use or export restrictions, you agree to comply with those conditions as they apply to your use. Required publisher attributions, including "Built with Llama", are provided by us in the Credits.

We do not own third-party models and provide their output "as is" under the relevant upstream terms. Model availability, behaviour, privacy classification, and licensing can change, and we may add, change, or retire a model for safety, licensing, privacy, reliability, or cost reasons.

5. User-Imported Content & Custom Personas
The App allows you to import third-party assets (such as 3D .vrm avatars, .vrma animations, images, and audio) and to create custom personas. Anything you import or create remains on your local device. We do not receive, host, review, or monitor imported assets, and we accept no responsibility for them and have no obligation to monitor them.

By importing or creating any content, you warrant that:
1. Rights & licences: You have all necessary rights and licences to use the asset, and you will honour any usage restrictions attached to it, including restrictions embedded in a VRM file (for example, an AllowedUser, SexualUsage, or Redistribution flag).
2. Zero tolerance for minors: You will not import or use any avatar, model, image, voice, or persona that depicts, or presents as, a person under 18 — whether by stated age, appearance, or context. This includes drawn, animated, stylised, or entirely fictional depictions. Producing or possessing sexual depictions of minors, including entirely fictional ones, is a criminal offence in many jurisdictions, including the UK.
3. No real people without consent: You will not import or use any model, image, likeness, or voice depicting a real, identifiable person without that person's explicit, informed consent.

A custom persona is user content and grants no intellectual-property rights; naming a persona after a protected character or person does not give you rights in it. A serious attempt to use the App for prohibited depictions may result in suspension or termination under Section 19. Responsibility for third-party claims caused by unlawful imported or created content is addressed in Section 18, subject to applicable law and your mandatory consumer rights.

Imported and created content is local-only today; if a content-sharing or community feature is ever offered, it will carry its own additional terms.

6. Acceptable Use & Safety Systems
You agree not to use the App, or any content it generates, to create, request, store, or share anything that is unlawful or that:
- sexualises, endangers, or exploits minors in any way — zero tolerance;
- depicts or imitates a real, identifiable person without their consent (including their face, likeness, or voice);
- harasses, threatens, defames, or incites violence or hatred against any person or group;
- facilitates crime, fraud, malware, or serious self-harm/suicide instructions;
- infringes anyone's intellectual-property or privacy rights.

The App enforces a global safety system that blocks explicit sexual content, any sexual content involving minors, and unsafe handling of detected crisis content regardless of the persona, model, or settings you choose. Screen-awareness features also apply a local image-content check before a captured image can be processed. Safety systems reduce risk but cannot guarantee that every generated output will be appropriate or accurate. You must not attempt to disable, bypass, or defeat the App's safety systems, and you must not write a persona or instruction whose purpose is to defeat them.

7. Mature Content & Voice Cloning
Some optional models are described by their publishers as uncensored and may produce mature, non-explicit language or themes. These are opt-in and intended for adults. Asiden does not permit explicit sexual content, including with those models. You are responsible for the lawful use of content you generate, and the prohibitions and safety system in Section 6 apply at all times.

If you use any voice-cloning feature, you may only clone or synthesise a voice that you own, or that belongs to a person who has given you clear, informed permission. You must not use voice cloning to impersonate a real person without consent, or for fraud, deception, or any unlawful purpose. Before enabling voice cloning you will be asked to confirm you have the necessary rights or consent; providing false confirmation is a breach of these Terms, and you indemnify us against any resulting claims (Section 18).

8. How the App Works — Local & Cloud Tiers
Asiden stores a recent local conversation log, selectively distilled long-term memory, character data, and local media on your device. The memory system may consolidate, update, or prune information and is not a permanent verbatim archive. When you use a local model, conversation content is not sent to us or to any cloud AI provider.

When you select a managed cloud model, cloud voice, or managed cloud vision, the information needed for that request leaves your device and travels over encrypted connections through our metered proxy to the selected third-party provider. The current providers, the categories of data each receives, and their retention are described in the Privacy Policy (currently including Venice AI and OpenRouter as routing gateways and, on anonymised routes, downstream model providers such as those running GPT, Claude, and Gemini models; ElevenLabs for cloud voice; and, if you enable it, a managed cloud vision route through the same gateways).

What our proxy does and does not do. Our proxy is designed to meter usage and not to store your prompt or reply content in our service database. This is not end-to-end encryption: our proxy must receive the request in order to relay it, and the third-party providers process your content under their own policies — some retain request data by default (for example, our cloud-voice provider). We do not use your conversations or memories to train AI models unless you explicitly opt in to a clearly-labelled feedback programme. If you do not want conversation content to leave your device, use a local model.

International transfers. Cloud processing may take place outside the UK/EEA (for example, in the United States). The relevant provider's international-transfer safeguards apply in addition to ours, as described in the Privacy Policy.

Your own API keys (BYO). If you supply your own third-party API key (for example, for a cloud vision provider), you are that provider's customer: their charges, data handling, and terms apply to you directly, and we make the call only on your instruction. We are not liable for your spend with that provider or for its handling of your data.

Circuit breaker & availability. We may suspend, rate-limit, or degrade cloud features at any time to protect service integrity, manage cost, or comply with an upstream provider. When a managed cloud feature is unavailable, the App tells you and stops that request: it does not silently reroute your content to a different provider, and it does not run a local model in its place. You can switch to a local model yourself in Settings at any time. Such limits are part of the designed service and do not constitute a breach of contract. Sparks do not guarantee a particular model or uninterrupted service, and local performance depends on your hardware.

9. AI Disclosure & Companion Continuity
It is an AI, and the App says so. Asiden is an AI system; her outputs are generated, and she has no feelings, judgement, or agency. The App discloses that you are interacting with AI (at first run and on an ongoing basis), and you must not disable or obscure that disclosure.

Not a substitute; not a crisis service. Asiden is not a substitute for human relationships, or for medical, mental-health, legal, or financial advice, and the App is not a crisis service. If you are in danger or in crisis, contact your local emergency services or a professional helpline. Where the App detects a possible crisis it will surface support resources, but any such signposting is informational only.

Continuity is not guaranteed. Updates may change Asiden's behaviour, voice, appearance, or personality nuance, and local or cloud models may be swapped or retired for licence or supply reasons. A change in AI behaviour is not a defect. Your memories and conversations live on your device; you are responsible for your own backups, and an uninstall, disk failure, or reset can erase them — we are not liable for that loss. If we ever wind down the service, cloud tiers will end with reasonable notice, but the local App will continue to run on your device.

10. Virtual Currency ("Sparks")
The App's cloud features are metered using a virtual currency called Sparks.

1. Licence, not property. Sparks are a limited, non-transferable, revocable licence to access metered cloud features. They have no cash value, cannot be exchanged for fiat currency, and cannot be resold.
2. Subscription Sparks. Each successfully paid Plus or Premium purchase or renewal deposits the stated number of Sparks into the customer account used for that purchase. Unused subscription Sparks roll over and do not expire while the service remains active. Plus and Premium are separate subscriptions which may run and renew on different dates; if you hold both, both deposits accumulate in the same account balance.
3. Purchased Sparks. Standalone Spark packs are deposited into that same account balance and do not expire while the service remains active. We retain order-level records so purchases, renewals, refunds, and chargebacks remain auditable even though the App shows one balance.
4. Usage. The Spark cost per request varies with the model chosen and the actual prompt/output size or voice length. On-screen figures are estimates; the server-side meter is authoritative. Sparks for a request are reserved when the request starts and settled when it completes. If the outcome of a paid request is genuinely ambiguous (for example, the provider accepted it but the response was lost in transit), the reservation may still settle; a short-lived duplicate-prevention record stops the same request from being paid for twice, the App will not retry it automatically, and you choose whether to try again. Background features (such as Cloud Dream Mode) will consume Sparks. When your balance is depleted, cloud features stop and the App tells you; it does not switch you to a local model by itself, and you can select one in Settings at any time.
5. Rate changes. The Spark cost of a given model may change as upstream provider prices change; we will give notice of material changes to per-model rates.
6. Refunds and debt. A refund or chargeback reverses the Sparks attributable to that order. If those Sparks have already been used, the shortfall may be recorded as a Spark debt and deducted from later deposits; we do not create a negative spendable balance.
7. If we withdraw the service. If we permanently withdraw the cloud service, we will refund or credit the value of any unused purchased Spark packs. Sparks included with a subscription are not separately refundable.
8. If your subscription ends. When a cloud subscription is cancelled or lapses, you keep the paid tier until the end of the billing period you have already paid for. Sparks already deposited are retained on your customer account, but metered cloud access requires at least one active cloud plan, so the retained balance cannot be spent until you subscribe again. Cancelling one of two active plans does not cancel the other.

11. Purchases, Subscriptions & Sales Channels
Steam base App. If you obtain Asiden through Steam, that Steam purchase grants your base-App entitlement under your Steam account and the Steam Subscriber Agreement. The Steam build does not require a separate Asiden Unlock key. Steam/Valve handles the base-App transaction, receipt, tax and the refund request route for that Steam purchase. Steam ownership does not itself create an Asiden cloud subscription or Spark balance.

Asiden website purchases. Separately from Steam, the Asiden website may offer a one-time App unlock, recurring Plus/Premium cloud entitlements, Sparks deposited with eligible subscription payments, and optional one-time Spark packs. These are separate website purchases governed by the website checkout terms. The Steam build does not offer or link to those purchases. If you independently hold an eligible Asiden cloud plan, you may connect that existing entitlement to the Steam installation. The website checkout will show the price, billing period, included entitlement, and renewal terms before purchase.

Your account and licence key have different jobs. Polar creates a customer account from the purchase email. That account owns your subscriptions and shared Spark balance. A one-time Unlock licence key admits an installation to the local App; each exact key has its own limited device pool (currently up to three active devices). Keep keys secret and do not share, publish, resell, or sublicense them. We may suspend or revoke keys that are leaked, resold, or abused, and may reissue a key on reasonable request. A chargeback may suspend the associated licence or account pending resolution. Because a cached offline Unlock does not contact our server on every launch, we do not promise that a later refund, chargeback, or termination will technically disable an already-activated offline copy immediately; the legal effect still follows applicable law and the checkout disclosures.

The App can deactivate a device and release its key slot when online. By default, uninstalling the program does not erase characters, memories, local models, settings, or licence records. The uninstaller offers a "Delete the application data" option; if you tick it, your characters, memories, settings, downloaded models and other local data on that Windows account are removed. Your licence records are kept either way, deliberately, so that reinstalling does not consume another device slot from your key. Uninstalling never releases a slot — use Deactivate this device before uninstalling if that is what you want.

Subscriptions & auto-renewal. Plus and Premium are independent recurring subscriptions. You may hold one of each; each automatically renews at its own stated price, interval, and renewal date until you cancel it through the Polar customer portal. On cancellation, you keep that paid tier until the end of its current billing period. We give clear pre-contract pricing and renewal information and aim to meet applicable UK, EU, and US consumer-subscription requirements as they come into force. We will give advance notice of any price change and a right to cancel before it takes effect.

Website Merchant of Record. Polar (Polar.sh) is the Merchant of Record for Asiden website checkout, payment, tax, invoices, renewals, cancellation, and payment disputes; Polar's buyer terms govern those website transactions. Recurring website subscriptions can be managed through the Polar customer portal. Polar is not the merchant for your Steam base-App purchase.

12. Refunds & Right to Cancel
Steam purchase. A refund request for the base App bought through Steam must be made through Steam and is handled under Steam's refund rules and the mandatory consumer law that applies to you. Asiden Labs cannot issue or promise a refund of money collected by Steam. Subscriptions or Sparks independently bought through Asiden's website are not Steam purchases and follow the website terms below; the Steam build does not offer or link to those purchases.

Asiden website purchases. The remainder of this section applies to purchases made through the Asiden website/Polar checkout.

Under UK and EU consumer law you have a 14-day right to cancel a purchase of digital content. That right can be lost where you expressly consent to supply beginning immediately and acknowledge that you are giving the right up.

Because the App and Sparks are digital content supplied immediately, the checkout asks you to tick a required box before you can pay, confirming that you want immediate access and understand that you lose the 14-day cancellation right once access is granted. You cannot complete a purchase without ticking it, it is never pre-ticked, and your answer is recorded against your order. The waiver takes effect only when access is actually granted — ticking the box alone does not remove the right. If you do not want to give that consent, do not complete the purchase; contact us instead and we will handle it under the law that applies to you. These Terms alone are not what takes the right away: that consent is.

How to cancel, and how to ask for a refund. You can cancel a recurring subscription yourself at any time in the Polar customer portal (log in with your purchase email); this stops it renewing and you keep the paid tier until the end of the current billing period. Refunds are not self-service. To request one, email asidenlabsltd@asiden.ai from your purchase email with your order or receipt number, and we will issue any refund through Polar.

If you request a refund for a standalone Spark pack, any refund will be reduced by the value of Sparks already consumed before the refund is issued via Polar. Subscription deposits and Spark-pack deposits share a single balance (section 10.2–10.3), so a refund reverses the Sparks attributable to that order, not a separately held subscription pot; where those Sparks have already been spent, the shortfall is handled as a Spark debt under section 10.6. Sparks included with a subscription are not separately refundable (section 10.7). Nothing in these Terms removes a mandatory legal right, and your statutory rights under the Consumer Rights Act 2015 (and equivalent EU and US consumer protections) are unaffected. If you are a US customer, some states require specific auto-renewal disclosures and an easy cancellation method; you can cancel at any time in the Polar customer portal, as described above.

13. Fair Use, Anti-Abuse & Anti-Tampering
The App and cloud service are for personal use by one person per licence. You must not:
- use the App or our proxy in an automated, scripted, or bulk manner, or as a general-purpose API;
- resell, sublicense, or provide cloud access to any third party;
- forge, tamper with, or replay licence leases, device credentials, the Spark meter, or consent records, or circumvent device-activation limits;
- probe for or attempt to extract server-side keys or secrets;
- circumvent, disable, or defeat any technical protection, code-protection, or licensing measure in the App, or distribute any tool, patch, key, or instructions for doing so;
- disable, bypass, or defeat the App's safety systems, or write a persona or instruction whose purpose is to defeat them.

A serious or repeated breach of this section may result in suspension or termination, subject to mandatory consumer rights. Any forfeiture of remaining Sparks or refusal of a refund will be proportionate to the breach and limited to the extent permitted by law. Section 18 may also apply.

14. Your Content & Personas
Any characters, personas, or content you create, and any inputs you provide, remain yours, subject to third-party rights and applicable law. You grant us and the processors involved in a feature only the limited permission needed to receive, transmit, and process that content to provide the feature you requested. We do not take ownership of your private conversations or use them for advertising. AI-generated output is for your personal use; you are responsible for checking it before relying on or sharing it.

15. Feedback & Pre-Release Software
If you provide us with ideas, feedback, or bug reports, you grant Asiden Labs Ltd a perpetual, irrevocable, royalty-free licence to use that feedback to improve the App, without payment or attribution to you. Asiden is currently offered as early access: you acknowledge it is pre-release software, provided "as-is", that may contain bugs, break, or cause data loss, and that any diagnostics you share are shared voluntarily.

16. No Warranty & AI Limitations
The App and all third-party models are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. AI output can be inaccurate, incomplete, biased, or inappropriate. The App is not a source of medical, legal, financial, or psychological advice and is not a crisis service. Cloud models, voices, vision, and the proxy can be unavailable, rate-limited, or changed by an upstream provider; the App surfaces such failures rather than silently substituting another model, and you can switch to a local model yourself, whose performance depends on your hardware.

17. Limitation of Liability
To the maximum extent permitted by law, we are not liable for: (a) content you or the AI generate; (b) your misuse of the App, any model, or any asset you import; (c) indirect, incidental, special, or consequential loss; or (d) loss of data (you are responsible for your own backups).

Our total aggregate liability to you is limited to the amount paid for the applicable App or service through the relevant sales channel in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited (such as death or personal injury caused by our negligence, or fraud), and nothing affects your statutory rights under the Consumer Rights Act 2015 or equivalent mandatory consumer protections where you live.

18. Indemnity
To the extent permitted by applicable law, you are responsible for third-party claims, losses, or reasonable costs directly caused by your deliberate unlawful use of the App, your infringement of third-party rights in assets you import, or your use of voice cloning without the required consent. This section does not make you responsible for losses caused by us, and it does not limit your mandatory consumer rights.

19. Suspension & Termination
We may suspend or terminate access where reasonably necessary because of a serious or repeated breach of these Terms, an applicable third-party model condition, fraud, safety risk, or legal requirement. Where practical, we will explain the reason and give you a reasonable opportunity to remedy a remediable breach. Any treatment of remaining Sparks is governed by Sections 10, 12 and 13 and is subject to mandatory consumer rights. You may stop using the App at any time by uninstalling it. Sections that by their nature should survive (for example, 3, 5, 6, 9, 15, 16, 17, 18, and 20) survive termination.

20. General
- Severability: If any provision of these Terms is held invalid, the remainder continues in full force.
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the App.
- No Waiver: Our failure to enforce any right does not constitute a waiver.
- Assignment: We may assign our rights under these Terms (for example, on a sale of the business); you may not assign yours.
- Force Majeure: We are not liable for failures due to causes beyond our reasonable control.
- Notices: We may give notice by an in-app message and, where you have supplied an email address to us or our merchant, by email.
- Export & Sanctions: You may not use or export the App in breach of applicable export-control or sanctions laws, and you agree to any export terms carried by the bundled model licences.
- Third Parties: The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.

21. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified by an in-app notice and, where available, by email, and the App will ask you to accept an updated version where required. Changes will not remove rights that applicable law does not allow us to remove. If you do not accept an updated version, you must stop using the affected App or service when the change takes effect.

22. Governing Law & Disputes
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have non-exclusive jurisdiction — without affecting any mandatory consumer-protection rights, or the jurisdiction of the local courts, that you have where you live. If you are a consumer resident in the EU or elsewhere, you keep the protection of the mandatory laws of your country of residence. We encourage you to contact us first to resolve any dispute informally.
