This End-User License Agreement (this "Agreement") is a legal agreement between
you and ErinWave ("Licensor", "we", "us"), a business registered in the Republic
of Korea, covering your use of Phluxel — the desktop application, its updates,
documentation, and bundled assets (together, the "Software").
By installing, copying, or using the Software, you agree to this Agreement. If
you do not agree, do not install or use the Software.
1. LICENSE GRANT
Subject to your compliance with this Agreement, and for as long as you hold a
valid Steam entitlement to the Software, Licensor grants you a non-exclusive,
non-transferable license to install and use the Software on devices that you
own or control and that you use yourself. This is a license, not a sale.
2. YOUR CONTENT
You own everything you create with the Software — projects, exported images,
animations, sprites, and all other outputs. Licensor claims no rights to your
content, and you may use your outputs for any purpose, including commercially,
subject only to any rights third parties hold in materials you import.
3. RESTRICTIONS
Except to the extent permitted by applicable law, you may not: (a) resell,
rent, lease, or sublicense the Software; (b) reverse engineer, decompile, or
disassemble the Software; (c) remove or alter proprietary notices in the
Software; (d) use the Software in violation of applicable law.
4. INTELLECTUAL PROPERTY
The Software — including its code, user interface, the Phlux language design,
and bundled original assets — is owned by Licensor and protected by copyright
and other laws. All rights not expressly granted are reserved.
5. THIRD-PARTY COMPONENTS
The Software includes third-party components used under their own licenses.
In particular, the Microsoft Edge WebView2 component is subject to Microsoft's
terms; you agree that Microsoft and its suppliers are intended third-party
beneficiaries of the applicable disclaimers and limitations.
6. UPDATES
Updates to the Software are distributed through Steam and are covered by this
Agreement unless they come with separate terms. Licensor has no obligation to
provide updates or maintain backward compatibility indefinitely.
7. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY
LAW. YOU ARE RESPONSIBLE FOR BACKING UP YOUR PROJECTS AND DATA.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA,
PROFITS, OR BUSINESS, ARISING FROM OR RELATED TO THE SOFTWARE. LICENSOR'S TOTAL
AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
NOTHING IN THIS AGREEMENT LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED
UNDER APPLICABLE CONSUMER-PROTECTION LAW.
9. REFUNDS
Refunds are governed by Steam's refund policy. If your purchase is refunded,
your Steam entitlement to the Software is removed accordingly. Your ownership
of content you created (§2) is not affected.
10. TERMINATION
This license terminates automatically if you materially breach this Agreement.
Upon termination you must stop using the Software and delete all copies.
Sections 2, 4, 7, 8, and 11 survive termination.
11. GOVERNING LAW
This Agreement is governed by the laws of the Republic of Korea, without
regard to conflict-of-law rules. If you are a consumer, you additionally keep
any mandatory protections of the consumer law of your country of residence,
and nothing in this Agreement reduces them.
