NITROCORE SYNAPSE™ — END USER LICENSE AGREEMENT

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE FULL COMMERCIAL SOFTWARE.


This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User") and NitroLabs ("NitroLabs") governing your use of NitroCore Synapse™, including its executable components, updates, documentation, licensed features, and associated services (collectively, the "Software").


By accepting this Agreement and installing, activating, launching, or using the full commercial Software, you agree to be bound by this EULA.


If you do not agree, do not use the full Software.


Nothing in this Agreement removes or restricts any consumer right, warranty, remedy, refund right, or other protection that cannot lawfully be waived under applicable law.


1. LICENSE GRANT

Subject to this EULA, applicable Steam terms, payment of the required purchase price, and successful license validation, NitroLabs grants the User a limited, non-exclusive, non-transferable, revocable license to install and use the Software for the User's own lawful purposes.


Unless NitroLabs expressly provides otherwise, the commercial license may be linked to one primary computer at a time.


Migration to another computer may require the User to restore applicable NitroCore changes, unlink the currently bound computer, and complete a new validation on the replacement computer.


The Software is licensed, not sold. No ownership of the Software, source code, technology, architecture, trademarks, interfaces, documentation, or other intellectual property is transferred to the User.


2. SUPPORTED ENVIRONMENT AND SYSTEM ACCESS

NitroCore Synapse™ is designed for supported Windows environments identified by NitroLabs and/or on the applicable Steam store page.


Depending on the Software version, detected hardware, system condition, and features used, NitroCore may:


  • request administrator privileges;
  • analyze hardware and Windows configuration;
  • read local telemetry and performance-related information;
  • modify compatible Windows settings, Registry values, memory-related configuration, performance policies, I/O-related policies, scheduled tasks, startup behavior, or other supported system settings;
  • create, verify, or use restoration or backup information; and
  • communicate with Steam and NitroLabs online services for licensing, integrity validation, device binding, restoration-related functionality, updates, or support.

The User is responsible for maintaining appropriate backups of important personal files and for not intentionally interrupting operations when NitroCore clearly indicates that a system operation is in progress.


NitroCore restoration functionality is intended to restore supported settings captured or managed by NitroCore. Unless expressly stated otherwise, it does not reinstall removed applications or recover files deleted outside the Software.


3. LICENSE VALIDATION, DEVICE BINDING, AND SECURITY

The Software may require Steam, an internet connection, and NitroLabs validation services to activate or use some or all commercial functionality.


A commercial license may be securely associated with a Steam entitlement and a specific computer.


If the User intends to migrate the license, the User should use the official restore and unlink functionality made available by NitroCore whenever possible.


The User may not bypass, disable, falsify, tamper with, interfere with, or circumvent licensing, entitlement validation, integrity validation, authentication, device binding, security, restoration, or anti-tamper mechanisms.


Loss of access to a previously bound computer may require assistance from official NitroLabs support.


NitroLabs is not required to provide an automated bypass of legitimate security or device-binding controls.


4. MANDATORY PRE-PURCHASE DEMO EVALUATION

Before purchasing NitroCore Synapse™, the User is required to download, install, and run the most recent official version of the NitroCore Synapse™ Demo distributed through Steam under Demo App ID 5056580.


The Demo must be run on the same primary computer on which the User intends to use the full commercial Software.


Before purchasing, the User must:


  • allow the Demo assessment to complete without unauthorized modification, interference, or circumvention;
  • review the compatibility information, detected hardware, warnings, limitations, performance classification, and estimated optimization potential presented by the Demo;
  • determine whether the result presented by the Demo is minimally acceptable for the User's own expectations and intended use; and
  • refrain from purchasing if the Demo cannot complete the assessment, identifies an unsupported or unsuitable condition, displays a low or limiting result that the User considers unacceptable, or otherwise indicates that the User should not reasonably expect a satisfactory outcome.

The purpose of this requirement is to provide relevant information about the computer's existing limitations before the purchase decision.


This requirement does not remove or restrict any mandatory consumer right or any refund right available under applicable Steam policies or applicable law.


5. USER ACKNOWLEDGEMENT WHEN USING THE FULL SOFTWARE

By accepting this EULA and proceeding to use the full commercial Software, the User acknowledges and confirms that:


  • the official Demo was run before purchasing the full Software;
  • the Demo was run on the same primary computer intended for use with the full Software;
  • the Demo assessment was allowed to complete normally;
  • the User reviewed the detected hardware, compatibility information, warnings, limitations, performance classification, and estimated optimization potential;
  • the result presented by the Demo was minimally acceptable to the User as a basis for deciding to purchase;
  • the User understood that the Demo result is informational and does not guarantee a specific outcome; and
  • the User voluntarily decided to purchase after reviewing that information.

If the User cannot truthfully confirm these statements, the User should not proceed with use of the full Software and should use the applicable Steam refund process if eligible.


Purchasing without completing the required Demo assessment, using the Demo on another computer, or disregarding a warning or unacceptable result does not convert the Demo estimate into a performance guarantee.


6. NATURE OF THE DEMO ESTIMATE

The Demo estimate is a technical projection based on information detected, reported, or reasonably observable by software at the time of assessment.


Depending on what the operating system and hardware make available, the assessment may consider information including CPU capability, GPU capability, dedicated or shared graphics memory, physical RAM, virtual memory, storage type, storage health, available storage space, Windows configuration, and other relevant system information.


The Demo estimate:


  • is a technical projection and not a promise, warranty, certification, benchmark result, or guaranteed outcome;
  • does not create or represent additional physical hardware capacity;
  • does not guarantee minimum FPS, benchmark score, latency reduction, frametime improvement, responsiveness improvement, stability improvement, or any percentage performance gain;
  • cannot detect or predict every physical defect, thermal condition, maintenance problem, intermittent failure, driver conflict, malware infection, background process, firmware condition, software update, game update, or future system change;
  • may differ from actual results because operating conditions may change between the Demo assessment and use of the full Software; and
  • does not mean that storage is equivalent to or a substitute for physical RAM or dedicated graphics memory.

Actual results may be higher than, similar to, or lower than the Demo estimate.


7. LOW, LIMITED, OR WARNING RESULTS

If the Demo displays a low classification, limiting condition, hardware warning, unsupported condition, or another result indicating reduced optimization potential, the User must treat the result as a warning that the computer may obtain little or no measurable improvement.


If the User proceeds with the purchase despite such a result, the User acknowledges that the limitation was disclosed before use of the full Software.


To the maximum extent permitted by applicable law, low performance or dissatisfaction alone does not establish a defect in the Software where:


  • the actual result is reasonably consistent with a limitation identified by the Demo;
  • the Demo warned that hardware or system conditions could restrict the result;
  • the User purchased despite considering the estimate or warning unacceptable;
  • the User did not complete the required Demo assessment;
  • the Demo was run on another computer;
  • the User materially changed hardware, Windows, drivers, firmware, cooling, overclocking, undervolting, storage, memory, or installed software after the Demo assessment; or
  • the result is limited by insufficient, defective, obsolete, overheated, incompatible, degraded, unstable, or poorly maintained hardware.

NitroLabs does not promise to make a computer exceed the performance reasonably available from its existing hardware and operating condition.


8. CHANGES AFTER THE DEMO ASSESSMENT

The Demo assessment applies only to the computer and system condition evaluated at that time.


The User should run the Demo again before purchasing if a material change occurs, including:


  • changing the intended computer;
  • replacing or removing hardware;
  • reinstalling or substantially modifying Windows;
  • changing major drivers or firmware;
  • applying or materially changing overclocking or undervolting;
  • changing cooling components; or
  • discovering a hardware, malware, storage, stability, or temperature problem.

An estimate generated on one computer does not apply to another computer.


9. HARDWARE, THERMAL, ELECTRICAL, AND PHYSICAL LIMITATIONS

NitroCore Synapse™ is software. It cannot physically repair defective, damaged, degraded, incorrectly installed, inadequately cooled, electrically unstable, or incompatible hardware.


Physical maintenance may be required before software optimization is appropriate.


Examples include cleaning dust, improving airflow, correcting thermal-interface problems, replacing defective fans, correcting unstable power delivery, replacing failing storage, correcting hardware installation, or replacing insufficient or defective components.


The Software may provide information or mitigation-oriented guidance, but such guidance is not a substitute for qualified physical inspection or repair where physical maintenance is required.


10. NO PERFORMANCE GUARANTEE

NitroLabs does not guarantee any specific FPS, benchmark score, latency, frametime, temperature, memory usage, storage throughput, network throughput, startup time, responsiveness, stability improvement, or percentage performance increase.


Performance depends on factors outside NitroLabs' control, including hardware, firmware, drivers, Windows updates, application or game updates, background software, cooling, electrical power, workload, User configuration, and the physical condition of the computer.


Optimization may benefit some workloads more than others. Some computers may already be close to their practical software-optimization limit.


11. USER RESPONSIBILITIES

The User agrees to:


  • use the Software only on systems the User is authorized to control;
  • follow material warnings displayed by the Software;
  • avoid intentionally interrupting critical apply, verification, restoration, unlink, or backup operations;
  • maintain appropriate backups of important personal data;
  • avoid using the Software as a substitute for necessary physical repair or maintenance; and
  • provide accurate information when requesting support.

The User remains responsible for third-party software, modifications, malware, drivers, firmware, overclocking, undervolting, and hardware changes not supplied or controlled by NitroLabs.


12. PROHIBITED USE

Except to the extent expressly permitted by mandatory applicable law, the User may not:


  • copy, redistribute, rent, lease, sublicense, resell, publish, or commercially distribute the Software or its license;
  • reverse engineer, decompile, disassemble, decrypt, extract, reconstruct, or attempt to obtain source code, protected logic, authentication logic, or proprietary implementation details;
  • bypass or interfere with Steam entitlement checks, NitroLabs validation, device binding, integrity checks, security controls, restoration safeguards, or anti-tamper mechanisms;
  • modify or redistribute altered commercial builds as if they were official NitroLabs builds;
  • remove or misrepresent NitroLabs copyright, trademark, authorship, or proprietary notices;
  • use the Software in violation of applicable law or third-party rights; or
  • use unauthorized copies, cracked builds, stolen credentials, or falsified licenses.

13. UPDATES

NitroLabs may provide updates, patches, security changes, compatibility changes, feature modifications, or revised builds.


An update may be required to maintain compatibility with Steam, Windows, NitroLabs validation services, security mechanisms, or supported functionality.


NitroLabs does not guarantee indefinite compatibility with obsolete Windows builds, unsupported hardware, discontinued third-party services, or system configurations that are no longer supported.


14. PRIVACY AND ONLINE SERVICES

Some functionality may communicate with Steam and NitroLabs online infrastructure for purposes such as entitlement validation, integrity verification, device binding, restoration-related services, updates, or support.


Processing of personal data, where applicable, is governed by the current NitroCore Synapse™ Privacy Policy:

The User should review the Privacy Policy before using online functionality.


Local telemetry displayed inside NitroCore does not, by itself, mean that all displayed telemetry is transmitted to NitroLabs.


Any transmission or processing of information is governed by the Privacy Policy and the actual implementation of the applicable Software version.


15. THIRD-PARTY SOFTWARE AND SERVICES

The Software may include or interact with third-party software, libraries, runtimes, APIs, services, and redistributable components, including Steam and Steamworks.


Third-party components remain subject to their respective licenses and terms.


Required notices may be supplied with the Software, including through a THIRD-PARTY-NOTICES file or other documentation.


Valve Corporation, Microsoft, and other third parties do not become parties to this EULA merely because their products or services interoperate with NitroCore Synapse™.


16. REFUNDS AND PURCHASES THROUGH STEAM

Purchases, payments, and refund requests made through Steam are also subject to Steam's applicable terms and refund policies.


Nothing in this EULA removes or restricts a refund, withdrawal, or consumer right that cannot lawfully be waived.


NitroLabs does not control Valve's independent payment-processing or refund decisions.


The mandatory Demo evaluation is intended to improve the information available to the User before purchase and does not replace or override applicable Steam refund rules or mandatory law.


17. SOFTWARE DEFECTS AND WARRANTIES

Nothing in this Agreement excludes responsibility for a proven defect in the Software where such responsibility cannot lawfully be excluded.


Nothing in this EULA:


  • removes a mandatory consumer right;
  • excludes responsibility for a proven defect in the Software itself;
  • excludes responsibility for a Demo estimate that was materially incorrect because of a proven defect in the Demo;
  • excludes liability that cannot lawfully be excluded or limited; or
  • overrides an express written guarantee issued by NitroLabs.

Except for rights and warranties that cannot lawfully be excluded, actual Software performance varies according to the User's system and operating conditions.


18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, NitroLabs is not responsible for indirect or consequential losses arising solely from:


  • unsupported or defective hardware;
  • failure to follow material warnings;
  • unauthorized modification or circumvention;
  • third-party software, drivers, firmware, malware, overclocking, undervolting, or hardware changes;
  • interruption of critical operations contrary to on-screen instructions; or
  • use of the Software on a system materially different from the system evaluated by the Demo.

Nothing in this section limits liability where applicable law prohibits such limitation.


19. INTELLECTUAL PROPERTY

NitroCore Synapse™, its source code, executable code, architecture, original user-interface elements, graphics, documentation, branding, logos, text, and proprietary technology are owned by or licensed to NitroLabs and are protected by applicable intellectual-property laws.


NitroCore Synapse™ and associated NitroLabs branding may be protected as trademarks or other distinctive signs.


No rights are granted except the limited right to use the Software under this EULA.


20. TERMINATION

This EULA remains effective until terminated.


The User may terminate use by uninstalling and discontinuing use of the Software.


NitroLabs may suspend or terminate a license where permitted by law if the User materially breaches this EULA, uses an unauthorized copy, circumvents licensing or security controls, or fraudulently obtains commercial access.


Provisions concerning intellectual property, unauthorized copying, security circumvention, and other provisions that by their nature must survive termination will remain effective.


21. CHANGES TO THIS EULA

NitroLabs may update this EULA where reasonably necessary to reflect legal, security, platform, service, or Software changes.


Material changes will be made available through an appropriate official channel.


Where applicable law requires renewed consent, continued use alone will not replace legally required consent.


22. GOVERNING LAW AND MANDATORY CONSUMER RIGHTS

To the extent permitted by applicable law, this Agreement is governed by the laws of Brazil.


If the User is a consumer in a jurisdiction providing mandatory protections, those protections — including mandatory rules concerning jurisdiction, remedies, warranties, withdrawals, refunds, and contract interpretation — remain unaffected.


23. SEVERABILITY

If any provision of this EULA is held invalid, unlawful, or unenforceable, that provision will be applied or limited only to the extent legally permitted.


The remaining provisions will remain effective to the extent permitted by law.

ACKNOWLEDGEMENT

BY ACCEPTING THIS EULA AND USING THE FULL COMMERCIAL SOFTWARE, THE USER CONFIRMS THAT THE USER HAS READ AND UNDERSTOOD THIS AGREEMENT, INCLUDING THE MANDATORY PRE-PURCHASE DEMO EVALUATION AND THE LIMITATIONS OF PERFORMANCE ESTIMATES.


IF THE USER CANNOT TRUTHFULLY CONFIRM THAT THE REQUIRED DEMO WAS RUN ON THE INTENDED COMPUTER BEFORE PURCHASE, THE USER SHOULD NOT PROCEED WITH USE OF THE FULL SOFTWARE AND SHOULD USE THE APPLICABLE STEAM REFUND PROCESS IF ELIGIBLE.
