# END USER LICENSE AGREEMENT

This End User License Agreement (the "Agreement") is a legal agreement between you ("you" or the "End User") and شركة الدقة القديمة للنشر الألكتروني, a company organized under the laws of the Kingdom of Saudi Arabia, Commercial Registration No. 110927349, VAT Registration No. 3118420792, with its registered address at [REGISTERED ADDRESS] (trading as "Exouch" and referred to in this Agreement as "Exouch", "we", "us", or "our").
This Agreement governs your use of the video game LoudShot, including any demo, playable build, update, patch, downloadable content, and associated files, documentation, and assets (collectively, the "Software").
By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not download, install, access, or use the Software.
## 1. License Grant
Subject to your compliance with this Agreement, Exouch grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the Software on devices you own or control, solely for your personal, non-commercial entertainment.
This license is granted, not sold. You acquire no ownership interest in the Software.
## 2. License Restrictions
You will not, and will not permit any third party to:
a. copy, reproduce, distribute, sell, rent, lease, lend, sublicense, or otherwise make the Software available to any third party, except as expressly permitted by the Steam platform;
b. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Software, except to the extent this restriction is prohibited by applicable law;
c. modify, adapt, translate, or create derivative works of the Software, or extract, rip, or repurpose any assets, code, audio, art, or other content from the Software;
d. remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Software;
e. use cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software that modifies gameplay or the Software's behavior;
f. use the Software for any commercial purpose, including public performance, commercial hosting, or paid access, without Exouch's prior written consent;
g. use the Software in any manner that violates applicable law or infringes the rights of any third party.
## 3. Intellectual Property
The Software and all intellectual property rights in and to it, including all code, art, characters, audio, music, story, trademarks, and design, are and remain the exclusive property of Exouch and its licensors. All rights not expressly granted to you under this Agreement are reserved by Exouch.
## 4. User-Generated Content and Mods
The Software is not intended to be modified. Modding, custom content, and user-generated content are not authorized under this Agreement. If Exouch enables such features in the future, additional terms will apply. Any feedback, suggestions, or content you provide to Exouch in connection with the Software may be used by Exouch without restriction or compensation to you, to the extent permitted by applicable law.
## 5. Updates
Exouch may, at its discretion, provide updates, patches, or modifications to the Software, and may add or remove features. This Agreement governs any such updates unless they are accompanied by separate terms.
## 6. Third-Party Notices
The Software is created with Unreal® Engine. Unreal® is a trademark or registered trademark of Epic Games, Inc. in the United States of America and elsewhere. Unreal® Engine, Copyright 1998-2026, Epic Games, Inc. All rights reserved.
Epic Games, Inc. is not a party to this Agreement and has no obligations with respect to the Software. Epic Games, Inc. makes no representations, warranties, or conditions, express or implied, regarding the Software, and shall have no liability of any kind arising from or relating to your use of the Software.
The Software may include additional third-party software subject to separate license terms, notice of which is provided with the Software or its documentation where required.
## 7. Steam Platform
The Software is distributed through the Steam platform operated by Valve Corporation ("Valve"). Your use of the Software is also subject to the Steam Subscriber Agreement and any other applicable Valve terms. In the event of a conflict between this Agreement and the Steam Subscriber Agreement with respect to the Steam platform, the Steam Subscriber Agreement governs. Valve is not a party to this Agreement.
## 8. Term and Termination
This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections 3, 6, and 9 through 12 survive termination.
## 9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", with all faults and without warranty of any kind. Exouch and its licensors disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Exouch does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
## 10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Exouch or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to the Software or this Agreement, regardless of the theory of liability. Exouch's total aggregate liability arising out of or relating to the Software will not exceed the amount you paid, if any, for the Software.
## 11. Privacy
Exouch may collect and process limited technical information in connection with the Software, including crash reports, diagnostic data, and gameplay telemetry, for the purposes of operating, maintaining, securing, and improving the Software. Any personal data is collected and processed in accordance with Exouch's Privacy Policy, available at www.exouch.com/privacy. Where the Software is distributed through Steam, the collection and processing of your information by Valve is governed by Valve's own privacy terms. You may exercise the rights available to you as described in Exouch's Privacy Policy.
## 12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement or the Software will be subject to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia, except where mandatory consumer protection law in your place of residence provides otherwise.
## 13. Changes to this Agreement
Exouch may update this Agreement from time to time. The updated Agreement will be effective when made available with the Software or through the Steam platform. Your continued use of the Software after an update takes effect constitutes acceptance of the revised Agreement.
## 14. Severability
If any provision of this Agreement is held unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
