# NavalArt Hull Designer End User License Agreement

This End User License Agreement (the "Agreement") is a legal agreement between you and the Licensor for NavalArt Hull Designer, including its executable software, updates, documentation, and bundled content (collectively, the "Software"). By downloading, installing, launching, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.

The Software is distributed through Steam and is also subject to the Steam Subscriber Agreement and any mandatory Steam terms applicable to your subscription. This Agreement is an app-specific agreement that supplements those terms. Mandatory law prevails where it does not permit a contractual restriction or exclusion.

## 1. License Grant

Subject to this Agreement and your valid Steam license, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices controlled by you.

You may use the Software to create designs and other output for personal or commercial purposes. Each person using the Software must have a valid license unless the Licensor has expressly provided a separate multi-user or commercial-site license.

The Software is licensed, not sold. Except for the limited rights expressly granted here, the Licensor and applicable third-party rights holders retain all rights in the Software.

## 2. Your Projects and Output

As between you and the Licensor, you retain ownership of original projects, designs, images, models, and other content that you create or import into the Software ("User Content"), subject to any rights held by third parties.

The Licensor claims no ownership of your User Content merely because it was created, edited, saved, or exported with the Software. You may use, modify, publish, distribute, or commercially exploit your original output. You are solely responsible for confirming that you have the necessary rights to any imported, referenced, or exported third-party material.

The Software may store a SteamID64 as project-author metadata and may restrict opening another account's project in public release builds. You must not bypass technical account-ownership restrictions. These restrictions do not transfer ownership of User Content to the Licensor.

## 3. Bundled Samples and Third-Party Content

Official sample projects and related sample assets are provided only for learning, testing, compatibility verification, and demonstration unless a separate notice expressly grants broader rights. You may modify them for those purposes, but you may not redistribute, resell, relicense, or commercially exploit a bundled sample asset unless you own it or have separate permission from its rights holder.

`KMS Hindenburg.obj` is original content produced by the project owner and may be included and redistributed only as part of the Software, unless the Licensor separately grants broader permission.

Third-party software and assets included with the Software remain subject to their applicable licenses and notices. Those notices are available in the documentation supplied with the Software. If a third-party license conflicts with this Agreement for that third-party component, the third-party license controls for that component.

## 4. NavalArt Compatibility

The Software is an independent auxiliary editor that can read, create, or export files intended for use with NavalArt. NavalArt and related names, trademarks, software, and content belong to their respective rights holders. Unless expressly stated by the relevant rights holder, the Software is not affiliated with, endorsed by, sponsored by, or officially supported by the developer or publisher of NavalArt.

Compatibility with NavalArt is not guaranteed. Updates to NavalArt, Steam, operating systems, file formats, or third-party components may alter or break import, export, rendering, or other behavior. You are responsible for backing up projects and exported files before using them in another application.

## 5. Restrictions

Except where mandatory law expressly permits otherwise, you must not:

- copy, distribute, rent, lease, lend, sell, sublicense, or provide the Software as a hosted service except as authorized by Steam or the Licensor;
- reverse engineer, decompile, disassemble, or attempt to derive the Software's source code;
- remove or alter copyright, trademark, attribution, license, or technical-protection notices;
- bypass Steam licensing, project-ownership checks, access controls, or other technical restrictions;
- use the Software to infringe intellectual-property, privacy, publicity, contractual, or other legal rights; or
- use the Software in violation of applicable law.

You may make reasonable backup copies of your own project files and User Content.

## 6. Updates, Availability, and Changes

The Licensor may provide patches, updates, compatibility changes, or feature changes. Updates may modify or discontinue features where permitted by law. The Licensor does not promise perpetual availability, compatibility with every hardware or software configuration, or support for every prior project or external file-format version.

Material changes to this Agreement will apply prospectively and will be presented or published as required by applicable law. Continued use after a validly notified change constitutes acceptance where permitted by law.

## 7. Privacy and Local Data

Use of personal data and local application data is described in the Privacy Notice supplied with the Software. The Software may use Steam identity, local project storage, local diagnostics, and user-configured AI services as described there. If Steam Cloud is enabled for the Software, Steam may automatically synchronize configured project files under the applicable Steam terms and privacy notices.

You are responsible for maintaining backups. Uninstalling the Software may not remove projects, settings, logs, cloud copies, or other user data. You should remove those items separately when required.

## 8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available," with all faults and without warranties of any kind. The Licensor disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and compatibility.

The Software is a design and file-conversion tool. It is not engineering-certification, naval-architecture, structural-safety, manufacturing, or professional advice. Do not rely on it for real-world vessel safety, construction, regulatory compliance, or life-critical decisions.

Nothing in this Agreement excludes statutory warranties or consumer rights that cannot legally be excluded.

## 9. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, projects, designs, or use, arising from or related to the Software, external services, or this Agreement.

To the maximum extent permitted by applicable law, the Licensor's total aggregate liability arising from or related to the Software or this Agreement will not exceed the greater of (a) the amount you paid for the Software during the twelve months before the event giving rise to the claim or (b) the minimum amount of liability that applicable law requires.

These limitations do not apply to liability that cannot legally be limited, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable law so provides.

## 10. Indemnity

Where permitted by applicable law, you agree to indemnify and hold the Licensor harmless from third-party claims, damages, and reasonable costs arising from your unlawful use of the Software, your User Content, or your violation of third-party rights. This section does not require a consumer to indemnify the Licensor where such a requirement is prohibited by law.

## 11. Termination

This Agreement remains effective until terminated. Your rights terminate automatically if you materially breach this Agreement and do not cure the breach where a cure is legally required. Upon termination, you must stop using and uninstall the Software, subject to any continuing rights provided by Steam or mandatory law.

Termination does not take ownership of your User Content away from you. Sections that by their nature should survive termination, including ownership, restrictions, disclaimers, limitations of liability, and dispute terms, will survive.

## 12. Governing Law and Disputes

This Agreement is governed by the laws of mainland China, excluding its conflict-of-law rules.

Any dispute arising out of or relating to this Agreement should first be addressed through a reasonable good-faith attempt to resolve the matter using the contact method stated above. If the dispute cannot be resolved, either party may bring proceedings before a competent People's Court at the Licensor's domicile. This does not limit any rights that users may have under mandatory consumer-protection laws, including the right to bring or defend proceedings in another competent jurisdiction or to rely on other applicable mandatory laws.

## 13. General Terms

If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign this Agreement except where mandatory law permits; the Licensor may assign it in connection with a transfer of the Software or its business, subject to applicable law.

This Agreement, the Privacy Notice, applicable third-party notices, and the Steam terms constitute the agreements governing your use of the Software. If translations differ, the interpretation required by mandatory law will apply; before release, the Licensor should designate the controlling language for jurisdictions where that designation is permitted.
