MINIKO — END USER LICENSE AGREEMENT (Steam Edition

This End User License Agreement ("Agreement") is a legal agreement between you ("you," "your") and IKO Studios ("we," "us," "our") for the Miniko software, including all files, assets, updates, and accompanying content (the "Software"). By purchasing, downloading, installing, or using Miniko through Steam, you agree to be bound by this Agreement.

Your purchase and download of Miniko through Steam is also subject to the Steam Subscriber Agreement and applicable Valve policies. In the event of any conflict between this Agreement and the Steam Subscriber Agreement regarding the storefront transaction, payment, or refunds, the Steam Subscriber Agreement governs.

When you purchase Miniko on Steam, IKO Studios grants you a perpetual, non-exclusive, non-transferable license to install and use the Software on Windows 10, Windows 11, and macOS, subject to this Agreement. Your ownership and entitlement are managed through your Steam account under the Steam Subscriber Agreement; no separate license key or device-activation limit applies to the Steam edition.

Your license permits:

• Commercial streaming on Twitch, YouTube, Kick, and similar platforms.
  
• Monetized content, including subscriptions, sponsorships, advertising, donations, and paid content created using Miniko.
  
• Use across major streaming and video platforms (Twitch, YouTube, TikTok, Instagram, Reels, Shorts).
  
• Non-streaming use, including Discord voice/video calls, Zoom meetings, and podcasts.
  
• Educational and classroom use.
  
• Personal and creative use.

You agree NOT to:

• Resell, rent, sublicense, share, or transfer the Software or your license to any third party.
  
• Distribute the Software or its installer.
  
• Reverse engineer, decompile, or disassemble the Software, or attempt to access its source code, except to the extent this restriction is prohibited by applicable law.
  
• Import third-party avatar art. This feature is not currently supported; if enabled in a future version, this Agreement may be updated accordingly.
  
• Impersonate real people in ways that could create liability for IKO Studios, including defamation or fraud.
  
• Use the Software for any illegal purpose in your jurisdiction.

Whether any of these terms have been violated is reasonably determined at the sole discretion of IKO Studios.

You are free to use Miniko to create the content you choose, including adult or NSFW content. You are solely responsible for how you use the Software and for any content you create with it, including complying with the laws of your jurisdiction and the rules of the platforms where you share it. IKO Studios does not monitor, review, or assume any liability for user-generated content created with Miniko.

You retain creative ownership of the avatars you build in Miniko, subject to the following:

• Format restriction. Avatar files are saved in Miniko's proprietary format and cannot be exported to other software (Veadotube, VTube Studio, or any other PNGTuber/VTuber tool).
  
• Resale restriction. You may not sell, license, or transfer avatars built in Miniko to third parties as standalone assets.
  
• Promotional export. You may export your avatar as a static image for use in thumbnails, social media, promotional art, and similar marketing for your own streams or content.
  
• Marketing license to IKO Studios. By creating avatars in Miniko, you grant IKO Studios a non-exclusive, royalty-free, worldwide license to display user-created avatars in Miniko's marketing materials (website, social media, promotional content) without further compensation or notice.

Miniko offers optional webcam-based face tracking and microphone-based mouth animation. This processing happens locally on your device. IKO Studios does not record, capture, transmit, or store your webcam feed, your face, or your microphone audio, and does not store images of your avatar or your face on its servers. Software updates and avatar assets are delivered via Cloudflare's content delivery network, which processes standard request data (such as IP address) for delivery only. • Free updates and new content (accessories, outfits, expressions) are included while Miniko is actively supported.
  
• IKO Studios makes no guarantee of perpetual updates and may discontinue Miniko at any time. If discontinued, existing users retain access to the last working version, and we will provide reasonable advance notice to the community.
  
• IKO Studios may, at its sole discretion, release optional paid content (add-ons, cosmetic items, asset packs, premium features) separately from the core Software. Your purchase grants a license to the core Software and included updates but does not entitle you to any future optional paid content.

Miniko is sold on Steam by Valve. Refunds for purchases made through Steam are handled by Valve in accordance with the Steam Refund Policy (https://store.steampowered.com/steam_refunds/). IKO Studios does not separately process refunds for Steam purchases.

This license is effective until terminated. Your rights under this Agreement terminate automatically, without notice, if you fail to comply with any of its terms. IKO Studios may also terminate the license for payment fraud, chargebacks, or use of the Software in ways IKO Studios reasonably determines to be inappropriate, abusive, or harmful. Upon termination you must cease all use of the Software. Termination of this license does not affect Valve's rights or your Steam account status, which are governed by the Steam Subscriber Agreement.

Miniko is provided "AS IS," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Software will be uninterrupted, error-free, or compatible with all hardware and software configurations. You use Miniko at your own risk.

To the maximum extent permitted by applicable law:

• IKO Studios' total liability for any claim arising from this Agreement or your use of Miniko is capped at the total amount you paid for your license.
  
• IKO Studios is not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost data, business interruption, inability to stream, or damage to reputation.
  
• IKO Studios is not liable for any failure or issue caused by third-party services Miniko depends on, including Valve/Steam and Cloudflare.

The Software — including its code, design, assets, and the Miniko name and logo — is owned by IKO Studios and protected by copyright and other intellectual property laws. Except for the license expressly granted in this Agreement, no rights are transferred to you.

If you believe content in Miniko infringes your copyright, submit a notice to our designated agent at minikosupport@gmail.com in accordance with the Digital Millennium Copyright Act ("DMCA") or the equivalent law in your jurisdiction. A valid notice must include your physical or electronic signature; identification of the copyrighted work and of the allegedly infringing material; your contact information; a good-faith statement that the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the owner's behalf.

This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-law principles. Any dispute between you and IKO Studios arising out of this Agreement or your use of the Software shall be resolved through binding arbitration in Ontario, Canada, under the Ontario Arbitration Act, on an individual basis; you waive any right to participate in a class, collective, or representative action. Limited exceptions apply for small-claims matters and requests for injunctive relief. This section governs your relationship with IKO Studios regarding the Software; your relationship with Valve and the Steam storefront is governed separately by the Steam Subscriber Agreement.

If any provision of this Agreement is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

We may update this Agreement from time to time. Material changes will be posted with an updated effective date and, where appropriate, communicated to the community. Your continued use of Miniko after such changes constitutes acceptance.
