HIPS N NOSES END USER LICENSE AGREEMENT (EULA)

IMPORTANT NOTICE
This End User License Agreement (the “EULA”) is a legal agreement between you and PepperStones Inc. (주식회사 페퍼스톤즈), a corporation organized under the laws of the Republic of Korea (the “Company,” “we,” “us,” or “our”). By selecting “I Agree” when this EULA is presented, or by downloading, installing, launching, or using HIPS N NOSES, you agree to be bound by this EULA. If you do not agree, do not download, install, launch, or use the Game.

1. Agreement and Scope
1.1 “Game” means HIPS N NOSES, including its executable files, program code, data, characters, story, dialogue, graphics, music, sound, video, interface, documentation, patches, updates, add-on content, downloadable content (“DLC”), and other materials supplied by the Company in connection with the Game.

1.2 You represent that you have the legal capacity to enter into this EULA. If you are a minor or otherwise lack full contractual capacity under the laws of your residence, your parent or legal guardian must review and accept this EULA where permitted by law. You must also satisfy Steam’s minimum-age and account-eligibility requirements.

1.3 This EULA governs the relationship between you and the Company concerning the Game. Your Steam account, payments, refunds, product activation, Family Sharing, and use of the Steam platform itself are separately governed by the Steam Subscriber Agreement and related policies issued by Valve Corporation.

2. Relationship with Steam Terms
2.1 The Game may be distributed through Steam, and a valid Steam account and entitlement to the Game may be required for activation or use of certain features.

2.2 If this EULA conflicts with Steam terms regarding a Steam account, purchase, payment, refund, Family Sharing, platform feature, or service supplied by Valve, the Steam terms control for that matter. This EULA applies, to the extent permitted by applicable law, to the license granted by the Company to use the Game.

2.3 This EULA is between you and the Company. Valve is not a party to this EULA, and Valve’s responsibilities are governed by its separate agreements with you.

3. Limited License
3.1 Subject to your compliance with this EULA and the Steam terms, and while you maintain a valid Steam entitlement, the Company grants you a limited, non-exclusive, non-transferable license to install and use the Game on compatible personal devices for your personal, non-commercial entertainment. This license may be terminated only as provided in this EULA.

3.2 Use through Steam Family Sharing or a similar feature is permitted only to the extent and in the manner allowed by Steam.

3.3 Commercial access or public use of the Game at a PC café, gaming café, educational institution, exhibition venue, paid demonstration space, or other business location requires a valid commercial package under the Steam PC Café Program or the Company’s prior written permission.

3.4 This EULA does not transfer ownership of the Game or any part of it to you. All rights not expressly granted are reserved by the Company and the applicable rights holders.

4. Restrictions
Except where expressly permitted by applicable law, this EULA, or a separate written policy of the Company, you must not:

4.1 Copy, distribute, resell, rent, lease, sublicense, transfer, publicly display, host, or otherwise make the Game or any part of it available to another person, except for Steam-authorized Family Sharing and content creation permitted under Section 8.

4.2 Reverse engineer, decompile, disassemble, or otherwise analyze the Game to discover or reconstruct source code, except to the limited extent that applicable law expressly permits such activity for purposes such as interoperability notwithstanding this restriction.

4.3 Modify, translate, adapt, or create derivative works from the Game outside the scope of mods or tools expressly authorized by the Company.

4.4 Remove, bypass, disable, or interfere with copyright or trademark notices, attribution, technical protection measures, digital rights management, Steam authentication, or access restrictions.

4.5 Create, distribute, or use cheats, bots, trainers, macros, injectors, debuggers, automation tools, malware, or exploit methods to manipulate or disrupt the Game, Steam features, achievements, save data, or another user’s normal use.

4.6 Systematically extract Game files or assets for use in a separate product, asset collection, dataset, or the training, fine-tuning, evaluation, or generation of an artificial-intelligence or machine-learning model, unless the Company has given prior written permission.

4.7 Use the Game for unlawful activity, infringement of third-party rights, a security breach, or distribution of harmful content.

5. Ownership and Third-Party Components
5.1 The Game and all copyrights, trademarks, logos, characters, settings, program code, audiovisual elements, and other intellectual-property rights in it are owned by the Company or its licensors and are protected by copyright, trademark, and other applicable laws and international treaties.

5.2 The Game may include third-party software, middleware, fonts, open-source components, music, or other licensed materials. Those components may be governed by third-party notices or separate licenses supplied with the Game. If such a license conflicts with this EULA, the third-party license controls for the relevant component.

5.3 You may not use the Company’s name, trademarks, logos, or the Game title in a way that falsely suggests endorsement, affiliation, or sponsorship.

6. Early Access, Updates, and Changes to the Game
6.1 The Game may be offered through Steam Early Access. An Early Access version is a work in progress and may contain incomplete features, bugs, performance issues, temporary content, or save-data compatibility problems.

6.2 During development, the Game’s balance, systems, content, story, graphics, price, supported devices, save format, or features may be added, changed, redesigned, or removed. Except for rights guaranteed by applicable law, the Company does not guarantee any particular feature, content, development schedule, full-release date, or permanent save-data compatibility.

6.3 The Company may provide patches and updates for security, legal compliance, bug fixes, performance, game design, or service operation. Updates may be installed automatically through Steam, and the Game or certain features may become unavailable unless you install the latest version.

6.4 The Company may modify, suspend, or discontinue a feature or service for a reasonable legal, security, technical, design, or operational reason. The Company will provide any notice or remedy required by applicable law.

7. Internet Connection, Steam Features, and Save Data
7.1 Initial activation, updates, Steam Achievements, Steam Cloud, or other platform features may require an internet connection and Steam login. Offline availability may vary based on Steam settings, the Game version, and technical conditions.

7.2 The availability of Steam and third-party networks is outside the Company’s direct control. To the extent permitted by applicable law, the Company is not responsible for interruption of platform features caused by an outage of Steam or a communications provider.

7.3 Steam Cloud is a convenience feature and may not be a complete backup service. You should maintain local backups of important save data where reasonably possible. Save data may be reset, damaged, become incompatible, or be affected by an update, device change, synchronization conflict, file corruption, or the Early Access development process.

8. Videos, Streaming, Fan Content, and Mods
8.1 The Company permits you to create videos or live streams containing Game footage, screenshots, and commentary, publish them on video, streaming, or social-media platforms, and monetize them through the platform’s advertising, subscription, sponsorship, or donation features.

8.2 This permission is subject to the following conditions: you must (a) not falsely present the content as officially endorsed or affiliated with the Company; (b) not disclose material subject to confidentiality, an embargo, or a release restriction; (c) not distribute the soundtrack, cutscenes, voice files, art assets, or large portions of Game content on a standalone basis in a manner that substantially replaces the need to buy or play the Game; and (d) comply with third-party rights, platform rules, and applicable law.

8.3 Some music or other third-party material in the Game may be separately licensed and may be restricted, claimed, or revenue-shared by a platform’s automated copyright system. This EULA does not grant you any third-party right that the Company does not own or control.

8.4 You may create and distribute mods only where the Company permits them through official tools, Steam Workshop, or a separate written policy. An authorized mod must generally be non-commercial, must not include or redistribute the base Game or paid content, must not bypass access restrictions, and must not infringe another person’s rights. You retain rights in new material you independently create, but you acquire no rights in the pre-existing Game intellectual property.

8.5 The Company may reasonably limit or withdraw permission for particular content to prevent infringement, security risk, unlawful activity, or brand confusion. For content already published in compliance with this Section, the Company will take applicable law and legitimate reliance interests into account.

9. Additional Content, Purchases, and Refunds
9.1 Unless separate terms are presented, this EULA also applies to DLC, expansions, and other add-on content for the Game.

9.2 Purchases, payments, taxes, regional pricing, gifts, key activation, and refunds through Steam are governed by the Steam terms, Steam refund policy, and applicable law. Nothing in this EULA limits any mandatory consumer right to a refund, remedy for defects, or other statutory relief.

9.3 If the Company later offers optional paid content, its price, functions, and applicable conditions will be disclosed before purchase.

10. Privacy and Data
10.1 If the Company processes personal data, that processing is governed by the Company’s Privacy Policy made available on the Game’s Steam store page, the official website, or in the Game, and by applicable law. Where consent is legally required, the Company will request it separately.

10.2 Steam separately processes information relating to your Steam account, purchases, platform use, and Steam Cloud under Valve’s privacy policies.

10.3 The Game may create local save files, configuration files, and logs on your device. If the Company collects diagnostics, crash reports, gameplay statistics, or support information, the applicable Privacy Policy or consent screen will describe the data, purpose, retention period, and available choices.

11. Term, Suspension, and Termination
11.1 This EULA takes effect when you accept it and continues until terminated. You may terminate it at any time by stopping use of the Game and deleting installed copies.

11.2 The Company may restrict your use of the Game or terminate this EULA if you materially breach it; engage in fraud, unlawful activity, a security breach, or intellectual-property infringement; lose your entitlement to the Game through a valid process; or where action is required by law or platform operation. Where reasonably possible, the Company will provide notice and an opportunity to cure a breach, but it may act immediately for an urgent legal or security reason.

11.3 Upon termination, the license granted to you ends, and you must stop using the Game and delete copies supplied directly by the Company. Treatment of the Game in your Steam account or library and any refund eligibility are governed by the Steam terms and applicable law.

11.4 Sections 5, the portions of Section 8 necessary for content already published, Sections 10, 12, 13, and 15, and provisions that by their nature should survive will remain effective after termination.

12. Disclaimer of Warranties
12.1 To the maximum extent permitted by mandatory law, the Game is provided “as is” and “as available.” The Company does not warrant that the Game will always be uninterrupted, error-free, secure, free of data loss, compatible with every hardware configuration, driver, or operating system, or suitable for your particular purpose or expectations.

12.2 An Early Access version may contain incomplete features and known or unknown defects. You should review the Early Access disclosure and system requirements on the Steam store page before purchase.

12.3 This Section does not exclude or limit any statutory guarantee, conformity right, remedy for defects, repair, replacement, refund, or damages available to a consumer under applicable law. The Company will provide reasonable support in accordance with its published support policy and applicable law.

13. Limitation of Liability
13.1 To the maximum extent permitted by applicable law, the Company is not liable for indirect, special, incidental, punitive, or consequential loss; loss of profit, opportunity, or reputation; or loss of data or data-recovery costs arising from or related to the Game, except where such exclusion is not legally permitted.

13.2 To the extent permitted by applicable law, the Company’s aggregate liability arising from or relating to this EULA or the Game will not exceed the total amount you actually paid for the Game and the related additional content giving rise to the claim. If applicable law requires a higher minimum liability, that higher amount applies.

13.3 Nothing in this EULA excludes or limits liability for the Company’s willful misconduct or gross negligence, fraud, death or personal injury, mandatory consumer-law liability, or any liability that cannot legally be limited.

13.4 Some jurisdictions do not allow certain warranty disclaimers or limitations of damages, so part of this Section may not apply to you. In that event, the Company’s liability is limited only to the maximum extent permitted by applicable law.

14. Export Controls and Legal Compliance
You must comply with applicable export-control, economic-sanctions, customs, and trade laws when using or transferring the Game. You must not export, re-export, provide, or use the Game for a prohibited country, territory, person, entity, or end use.

15. Governing Law and Disputes
15.1 This EULA is governed by the laws of the Republic of Korea, excluding its conflict-of-laws rules.

15.2 A dispute arising from or relating to this EULA or the Game may be brought before a court having jurisdiction under the applicable rules of civil procedure. If you are a consumer, this Section does not deprive you of any mandatory consumer protection, governing-law choice, or jurisdiction right under the laws of your habitual residence.

15.3 If a dispute arises, the parties may first attempt in good faith to resolve it through the support contact below. This does not limit a right to urgent legal relief or suspend any statutory limitation period.

16. Changes to this EULA
16.1 The Company may amend this EULA to reflect changes in law or regulation, security, technology, Game features, service operation, or to clarify its wording.

16.2 The Company will give reasonable advance notice of a material change through a Steam announcement, store page, in-Game notice, official website, or another reasonable method. If applicable law requires separate consent, the Company will obtain it. Changes apply prospectively from their effective date to the extent permitted by law and will not unfairly reduce rights that have already accrued.

16.3 If you do not agree to an amended EULA, you may stop using the Game. To the extent permitted by applicable law, continued use after the effective date constitutes acceptance of the amended EULA.

17. General, Contact, and Language
17.1 This EULA, the Steam terms, the applicable Privacy Policy, and third-party licenses supplied with the Game form the entire agreement within their respective scopes concerning your use of the Game. This EULA replaces prior versions from its effective date, without affecting rights or obligations that lawfully accrued earlier.

17.2 If a provision of this EULA is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.

17.3 A failure by the Company to enforce a right immediately is not a waiver of that right. You may not assign your rights under this EULA except as permitted by the Steam terms or applicable law. The Company may transfer this EULA to a successor in connection with a merger, reorganization, transfer of business, or sale of assets, subject to any requirements of applicable law.

17.5 This EULA may be provided in multiple languages. To the extent permitted by applicable law, the Korean-language version controls in the event of an inconsistency among translations. Mandatory consumer rights and local-language interpretation rules under the laws of a consumer’s residence remain unaffected.
