# End User License Agreement — MPE Insight

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Christophe Kalkau ("Licensor", "we", "us") for the software product MPE Insight, including any associated media, and electronic documentation (the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
## 1. License Grant
Subject to your compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business use on devices you own or control, in accordance with the terms provided by Steam and subject to Steam's Subscriber Agreement.
This Agreement is additional to, and does not replace, Steam's Subscriber Agreement.
## 2. Restrictions
You may not:
- Copy, modify, adapt, or create derivative works of the Software, except where expressly permitted by applicable law;
- Reverse engineer, decompile, or disassemble the Software, except where such restriction is prohibited by applicable law;
- Rent, lease, lend, sell, redistribute, or sublicense the Software;
- Remove or alter any proprietary notices or labels contained in the Software;
- Use the Software for any unlawful purpose.
## 3. Intellectual Property
The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to trademarks or service marks of Licensor.
## 4. User Data and Privacy
The Software allows you to record, export, and store MIDI/MPE performance data, presets, and snapshots locally on your device. Such data remains your property.
The Software does not collect, transmit, or process personal data.
The Software may check for updates by contacting Licensor's update server. This process only transmits non-personal technical information required for version verification.
## 5. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Licensor does not warrant that the Software will be error-free or uninterrupted.
This limitation does not affect any statutory rights that cannot be excluded or limited under applicable law, including mandatory consumer protection rights under the laws of the European Union and Germany.
## 6. Limitation of Liability
To the maximum extent permitted by applicable law, Licensor shall be liable without limitation for intent and gross negligence.
In cases of simple negligence, Licensor shall only be liable for the breach of essential contractual obligations (cardinal duties). In such cases, liability shall be limited to the typically foreseeable damages at the time of contract conclusion.
The above limitations of liability shall not apply in cases of injury to life, body, or health.
Liability under the German Product Liability Act remains unaffected.
Any further liability of Licensor is excluded.
## 7. Term and Termination
This Agreement remains effective until terminated.
Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms.
Upon termination, you must cease all use of the Software and uninstall it.
Termination does not affect any rights under applicable Steam refund policies.
## 8. Updates
Licensor may release updates, patches, or new versions of the Software. This Agreement applies to all such updates unless they are accompanied by a separate license.
## 9. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Germany, without regard to its conflict of law principles.
This choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you have your habitual residence.
## 10. Miscellaneous
If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements or understandings.
