1. Scope, publisher and acceptance
Desktop Companion (the "Software") is published by DokProd (the "Publisher"). These terms of use (the "Terms") govern your use of the Software.You accept these Terms by agreeing to the contract presented by the distribution platform before the Software is installed. That acceptance forms a contract with the Publisher and confirms that you have read these Terms. Without acceptance, the Software can be neither installed nor used.
The Software is a desktop companion driven by artificial intelligence: an avatar displayed over your screen talks with you through text and voice and, if you enable it, can look at what is on your screen and react to it.

2. Minimum age
The Software is restricted to people aged 18 or over. By accepting these Terms you confirm that you are at least 18 years old.This age limit is not a formality. The Software lets you write your companion's personality freely, and the conversations it produces are open-ended and unsupervised. It is not designed for minors and includes no parental controls.
If you install the Software on a shared device, it is up to you to restrict access to adults.
3. Intellectual property, licence and restrictions
The Software — its source and object code, its architecture, its interfaces, its graphical and audio assets, its texts, its personality, orchestration and moderation instructions, its documentation, and its name and logos — is the exclusive property of the Publisher or its licensors. It is protected by copyright and, where applicable, by trade mark law and database rights.The Publisher grants you a personal, non-exclusive, non-transferable and revocable right to use the Software for your own purposes. This does not transfer any ownership of the Software or its components to you.
Except where mandatory law provides otherwise, you agree not to:
- resell, rent, lend, sublicense, distribute or otherwise make the Software available to third parties, whether free of charge or not;
- reproduce, modify, adapt, translate the Software or create derivative works from it;
- decompile, disassemble or reverse engineer it in any way, or attempt to extract its source code, algorithms or internal instructions, in particular its personality, orchestration and moderation instructions;
- extract, copy or reuse, by automated means or otherwise, the resources supplied with the Software (models, voices, animations, graphical assets) beyond its normal use;
- circumvent, disable or tamper with its licensing, verification, store-integration or moderation mechanisms;
- remove or obscure intellectual property notices and credits;
- use the Software, its components or its resources to design, develop, train or market a competing product or service;
- use the Publisher's name, logos or visual identity without prior written consent, other than in accurate credit notices.
These restrictions apply without prejudice to the rights mandatory law grants you, in particular the right to obtain the information needed to achieve interoperability of the Software with other programs, under the conditions set out in Article 6 of Directive 2009/24/EC and Article L.122-6-1 of the French Intellectual Property Code. Before undertaking such work, you are invited to contact the Publisher, who may supply the information you are looking for directly.
The Software relies on open source components whose respective licences are provided in the accompanying documentation. Those licences prevail over these Terms as regards those components.
All rights not expressly granted to you under these Terms remain reserved to the Publisher and its licensors.
4. You are interacting with an artificial intelligence
Your companion is an artificial intelligence system. It is not a person. It has no consciousness, no emotions and no intentions, whatever personality you give it and however good the conversation feels.Replies are generated statistically. They can be wrong, out of date, inconsistent, biased or unsuited to your situation, including when they sound confident. Check any information before acting on it.
The synthetic voice and the avatar's reactions are also artificially generated. If you share or publish content produced by the Software, it is up to you to disclose its artificial origin where applicable law requires it.
5. Third-party models and services
The Software downloads and runs AI models that are not published by the Publisher. This includes the language models, the moderation model and the speech recognition and speech synthesis models supplied with it, as well as any model file you load yourself.These are made available to you under a licence agreement between you and their respective provider. The Publisher is not a party to that agreement: it merely makes these items reachable from the Software.
It is up to you to read those licences and comply with them, in particular when you load a model file of your own choosing. The Publisher exercises no control over the models you choose to use in this way and accepts no responsibility for their behaviour, availability or output.
Models without safeguards
- Some publicly distributed models have been modified to strip out their internal safeguards. Loading them into the Software is your decision alone and your responsibility alone.
- It does not release you from the law or from section 7 of these Terms, which applies identically whatever model is used.
- The Software's moderation filters remain active on such models, without any guarantee as to their effectiveness (see section 8).
This version of the Software queries no external AI service: every model it uses runs on your own machine.
6. Restrictions applying to Google Gemma models
The Software distributes and runs models from the Gemma family, published by Google. These models are provided under and subject to the Gemma Terms of Use available at ai.google.dev/gemma/terms, a copy of which is supplied with the Software.The use restrictions below are carried over from section 3.2 of the Gemma Terms of Use and from the Gemma Prohibited Use Policy (ai.google.dev/gemma/prohibited_use_policy). They are a contractual obligation on you, enforceable under these Terms, and they add to section 7.
You must not use the Gemma models to
- produce or share content that infringes third-party rights, including intellectual property rights;
- facilitate or promote illegal, dangerous or malicious activity, including content related to child sexual abuse or exploitation, access to illegal substances or goods, or violent extremist and terrorist content;
- produce sexually explicit content, in particular for pornographic purposes or sexual gratification;
- harass, intimidate, demean, or promote hatred or violence against individuals or groups;
- generate deceptive or fraudulent content, spam, phishing campaigns or malware;
- engage in or facilitate the illegal or unlicensed practice of a regulated profession, including legal, medical, accounting or financial practice;
- attempt to override or circumvent the safety filters of the models, or deliberately drive them to act against the Gemma Prohibited Use Policy.
Google reserves the right to restrict use of the Gemma models where it reasonably believes the Gemma Terms of Use are being breached. These restrictions also apply to anyone to whom you give access to the models or their derivatives.
Required notice: "Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms".
Other models distributed with the Software are subject to their own licences, provided in the accompanying documentation.
7. Prohibited uses
You are responsible for how you use the Software and for the content you produce with it. The prohibitions below apply to every feature, whatever model is used, whether supplied with the Software or loaded by you.Absolute prohibitions
- Producing, requesting, holding or sharing child sexual abuse material or content depicting the sexual exploitation of minors, in any form whatsoever, including text, audio and synthetic media.
- Producing or manipulating intimate or sexually explicit content depicting a real, identifiable person without their freely given, specific, informed, unambiguous and explicit consent, including by cloning or imitating that person's voice.
- Circumventing, disabling, degrading or attempting to neutralise the Software's moderation filters, or deliberately driving a model to produce any of the content listed in this section.
You must also not use the Software to:
- commit, prepare, facilitate or encourage a criminal offence;
- harass, threaten or defame a person, or invade their privacy;
- produce or share hateful or discriminatory content, or content glorifying violence, terrorism or crimes against humanity;
- impersonate a real person, in particular by reproducing their voice or appearance in a misleading way;
- design, distribute or run malware, or carry out cyberattacks;
- infringe third-party intellectual property rights;
- produce disinformation, in particular about elections or public health;
- give medical, legal, financial or tax advice presented as coming from a qualified professional.
Live streaming and distribution platforms
- If you stream or otherwise publicly share your use of the Software, you remain bound by the streaming platform's rules, which apply in addition to these Terms.
- Live generation of adults-only sexual content is prohibited by some game and application distribution platforms. Complying with those rules is your responsibility.
Breaching this section immediately ends your right to use the Software, without prejudice to any action available at law.
8. Moderation: what it does and what it does not guarantee
The Software includes technical measures intended to reduce the risk of unlawful content being produced. They combine deterministic filtering with a moderation model applied to every reply before it is shown, spoken or stored. In this version these measures are always active, whatever model produces the reply, and cannot be disabled.These measures are an obligation of means, not of result. No automated moderation is infallible: it can let unwanted content through, and it can block legitimate content.
Their existence does not entitle you to test their limits. Any attempt to circumvent them is a clear breach of these Terms (section 7).
The Publisher may change these measures at any time, including by strengthening them, without this giving rise to any compensation.
9. Your content: characters, personalities and memories
The Software lets you create characters, write their personality and build up a memory of your conversations. This content is yours: the Publisher claims no ownership over what you write or over what the Software produces from your instructions.This content stays on your machine. The Publisher has no access to it and does not collect it.
In return, you alone are responsible for it. A personality instruction is a directive given to the model: writing one so as to obtain content prohibited by section 7 makes you fully responsible for it.
If you import an avatar model, a voice or any other resource, you warrant that you hold the rights required for that use.
10. Screen, microphone and personal data
The Software runs locally. Your conversations, screenshots, voice recordings and memories are processed on your machine and do not leave it. The only exception is the optional Twitch co-host feature: when you enable it and connect your account, the messages your companion posts are sent to Twitch, exactly as a message you would type there yourself.The Publisher collects no conversation data, carries out no profiling and sells no data. Your acceptance of these Terms is recorded by the distribution platform, not by the Publisher.
Vision mode and microphone
- When vision mode is on, the Software periodically captures your screen. Anything visible there may be sent to the model: open documents, messaging apps, credentials, work or medical data.
- Those captures are processed on your machine and are transmitted neither to the Publisher nor to any third party.
- Turn vision mode off before handling confidential data, and obtain the consent of any third party whose image or voice could be captured by your screen or microphone.
Where you use the Software in a professional context, or process personal data about third parties through it, you are the data controller within the meaning of the General Data Protection Regulation.
11. Wellbeing and reasonable use
The Software is an entertainment and assistance product. It replaces neither a doctor, nor a psychologist, nor a lawyer, nor a financial adviser, and its replies are never professional advice.Do not use it in an emergency. If you or someone close to you is in danger, contact the emergency services or a dedicated helpline.
A companion designed to be endearing can become exactly that. If you notice your use intensifying, displacing your real relationships, or becoming a source of anxiety when interrupted, take a break and talk to someone you trust or to a professional.
The attachment you may feel is real; what you are attached to is not. Keep that in mind.
12. Credits and third-party obligations
The Software includes third-party components and resources whose terms apply to you when you share the result.VOICEVOX — credit notice required
- If you publish or stream audio produced with a VOICEVOX voice, you must display a credit identifying VOICEVOX and the voice used, in the form "VOICEVOX:voice name".
- Each voice has its own terms, set by its rights holder, which may restrict certain uses. Read them before sharing anything.
- If you allow a third party to reuse that audio, you must impose the same obligations on them.
The avatar display technologies, the 3D and 2D models supplied with the Software, and the open source libraries it embeds are subject to their respective licences, reproduced in the accompanying documentation. Avatar models you import yourself remain governed by their authors' terms.
13. Warranties, liability and indemnity
The Software is provided "as is". The Publisher does not warrant that it will run without interruption or error, that it will be compatible with your hardware, or that its output will be accurate or fit for your purposes.Limitation of liability
- The Publisher is not liable for indirect damage, including loss of data, loss of business, loss of opportunity or reputational harm, arising from the use of or inability to use the Software.
- The Publisher is not liable for content generated by the models, nor for decisions you take on the strength of that content.
- The Publisher is not liable for the behaviour, availability or output of the third-party models and services referred to in section 5.
- Save for gross negligence or wilful misconduct, the Publisher's total liability is limited to the amount you actually paid to acquire the Software.
Nothing in these Terms excludes or limits the Publisher's liability for fraud, gross negligence, personal injury or death, nor sets aside the statutory guarantees of conformity and against hidden defects available to you as a consumer.
You will indemnify the Publisher against any third-party claim arising from your use of the Software in breach of sections 6 and 7, or in breach of the law.
14. Governing law, withdrawal and changes
These Terms are governed by French law. As a consumer, you keep the benefit of the mandatory provisions of the law of your country of residence.In the event of a dispute, first send a written complaint to the Publisher at desktopwaifu@gmail.com. The Publisher undertakes to reply within a reasonable time.
Failing an amicable resolution, you may bring the matter before the competent court.
If you decline these Terms after acquiring the Software, it cannot be used. Any refund request must then be addressed to the platform where the purchase was made, under its own procedures.
The Publisher may amend these Terms. Any substantive change will be presented to you through the distribution platform and must be accepted in order to keep using the Software. Prior use remains governed by the version you had accepted.
The French version of these Terms prevails. Versions in other languages are provided for convenience; in the event of a discrepancy, the French version governs.
