UPGRADIA END USER LICENSE AGREEMENT AND TERMS OF SERVICE

This End User License Agreement and Terms of Service ("Agreement") is a legal agreement between you and Mytharia LTD ("we", "us", "our") for your use of Upgradia, including the game, desktop client, website, accounts, online services, and related features.

By installing, accessing, creating an account for, or using Upgradia, you agree to this Agreement. If you do not agree, do not install or use Upgradia.

2. Eligibility and Accounts

You must be legally allowed to agree to this Agreement in your country. If you are under 13, you may not create an account or use Upgradia.

You are responsible for your account, login details, Steam-linked access, and all activity on your account. You must provide accurate information and must not sell, share, rent, transfer, or trade your account without our written permission.

3. License to Use Upgradia

We grant you a limited, personal, revocable, non-exclusive, non-transferable, non-commercial license to install, access, and play Upgradia for personal entertainment.

You do not own Upgradia, the software, online services, game content, virtual items, currency, characters, accounts, or progress. These are licensed to you under this Agreement.

You may not copy, modify, distribute, sell, reverse engineer, decompile, exploit, attack, or create derivative works from Upgradia except where allowed by law.

4. Steam

If you access Upgradia through Steam, your use of Steam is also governed by the Steam Subscriber Agreement and Steam’s rules.

Purchases, refunds, downloads, and platform entitlements handled by Steam are subject to Steam’s policies and applicable law.

5. Online Service

Upgradia is an online live-service game. Features, balance, content, items, quests, economy, characters, rewards, servers, and availability may change over time.

We may update, patch, rebalance, restrict, suspend, or discontinue parts of the service where needed for security, integrity, legal compliance, maintenance, or game health.

We do not guarantee uninterrupted, error-free, or permanent availability.

6. Early Access and Progress

Upgradia may be offered during beta, testing, or Early Access periods. The current intention is for player progress to carry forward where possible.

However, progress, items, currency, characters, or accounts may be changed, rolled back, reset, or removed if required for critical technical, balance, security, legal, fraud-prevention, or game-integrity reasons.

Roadmaps, future features, and release plans are not guaranteed promises.

7. Rules of Conduct

You agree not to:

- Cheat, bot, automate gameplay, exploit bugs, or use unauthorized tools.
- Attack, disrupt, reverse engineer, overload, or interfere with the service.
- Harass, threaten, abuse, scam, impersonate, spam, or target other players.
- Post hateful, illegal, sexual, exploitative, or harmful content.
- Sell, buy, or trade accounts, currency, items, or services outside approved systems.
- Use Upgradia for unlawful activity.
- Evade bans, restrictions, or moderation actions.

We may monitor gameplay, accounts, chat, trades, reports, and technical activity for moderation, anti-cheat, security, fraud prevention, and service operation.

8. User Content

User content includes chat, messages, names, guild content, reports, bug reports, support messages, and other content you submit.

You are responsible for your user content. You grant us permission to use, store, process, display, review, moderate, remove, and disclose it as needed to operate, secure, moderate, improve, and support Upgradia.

9. Moderation and Enforcement

If you break this Agreement or harm the service or community, we may take action including warnings, content removal, chat restrictions, temporary suspensions, permanent bans, account closure, item removal, rollback, or other protective measures.

10. Virtual Items, Currency, and Economy

Upgradia may include virtual items, currency, rewards, characters, progress, achievements, and other digital content.

These are licensed, not sold. They have no real-world cash value unless required by law. They may not be sold, traded, transferred, or exchanged outside approved systems.

We may rebalance, modify, remove, reset, or restrict virtual items, currency, rewards, and systems to protect game health, fairness, security, or legal compliance.

11. Purchases and Refunds

Purchases may be handled by platform providers such as Steam. Refunds are handled according to applicable law and the relevant platform rules.

Chargeback abuse, payment fraud, or entitlement abuse may result in account restrictions or termination.

12. Privacy

Our Privacy Policy explains how we collect, use, store, and protect personal data, including account data, gameplay data, technical data, chat/social data, reports, diagnostics, and purchase/entitlement data.

By using Upgradia, you acknowledge that your data will be processed as described in the Privacy Policy.

13. Intellectual Property

Upgradia, including its code, systems, artwork, characters, music, writing, branding, UI, assets, and related content, is owned by Mytharia LTD or its licensors and is protected by law.

You may not copy, distribute, commercially exploit, or use our intellectual property except as allowed by this Agreement.

14. Termination

You may stop using Upgradia at any time.

We may suspend or terminate your access if you breach this Agreement, create security or fraud risks, harm the community or service, or if required by law.

When your access ends, your license to use Upgradia ends immediately.

15. Disclaimers

Upgradia is provided "as is" and "as available" to the maximum extent allowed by law.

We do not guarantee that the service will always be available, secure, error-free, compatible with every device, or free from bugs.

16. Limitation of Liability

To the fullest extent allowed by law, Mytharia LTD is not liable for indirect, incidental, special, consequential, or punitive losses, including loss of profits, goodwill, data, virtual items, progress, or account access.

Nothing in this Agreement excludes liability that cannot be excluded under applicable law.

17. Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will update the "Last updated" date and present or publish the updated terms in a reasonable way.

Your continued use of Upgradia after changes means you accept the updated Agreement.

18. Governing Law

This Agreement is governed by the laws of England and Wales, except where mandatory consumer protections in your country apply.
