IMPORTANT: THIS AGREEMENT (OR “EULA”) IS A LEGAL AGREEMENT FOR PERSON OR ORGANIZATION (“YOU” OR “CUSTOMER”) TO USE IN COMFORT THE SOFTWARE PROVIDED BY PGN CO. LTD ("PGN"). IF YOU DO NOT AGREE TO THE TERM OF THIS AGREEMENT, YOU MAY NOT USE INFORMATION AND DOCUMENT (“SOFTWARE”) SUCH AS A COMPUTER PROGRAM AND A USER MANUAL BASED ON THIS EULA. THIS IS A LICENSE, WHICH PERMITS THE CUSTOMER NON-EXCLUSIVE RIGHT TO USE THE SOFTWARE. YOU MAY NOT TRANSFER ITS RIGHT TO ANOTHER REGARDLESS OF THE FORM OF USE. INSTALLING OR USING THIS PRODUCT INDICATES YOUR ACKNOWLEDGMENT THAT YOU HAVE READ THIS LICENSE AND AGREE TO BE BOUND BY AND COMPLY WITH ITS TERMS. PGN MIGHT REVISE AN ENTIRE OR ANY PART OF EULA WITHOUT OBTAINING PRIOR APPROVAL OF THE CUSTOMER.

IMPORTANT: IF YOU ARE DOWNLOADING THIS SOFTWARE, READ CAREFULLY THE TERMS AND CONDITIONS OF THE LICENSE BEFORE DOWNLOADING THIS SOFTWARE.

1. General License Agreement Terms:
1.1 You may install and use the Software permitted right to use in accordance of this EULA on single computer regardless of the form of use.
1.2 You may use the Software on another computer in addition to the computer permitted in Section1.1 only when you are the person to use the Software.
1.3 You may not rent, lease, resell, sublicense, lend, transfer and distribute right of Use, other rights and duties based on this EULA of the Software and the Software itself to third parties.
1.4 You may not let several individuals use the Software through the computer network.

2. Modification and decompilation of Software:
2.1 You may not modify, decompile, reverse engineer and disassemble all or any part of the Software.

3. License Restrictions:
3.1 You may not provide all or any part of the Software to any third parties regardless of the form. As well you may not let any third parties use all or any part of the Software regardless of the form.
3.2 You may use the Software after obtaining required information (such as serial key) only by the method PGN established when your authentication is needed in order to use the Software continuously or newly. You may not use the Software continuously or newly by authentication and acquisition of information except the method PGN determined.
3.3 You should carefully keep required information for authentication mentioned in Section3.2 above not to leak to third parties.

4. Limitation of Liability:
4.1 In no event will PGN be liable to you for any direct or indirect damages of any kind caused regardless of your use of the product.

5. License Duration:
5.1 Your license continues effectively from the day you agree with this EULA to the day that it terminates automatically.

6.Miscellaneous
6.1 This Agreement shall be governed by and construed in accordance with the laws of Japan.
6.2 Any legal disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the District Court having jurisdiction over the location of PGN Inc.’s headquarters as the court of first instance.
