End User License Agreement (EULA)
This End User License Agreement (this "EULA") is a contract entered into between NihonGame Co., Ltd. (the "Company," "we," "our," or "us") and the end user of the Product (the "User" or "you"). By installing, launching, or using the Product, you agree to all of the terms and conditions of this EULA. Where we make any material change to this EULA, we will provide advance notice by reasonable means and, where necessary, seek your express consent. If you do not agree to the terms of this EULA, do not use the Product and follow Steam's refund procedure.
Article 1 (Grant of License)
Subject to your compliance with this EULA, we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Product for personal and non-commercial purposes. This license does not transfer to you ownership of, or any intellectual property rights in, the Product.
Article 2 (Prohibited Acts)
You shall not engage in any of the following acts:
Circumventing, disabling, or analyzing the encryption, integrity verification, ownership verification, or any other technical protection measures implemented in the Product, or creating, publishing, distributing, or sharing any tools, information, or procedures intended for such circumvention.
Decompiling, disassembling, or reverse engineering all or any part of the Product or any data incorporated therein (except to the extent expressly permitted by applicable law).
Extracting, decrypting, or separating the game data incorporated in the Product, or otherwise making such data usable independently of the Product.
Except to the extent permitted by applicable law, redistributing, lending, reselling, publicly displaying, adapting, modifying, creating derivative works from, or incorporating into any other software, service, or hardware, all or any part of the Product.
Using the Product through automated tools or in any manner that interferes with the proper operation of the Steam platform.
Using the Product in any manner that violates applicable law or public policy.
However, the foregoing shall not apply to acts that we have separately and expressly permitted.
Article 3 (Intellectual Property Rights)
All copyrights, trademarks, and all other intellectual property rights in the Product and in every element constituting the Product are owned by us or by the licensors who grant licenses to us. The only right granted to you under this EULA is the right of use set forth in Article 1; no other rights are transferred or granted to you.
Article 4 (Disclaimer of Warranties)
The Product is provided "AS IS." Except where warranties are mandatorily required by applicable law, we make no warranty, whether express or implied, regarding merchantability, fitness for a particular purpose, non-infringement, continuity of operation, compatibility with any other software or hardware, or any other matter whatsoever.
Article 5 (Limitation of Liability)
To the maximum extent permitted by applicable law, our aggregate liability to you for damages arising out of any event that directly caused such damages shall not exceed the amount you actually paid on the Steam platform to purchase the Product. We shall not be liable for any loss of profit, loss of data, indirect damages, special damages, incidental damages, or consequential damages.
The limitations in this Article shall not apply to damages caused by our willful misconduct or gross negligence, or to any damages for which limitation of liability is not permitted under applicable law.
Article 6 (Privacy and Data)
The Product itself contains no feature intended to collect the User's personal information.
Information that you provide through the Steam platform, or that is obtained by Valve Corporation, is governed by Valve Corporation's Privacy Policy and other applicable terms established by Valve Corporation.
Article 7 (Support)
We may, at our discretion, provide reasonable technical support for the Product.
However, we assume no obligation to provide support and make no warranty as to its content, level, method, response time, or continuity.
Article 8 (Termination)
If you breach any provision of this EULA, the right of use granted to you shall terminate automatically. Even after termination of this EULA, the provisions of Articles 2, 3, 4, 5, 6, 10, 11, and 12 shall remain in effect to the extent permitted by their nature.
Article 9 (Modifications to this EULA)
We may modify this EULA on account of changes to the Product's specifications, amendments to applicable laws, or other reasonable grounds. In such cases, we will provide advance notice to Users by reasonable means.
Where we make any material change to this EULA, we will, where necessary, seek the User's express consent.
Any modified version of this EULA shall apply prospectively only, starting when the User next uses the Product after the notice described in Paragraph 1 or, in the case of Paragraph 2, after the User has given consent, and shall not retroactively affect any rights or obligations that have already accrued.
Article 10 (Governing Law and Jurisdiction)
This EULA shall be interpreted and applied in accordance with the laws of Japan.
Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
However, where the User is a consumer, any mandatory consumer-protection provisions and jurisdictional rules of the law of the User's place of habitual residence shall prevail over the provisions of this Article.
Article 11 (Language)
This EULA is prepared in Japanese, and any translation into another language is provided for reference purposes only. In the event of any inconsistency or conflict between the Japanese version and any translation, the Japanese version shall prevail. However, the foregoing shall not apply where applicable law provides otherwise.
Article 12 (Statutory Rights)
Nothing in this EULA shall limit any rights granted to the User under applicable law, including the right to a refund, the right to cancel, the right to claim damages, or any other statutory rights.
