This End User License Agreement (the "Agreement") is a legally binding contract between you (the "User" or "you") and Rig Studio, a subsidiary of RIGB ("Licensor", "we", "us", or "our"), governing your installation, access, and use of the software application (the "Software").

PLEASE READ THIS AGREEMENT CAREFULLY. By installing, copying, accessing, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, you are not authorized to install or use the Software.
Subject to your strict compliance with the terms and conditions of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, and non-sublicensable revocable license to install and use the Software for your personal or commercial use, strictly on devices running supported versions of Microsoft Windows.
Unless expressly permitted by applicable law or by written agreement with Licensor, you shall not, and shall not permit any third party to:

• Copy, reproduce, distribute, publicly display, or publicly perform the Software.
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices or labels contained within the Software.
• Use the Software for the purpose of developing competing products, applications, or services.
• Rent, lease, lend, sell, or sub-license the Software to any third party.
• Exploit the Software in any unlawful manner, for any illegal purpose, or in any manner inconsistent with this Agreement or applicable local and international regulations.

The Software is licensed, not sold, to you. All rights, title, and interest in and to the Software—including but not limited to all source code, algorithms, copyrights, trademarks, trade secrets, and other intellectual property rights—are and shall remain the exclusive property of Rig Studio and/or its respective licensors. Licensor reserves all rights not expressly granted to you in this Agreement.
The Software allows you to create, modify, and export digital assets, sprites, and other content ("User-Generated Content" or "UGC"). You retain all ownership and intellectual property rights to the original UGC you create using the Software. Licensor claims no ownership over your exported assets, and you are free to use your UGC for any personal or commercial project. However, you may not extract, isolate, or resell any pre-packaged templates, default assets, or proprietary materials included with the Software as standalone assets.
If you provide Licensor with any feedback, suggestions, bug reports, or ideas regarding the Software ("Feedback"), you grant Licensor a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display the Feedback in any manner and for any purpose, without any obligation or compensation to you.
Licensor may, at its sole discretion, provide updates, patches, or enhancements to the Software. These updates may modify, add, or permanently remove certain features or functionalities. All such updates are subject to this Agreement unless accompanied by a separate license agreement. Licensor is under no obligation to provide any updates or ongoing support.
The Software may incorporate, embed, or otherwise rely on third-party libraries, frameworks, or services. Such third-party components are subject to their respective open-source or commercial licenses, which may be provided separately. Licensor makes no warranties regarding third-party components.
THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR FREE FROM DEFECTS, MALWARE, OR VIRUSES. YOUR USE OF THE SOFTWARE IS AT YOUR OWN DISCRETION AND RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR, RIGB, OR ITS AFFILIATES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Licensor, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of this Agreement, your misuse of the Software, or your User-Generated Content.
You agree to comply with all applicable export and re-export control laws and regulations. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically and immediately without notice from Licensor if you fail to comply with any provision of this Agreement. Upon termination, you must immediately cease all use of the Software and permanently destroy all copies, full or partial, of the Software in your possession or control.
If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect. The failure of Licensor to enforce any right or provision of this Agreement will not constitute a waiver of future enforcement of that right or provision.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Software is commercially distributed, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in that jurisdiction.
This Agreement constitutes the entire and exclusive understanding between you and Licensor regarding the Software, and supersedes any prior or contemporaneous oral or written communications, proposals, or representations.
