Licensor: Black Gate Studios (“Licensor,” “we,” “us,” “our”)
This End User License Agreement (“Agreement”) is a legal agreement between you (“you,” “User”) and Licensor governing your access to and use of the Game and any related updates, patches, and downloadable content, unless accompanied by a separate license.
BY INSTALLING, COPYING, OR USING THE GAME, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE GAME.
1) License Grant
Subject to your compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Game for your personal, non-commercial entertainment purposes on devices you own or control, in accordance with any applicable platform rules.
All rights not expressly granted are reserved by Licensor.
2) Restrictions
You may not, and may not permit others to:
Copy, reproduce, or distribute the Game except as expressly allowed by applicable law or the platform.
Sell, rent, lease, lend, sublicense, assign, or transfer the Game or this license.
Reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, or algorithms, except to the extent permitted by law despite this limitation.
Modify, translate, adapt, or create derivative works based on the Game, except where allowed by law or by Licensor in writing.
Remove, alter, or obscure any copyright, trademark, or proprietary notices.
Use the Game to infringe, violate, or misappropriate intellectual property rights, privacy, or other rights.
Use cheats, automation, bots, or other unauthorized third-party software to modify or disrupt the Game.
3) Ownership
The Game is licensed, not sold. Licensor (and its licensors) retain all right, title, and interest in and to the Game, including all copyrights, trademarks, trade secrets, and other intellectual property rights. The Game may include licensed third-party content; such content is owned by its respective owners.
4) User-Generated Content (If Applicable)
If the Game allows you to create, upload, or share content (“UGC”), you represent that you have all rights necessary to submit such content and that it does not violate law or third-party rights.
By submitting UGC, you grant Licensor a worldwide, non-exclusive, royalty-free license to use, reproduce, modify (for technical purposes), distribute, display, and perform that UGC solely in connection with operating, promoting, and improving the Game. You understand this license may continue for copies retained for backups, legal compliance, or platform functionality.
Licensor may remove UGC at any time for any reason.
5) Online Features and Third-Party Services (If Applicable)
The Game may include online features or interact with third-party services (platform services, analytics, crash reporting, etc.). Licensor does not control third-party services and is not responsible for their content or availability. Your use of third-party services may be subject to their own terms and privacy policies.
Online features may be modified, suspended, or discontinued at any time.
6) Updates, Patches, and Changes
Licensor may provide updates, patches, or changes to the Game. You agree that Licensor may automatically install such updates where permitted by your platform settings. Updates may change or remove features.
7) Termination
This Agreement is effective until terminated. Licensor may terminate or suspend your license immediately if you breach this Agreement. Upon termination, you must stop using the Game and uninstall/delete all copies in your possession or control, except where the platform retains backup copies.
Sections that by their nature should survive (e.g., Ownership, Disclaimers, Limitation of Liability, Governing Law) survive termination.
8) Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GAME IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Licensor does not warrant that the Game will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
9) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LICENSOR OR ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE GAME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE GAME WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE GAME IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $10 IF YOU PAID NOTHING).
Some jurisdictions do not allow limitation of liability for certain damages, so these limits may not apply to you.
10) Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Licensor from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of this Agreement, (b) your misuse of the Game, or (c) your UGC (if applicable).
11) Governing Law and Venue
Except for the arbitration governed by the FAA, this Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.
12) Compliance With Laws / Export
You agree to comply with all applicable laws and regulations, including export and sanctions laws, when using the Game.
13) Severability
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
14) Entire Agreement
This Agreement constitutes the entire agreement between you and Licensor regarding the Game and supersedes any prior agreements on the subject. If you obtained the Game through a platform, platform terms may also apply. In the event of a direct conflict between this Agreement and mandatory platform terms, the mandatory platform terms control for that conflict.
