# KIVA End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Kueizen SAS ("Company," "we," "us") governing your use of KIVA software ("Software").
By installing or using KIVA, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use KIVA for personal, non-commercial purposes on devices you own or control, subject to this Agreement.
You may not:
- Redistribute, sublicense, rent, or lease the Software
- Reverse engineer, decompile, or disassemble the Software, except as permitted by law
- Remove or alter proprietary notices
- Use the Software for any unlawful purpose

KIVA is an AI companion application currently designed to run locally on your hardware. **The Software, its features, and its technical architecture may change over time.** We reserve the right to:
- Add, modify, or remove features
- Change system requirements
- Introduce optional or required online features
- Modify how AI processing is performed
- Update pricing for additional content or services
We do not guarantee that any specific feature, capability, or mode of operation will remain available indefinitely. Early Access software is subject to significant changes.

## 3. AI-Generated Content Disclaimer
KIVA uses artificial intelligence to generate conversational responses. You acknowledge and agree that:
- AI-generated content may be inaccurate, incomplete, inappropriate, or nonsensical
- AI responses do not constitute professional advice of any kind (medical, legal, financial, psychological, or otherwise)
- KIVA is not a substitute for human relationships, professional therapy, or mental health services
- You are solely responsible for how you interpret and act upon AI-generated content
- The Company has no control over specific AI outputs and disclaims all liability for generated content

## 4. User Responsibility and Conduct
You are solely responsible for:
- Your interactions with the Software

- Local storage, backup, and security of your data

You agree not to use KIVA to:
- Generate content that exploits, harms, or endangers minors
- Facilitate illegal activity
- Harass, threaten, or harm any person
- Violate any applicable law or regulation

## 5. Third-Party Components
KIVA incorporates third-party software, including AI models (such as Qwen), libraries, and tools. These components are subject to their own licenses, which you agree to comply with. We do not control third-party components and disclaim liability for their functionality, accuracy, or availability.
AI model files may be downloaded from external sources. You are responsible for reviewing and accepting applicable third-party license terms.

As of the current version, core AI processing occurs locally on your device. However:
- Certain optional features (such as web search or cloud-based voice synthesis) may require internet connectivity and data transmission

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of data, profits, or goodwill
- Emotional distress or psychological harm
- Decisions made based on AI-generated content
- Hardware damage or degradation
- Third-party claims

We are not obligated to provide updates, support, or maintenance.

This license is effective until terminated. We may terminate your license immediately if you breach this Agreement. Upon termination, you must cease all use and delete all copies of the Software.

## 12. Governing Law
This Agreement shall be governed by the laws of Argentina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Buenos Aires, Argentina.

If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in effect.
