END USER LICENSE AGREEMENT (“EULA”)
PLEASE READ THE ENTIRE END USER LICENSE AGREEMENT BEFORE DOWNLOADING, INSTALLING, USING, OR PLAYING THE Neurosis GAME OR ANY RELATED SOFTWARE (collectively referred to as “NEUROSIS GAME”). This agreement contains important provisions that affect your legal rights. By downloading, installing, using, or playing the NEUROSIS GAME, you agree to comply with all provisions of this agreement. If you do not agree to all provisions, do not download, install, use, or play the NEUROSIS GAME. This agreement is entered into between you and PHplay.
1. Legal Obligations
As provided in Section 1 of the Terms of Use, if you reside in the European Economic Area (“EEA”), United Kingdom, Switzerland, Russia, Australia, New Zealand, Turkey, Japan, or Brazil, PHplay recognizes the existence of warranties, guarantees, terms, and conditions imposed by the relevant laws regarding the provision of goods, services, and digital content, which cannot be excluded, limited, or modified except as permitted by law (“Legal Obligations”). No provision of this agreement excludes, limits, or modifies the Legal Obligations contrary to the applicable law.
2. Health and Safety Warnings
2.1 Photosensitivity
A small percentage of individuals may experience seizures or fainting when exposed to certain visual images, such as flashing or flickering lights. If you experience symptoms such as blackout, epileptic seizure, dizziness, altered vision, muscle or eye spasms, involuntary movements, loss of consciousness, disorientation, confusion, or convulsion while using the NEUROSIS GAME, stop using it immediately and consult a physician before returning to the game.
2.2 Virtual Reality
If the software provides virtual reality gameplay and/or use of headsets or related equipment, follow all health and safety precautions of the manufacturer. Failure to comply may cause property damage, bodily injury, or death. Breaks every 10 to 15 minutes are recommended, and long sessions should be avoided. If you are pregnant or have a pre-existing medical condition, consult a physician before playing.
BEFORE PLAYING, CAREFULLY READ THE INFORMATION BELOW
Do not play under the influence of alcohol, drugs, or medication. Stay aware of your environment, play in a safe place, and adjust the volume to protect your hearing. When using virtual reality, PHplay is exempt from any liability related to the use of the headset, equipment, or software.
Keep in mind that some people are susceptible to various symptoms and conditions when playing a NEUROSIS GAME with virtual reality headsets, including:
· epileptic seizure or loss of consciousness;
· altered vision;
· dizziness, vertigo, disorientation, or nausea; and/or
· repetitive strain injuries and eye fatigue.
Stop playing immediately if you do not feel well or experience any of the above symptoms.
3. Dispute Resolution
PHplay’s Terms of Use include an arbitration clause and waiver of class action rights, which may affect your rights in case of disputes. You may choose not to be bound by individual arbitration and the waiver of class action rights, as provided in the Terms of Use.
4. Use and Distribution
All use of the NEUROSIS GAME is governed by this agreement and PHplay’s Terms of Use. The NEUROSIS GAME is made available exclusively to authorized end users. Any unauthorized use, reproduction, modification, or distribution is prohibited. The NEUROSIS GAME, the NEUROSIS GAME Client, related software, and specific content are considered “Service” for the purposes of this agreement. Any rights not granted to the user remain reserved to PHplay.
5. Limited License; Restrictions and Ownership
Upon acceptance of this agreement, you may download, install, and use the NEUROSIS GAME Client on your computer or console, exclusively for recreational and non-commercial purposes. The license is limited, non-transferable, and non-exclusive. The NEUROSIS GAME is licensed, not sold. This license does not confer ownership or title of the NEUROSIS GAME or its copies.
6. Intellectual Property
All rights, title, and interest regarding the NEUROSIS GAME, including source code, images, audio, characters, storyline, and trademarks, belong exclusively to PHplay and its licensors. No ownership rights are transferred to the user. The NEUROSIS GAME is protected by United States copyright laws and international treaties.
7. Restrictions
The user may not:
Modify, adapt, translate, reverse engineer, decompile, or disassemble the game;
Distribute, sell, sublicense, rent, or transfer the game to third parties;
Use the game for commercial purposes without express authorization;
Use cheats, bots, hacks, mods, or unauthorized software;
Engage in any act that violates third-party rights, applicable laws, or that is considered abusive, offensive, or illegal by PHplay.
Any attempt to violate will be considered a contractual breach and may result in legal action and compensation.
8. Warranties and Limitation of Liability
The game is provided “as is,” without any warranties of any kind. PHplay is not liable for direct, indirect, incidental, or consequential damages arising from the use or inability to use the game, except where local law prohibits such limitation.
9. Updates and Support
PHplay may, at its discretion, provide updates or technical support, without obligation to continue.
10. Termination
This agreement will be automatically terminated in the event of any breach of its terms. In case of termination, the user must uninstall and destroy all copies of the game.
11. Export Restrictions
The NEUROSIS GAME may not be exported, re-exported, downloaded, or transferred to countries subject to economic sanctions or to individuals prohibited from receiving goods or services of U.S. origin. The user declares not to be located in such countries or lists.
12. Warranty
If purchased in virtual media, use of the NEUROSIS GAME is subject to the limited warranty included in the manual or material sent with the purchase.
13. Limitation of Liability and Indemnification
To the maximum extent permitted by applicable law, PHplay and its licensors shall not be liable for material, moral, special, indirect, consequential, punitive, collective damages, loss of profits, third-party claims, or loss/damage to systems, hardware, software, records, or data. The user agrees to indemnify PHplay for any liabilities, damages, losses, costs, and expenses arising from misuse or contractual breach.
14. Changes to the Agreement
PHplay may replace this EULA with new versions as the NEUROSIS GAME and the legislation evolve. Continued use of the software after modifications will be interpreted as acceptance of the new conditions.
15. Limited Rights of the U.S. Government
The NEUROSIS GAME is considered “commercial software” and, if acquired by a U.S. Government agency, its use will be governed exclusively by this agreement.
16. Applicable Law and Jurisdiction
For residents of North America, this agreement will be governed by the laws of the State of Delaware, USA. For residents outside North America, it will be governed by the laws of England. Mandatory local laws may apply.
17. General Provisions
This EULA, together with PHplay’s Terms of Use, Privacy Policy, and Code of Conduct, constitutes the entire agreement between the parties. In case of conflict, the provisions of this agreement shall prevail unless expressly stated otherwise. If any clause is deemed invalid, the others will remain valid. No provision grants rights to third parties.
18. Acceptance
By clicking “Accept,” installing, or using the NEUROSIS GAME, the user declares to have read, understood, and agreed to all terms of this agreement.
