February Demo End User License Agreement
THIS END USER LICENSE AGREEMENT ("EULA") IS A BINDING LEGAL AGREEMENT BETWEEN TRR STUDIOS AND YOU AND, IF APPLICABLE, THE COMPANY OR OTHER LEGAL ENTITY YOU REPRESENT (COLLECTIVELY, "YOU" AND "YOUR") REGARDING THE GAME SOFTWARE THAT YOU ARE INSTALLING, INCLUDING ANY ACCOMPANYING MANUAL OR OTHER RELATED MATERIAL PROVIDED BY TRR STUDIOS AS PART OF, OR IN CONNECTION, THEREWITH (COLLECTIVELY, THE "SOFTWARE").
TO ENTER INTO THIS LICENSE AGREEMENT, YOU MUST BE AN ADULT OF THE LEGAL AGE OF MAJORITY IN YOUR COUNTRY OF RESIDENCE. YOU ARE LEGALLY AND FINANCIALLY RESPONSIBLE FOR ALL ACTIONS USING OR ACCESSING OUR SOFTWARE, INCLUDING THE ACTIONS OF ANYONE YOU ALLOW TO ACCESS TO YOUR ACCOUNT. YOU AFFIRM THAT YOU HAVE REACHED THE LEGAL AGE OF MAJORITY, UNDERSTAND AND ACCEPT THIS AGREEMENT (INCLUDING ITS DISPUTE RESOLUTION TERMS). IF YOU ARE UNDER THE LEGAL AGE OF MAJORITY, YOUR PARENT OR LEGAL GUARDIAN MUST CONSENT TO THIS AGREEMENT.
BY CLICKING "I AGREE", OR BY OTHERWISE CONTINUING TO INSTALL, DOWNLOAD, COPY, ACCESS OR USE THE GAME, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, YOU MUST DESELECT "I AGREE" AND YOU MAY NOT CONTINUE TO INSTALL, DOWNLOAD, COPY, ACCESS OR USE THE GAME.
This EULA agreement governs your acquisition and use of February Demo software ("Software") directly from TRR Studios or indirectly through a TRR Studios authorized reseller or distributor (a "Reseller").
Please read this EULA agreement carefully before completing the installation process and using the February Demo software. It provides a license to use the February Demo software and contains warranty information and liability disclaimers.
If you register for a free trial of the February Demo software, this EULA agreement will also govern that trial. By CLICKING "I AGREE" or installing and/or using the February Demo software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.
This EULA agreement shall apply only to the Software supplied by TRR Studios herewith regardless of whether other software is referred to or described herein. The terms also apply to any TRR Studios updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
1. License Grant
TRR Studios hereby grants you a personal, non-transferable, non-exclusive licence to use the February Demo software on your devices in accordance with the terms of this EULA agreement. The Software is licensed, not sold, to you under the License. The License does not grant you any title or ownership in the Software.
You are permitted to:
Load the February Demo software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the February Demo software.
Create user generated content of the Software, insofar as the content complies with this EULA Agreement, TRR Studios rights are not infringed upon, any applicable third-party terms are followed, and local, national or international law is followed. You may choose to monetize any such complient user generated content you create.
You are not permitted to:
Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.
Reproduce, copy, distribute (including via a network server) or otherwise use the Software for any commercial purposes.
Sell, rent, lease, license, distribute, or otherwise transfer the software.
Allow any third party to use the Software on behalf of or for the benefit of any third party.
Use the Software in any way which breaches any applicable local, national or international law.
Use the Software for any purpose that TRR Studios considers is a breach of this EULA agreement.
2. Intellectual Property and Ownership
TRR Studios shall at all times retain ownership of the Software as originally accessed by you and all subsequent accesses of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of TRR Studios.
TRR Studios reserves the right to grant licences to use the Software to third parties.
3. Updates
TRR Studios may provide update the Software remotely without notifying you, and you hereby consent to TRR Studios applying updates. TRR Studios may modify, suspend, discontinue, substitute, replace, or limit your access to any aspect of the Software at any time. You acknowledge that your use of the Software does not confer on you any interest, monetary or otherwise, in any aspect or feature of the Software, including but not limited to (where applicable) any in-game rewards, trophies, achievements, character levels, Game Currency, or Content. You also acknowledge that any character data, game progress, game customization or other data related to your use of the Software may cease to be available to you at any time without notice from TRR Studios, including without limitation after an update is applied by TRR Studios. TRR Studios does not have any maintenance or support obligations with respect to the Software.
4. Disclaimers and Limitation of Liability
The Software is provided on an “as is” and “as available” basis, “with all faults” and without warranty of any kind.
To the maximum extent permitted by applicable law, TRR Studios shall not be liable in any way for any loss of profits or any indirect, incidental, consequential, special, punitive, or exemplary damages, arising out of or in connection with this Agreement or the Software, or the delay or inability to use or lack of functionality of the Software, even in the event of a fault, tort (including negligence), strict liability, indemnity, product liability, breach of contract, breach of warranty, or otherwise and even if TRR Studios has been advised of the possibility of such damages.
5. Collection of data.
In order to provide you with a better game experience, TRR Studios will automatically collect and store data about your device in relation to your use of the Game. Certain data regarding game crashes, system information and log files are recorded, archived, analysed and used to enhance the game. This data is processed within the EU.
6. Feedback
If you provide TRR Studios with any Feedback, you hereby grant TRR Studios a non-exclusive, fully paid, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable, and assignable license to use, reproduce, distribute, modify, adapt, prepare derivative works based on, publicly perform, publicly display, make, have made, use, sell, offer to sell, import, and otherwise exploit any and all Feedback for any purposes, for all current and future methods and forms of exploitation.
“Feedback” is defined to be any suggestion, comment, idea, and all other type of information, including software and code, that you provide, publish, or otherwise communicate directly or indirectly (including your employees, agents, contractors, or representatives) to TRR Studios that relates to the Software. If any such rights may not be licensed under applicable law, you hereby waive and agree not to assert any such rights. You understand and agree that TRR Studios is not required to make any use of any Feedback that you provide. You agree that if TRR Studios makes use of your Feedback, TRR Studios is not required to credit or compensate you for your contribution. You represent and warrant that you have sufficient rights in any Feedback that you provide to TRR Studios to grant TRR Studios the rights described above. This includes but is not limited to intellectual-property rights and other proprietary or personal rights.
7. Amendments
TRR Studios may issue an amended EULA agreement at any time in its discretion by providing you with digital access to amended versions of any of these documents when you next access the Software. If any amendment to this agreement is not acceptable to you, you may terminate this agreement and must stop using the Software. Your continued use of the Software will demonstrate your acceptance of the amended Agreement.
8. Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to TRR Studios.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
9. Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the Netherlands.
