End User License Agreement (EULA) for EigaScript

1. Introduction
This End User License Agreement (“EULA”) governs your use of the EigaScript software (“Software”) developed and distributed by EigaScript Inc. By installing or using the Software, you agree to be bound by the terms of this EULA. This EULA is a separate legal agreement from the Steam Subscriber Agreement; however, your use of the Software is also subject to Valve Corporation’s policies regarding the Steam platform.

2. Definitions

• Software: The executable code, features (including Script Mode, Card Mode, render engine), built-in voices/text-to-speech (TTS) models, and documentation provided by EigaScript Inc.
  
• User-Created Content (UCC): All scripts, story text, and final audio/video files created by the User using the Software.
  
• User-Uploaded Resources (UUR): Any media (images, music, sound effects, etc.) imported, supplied, or modified by the User for incorporation into UCC.
  
• Platform: The third-party service, Valve Corporation (Steam), used to distribute and authenticate the Software.

3. License Grant

• Grant of License: EigaScript Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software solely for the purpose of creating, displaying, and distributing UCC.
  
• Not a Sale: This license is for use only; the Software is licensed to you, not sold.
  
• Commercial Use: You are granted a perpetual, royalty-free right to publicly perform, reproduce, and commercially exploit your UCC, provided such use complies with applicable laws and third-party license terms.

4. Ownership & Intellectual Property

• Developer IP: EigaScript Inc. retains all rights, title, and interest in the Software, its source code, trademarks, and underlying technology.
  
• User IP: You retain all rights, title, and interest in your UCC. EigaScript Inc. claims no ownership or copyright over the scripts or audio/video files you create using the Software.
  
• Third-Party Components: The Software may contain bundled libraries, models, and assets governed by their own open-source or commercial licenses. Copies of these licenses are included in the Software’s installation folder. You are responsible for complying with these terms when using specific features powered by third-party components.

5. Usage Restrictions & User Responsibility

• Prohibited Actions: You may not reverse engineer, decompile, redistribute, or bypass the licensing mechanisms of the Software.
  
• Responsibility for Resources (UUR): You are solely responsible for securing all necessary rights, licenses, and permissions for any User-Uploaded Resources (UUR) you import. You warrant that your UUR does not infringe on any third-party rights.
  
• Content Restrictions: You may not use the Software to create UCC that is illegal, defamatory, or violates intellectual property rights.
  
• "Exclusive Asset Use: The built-in voices, text-to-speech (TTS) models, and any other internal assets, files, or libraries provided within the Software may be used only for the purpose of creating User-Created Content (UCC) within the Software itself. You are strictly prohibited from extracting, transferring, or utilizing these internal assets in any independent manner, application, or software outside of EigaScript.

6. Data, Privacy, and Platform Liability

• Offline Status: The Software is a stand-alone, non-networked application. EigaScript Inc. does not access, collect, transmit, or store your UCC, UUR, or personal data.
  
• User Security: You are solely responsible for backing up and securing your local files.
  
• Platform Liability: Your use of Steam is subject to Valve Corporation’s separate terms and privacy policies. EigaScript Inc. expressly disclaims all responsibility and liability for the Platform’s data collection, security, or usage practices.

7. General Legal Provisions

• Disclaimer of Warranty: The Software is provided “AS IS,” without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  
• Limitation of Liability: EigaScript Inc. is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Software. Liability is strictly capped at the purchase price paid for the Software.
  
• Indemnification: You agree to indemnify, defend, and hold EigaScript Inc. harmless from any claims, damages, or costs arising from your UCC, your use of UUR, or your breach of this EULA.
  
• Termination: This license terminates automatically and immediately if you breach any term of this EULA. Upon termination, you must uninstall and cease using the Software.
  
• Revisions and Amendments: EigaScript Inc. reserves the right to modify this EULA at any time. Updates are effective immediately upon posting on the official EigaScript website or upon your acceptance during Software updates. Continued use of the Software constitutes acceptance of revised terms.
  
• Governing Law: This EULA is governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.
  
• Entire Agreement: This EULA constitutes the entire agreement between you and EigaScript Inc. regarding the Software, superseding prior communications.
