Midnight Press END USER LICENSE AGREEMENT (EULA)
Effective Date: January 10, 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Midnight Press ("Licensor") regarding the game software purchased, downloaded, or used through the Steam platform ("Software").
By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement and agree to comply with Valve Corporation’s Steam Subscriber Agreement (SSA). In the event of any conflict between this Agreement and the SSA, the terms of the SSA shall prevail.
1. Grant of License Subject to your compliance with the terms of this Agreement, the Licensor grants you a non-exclusive, non-transferable, limited right to install and use the Software on your computer or Steam-supported device solely for your personal, non-commercial use. The Software is licensed to you, not sold.
2. Ownership All rights, title, and intellectual property rights in and to the Software and any copies thereof (including but not limited to any images, photographs, animations, video, audio, music, text, and code) are owned by Midnight Press or its licensors. The Software is protected by copyright laws and international copyright treaties.
3. Restrictions Except as expressly permitted by law or with the Licensor's written consent, you may not:
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
Sell, rent, lease, lend, sublicense, or distribute the Software.
Modify the Software or create derivative works based on the Software.
Remove or alter any proprietary notices or labels on the Software.
Use the Software for any illegal activity in violation of applicable laws.
4. User Generated Content If the Software allows you to create content ("UGC"), you retain the rights to the content you create, but you hereby grant Midnight Press a worldwide, royalty-free license to use, reproduce, or display such content in connection with the Software. You must ensure that your UGC does not violate laws or infringe upon third-party rights.
5. Termination This Agreement is effective until terminated. If you fail to comply with any term of this Agreement, your license will terminate automatically without notice. Upon termination, you must immediately cease use of and destroy all copies of the Software.
6. Disclaimer of Warranties THE SOFTWARE IS PROVIDED "AS IS". Midnight Press makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free, virus-free, or uninterrupted.
7. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall Midnight Press or its suppliers be liable for any special, incidental, indirect, or punitive damages (including loss of data, loss of profits, or business interruption) arising out of the use or inability to use the Software.
8. Governing Law and Jurisdiction The formation, execution, interpretation, and dispute resolution of this Agreement shall be governed by and follow the provisions regarding Applicable Law and Dispute Resolution in the Steam Subscriber Agreement (SSA). For matters not covered by the SSA, the laws of the Licensor's location shall apply.
