IMPORTANT READ CAREFULLY:
This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "User" or "You") and Institute of Card Game Studies ("We," "Us," or "Our") for the use of the "BOSS KEY" (also known as "开始摸鱼") software product ("Software") and related services ("Services").
BY INSTALLING, COPYING, DOWNLOADING, ACCESSING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL, COPY, OR USE THE SOFTWARE.
1.1 The Software (including but not limited to any images, photographs, animations, video, audio, music, text, applets, and add-ons incorporated into the Software), any accompanying printed materials, and any copies of the Software are owned by Us and are protected by copyright, trademark, and other intellectual property laws.
1.2 We grant you a personal, non-transferable, non-exclusive license to download, install, and use the Software on official platforms designated by Us, solely for your personal and non-commercial use.
1.3 You may not copy, modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software (except to the extent applicable laws specifically prohibit such restriction), or create derivative works based on the Software.
2.1 We encourage users to create, upload, publish, and share customized game content using the features provided by the Software, including but not limited to card designs, character settings, rule mods, art assets, and textual descriptions (collectively, "User-Generated Content" or "UGC").
2.2 Ownership Retention: You retain all intellectual property rights that you hold in the UGC that you create and upload to the Services. You understand and agree that you are solely responsible for your UGC and the consequences of posting it.
3.1 By uploading, submitting, storing, or sending UGC to the Services (including but not limited to the Software's Workshop or other official content sharing platforms), you grant Us a worldwide, royalty-free, non-exclusive, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such UGC in any form, media, or technology, for the purposes of operating, promoting, and marketing the Software and Services.
3.2 This license includes, in particular, the right for Us to integrate your UGC into the Software, allowing other users to download, use, and experience it under the terms of this EULA.
3.3 You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license for the UGC you submit and that such UGC does not infringe any third party's intellectual property rights or other legal rights.
4.1 The Services may allow you to access, download, and use UGC provided by other users. You understand and agree that such UGC is the sole responsibility of the person from whom such content originated and is not created or endorsed by Us.
4.2 Any third-party content obtained through the Services is provided "AS IS," and your use of it is at your own risk. You must comply with any license terms or other conditions attached to such content.
5.1 The Software is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.2 In no event shall We be liable for any damages (including, without limitation, personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if We have been advised of the possibility of such damages.
6.1 This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies of the Software.
6.2 The provisions of Sections 2, 3, 4, 5, and 7 and any other provisions which by their nature are intended to survive, shall survive termination of this EULA.
7.1 We reserve the right to modify this EULA at any time. The modified EULA will become effective upon posting on the official platforms of the Software. Your continued use of the Services signifies your acceptance of the modified EULA.
7.2 This EULA shall be governed by and construed in accordance with the laws of the People's Republic of China.
7.3 If any provision of this EULA is held to be unenforceable or invalid, such provision shall be reformed only to the extent necessary to make it enforceable, and the remainder of the EULA shall remain in full force and effect.
