END USER LICENCE AGREEMENT (EULA)

This End User Licence Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Fractured Reality Ltd, a company registered in England and Wales ("Fractured Reality", "we", "us", or "our"), governing your use of the Zuno software application and any associated documentation and updates ("Software").
By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software.
1. Licence Grant
Subject to your compliance with this Agreement, Fractured Reality grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own personal, non-commercial use, in accordance with the terms of this Agreement and the Steam Subscriber Agreement.
This licence is granted per purchase made through Steam. Your use of the Software is also subject to the Steam Subscriber Agreement between you and Valve Corporation.
2. Restrictions
You may not:
(a) copy, reproduce, or distribute the Software except as expressly permitted by this Agreement or by Steam;
(b) sell, rent, lease, sublicense, lend, or otherwise transfer the Software or your licence to any third party;
(c) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, or modify or create derivative works based on the Software, except in each case to the extent that such rights are expressly granted by the licences governing the third-party open-source components identified in the notices file accompanying the Software, or to the extent this restriction cannot be excluded under applicable law;
(d) remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software;
(e) use the Software for any unlawful purpose or in any manner that infringes the rights of any third party.
3. User-Supplied Content
The Software is a media library and playback application. It does not supply, host, provide, source, or distribute any media content. All media files played, catalogued, or otherwise handled by the Software are supplied entirely by you.
You are solely and exclusively responsible for:
(a) all media files you load, store, catalogue, or play using the Software;
(b) ensuring that you own, or have all necessary rights, licences, and permissions to access, store, and play any such media files;
(c) ensuring that your use of any media file complies with all applicable laws, including copyright and intellectual property laws.
Fractured Reality accepts no responsibility or liability whatsoever for any media content supplied by you, including but not limited to its legality, ownership, licensing, content, quality, or any consequences arising from your loading, storing, cataloguing, or playing of that content. You agree to indemnify and hold Fractured Reality harmless from any claim, demand, loss, or damage arising out of or in connection with media content you supply or your use of it.
4. Metadata and Third-Party Services
To enrich your library, the Software retrieves descriptive metadata and artwork from third-party sources. To do so, the Software contacts a server operated by Fractured Reality solely to obtain an access key for these third-party metadata services, and then retrieves metadata directly from those services.
Metadata and artwork are provided by third parties and are subject to those third parties' terms and availability. Fractured Reality does not control and is not responsible for the accuracy, completeness, availability, or content of any third-party metadata or artwork, and may modify, replace, or discontinue the use of any metadata source at any time.
5. Privacy and Data
The Software does not collect, store, or transmit any personal data about you. It does not require an account, and it does not track your identity or your activity.
The Software makes outbound network connections only to obtain the metadata access key described in Section 4 and to retrieve metadata and artwork. These connections do not transmit personally identifying information about you.
6. Third-Party and Open-Source Components
The Software incorporates third-party open-source software, principally libVLC and LibVLCSharp (© VideoLAN and contributors) and FFmpeg (© the FFmpeg developers), licensed under the GNU Lesser General Public License version 2.1 or later, together with further components licensed under LGPL-3.0, GPL-3.0 (including components subject to the GCC Runtime Library Exception), BSD, MIT, Apache-2.0, and other licences identified in the notices file accompanying the Software. These components are licensed, not sold, and remain the property of their respective owners.
These components are governed by their own licences, which take precedence over this Agreement in the event of any conflict, in respect of those components only. Nothing in this Agreement limits, supersedes, or modifies any rights granted to you, or any obligations imposed on us, under those licences.
The above components are shipped unmodified and are dynamically linked. You have the right to replace them with your own compatible builds, and nothing in this Agreement restricts that right.
Complete licence texts, together with a full list of included components identifying their copyright holders and source locations, are provided in the licenses folder accompanying the Software. Source code for these components is available from the respective upstream projects, or on written request to sam@fractured-reality.co.uk for at least three years from the date of distribution.
We provide no warranty in respect of these third-party components. Any warranties, or disclaimers of warranty, applicable to them are those set out in their respective licences.
Metadata services may include The Movie Database (TMDB). This product uses the TMDB API but is not endorsed, certified, or otherwise approved by TMDB.
VLC and libVLC are trademarks of VideoLAN. Zuno is not affiliated with, sponsored by, or endorsed by VideoLAN.
7. Intellectual Property
The Software, including all intellectual property rights in it (excluding third-party and open-source components and user-supplied content), is and remains the exclusive property of Fractured Reality. This Agreement grants you a licence to use the Software only, and does not transfer any ownership rights to you.
8. Updates and Changes
Fractured Reality may, at its discretion, provide updates, modifications, or new versions of the Software, and may add, change, or remove features. We may also modify, suspend, or discontinue the Software or any part of it, including reliance on any third-party service, at any time.
We may update this Agreement from time to time, including where the functionality of the Software changes. The version of the Agreement in force is the version accompanying the current release of the Software. Your continued use of the Software following an update constitutes acceptance of the updated Agreement.
9. Disclaimer of Warranties
To the fullest extent permitted by applicable law, and except as expressly stated in this Agreement or required by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.
Fractured Reality does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.
Warranties and disclaimers in respect of third-party and open-source components are governed by Section 6 and the licences referenced there.
Nothing in this Agreement affects your statutory rights as a consumer that cannot be excluded or limited under applicable law.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
(a) Fractured Reality shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, loss of profits, or damage to hardware, storage media, or other software, arising out of or in connection with your use of or inability to use the Software;
(b) Fractured Reality's total aggregate liability arising out of or in connection with this Agreement or the Software shall not exceed the amount you paid for the Software.
Nothing in this Agreement excludes or limits Fractured Reality's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Nothing in this Agreement affects your statutory rights as a consumer.
11. Refunds
Purchases of the Software are made through Steam and are subject to Steam's refund policy and the Steam Subscriber Agreement. Any refund requests must be made through Steam in accordance with that policy.
12. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Valve may also terminate access in accordance with the Steam Subscriber Agreement. Upon termination, you must cease all use of the Software. Sections that by their nature should survive termination (including Sections 3, 6, 7, 9, 10, and 13) shall survive.
13. Age Requirement
You must be at least 13 years of age, or the minimum age required by Steam in your jurisdiction, to use the Software.
14. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have jurisdiction to settle any dispute arising out of or in connection with this Agreement, save that if you are a consumer resident elsewhere, you may benefit from any mandatory protections of the law of your country of residence, and nothing in this clause deprives you of the protection of those mandatory provisions.
