PROJECTX™ SOFTWARE END USER LICENSE AGREEMENT
This End User License Agreement (“Agreement”) is a legal agreement between you and Mash Games Corp., including its subsidiaries, affiliates, and licensors (collectively, “MG”), and governs your use of the video game software titled PROJECTX™, including all related content, patches, updates, downloadable content, online services, and documentation (collectively, the “Software”).
The terms of this Agreement apply to all versions of the Software, including but not limited to alpha, beta, demo, trial, early access, release, and post-release versions.
BY OPENING, DOWNLOADING, INSTALLING, ACCESSING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT.
IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.
1. Ownership
The Software, including but not limited to all source code, object code, gameplay systems, characters, animations, graphics, user interfaces, sound effects, music, audiovisual works, storylines, dialogue, artwork, models, and documentation, is owned exclusively by MG and protected by copyright, trademark, trade secret, and other intellectual property laws and treaties.
All trademarks, service marks, trade names, logos, and branding associated with PROJECTX™, MASH GAMES™, and related properties (collectively, the “Marks”) are the exclusive property of MG.
Nothing in this Agreement grants you ownership rights in the Software or the Marks. All rights not expressly granted are reserved by MG.
2. License Grant
Subject to your compliance with this Agreement, MG grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use one copy of the Software solely for your personal, non-commercial entertainment purposes.
The Software may be available on PC, console, cloud gaming, or other supported platforms as determined by MG. Platform availability may change at any time.
This License does not grant you any ownership interest in the Software.
3. Effective Date
This License becomes effective on the first date you download, install, access, or otherwise use the Software (“Effective Date”).
4. Restrictions and Prohibited Uses
You agree that you will not, directly or indirectly:
(a) copy, reproduce, distribute, publicly display, publish, stream, sell, license, or exploit the Software except as expressly authorized by MG;
(b) reverse engineer, decompile, disassemble, modify, adapt, translate, or derive source code from the Software except where expressly permitted by applicable law;
(c) circumvent, disable, or interfere with security features or technical protection measures used by the Software;
(d) create derivative works based on the Software;
(e) use cheats, automation software, bots, hacks, mods, exploits, or unauthorized third-party software;
(f) use the Software for commercial purposes without prior written consent from MG;
(g) rent, lease, sublicense, assign, or transfer the Software or this Agreement;
(h) use the Software in any unlawful, harmful, fraudulent, or abusive manner;
(i) infringe or violate MG’s intellectual property rights or the rights of any third party; or
(j) assist or encourage any person or entity to engage in any prohibited activity described above.
5. Online Features and Accounts
The Software may include online multiplayer functionality, leaderboards, user-generated content, cloud saving, social systems, or other online services.
MG may suspend, modify, discontinue, or restrict online services at any time without liability.
You are responsible for maintaining the confidentiality and security of any account credentials associated with the Software.
6. User-Generated Content
If the Software permits you to upload, create, or share content (“UGC”), you retain ownership of your original UGC, but you grant MG a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, display, and otherwise exploit such UGC in connection with the Software and MG’s business operations.
You represent that you own or have all necessary rights to any UGC you submit.
MG reserves the right to remove any UGC at its sole discretion.
7. Third-Party Content and Services
The Software may contain or integrate third-party software, middleware, content, or services subject to separate terms and conditions.
Your use of such third-party content or services is governed solely by those applicable third-party agreements.
8. Updates and Patches
MG may deploy patches, updates, hotfixes, balancing adjustments, anti-cheat systems, or other modifications automatically or manually.
Continued use of the Software after an update constitutes acceptance of the modified Software.
MG is not obligated to provide updates or continued support.
9. Termination
This Agreement remains effective until terminated.
MG may suspend or terminate your access to the Software immediately, without notice, if you violate this Agreement.
Upon termination, your License automatically ends, and you must cease all use of the Software and delete all copies in your possession or control.
Sections intended to survive termination shall remain in effect, including but not limited to Ownership, Restrictions, Disclaimer, Limitation of Liability, and Indemnification.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
MG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, AND ERROR-FREE OPERATION.
MG DOES NOT GUARANTEE THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, DEFECTS, OR SECURITY VULNERABILITIES.
YOU USE THE SOFTWARE AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR ACCOUNT ACCESS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.
IN NO EVENT SHALL MG’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
12. Indemnification
You agree to indemnify, defend, and hold harmless MG and its affiliates, officers, employees, licensors, and partners from any claims, liabilities, damages, losses, or expenses arising out of:
(a) your use or misuse of the Software;
(b) your violation of this Agreement;
(c) your violation of applicable laws or regulations; or
(d) your infringement of any third-party rights.
13. Privacy
MG may collect and process technical, gameplay, diagnostic, and account-related information in accordance with its Privacy Policy.
By using the Software, you consent to such collection and processing.
14. Anti-Cheat and Security
The Software may include anti-cheat, anti-tamper, and security technologies that monitor gameplay sessions, memory usage, processes interacting with the Software, or unauthorized modifications.
You agree not to interfere with such systems.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
16. Severability
If any provision of this Agreement is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
This Agreement constitutes the complete and exclusive agreement between you and MG regarding the Software and supersedes all prior or contemporaneous understandings relating thereto.
BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS.

IN NO EVENT SHALL MG’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
