1. Definitions

For clarity in this EULA:

(a) "Game" means FC Tycoon™: Club Manager 2027 and includes, as part of the same licensed product, our official editor tools (stand-alone or in-game) and all official supporting tools, utilities, libraries, and APIs we distribute with or for the Game, including without limitation the club logo creator, AI face generator/facegen, data importers/exporters, configuration or modding helpers, updates, skinning tools, and content delivered by us ("Editor" and "Official Tools" collectively form part of the Game).

(b) "Authorised Storefronts" means Steam, Epic Games Store, GOG, Microsoft Store, and Fanatical, or such other distribution platforms as we may designate on our official website. The Game is currently distributed for PC via Steam, with additional storefronts planned.

(c) "Normal gameplay context" means using, displaying, or sharing content as part of playing, streaming, reviewing, or discussing the Game, but does not include extracting raw asset files, bulk database dumps, or redistributing unmodified tool outputs as standalone products.


2. License Grant

We grant you a personal, revocable, non-exclusive, non-transferable, limited license to install and use one copy of the Game for your personal entertainment and creation of lawful UGC on devices you own or control. All rights not expressly granted are reserved by us and our licensors.

For clarity: while you retain ownership of your UGC, outputs created using the Editor or Official Tools are licensed for use within the Game only, as set out in Sections 6A–6C (Tool Output License Scope) and Section 11 (Restrictions).


3. Ownership; No Sale

The Game is licensed, not sold. We and our licensors own all right, title, and interest in and to the Game and its content, including updates, assets, databases, and code.


4. Fictional Names & Real-World Content

The Game is a work of fiction. Unless expressly stated, club, competition, stadium, and person names and likenesses are fictional or altered. Any resemblance to actual persons or organizations is coincidental. The Game may also contain or enable user-generated content (“UGC”); creators are solely responsible for their UGC and for complying with law and third-party rights. You agree not to upload or distribute UGC that infringes any third-party rights (including publicity, trademark, and copyright).


5. Modding, Skins, Plugins and Tools

(a) We support optional mods (for example skins, data packs, patches, plugins) for the purpose of enhancing the player experience, immersion, alternate historical, or custom scenarios.

(b) Third-party rights: Mods must not include unlicensed IP (e.g., club, player or competition names, official crests, brand logos, real-person photos/likenesses) or unlawful data without permission.

(c) Security: Mods run in a sandbox where possible; we may block, remove, or disable mods that affect integrity, privacy, or security.

(d) Compatibility: Updates may break mods and plugins; we do not guarantee compatibility.

(e) Liability: We are not responsible or liable for the use of any mods or UGC, including infringement, defamation, data loss, privacy breaches, or legal non-compliance arising from the use of mods or UGC. We do not host, distribute, pre-screen, review, or approve third-party mods. Mods are created and distributed independently by third parties through external platforms (such as ModDB, NexusMods, Steam Workshop, or other websites) over which we have no control. If you believe any mod infringes your rights, please contact the mod creator or hosting platform directly.

(f) No reverse engineering core tech (except where legally permitted). Do not circumvent technical protection or encryption/obfuscation measures.


6. Editors, Databases & Official Tools (including Logo Creator and AI facegen)

(a) Scope: The Editor (stand-alone and in-game) and Official Tools (including the club logo creator, AI facegen, and import/export utilities) are part of the Game and governed by this EULA.
These tools embody proprietary and commercially sensitive technology, licensed components, and represent substantial investment in engineering and model development; use is therefore limited as set out in this EULA.

(b) Your outputs as UGC: Data edits (including database changes), custom logos you design, and AI-generated portraits you create with our tools are treated as UGC (see Section 9). You retain ownership of your UGC, subject to the licenses and restrictions in this EULA.

(c) Third-party rights: You must have rights to any material you upload or reference (e.g., real-world club crests, player photos, trademarks, or personal likenesses). Do not replicate or imply endorsement by real clubs, competitions, or persons without permission.

(d) Generated/templated assets: Where our tools provide templates, styles, or base assets, those templates and base assets remain our (or our licensors’) property. Your permitted use of generated results is limited to in-game use and lawful sharing consistent with Section 9; you may not redistribute our templates or any raw asset bundles outside normal gameplay context.

(e) Database edits and realism packs: If you create or import realism databases (e.g., names, stats, league data), you are solely responsible for ensuring they are lawful and non-infringing. We are not liable for the content or consequences of database changes, including claims relating to defamation, privacy, or trademark.

(f) Facegen specifics: Do not use facegen to reproduce real persons without permission or to create deceptive representations. You are responsible for complying with applicable rights of publicity and privacy laws.

(g) Export/Import: Any export or import feature is provided for interoperability and backup. You must not use it to extract or redistribute our proprietary assets, nor to train AI models (see Section 11(k)).

(h) Game-limited scope of tool outputs: Outputs you create with the Editor or Official Tools (including without limitation facegen portraits, club logos, graphic packs, and data exports) are licensed for use within the Game and for permitted promotional activities under Section 10 (streaming, reviews, social media posts about the Game). Except as expressly permitted by Sections 9 and 10 for streams/reviews, you may not use, package, or distribute these outputs for other games or titles.

(i) Facegen output restriction: Because the facegen system includes a significant investment in proprietary technology and licensed components, additional scope restrictions apply to its outputs. You may not use the Game’s AI facegen tool or its outputs to create, package, market, distribute, or include content, mods, or “face packs” for any other game or title, whether commercial or non-commercial.

(j) Club logo creator restriction: You may not use the club logo creator outputs as a standalone logo pack for other games or titles, nor as a general-purpose logo set outside the Game.

(k) Database export restriction: You may not use exported data (including player/club databases, ratings, or derived datasets) to seed, supply, or populate other games, titles, or third-party datasets/services, nor publish bulk database dumps outside normal gameplay context.

(l) No format-bridging for other titles: You may not convert or “bridge” outputs (facegen, logos, data) to other file formats for the purpose of using them in other games/titles.


7. Online Services; Accounts

If the Game offers online features (cloud saves, leaderboards, telemetry, updates), your use may require a platform account and internet connection. We may modify, suspend, or discontinue online features at any time. Platform terms apply in addition to this EULA.


8. Data; Privacy

(a) Personal information: We do not intentionally collect personal information from players, as detailed in our Privacy Policy at /resources/legal/PRIVACY.txt. Depending on your build or edition, optional diagnostics or telemetry may be present to improve stability and performance; these are designed to avoid personal information and focus on technical signals such as crash data and performance metrics. Transient network metadata (such as IP addresses) may be present as part of normal internet operations but is not stored or used for profiling. We do not directly collect your name, email address, location, or contact information unless you voluntarily provide it during support communications. For details, see /resources/legal/PRIVACY.txt.

(b) Diagnostics/telemetry: Depending on edition or build, diagnostics or telemetry may or may not be present; future updates may introduce or remove such features. If present, you can opt-in or opt-out at any time via an in-game control or equivalent mechanism, except where strictly necessary for build integrity, crash reporting, security, or compliance with legal obligations and as disclosed in /resources/legal/PRIVACY.txt.

(c) Platform analytics: Platform analytics (for example, Steam) and community services (for example, Discord) are governed by their own terms and privacy policies.

(d) Support tickets: If you voluntarily provide personal information during support communications, we will use it only to resolve your request and then delete or minimize it per /resources/legal/PRIVACY.txt.

(e) No sale/sharing for ads: We do not sell your personal information or share it for targeted advertising purposes.

(f) Compliance: We aim to comply with POPIA (South Africa), GDPR (EU/UK), and other mandatory privacy and consumer protection laws.


9. User-Generated Content (UGC)

You retain all ownership and intellectual property rights in your UGC.

(a) License to operate services: By submitting, uploading, sharing, or making UGC available through the Game or our related services, you grant us a non-exclusive, worldwide, royalty-free license to host, cache, store, reproduce, and display your UGC within the Game and related community spaces, and to technically modify it only as necessary to provide those services (for example resize, transcode, compress).

(b) No transfer of ownership; duration: This license exists only to operate the Game/services and does not transfer ownership. It ends when you remove the UGC from our services, subject to reasonable technical retention and copies required by law or for dispute resolution.

(c) Your promises: You warrant you have all rights needed and that your UGC complies with law and this EULA.

(d) Tool-output scope. UGC you create using the Editor or Official Tools (including facegen portraits, club logos, graphic packs, and data exports) is licensed for use within the Game and for permitted promotional activities under Section 10 (streaming, reviews, social media posts about the Game). Use, packaging, or distribution for other games or titles is prohibited.


10. Streaming, Capture, Monetisation, Reviews, Promotional Use, and Fan Content (Allowed)

We allow and encourage creators, reviewers, journalists, and streamers (“Creators”) to capture and publish Game content, including: (a) screenshots and short clips, (b) full-length gameplay and playthroughs, (c) reviews, previews, early-impressions, and technical analyses, and (d) compilations, montages, shorts, and promotional videos for channels and streams (including monetised content on platforms such as YouTube, Twitch, Kick, and similar). These permissions are subject to:

(a) Attribution and clarity: identify the Game as FC Tycoon 2027 (or FC Tycoon: Club Manager 2027) and do not imply endorsement, sponsorship, or affiliation unless we have given written permission;

(b) Lawful copy: capture must come from a lawful, non-infringing copy (including review keys we may provide);

(c) No standalone asset dumps: do not redistribute the Game or its assets outside normal gameplay context, including (without limitation) raw/bulk exports of facegen outputs, database dumps, soundtrack files, or unmodified art bundles;

(d) Mods and UGC: if you show mods or UGC, you are responsible for ensuring you have rights to everything shown and that it complies with law and this EULA;

(e) Embargoes and early access: follow any embargo dates, access limitations, or disclosure requirements we communicate;

(f) Sensitive or restricted material: do not publish content that is unlawful, defamatory, or content that circumvents security/DRM or accesses non-public data via data mining, reverse engineering, or exploits;

(g) Platform rules: comply with publishing platform rules and disclosure laws;

(h) Monetisation: monetisation of Creator content is permitted (ad revenue, memberships, tips, sponsorships tied to your channel);

(i) Affiliate marketing & referrals (allowed): you may promote or link to the Game using lawful affiliate links or referral codes that point to authorised storefronts or distributors (see Section 1). Creators must comply with any applicable advertising disclosure laws and platform policies (for example, clearly disclosing affiliate relationships where required by the FTC, ASA, or similar regulatory bodies). Creators are responsible for verifying that any storefront they link to is authorised and are solely liable for any claims arising from linking to unauthorised, grey-market, or fraudulent sellers.

(j) Unauthorised sales (prohibited): Creators may not sell, advertise, broker, or distribute illegal, unlawful, or grey-market copies of the Game, nor sell or traffic unauthorised activation keys or access credentials, nor operate key-resale schemes that violate platform terms, our distribution agreements, or applicable law.


11. Restrictions

In light of the proprietary nature of the Game’s editor, facegen, and logo systems — and associated licensed components — the following restrictions apply in addition to the specific tool-output limits in Section 6.

You agree not to:

(a) sell, rent, lease, license, sublicense, lend, or otherwise commercially exploit the Game itself or access to the Game (including selling accounts, activation keys, or “access slots”), except where expressly authorised by us or the platform;

(b) distribute, share, upload, or make available copies of the Game or its files (including keys, installers, or preinstalled images), except via authorised storefronts or where expressly permitted by applicable open-source licenses for third-party components;

(c) copy, extract, or redistribute Game assets outside normal gameplay context, including raw/bulk exports of facegen outputs (e.g. "face packs"), database dumps, soundtrack files, or unmodified art bundles;

(d) reverse engineer, decompile, or disassemble the Game except where permitted by law and only to that extent;

(e) use cheats, bots, automation, exploits, or similar methods that affect competitive integrity, stability, security, or fair play;

(f) bypass, remove, or tamper with security, DRM, telemetry controls, usage controls, or access limitations;

(g) use the Game for unlawful purposes or to infringe third-party rights;

(h) engage in grey-market or unauthorised sales, including key reselling, key brokering, or advertising illegal or unlawfully sourced copies/keys;

(i) sell, rent, or “paywall” remote access to a running copy (time-sharing, cloud-hosting seats, “server slots”) without our written permission;

(j) Affiliate links and promotion (allowed): You may promote or link to the Game using lawful affiliate links or referral codes that point to authorised storefronts or distributors (see Section 1), provided you follow applicable disclosure laws and platform policies.

(k) AI training and automated scraping: You may not use the Game, its content, databases, generated outputs (including AI-generated portraits or audio), or player data for training machine learning models, large language models (LLMs), or other AI systems, whether commercial or non-commercial, without our prior written permission. You may not use automated scraping, crawling, or data mining tools to extract bulk data from the Game or its online services. This restriction includes using outputs as training data, fine-tuning data, or as part of retrieval-augmented generation (RAG) systems.


Clarification: Nothing in this Section restricts (i) monetised streaming and Creator/reviewer content permitted by Section 10, (ii) modding permitted by Section 5, or (iii) diagnostics/telemetry controls described in Sections 8 and 15. Unauthorised or grey-market sales, key reselling, or unlawful distribution remain prohibited, while lawful affiliate links to authorised storefronts are permitted subject to Section 10. You remain solely responsible for your streams, mods, and UGC, and we are not liable for infringement, privacy breaches, or other violations arising from them.


12. Updates; Changes

We may provide patches, bug fixes, or content updates that may be required to continue using the Game and may change features over time. We may update this EULA with notice in-app or via the platform. Continued use after the effective date constitutes acceptance. Material changes to privacy practices will be reflected in /resources/legal/PRIVACY.txt.


13. Early Access, Experimental, or AI-Generated Content

Some features, including AI-generated portraits or audio, may be experimental and are provided “as is”. Generated content may contain artifacts or inaccuracies and is intended solely for in-game use.


14. Pre-Release Builds (Alpha, Beta, Early Access)

(a) We may provide pre-release builds (alpha, beta, preview, playtest, early-access) that are experimental and may contain defects, incomplete features, and compatibility limitations.

(b) Pre-release builds may include additional diagnostics/telemetry to facilitate testing and development. Where feasible, you can opt-in or opt-out; any strictly necessary diagnostics for build integrity or anti-abuse will be disclosed in-game or in accompanying notes.

(c) Saves, settings, mods, and content used with pre-release builds may become incompatible, corrupted, or require reset. We may modify or discontinue pre-release features at any time and are not obligated to provide any particular feature in a later retail build.

(d) We may wipe or reset online data associated with pre-release programs (e.g., leaderboards or cloud saves) without notice.

(e) To the maximum extent permitted by law, pre-release builds are provided “as is” and subject to the warranty and liability limitations in Sections 21–22.


15. Demo and Trial Versions

(a) Scope and license: Demo or trial builds (“Demo”) are for evaluation only. Your Demo license is personal, revocable, non-exclusive, non-transferable, and limited to testing features for a short period or with limited functionality. All other terms of this EULA apply unless expressly stated otherwise.

(b) Limitations: Demos may include functional/time limits, content caps, watermarks, or gating. You must not circumvent Demo limitations or technical measures.

(c) Saves and compatibility: Demo saves, settings, mods, or UGC may be incompatible with retail builds and may be deleted or reset at any time. We are not obligated to provide upgrade paths or save converters.

(d) Keys and distribution: We may distribute Demos through authorised storefronts, press keys, or our channels. You may not sell, trade, broker, or publicly post Demo activation keys or installers. Do not mirror or redistribute Demos except by linking to authorised storefront pages.

(e) Streaming and reviews: You may capture, stream, review, and monetise Demo gameplay under Section 10. Follow any embargoes we communicate.

(f) Mods and UGC: If a Demo supports mods or UGC, Sections 5 and 9 apply.

(g) Data and privacy: Privacy terms are in /resources/legal/PRIVACY.txt. A Demo may or may not include diagnostics/telemetry; any such features are optional unless strictly necessary for build integrity and will be disclosed per Section 8.

(h) No resale or paywalled access: You may not sell, rent, license, sublicense, lend, or charge for access to a Demo (including “server slots” or cloud time-sharing). Monetised streaming/reviews are permitted; you may not place Demo gameplay behind paywalls that require payment to view prior to public Demo availability. Lawful affiliate links to authorised storefronts are allowed per Section 10.

(i) Termination and availability: We may modify, suspend, or discontinue Demos at any time and may revoke Demo access without notice. On termination or expiry, you must cease use and delete all Demo copies.

(j) Warranty and liability: To the maximum extent permitted by law, Demos are provided “as is” and are subject to Sections 21–22.


16. Feedback

If you send suggestions, ideas, bug reports, or other feedback regarding the Game or pre-release builds, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute such feedback to improve and operate our products and services, without any obligation to you. This Section does not grant us ownership of your UGC (see Section 9).


17. Community & Communications (Discord)

We host optional community spaces such as Discord. These are provided by third parties under their own terms and privacy policies. Participation is voluntary. We may moderate, remove, or report content that violates our rules, this EULA, or applicable law. Where feasible, we will notify users before removing content or restricting access, except for severe violations (including but not limited to illegal content, harassment, security threats) requiring immediate action.


18. Health & Safety; Age

Take regular breaks. Stop playing if you feel dizzy, nauseous, or unwell. A small percentage of individuals may experience seizures or blackouts with certain visual images—stop immediately and consult a doctor if symptoms occur. The Game is not directed to children under 13. If you are under 18 (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian. We do not knowingly collect personal information from children. See /resources/legal/PRIVACY.txt.


19. Termination

This EULA remains effective until terminated. It will terminate automatically if you breach it. You may terminate by uninstalling and deleting all copies. Sections that by their nature should survive (e.g., Ownership, Restrictions, Disclaimers, Limitation of Liability, Governing Law) will survive.


20. Indemnity for UGC, Mods, and Streams

To the extent permitted by law, you agree to indemnify, defend, and hold us, our affiliates, and licensors harmless from third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

(a) your creation, distribution, or publication of UGC, mods, or streamed content;

(b) your breach of this EULA or violation of applicable law;

(c) your infringement of any third-party intellectual property, publicity, privacy, or other rights;

(d) your willful misconduct or grossly negligent acts or omissions in connection with the Game.

This indemnity does not apply to claims arising solely from our own negligence, willful misconduct, or defects in the unmodified Game. Nothing in this Section limits any non-waivable consumer rights under applicable law, including the Consumer Protection Act (South Africa), the General Data Protection Regulation (EU/UK), or similar mandatory protections.


21. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GAME IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.


22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE GAME WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE GAME, IF ANY, DURING THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain exclusions or limitations; in those places, the above applies only to the extent permitted by law.


23. Export Controls; Sanctions

(a) Compliance required: You must comply with applicable export control, trade sanctions, and import laws.

(b) Prohibited territories: You may not use, export, re-export, or transfer the Game to/from sanctioned territories or restricted parties.

(c) User representation: You represent you are not located in a prohibited territory or on a restricted party list and will not use the Game in violation of such laws.

(d) Our rights: We may suspend or terminate access if we believe your use violates export/sanctions laws.


24. Governing Law; Jurisdiction and Venue

(a) Governing law: This EULA is governed by the laws of the Republic of South Africa, without regard to conflict-of-law rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

(b) Jurisdiction and venue (default): Subject to subsection (c), any dispute arising out of or relating to this EULA or the Game shall be brought in the courts of the Gauteng Division, Pretoria, South Africa, which shall have exclusive jurisdiction and venue.

(c) Mandatory consumer rights and alternative forums: Nothing in this Section limits non-waivable consumer rights. Where applicable law gives you the right to bring proceedings in your country of residence or to use statutory consumer tribunals/ADR, you may do so to the extent required by that law.

(d) Severability of forum selection: If any part of this Section is held unenforceable for a particular claim or user category, it shall be modified to the minimum extent necessary, and the remainder shall continue in effect.


25. Trademark Notice

FC Tycoon, FC Tycoon: Club Manager, FC Tycoon 20XX (including FC Tycoon 2027 and FC Tycoon: Club Manager 2027), FCT, FCT 20XX (including FCT 2027), and associated logos, icons, wordmarks, abbreviations, localized or transliterated versions, and trade dress are trademarks or claimed trademarks (™) of Darkwave Studios LLC when used in connection with our products and services. Use of ™ indicates a claim of trademark rights and does not imply registration; where a mark is registered in a particular jurisdiction, the ® symbol may be used. Nothing in this notice is intended to assert rights in any term or acronym owned by a third party in any jurisdiction or used in a manner unrelated to our products. All other trademarks are the property of their respective owners.


26. Brand Usage by Creators

(a) Creators may use the names “FC Tycoon”, “FC Tycoon: Club Manager”, and edition designations (for example “FC Tycoon 2027”) to identify the Game in reviews, streams, and promotions, consistent with fair use and Section 10. Prefer the edition designations to refer to specific releases of the Game.

(b) Abbreviations such as “FCT” or “FCT 2027” may be used only to refer to the Game and must not be styled as a standalone brand or logo suggesting affiliation or endorsement.

(c) This clause does not grant any license to use our logos or trade dress. Do not modify or combine our marks with other marks without written permission.


27. Force Majeure

We will not be liable for failure or delay in performing obligations (including updates, online services, or support) due to events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, government actions, pandemics, power failures, telecommunications outages, cyberattacks, or failures of third-party platforms/services. Obligations are suspended for the duration of the event and resume as soon as reasonably practicable.


28. Severability; No Waiver

If any provision is held unenforceable, it will be replaced with an enforceable term that most closely reflects the original intent. Our failure to enforce any provision is not a waiver.


29. Entire Agreement; Platform Terms; Consumer Rights

This EULA, our Privacy Policy at /resources/legal/PRIVACY.txt, and applicable platform terms constitute the entire agreement regarding the Game and supersede prior understandings. If you purchased through a platform, that platform’s user agreement, refund policy, and content rules apply in addition. Nothing in this EULA limits non-waivable consumer rights under applicable law.
