Diagram Awesome — End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you and Huelake Software Solutions UG (haftungsbeschränkt) regarding your use of the software Diagram Awesome ("Software").
1. Acceptance
By downloading, installing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software and, if applicable, request a refund through Steam according to Steam’s policies.
2. License Grant
We grant you a personal, limited, revocable, non-transferable, non-exclusive license to install and use one copy of the Software for your personal or professional use on devices you own or control through your Steam account.

The Software and all associated content are owned by Huelake Software Solutions UG (haftungsbeschränkt) or its licensors and are protected by copyright and other laws. This EULA does not grant you any ownership rights.
5. Updates
We may provide patches, updates, or upgrades to the Software. Such updates may change or remove features. Continued use after an update constitutes acceptance of the updated Software.
6. Warranty Disclaimer
The Software is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from use of the Software. Our total liability shall not exceed the amount you paid for the Software within the last 12 months.
8. Termination
This license is effective until terminated. It will terminate automatically if you fail to comply with this EULA. Upon termination, you must cease use of the Software and uninstall it.
9. AI Image Generator and User-Generated Content
Diagram Awesome includes an AI image generator that allows you to create images for use within your diagrams. You are solely responsible for all content generated, uploaded, or used through this feature.
You agree not to generate, upload, or share any content that:
Huelake Software Solutions UG (haftungsbeschränkt) does not claim ownership of AI-generated content created by users but reserves the right to remove or restrict access to any content that violates this EULA or applicable law.
You acknowledge that any AI-generated images may not be free from third-party rights and that you are responsible for verifying whether your generated content infringes any copyrights, trademarks, or other protected rights before publishing or distributing it.
10. Governing Law
This EULA is governed by the laws of Germany, excluding conflict of law rules. If you are an EU/UK consumer, mandatory consumer protection laws of your country still apply.

NVIDIA and You are each a "party" and collectively the "parties."
NVIDIA models released under this Agreement are intended to be used permissively and enable the further development of AI technologies. Subject to the terms of this Agreement, NVIDIA confirms that:
By using, reproducing, modifying, distributing, performing or displaying any portion or element of the Model or Derivative Model, or otherwise accepting the terms of this Agreement, you agree to be bound by this Agreement.

This NVIDIA Open Model License Agreement (the "Agreement") is a legal agreement between the Legal Entity You represent, or if no entity is identified, You and NVIDIA Corporation and its Affiliates ("NVIDIA") and governs Your use of the Models that NVIDIA provides to You under this Agreement. NVIDIA and You are each a "party" and collectively the "parties."
NVIDIA models released under this Agreement are intended to be used permissively and enable the further development of AI technologies. Subject to the terms of this Agreement, NVIDIA confirms that:
- Models are commercially usable.
- You are free to create and distribute Derivative Models.
- NVIDIA does not claim ownership to any outputs generated using the Models or Model Derivatives.
By using, reproducing, modifying, distributing, performing or displaying any portion or element of the Model or Derivative Model, or otherwise accepting the terms of this Agreement, you agree to be bound by this Agreement.
- Definitions
- NVIDIA Cosmos Model means a multimodal Model shared under this Agreement.
- Derivative Model means all (a) modifications to the Model, (b) works based on the Model, and (c) any other derivative works of the Model. An output is not a Derivative Model.
- Legal Entity means the union of the acting entity and all other entities that control, are controlled by, or are under common control with that entity. "Control" means (a) the power to direct or manage such entity, whether by contract or otherwise, or (b) ownership of 50% or more of shares, or (c) beneficial ownership of such entity.
- Model means the machine learning model, software, checkpoints, learnt weights, algorithms, parameters, configuration files and documentation shared under this Agreement.
- You or Your means an individual or Legal Entity exercising permissions granted by this Agreement.
- NVIDIA Cosmos Model means a multimodal Model shared under this Agreement.
- Conditions for Use, License Grant, AI Ethics and IP Ownership
- Conditions for Use. The Model and any Derivative Model are subject to additional terms as described in Section 2 and Section 3. If You institute copyright or patent litigation against any entity alleging that the Model or a Derivative Model infringes, then licenses under this Agreement terminate immediately. If You bypass or disable any Guardrail (technical or safety limitation) without a substantially similar Guardrail, your rights terminate. NVIDIA may update this Agreement anytime to comply with legal requirements, and You must comply or stop using the Model.
- License Grant. Subject to this Agreement, NVIDIA grants You a perpetual, worldwide, non-exclusive, no-charge, royalty-free, revocable license to perform, display, reproduce, use, create derivative works of, make, have made, sell, offer for sale, distribute and import the Model.
- AI Ethics. Use of the Models must comply with NVIDIA’s Trustworthy AI terms: https://www.nvidia.com/en-us/agreements/trustworthy-ai/terms/
- NVIDIA owns the Model and NVIDIA-created Derivative Models. You own Your Derivative Models. NVIDIA claims no ownership of outputs. You are responsible for outputs and their use.
- Conditions for Use. The Model and any Derivative Model are subject to additional terms as described in Section 2 and Section 3. If You institute copyright or patent litigation against any entity alleging that the Model or a Derivative Model infringes, then licenses under this Agreement terminate immediately. If You bypass or disable any Guardrail (technical or safety limitation) without a substantially similar Guardrail, your rights terminate. NVIDIA may update this Agreement anytime to comply with legal requirements, and You must comply or stop using the Model.
- Redistribution
- If you distribute the Model, you must provide this Agreement and include: "Licensed by NVIDIA Corporation under the NVIDIA Open Model License".
- If you distribute or make available a NVIDIA Cosmos Model, or use it to create or improve another model, you must include: "Built on NVIDIA Cosmos" in related materials (website, UI, docs, etc.).
- You may add your own copyright statement and license terms for your modifications or Derivative Models, provided you also comply with this Agreement.
- If you distribute the Model, you must provide this Agreement and include: "Licensed by NVIDIA Corporation under the NVIDIA Open Model License".
- Separate Components
The Models may include components under other legal notices, such as an Open Source Software License. These are subject to their own terms. If a third-party open source license requires precedence, it prevails. - Trademarks
This Agreement does not grant permission to use NVIDIA trademarks, except for attribution as required. - Disclaimer of Warranty
The Model is provided "AS IS", without warranties of any kind, including TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are responsible for evaluating risks of use. - Limitation of Liability
NVIDIA is not liable for damages (direct, indirect, incidental, special, consequential) arising from use of the Model, Derivative Models, or outputs, even if advised of the possibility of such damages. - Indemnity
You will indemnify and hold harmless NVIDIA from claims arising from your use or distribution of the Model, Derivative Models, or outputs. - Feedback
NVIDIA may freely use your feedback without restriction or compensation. - Governing Law
This Agreement is governed by U.S. and Delaware law. Disputes must be heard in Santa Clara County, California, except either party may seek injunctive relief in any jurisdiction. - Trade and Compliance
You agree to comply with all applicable export, import, trade and sanctions laws, including U.S. Export Administration Regulations and OFAC rules.
