User Agreement

This User Agreement ("Agreement") governs your access, and use of interactive entertainment software products, including all related patches, updates, downloadable content (DLC), and any associated online components (collectively, the “Game(s)”) offered by New Tales SAS and its affiliates ("New Tales", "We", "Us", or "Our").
By acknowledging this Agreement, including, but not limited to, by clicking the "Accept" button, or by installing, accessing, or using the Games(s), you agree to be bound by the terms of this Agreement. New Tales' processing of your personal data is described separately in the New Tales Privacy Policy, which is available at: www.newtales.com/privacy-policy.
You must be and hereby affirm that you are an adult of the legal age of majority in your country and state of residence. For clarity, the legal age of majority in most countries is 18 years but might be different in your country and state of residence. Please note that if you are under the legal age of majority, your parent or legal guardian must always consent to this Agreement.
1. License
Subject to the terms of this Agreement, New Tales hereby grants you a non-exclusive, revocable, non-sublicensable, non-transferable, and limited right and license to use the Games(s) for your personal, non-commercial entertainment purposes only. Your use of the Games(s) is licensed to you, not sold, and you acknowledge that no title or ownership with respect to the Games(s) is being transferred to you.
Your use of the Games(s) is contingent upon your compliance with the terms of this Agreement, including, but not limited to, the “License Limitations” and “Code of Conduct” below.
2. License Limitations
You agree not to, and not to provide assistance, guidance or instruction to any other individual or entity on how to:
• Use the Game(s) for any commercial purpose.
• Copy, distribute, reproduce, license, publish, make available to the public, transfer, or sell any information, products, software, or services obtained from the Game(s) (except as expressly authorized by New Tales).
• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Game(s) (except as permitted by applicable law).
• Remove, delete, disable, modify, obscure, disrupt, circumvent or otherwise interfere with any security protections, digital rights management (DRM) technology, proprietary notices or labels contained on or within the Games(s).
• Use cheats, automation software (bots), hacks, mods, or any other not expressly authorized software that may have a detrimental impact on other users' experience when using the Game(s).
• Exploit the Game(s) in any unauthorized way, including but not limited to using glitches or bugs for advantage, that may have a detrimental impact on other users' experience when using the Game(s).
• Use the Games(s) in connection with any unauthorized third party platforms, including but not limited to "cloud computing" or "cloud gaming" services, or in connection with any software or service designed to enable the unauthorized transmission or use of the Games(s) on or from a third party server to any device or other platform.
• Use the Game(s) to advertise or to send any junk or spam or repetitive or misleading messages to anyone, or to post any information that is abusive, threatening, or racially, sexually, religiously, or otherwise offensive.
• Use or access the Games(s) for the purpose of developing of any software program, model, algorithm, or other generative AI tool, including, but not limited to, training or using any content available on or through the Games(s) in connection with the development or operation of a machine learning or artificial intelligence (AI) system (including any use of the content or materials for training, fine tuning, or grounding the machine learning or AI system or as part of retrieval-augmented generation).
3. Code of Conduct
We want everyone to enjoy their experience while playing the Game(s). To ensure a safe, respectful and fun environment, we expect all users to abide by the code of conduct as amended from time to time ("Code of Conduct"), available at below.
4. User Account
To use the Games(s) you may be required to have and maintain a valid and active user account with an online service, such as a third party gaming platform ("Third Party Account"), and/or a user account with New Tales ("New Tales Account"). We are not responsible for providing your Third Party Account and you may be subject to additional terms which are set by the relevant third party provider. It is your responsibility to comply with such terms, and if you do not comply with such terms you may not be able to access or use the Games(s). If you create a New Tales account, you must provide New Tales with accurate and up-to-date information. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account.
5. Updates and maintenance
We may provide updates, patches, or other modifications to the Game(s) (collectively, "Updates"). You agree that such Updates may be required for continued use of the Game(s) and may be automatically applied. All Updates are subject to this Agreement unless accompanied by a separate license, in which case the terms of that license apply. We may temporarily suspend or interrupt access to the Game(s) for maintenance and Updates with or without prior notice.
6. Suspension and Termination
We shall be entitled to temporarily limit or suspend, or permanently deny your access to the Game(s) and terminate this Agreement, and/or delete or modify your New Tales Account if We reasonably suspect that you use the Game(s) contrary to the terms of this Agreement (in particular but not limited to the License Limitations under section 3 and/or the Code of Conduct rules), applicable law, or administrative orders or in a manner that jeopardizes the provision of the Game(s) to other users. As a result, you may also permanently lose your username and virtual items in the Game(s).
We reserve the right to stop offering and/or supporting the Game(s) or part of the Game(s) and terminate this Agreement at any time, at which point your right to use the Game(s), or a part thereof may automatically expire.
You have the right to stop using the Game(s)m and terminate this Agreement and your New Tales Account at any time, for any reason, upon written notice to New Tales.
Upon termination of this Agreement, you agree to uninstall, remove, and delete any Game(s) from your device, computer, and/or gaming system, or as is otherwise in your possession, as applicable. You forfeit any and all rights you may have had under this Agreement, including, but not limited to, in connection with any Game(s), Virtual Goods and Game Currency.
7. Collection and Use of Personal Data
When you use the Games(s), New Tales may, directly or indirectly, collect and store data regarding your use of the Games(s) and your computer or device, including, but not limited to, information about your computer or device (e.g., IP address and device ID), hardware, operating system, and installed software. For the purposes of data privacy issues, including how we collect, use, disclose, and transfer of your personal information, please see the New Tales Privacy Policy at www.newtales.com/privacy-policy, as amended from time to time.
8. Monitoring and Anti-Cheat Measures
In order to maintain the integrity, fairness, and security of the Game(s), We may employ anti-cheat measures, including the download and installation of software (collectively, "Anti-Cheat Software") on your device, computer, mobile phone, gaming console, or other gaming system. The Anti-Cheat Software may include measures to control access to the Games(s) to prevent unauthorized copies or attempts to otherwise exceed the limited rights and licenses granted in this Agreement. In addition, We (or Our vendors or service providers) may monitor or scan your computer or gaming device to detect and prevent cheating, unauthorized third-party programs (such as a "mod", "hack", or "cheat"), and other forms of unfair play.
9. Email and Chat
You acknowledge and agree that when you use the Games(s) you have no expectation that your communications within the Games(s) will be private. New Tales (and its vendors or service providers) may monitor, record, and disclose your communications where New Tales considers this necessary including, but not limited to, responding to law enforcement or government agencies, to protect New Tales' rights, or to protect other users of the Games(s).
10. Virtual Goods and Game Currency
When using the Games(s), you may be given the opportunity to purchase or earn through gameplay a limited license to use virtual goods ("Virtual Goods") and/or virtual currency ("Game Currency"). Except as otherwise prohibited by law, the Virtual Goods and Game Currency obtained by you are provided to you as part of the relevant Game for which they were purchased and are subject to the terms of this Agreement, including the License Limitations above. Virtual Goods and Game Currency (i) can be used only for the specific Game for which it was purchased unless otherwise stated at the time of purchase, and (ii) have no monetary value or value outside the Games(s). Virtual Goods and Game Currency cannot be sold, traded, transferred, or exchanged for cash. Virtual Goods and Game Currency are non-refundable, and you are not entitled to a refund of any unused Game Currency. You acknowledge and agree that New Tales may revise or take actions that may impact the perceived value of or purchase prices for any Virtual Goods or Virtual Currency at any time unless prohibited by law. If you choose to delete your New Tales Account, you will lose all Virtual Goods and Virtual Currency associated with your New Tales Account. If your New Tales Account is banned or deleted due to your breach of this Agreement, or if your account with any third party platform on which you purchased the Games(s) is banned or deleted, you will lose access to the Virtual Goods and Virtual Currency associated with your New Tales Account.
11. User Content
By transmitting or submitting any User Content (as defined hereinafter) within the Game(s), you represent and warrant that such User Content is (a) not in violation of any laws, contractual restrictions or other third-party rights, and that you have permission from any third party whose personal data or intellectual property the User Content contains; (b) free of viruses, adware, spyware, worms or other malicious code; (c) not harassing and does not offend or aim to offend any groups of people based on their ethnic background, nationality, religion or the like. New Tales reserves the right in its sole discretion to monitor, edit or delete any User Content without notice for any reason or for no reason at any time.
You hereby grant to New Tales an irrevocable, perpetual, transferable, fully paid-up, royalty-free, sublicensable license to your User Content and right to copy, reproduce, modify, create derivative works from, commercialize, publish, distribute, sell, license, make publicly available, publicly display, publicly perform, broadcast, communicate to the public, in any way, your User Content. You further hereby grant to New Tales the unconditional, irrevocable right to use and exploit your name and any other information included in your User Content without any obligation to you.
12. Third Party Materials
The Games(s) may display, include, or make available third-party content (including user generated content, data, information, applications, or other products, services, and/or materials) or provide links to third-party websites or services ("Third Party Materials"). You acknowledge and agree that New Tales is not responsible for the Third-Party Materials, including their accuracy, completeness, timeliness, validity, quality, legal compliance, or other aspect thereof. New Tales will not assume and will not have any liability or responsibility to you or any other individual or entity for any Third Party Materials, or your use of any Third Party Materials.
13. Warranties; Limitation of Liability
Nothing in this Agreement will prejudice the statutory rights that you may have as a consumer of the Games(s). Some states, countries, provinces, and other jurisdictions do not allow the exclusion of certain warranties or the limitation of liability as stated in this Section, so the below terms may not fully apply to you. Instead, in such jurisdictions, the exclusions and limitations below shall apply only to the extent permitted by the laws in such jurisdictions.
13.1 No Warranties. The Game(s) and related software, including all information, data, content, materials, and services, are provided "AS IS" and "as available" without warranties of any kind, whether express or implied, including, but not limited to, the implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Game(s) are bug or error free, will function on your device or system, or will be available at all times and in all locations.
13.2 Limitation of Liability. To the maximum extent permitted by applicable law, New Tales shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Game(s).
14. Indemnification
This Section only applies to the extent permitted by applicable law. If you are prohibited by law from entering into the indemnification obligations below, then you assume, to the extent permitted by law, all liability for any and all claims, demands, actions, losses, liabilities and expenses (including reasonable attorney's fees and expenses) that are the stated subject matter of the indemnification obligations below.
You agree to indemnify, defend, and hold harmless New Tales and its officers, directors, employees, agents, affiliates, successors, and assigns from and against all losses, damages, liabilities, claims, actions judgements, fines, costs, and expenses of whatever kind, including reasonable attorney's fees, arising from or related to your use or misuse of the Game(s), your User Content, or your breach of this Agreement.
15. Changes to this User Agreement or to Games
New Tales reserves the right to amend the terms of this Agreement at any time to reflect the changes in the Game(s), in the applicable law, or in agreements between New Tales and New Tales’ suppliers. New Tales notifies you before the amendment to the terms enter into force. By continuing to use the Game(s), you shall be deemed to have approved and accepted the amendments to the terms and shall be bound by them. The amendments shall enter into force upon their publication.
16. General Terms
16.1 Assignment
New Tales may assign this Agreement, in whole or part, to any person or entity at any time without your consent. You may not assign this Agreement without New Tales' prior written approval. Any assignment by you without New Tales' written approval shall be void.
16.2 No Waiver
Our failure to enforce any provision in this Agreement shall in no way be construed to be a waiver of such provisions, nor in any way affect our right to enforce such provisions in the future.
16.3 Governing Law
This Agreement and the rights of the parties hereunder shall be governed by, and construed in accordance with, the laws of France, without regard to choice or conflict of law rules. You agree to submit to the exclusive jurisdiction of the courts in Versailles, France.
16.4 Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether oral or in writing, with respect to the subject matter hereof. If any portion of this Agreement is found to be invalid, the invalidity will not affect the other provisions or applications of the remainder of the Agreement which shall be given full effect without the invalid portion.
16.5 Force Majeure
New Tales shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of New Tales, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond New Tales' control such as war, terrorism, riots, acts of civil or military authorities, fire, floods, accidents, strikes, or pandemic or other significant adverse event caused by an infectious disease.

To maintain a safe and respectful gaming environment, all players must comply with our Code of Conduct.
Respecting Others
a) Be Respectful. Treat all users, including fellow players, administrators, and customer support representatives, with respect and courtesy. Refrain from using offensive language, engaging in harassment, or any form of discrimination, including but not limited to, race, gender, sexual orientation, religion, or nationality.
b) No Hate Speech. Do not engage in hate speech, threats, or discriminatory comments. We have zero tolerance for any form of hate speech or the promotion of violence.
c) Usernames. Usernames must not violate the rights of any third party or be offensive, defamatory, discriminatory, sexually explicit, violent, threatening, impersonate others, or otherwise inappropriate.
Fair Play
a) No Cheating or Hacking. Do not use cheats, hacks, bots, or unauthorized third-party software that gives you an unfair advantage in the Game(s). Cheating undermines the integrity of the Game(s) and ruins the experience for others.
b) No Exploiting. Do not exploit game mechanics, bugs, or vulnerabilities for personal gain or to disrupt the gameplay of others. Report any issues to our support team.
c) No Disruption. Do not attempt to block, disrupt, distort, slow down, or otherwise hinder the normal functioning of the Game(s) or their accessibility to other users.
Privacy and Safety
a) Protect Personal Information. Do not share your personal information, including real name, address, phone number, or financial information, with others when using the Games(s).
b) No Impersonation. Do not impersonate other users, staff members, or any third parties.
c) Report Inappropriate Content. If you encounter inappropriate content, harassment, or any violation of our Code of Conduct, please report it to us through the appropriate channels.
Compliance with Local Laws
a) Obey Local Laws. Ensure that your conduct within the Game(s) complies with local, state, and federal laws and regulations.
Consequences of Violations
a) Warnings and Sanctions. Violations of our Code of Conduct may, in New Tales's sole discretion, result in warnings, temporary suspensions, or permanent bans from the Game(s), depending on the severity of the violation.
b) No Refunds. Users who are suspended or banned for violating this Code of Conduct are not entitled to refunds for any purchases or subscriptions.
Reporting Violations
If you believe someone has violated our Code of Conduct or if you have any concerns about inappropriate behavior, please report it to our support team via the designated reporting mechanisms.
