007 First Light - End User Licence Agreement

This end user licence agreement (or “EULA”) explains what you can and cannot do with the video game 007 First Light and related products and services (which we explain below). We have included a summary at the start of each section, but the summary language is not legally binding; only the full version is legally binding. Again though, it is very important that you read, understand and agree to the whole EULA and not only rely on the short summary below.
1. About this EULA
SUMMARY: This EULA applies to our game 007 First Light and other related products and services. This is a legally binding document, and we can change both it and 007 First Light and other related products and services as we set out below.
1.1. What is this EULA? This EULA is a legally binding contract between you and IO Interactive A/S (incorporated and registered in Denmark with registered address of Gammel Mønt 2-4, 1117 Copenhagen) (“IOI” or “we”, “us” or “our”).
1.2. Who owns the James Bond IP? The James Bond character, name, likeness, and related intellectual property (the "Bond IP") used in 007 First Light are owned by Amazon and licensed to IOI by MGM Interactive Inc. pursuant to a separate license agreement. All rights in the Bond IP are reserved by the licensors. Nothing in this EULA grants you any rights in the Bond IP beyond the limited right to access and use the Game as expressly permitted herein.
1.3. What does this EULA apply to? This EULA applies to our game 007 First Light (the “Game”), any Game keys or codes plus all other Game products and services (e.g. Virtual Items (as defined in section 5.1 below), customer and technical support, wikis, blogs and social media services relating to the Game. We will refer to “007 First Light Services” to cover all of these things.
1.4. When does this EULA apply to you? As soon as you download, install or use any of the 007 First Light Services. If you do not agree to this EULA, please do not use any of the 007 First Light Services.
1.5. What happens if we change this EULA and/or the 007 First Light Services?
a. We may change this EULA and/or change, patch or update the 007 First Light Services from time to time, for example: (i) to reflect changes in applicable laws or regulations; (ii) to adapt to developments in technology (including security); (iii) to adapt to changes in market conditions, business practice, game balance or player behaviour; (iv) due to licensing changes; and (v) for your benefit or advantage. Changes and updates to the 007 First Light Services may result in mandatory and/or automatic updates. Therefore, older, non-updated versions may become unusable and unsupported over time as a result. We may also stop supporting older devices / platforms over time.
b. For non-significant changes to this EULA, we will make the amended version available on our website and/or on the Game store pages. For significant changes to this EULA, these will be notified to you reasonably in advance unless we are unable to (for example in the event of an urgent change). Changes will come into effect as soon as they go live (for small changes) or following the expiry of a notice period (if they are significant). If you do not agree to those changes, then unfortunately you must cease using the 007 First Light Services; in order to make the 007 First Light Services work properly we need to have everyone using them under the same rules instead of different people having different rules.
1.5. Are there any other important documents you should read? When you access or use the 007 First Light Services, IOI may collect and process personal data relating to you. All such processing is carried out in accordance with IOI’s Privacy Policy https://ioi.dk/legal/privacy-policy/007firstlight, which forms an integral part of this EULA and sets out how IO handles personal data and the rights available to you. If you have an existing IOI player account (“IOI Account”) or create a new one, your access to and use of such IOI Account will be governed by the IOI Account Terms of Service (https://account.ioi.dk/tos).
2. Using the 007 First Light Services
SUMMARY: you may be required to set up an account with the platform / device you’re playing on to purchase, access and play the Game and you may require an IOI Account to access and make full use of all of the features and functionality of the Game. You need to be at least 13 years old to use the 007 First Light Services. If you’re between 13 and 18 years old, you need parental permission. Please keep your account secure!
2.1. Is a platform or IOI account required? You may be required to create and/or maintain an account with third parties (such as a PlayStation, Microsoft, Steam etc.) and/or IOI in order to access and use the Game and/or other online aspects of the 007 First Light Services (such as cloud saves, achievements/trophies, cross-progression, or the ability to download and install updates or patches for the Game).
2.2. Account Safety. You are responsible for protecting your IOI Account and platform accounts (as applicable) for activities on your account and ensuring that your passwords are secure and not shared with other people. We recommend you make use of any other security precautions the platforms recommend (e.g. two-factor authentication) where this is available. In order to protect the 007 First Light Services, players and IOI itself, we reserve the right if necessary to reject or disable any IOI Account if it would breach this EULA or other applicable rules.
2.3. Are there any age restrictions? Legally, you must be at least 13 years old to use the 007 First Light Services. If you are between 13 and 18 years old (or whatever the age of adulthood is in your country), please ask your parent or guardian to review and approve this EULA and supervise your use of the 007 First Light Services. By agreeing to this EULA, you represent and warrant that you are over 18 years old or you are the adult legal guardian of the underage account holder (who is still above 13 years old).
The Game may have been assigned age ratings (such as PEGI or ESRB ratings) reflecting its content and may include depictions of violence, sexual themes, and strong language that some players may find disturbing. If you are sensitive to this type of material, or if it may be triggering for you, please take this into consideration before playing the Game.
2.4. Are there any technical requirements or restrictions?
a. The 007 First Light Services will have minimum requirements depending on your chosen device / platform. It is your responsibility to ensure you meet these requirements before downloading or using the 007 First Light Services. To access online parts of the 007 First Light Services and download updates or patches for the Game you will need internet access too – again, this is your responsibility and at your cost.
b. In order to protect the 007 First Light Services, IOI and its players (and to enforce this EULA), we may deploy anti-cheat and/or other software tools that run in the background of your device or related devices / peripherals when you use the 007 First Light Services. You agree that we may automatically update such software, and the EULA will automatically apply to any such updates.
2.5. Will there be content or access from third parties?
a. The 007 First Light Services may be distributed on platforms operated by third parties, in which case you may also need accounts with those third parties too. Again, your use of them is your responsibility – and we cannot promise that they will work, what they will be like or if they are free.
b. You might also get links from us to third party websites or content through the 007 First Light Services. We will exercise reasonable caution here, but we are not responsible for their content.
2.6. Are there any health & safety concerns to be aware of? A very small percentage of people experience epileptic seizures when exposed to certain light patterns or flashing lights. Exposure to these patterns or backgrounds on a computer screen, or while playing video games, may induce an epileptic seizure in these individuals. If you, or anyone in your family, have an epileptic condition, consult your physician prior to playing. If you experience dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions while playing the Game, immediately discontinue use and consult your physician. Player discretion is advised.
2.7. Are there any accessibility features in the Game? Yes, the Game includes accessibility features intended to enhance usability for a wide range of players. However, we do not guarantee that these features will meet all individual requirements or be compatible with all assistive technologies. Accessibility features may vary by platform and may be updated, modified, or removed over time.
3. Rules for the 007 First Light Services
SUMMARY: this section sets out the rules you must follow for using the 007 First Light Services (e.g. no hacking, cheating or harmful conduct). Breaking these rules could result in: (1) you being suspended or banned from the 007 First Light Services (temporarily or permanently); and/or (2) your IOI player account being disabled.
3.1. In order to use the 007 First Light Services, we require players to comply with certain rules. Please read these rules carefully since failure to follow them (or any attempt to breach them) will be considered a material breach of this EULA, which could lead to the suspension or termination (temporary or permanent) of your access to the 007 First Light Services and/or your IOI Account – see section 8.2(a). Here are the rules:
a. Personal Enjoyment. Only use the 007 First Light Services for your personal enjoyment and not for any commercial or political purposes. The only exception to this is that you are allowed to stream or create videos of the Game, which can be monetised through standard advertising offerings on the relevant platform (e.g. YouTube, Twitch), provided you follow all other rules. The Game includes music licensed from third parties. We may include a mode that limits the output of licensed music during use of the Game. However, to maintain the intended Game experience, some parts of the Game may feature licensed music even when this mode is turned on. You agree that streaming or creating videos of the Game is at your own risk and IOI does not accept any liability to you in connection with this (including in relation to copyright strikes or equivalent notices in relation to content you create on your channels).
b. Hacking and Cheating. Do not create, use, promote, make available and/or distribute cheats, exploits, automation software, robots, bots, mods, hacks, spiders, spyware, cheats, scripts, trainers, extraction tools or other software that interact with or affect the 007 First Light Services in any way. Encouraging cheating or knowingly playing or collaborating with cheaters (even if you’re not cheating yourself) will also be considered a breach of this EULA.
c. Conduct. Do not do or say anything in connection with the 007 First Light Services or otherwise (for example, when interacting with IOI staff or other users on social media) that is or may be considered illegal, threatening, racist, harassing, xenophobic, sexist, discriminatory, abusive, defamatory or otherwise harmful or offensive.
d. Restricted Access. Do not copy, rent, sell, lend, lease, sublicense, distribute, publish or publicly display the 007 First Light Services, any IOI player account or any of your rights under this EULA to any other party in any way not expressly authorised under this EULA.
e. Technical Misuse. Do not modify, merge, distribute, translate, reverse engineer, or obtain or use source code of, decompile or disassemble the 007 First Light Services unless you are specifically allowed by applicable law.
f. Interference with Services and Servers. Do not: (i) deliberately or maliciously interrupt or interfere with 007 First Light Services, including customer or technical support; (ii) impersonate IOI staff; (iii) interfere with or disrupt IOI or third-party network software or servers; or (iv) access areas of the 007 First Light Services or servers that have not been made available to the public.
g. Data Mining. Do not intercept, mine or otherwise collect data or information from the 007 First Light Services using unauthorised third-party software.
h. Names / Trade Marks. Do not use IOI, the names of any 007 First Light Services or other IOI names or logos or trade marks for any unauthorised purposes.
i. Infringing Content. Do not do anything in connection with the 007 First Light Services that infringes any copyright, trade mark, patent, trade secret, privacy, publicity, or other rights of others. This prohibition includes any unauthorized use of the Bond IP, including creating, distributing, or selling any merchandise, content, or materials that incorporate the James Bond character, name, likeness, 007 designation, or related trademarks without authorization from Amazon.
j. Mods. You may not create, use, distribute, or make available any modifications of the Game, including but not limited to altered game files, unauthorised add-ons, or derivative versions of the Game software, unless we have expressly permitted this in writing. Any attempt to modify or redistribute the Game without permission is a breach of this EULA.
k. Malicious Code. Do not post or upload any files that contain any malicious code, including viruses, spyware, Trojan horses, worms, time bombs, intentionally corrupted data, any other files that contain malicious code or that may in any way damage or interfere with the operation of the 007 First Light Services.
l. Geographic / Regional Restrictions. You must follow any applicable geographic or regional, language or location-based restrictions, requirements or rules regarding the 007 First Light Services.
3.2. We may use both human moderators and technological means to uphold our rules. If you think that we have made an error regarding any suspension or cancellation, please contact us as set out in section 8.3(b).
3.3. To the extent permitted by applicable law, the rules in section 3.1 apply not only to the 007 First Light Services but also if you create user generated content or engage with IOI or its staff in any way (e.g. via our website, social media or at in-person events).
4. Ownership of the 007 First Light Services
SUMMARY: If you create any content in relation to 007 First Light Services, you automatically give IOI and certain third parties permission to use such content at their discretion. None of the 007 First Light Services may be used to train AI models, software or tools.
4.1. Who owns the 007 First Light Services? The 007 First Light Services, including (but not limited to) their visual components, characters, story, items, music, graphics, computer code, user interface, look and feel, game mechanics, gameplay, audio, video, text, layout, databases, data, tools and all other content and all intellectual property rights and other legal and exploitation rights regarding them, are either owned by us or we license them from third parties. All rights in the 007 First Light Services are reserved except as explained in this EULA. No ownership right or interest or other rights in the 007 First Light Services or any part of it is transferred to you. The 007 First Light Services and their intellectual property rights are protected by copyright, trade mark and other intellectual property laws worldwide. We give you a personal, limited, revocable, non-exclusive, non-transferable and non-assignable licence to display, view, download, install, play and use the 007 First Light Services on authorised devices / platforms. This licence is for your personal use only (so you cannot give, ‘sell’, lend, gift, assign, sub-license or otherwise transfer it to someone else) and does not give you any ownership rights in the 007 First Light Services.
4.2. User generated content. If you create any user generated content in the Game relating to the 007 First Light Services, you grant IOI an irrevocable, perpetual, worldwide, royalty-free, sub-licensable, transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, display, and perform such user-generated content. Notwithstanding the license granted above, you may not use the Bond IP (including the James Bond character, name, likeness, 007 designation, or related trademarks) in any user-generated content outside of (i) gameplay streaming and video creation as permitted in Section 3.1(a), or (ii) the Game itself, without express written permission from Amazon. Any other unauthorized commercial use of the Bond IP is strictly prohibited and may result in immediate termination of your access to the 007 First Light Services. Please note that any use of the James Bond character, name, likeness, 007 designation, or related Bond IP in connection with your IOI Account (including profile customization, community content, or marketing communications) is subject to the terms of the 007 First Light End User License Agreement and requires authorization from Amazon. Unauthorized commercial use of the Bond IP is strictly prohibited.
4.3. What is our position on AI training? IOI, as the legal entity which owns, licenses and/or otherwise controls all the relevant intellectual property rights, including copyright, in the works of IOI (including without limitation the 007 First Light Services), hereby exercises its reservation of rights under Article 4(3) of the EU Directive 2019/790 with respect to text and data mining as defined in Article 2(2) of the same Directive, including but not limited to, using the copyright and related right protected works and subject matters of IOI, for training, fine-tuning AI models, systems or applications, or any similar activities, now known or hereinafter devised. This reservation of rights applies equally to similar legislative provisions in other jurisdictions now in force or hereinafter enacted to the extent relevant.
4.4. Does IOI accept suggestions or feedback? You are welcome to give us feedback and suggestions to improve the 007 First Light Services (“Feedback”) – in such case please visit ioi.dk/legal for more information about how to contact us. We appreciate your Feedback, but we may choose not to use or accept it at our discretion. You give us a non-exclusive, permanent, irrevocable, worldwide, sub-licensable, royalty-free licence to use, modify, reproduce, create derivative works from, distribute, transmit, communicate and publicly display/perform your Feedback. In any event Feedback will be received by us without any obligations or liability to you, financial or otherwise.
5. Virtual Items
SUMMARY: you may be able to buy and/or otherwise obtain in-game items and content such as cosmetics or downloadable content – there are additional rules for these. They do not have any ‘real world’ monetary value and you cannot buy, sell or trade these with other players.
5.1. Do the 007 First Light Services offer virtual items or virtual currencies? You may be able to purchase and/or otherwise obtain (for example, as a free download) virtual, in-game digital items and content including, for example, cosmetic items and downloadable content for the 007 First Light Services (“Virtual Items”). We are the sole provider and issuing authority regarding Virtual Items and only 007 First Light Services players can use them. There are no virtual currencies that can be purchased with ‘real world’ money in the Game.
5.2. Are there any additional payment requirements you should know about? If you buy Virtual Items, you agree to the pricing, payment and billing policies applicable to them, as notified to you at the time of purchase. You are responsible for ensuring that you have authorisation to purchase Virtual Items, which includes obtaining account holder/parent/guardian approval if applicable. You may not make fraudulent charge-back or refund requests. You are responsible for applicable fees and taxes.
5.3. What are the legal requirements regarding Virtual Items? Virtual Items are digital items only with no cash-value or real-world existence and cannot be ‘bought’, ‘sold’, gifted, transferred or redeemed, whether or not for other Virtual Items, ‘real world’ money, goods, services or items of monetary value. Trading Virtual Items is prohibited (unless we specifically permit otherwise in the applicable 007 First Light Services). The right to use any Virtual Items that you obtain is limited to a limited, non-exclusive, non-assignable, non-transferable, non-sub-licensable, revocable licence to use such Virtual Items solely for your personal entertainment and non-commercial use in the relevant 007 First Light Services only. You have no property interest or right or title in any Virtual Items, which remain IOI’s property. IOI reserves the right to reverse, change or amend Virtual Items transactions or other matters if necessary to protect the 007 First Light Services and/or to enforce this EULA.
5.4. Will these Virtual Items expire or be revoked? Virtual Items may expire if stated in the 007 First Light Services (for example, some Virtual Items may be limited to certain seasonal events). We are not obliged to provide Virtual Items to you. IOI reserves the right to revoke from players (without notice or compensation) any Virtual Items that have been obtained by players as a result of breaching one or more of the rules set out in this EULA.
5.5. Will Virtual Items ever change? The existence of a particular offer for Virtual Items is not a commitment by us to maintain or continue to make the Virtual Items or that offer available in the future. We may change or amend the Virtual Items as we set out in section 1.5(a) – where you have already paid for Virtual Items you may be entitled to a full or partial refund.
5.6. Can you refund purchases of Virtual Items? Your refund rights will depend on the terms of any applicable device / platform via which you access the 007 First Light Services on.
6. Liability
SUMMARY: there are some situations where we may be legally responsible to each other. These positions differ depending on whether you’re in the EU or UK (section 6.3) or outside the EU or UK (section 6.4).
6.1. Our warranties (promises) to you. We warrant that: (i) we have the right to enter into this EULA and to grant you the licence to use the 007 First Light Services in section 4.1; (ii) we will provide the 007 First Light Services with reasonable care and skill; and (iii) we will use reasonable efforts to comply with applicable laws under this EULA.
6.2. Your warranties (promises) to us. You warrant that you: (i) have the full power and ability to enter into this EULA and will follow fully its terms; and (ii) will not use the 007 First Light Services in any way that infringes the rights (including intellectual property rights) of any third party.
6.3. Limitation of liability (EU and UK).
a. This section applies to you if you are resident in the United Kingdom or European Union. If you are resident in the United States of America or other non-UK/EU territory, please see section 6.4 below.
b. We do not exclude or limit (or seek to exclude or limit) our liability to you where it would be unlawful to do so. This includes our liability for: (i) death or personal injury caused by our negligence (or the negligence of our employees, agents or subcontractors); (ii) fraud or fraudulent misrepresentation; (iii) breach of your statutory rights as a consumer; or (iv) other liability which may not be excluded by applicable law.
c. We only supply the 007 First Light Services for domestic and private use. If you use the 007 First Light Services for any commercial, business or re-sale purposes we will have no liability to you for any loss of profits, loss of business, business interruption or loss of business opportunity.
d. If we fail to comply with this EULA, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this EULA, or our failure to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the EULA was agreed to, both we and you knew it might happen. We are not responsible for any loss or damage that is not foreseeable.
e. If the 007 First Light Services damage a device or digital content belonging to you, and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or have in place the advised minimum technical requirements. For the avoidance of doubt, IOI (and its group companies) will not be responsible or liable for any damage caused to your device or other digital content in the event you configure your hardware outside the manufacturer’s specification (e.g. overclocking) or as a result of tampering or modifying the 007 First Light Services in breach of this EULA.
f. Subject always to section 6.3(a)-(e) (inclusive) above: (i) the total liability of IOI (and its group companies) arising out of or in connection with this EULA will not exceed the total amount you have paid to us under this EULA during the twelve (12) months immediately prior to the event which caused the liability; and (ii) the 007 First Light Services are provided on an “as is” basis and we make no specific warranty or representation in relation to the quality, completeness or accuracy of the 007 First Light Services.
6.4. Limitation of liability (USA and non-UK and EU countries).
a. The following section applies to players in the USA and other non-EU and UK countries.
b. OUR DISCLAIMERS.
(i) THE 007 FIRST LIGHT SERVICES (INCLUDING ANY UPDATES) ARE PROVIDED TO YOU ON AN "AS IS", “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE 007 FIRST LIGHT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE GAME WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IOI, ITS AFFILIATES, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR HARM OF ANY KIND ARISING FROM THE USE OR INABILITY TO USE OR ‘LOSS’ RELATING TO THE 007 FIRST LIGHT SERVICES. YOU UNDERSTAND THAT CERTAIN PORTIONS OF THE 007 FIRST LIGHT SERVICES ARE MADE POSSIBLE BY THIRD PARTIES. YOU AGREE THAT IOI DOES NOT CONTROL ANY THIRD PARTIES AND WILL NOT BE RESPONSIBLE FOR ANY LOSSES OR HARM THAT THEY CAUSE EITHER DIRECTLY OR INDIRECTLY.
(ii) TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IOI, ITS AFFILIATES, PARTNERS AND LICENSORS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR INDEPENDENT CONTRACTORS, BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR: (1) ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSSES, OR (2) DAMAGES ARISING FROM INTERRUPTIONS; DELETION OF FILES, EMAIL, OR DATA; SYSTEM ERROR, FAILURE OR MALFUNCTION; VIRUSES; DELAYS IN OPERATION OR TRANSMISSION; OR LOSS OF PROFITS, DATA, USE, BUSINESS OR GOOD-WILL; OR (3) YOUR MISUSE OF THE 007 FIRST LIGHT SERVICES OR ANY CONTENT AVAILABLE ON OR THROUGH THE 007 FIRST LIGHT SERVICES. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE ASSERTED LIABILITY OR DAMAGES ARE BASED ON CONTRACT, INDEMNIFICATION, TORT, STRICT LIABILITY, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY.
c. OUR LIABILITY CAP.
(i) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU IN CONNECTION WITH THE 007 FIRST LIGHT SERVICES OR THIS EULA EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE ACTUALLY PAID US (IF ANY) IN CONNECTION WITH THE MATTERS UNDERLYING ANY CLAIM(S).
(ii) IF APPLICABLE LAW DOES NOT ALLOW ALL OR ANY PART OF THE ABOVE LIMITATION OF LIABILITY TO APPLY TO YOU, THE LIMITATIONS WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
d. YOUR INDEMNITY TO US.
IF SOMEONE SUES IOI, ITS AFFILIATES, OR LICENSORS, YOU MAY HAVE TO PAY FOR THEIR DEFENSE AND LEGAL FEES. YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS ON DEMAND IOI, ITS AFFILIATES, LICENSORS AND PARTNERS, AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR INDEPENDENT CONTRACTORS, FROM AND AGAINST ANY AND ALL CLAIMS ASSERTED AGAINST ANY OF THEM ARISING OUT OF OR RELATING TO YOUR USE OR ACTUAL OR ALLEGED MISUSE OF THE 007 FIRST LIGHT SERVICES, VIOLATION OF THIS EULA, OR YOUR NEGLIGENCE OR MISCONDUCT. THIS APPLIES TO ALL LIABILITIES, CLAIMS AND EXPENSES, INCLUDING LEGAL FEES AND COSTS, ARISING FROM SUCH CLAIMS. IF CLAIMS ARE BROUGHT AGAINST US, THEN YOU WILL COOPERATE FULLY WITH US AND WE RESERVE THE RIGHT TO TAKE OVER THEIR DEFENCE SUBJECT TO INDEMNIFICATION BY YOU. YOU WILL NOT SETTLE ANY SUCH CLAIMS WITHOUT OUR PRIOR WRITTEN CONSENT.
e. INJUNCTIVE RELIEF.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY LOSS, DAMAGE OR HARM YOU SUFFER ARE NOT IRREPARABLE, AND OTHER REMEDIES WILL BE ADEQUATE, SUCH THAT YOU ARE NOT ENTITLED TO INJUNCTIVE OR OTHER EQUITABLE RELIEF AGAINST US.
f. Residents of California. If you reside in the state of California you are entitled to the following specific consumer rights information: you may contact the Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs by mail at 400 R St., Suite 1080, Sacramento, California, 95814, or by telephone at 916.445.1254.
7. Termination
SUMMARY: you can terminate this EULA by stopping all use of the 007 First Light Services. We may terminate or suspend (temporarily or permanently) your access to any / all of the 007 First Light Services including your IOI player account if you seriously breach this EULA. See section 7.3 in relation to appeals.
7.1. When and how can you terminate this EULA? You can terminate this EULA at any time by permanently stopping use of all 007 First Light Services. Termination will not affect already existing rights or obligations of us or you.
7.2. When can we suspend or terminate your access to the 007 First Light Services?
a. We may cancel or suspend (temporarily or permanently) your access to any and/or all of the 007 First Light Services (including access to your IOI player account) if you materially breach this EULA (e.g. the rules in section 3 above or any other breach which is serious and/or which could cause real harm to IOI, its staff, the 007 First Light Services or other 007 First Light Services players). If we cancel or suspend your account in this way we will not have any obligations or liabilities to you at all.
b. If IOI decides itself to stop providing any 007 First Light Services permanently, we will try to give you at least sixty (60) days’ notice.
7.3. Can players appeal bans?
a. If your ban has been issued by a third-party (such as an anti-cheat or security provider) and you would like to appeal, please contact that third party directly.
b. If your ban or other sanction has been issued by IOI and you would like to appeal, please email legal@ioi.dk .
8. Dispute Resolution
SUMMARY: any legal queries, complaints or claims regarding this EULA are under Danish law.
8.1. Governing law and disputes.
a. You and we agree that your use of the 007 First Light Services, this EULA, and any issues arising out of or in connection with them will be governed by and interpreted in accordance with the laws of Denmark. Any dispute arising out of or in connection with this EULA, including any dispute regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Denmark. This does not exclude any mandatorily applicable rules or remedies that may be available to you under the law of your country of residence. Notwithstanding the foregoing, if you have a Dispute (defined below) with the IOI Parties (also defined below) that arises under U.S. law, that Dispute must be resolved through individual arbitration in accordance with Section 8.2 below.
b. We and you both agree to make reasonable and good faith efforts to resolve any dispute between us informally - you can contact us at legal@ioi.dk . Normally we would suggest that this dispute resolution period lasts 30 days unless exceptional circumstances exist. If it is not resolved during this time, the next steps depend on where you live. Notwithstanding the foregoing, you and we have the legal right to commence legal claims against each other if we consider it necessary. If you bring a claim against IOI, you should address it to legal@ioi.dk .
9. Platform Terms
SUMMARY: for the avoidance of doubt, IOI provides the 007 First Light Services, and not any of the platforms.
9.1. This EULA is between you and IOI, and is not between you and any of the platforms that the Game operates on (including without limitation PlayStation, Xbox, Steam) (the “Platforms”). IOI is solely responsible for the 007 First Light Services.
9.2. Your use of the 007 First Light Services may be subject to the Platforms own terms (e.g. the licence you are granted to use the 007 First Light Services on specific devices). You are solely responsible for complying with the terms, policies, and requirements of the applicable Platform and any related platform account that you use to access and use the 007 First Light Services on and nothing in this EULA is intended to modify or supersede any agreement between you and a Platform.
10. Other Legal Matters
SUMMARY: this section sets out a few extra (hopefully self-explanatory) rules on how this EULA works. For example, this EULA is just between you and us and there may be certain situations where this EULA needs to be moved to another company.
10.1. If any parts of this EULA is found not to be legally enforceable, this will not affect any other part of it.
10.2. This EULA does not create any rights for anyone else, other than IOI’s affiliates and licensors (including Amazon and their respective affiliates) which shall be considered express third party beneficiaries of this EULA with full rights to enforce its terms.
10.3. Please remember that we are subject to various laws and we may be required to comply with law enforcement or other legal requirements, including import/export controls.
10.4. You and we agree that the UN Convention on Contracts for the International Sale of Goods does not apply to the 007 First Light Services or this EULA.
10.5. We can assign, subcontract or transfer this EULA to a third party or another member of our group if necessary for the support of the 007 First Light Services, as part of any reorganisation or merger, or for other business reasons, provided that any such assignment to a non-affiliate requires Amazon's prior written consent as Licensor of the Bond IP, and provided that this does not negatively affect your rights under this EULA (or alternatively with your consent).
10.6. No failure or delay by us or you to exercise any right or remedy provided under this EULA or by law will constitute a waiver of that or any other right or remedy, nor will it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy by us or you will preclude or restrict the further exercise of that or any other right or remedy.
10.7. This EULA does not create any exclusive relationship between us nor any partnership, joint venture, employment or agency.

This end user licence agreement (or “EULA”) explains what you can and cannot do with the video game 007 First Light and related products and services (which we explain below). We have included a summary at the start of each section, but the summary language is not legally binding; only the full version is legally binding. Again though, it is very important that you read, understand and agree to the whole EULA and not only rely on the short summary below.
1. About this EULA
SUMMARY: This EULA applies to our game 007 First Light and other related products and services. This is a legally binding document, and we can change both it and 007 First Light and other related products and services as we set out below.
1.1. What is this EULA? This EULA is a legally binding contract between you and IO Interactive A/S (incorporated and registered in Denmark with registered address of Gammel Mønt 2-4, 1117 Copenhagen) (“IOI” or “we”, “us” or “our”).
1.2. Who owns the James Bond IP? The James Bond character, name, likeness, and related intellectual property (the "Bond IP") used in 007 First Light are owned by Amazon and licensed to IOI by MGM Interactive Inc. pursuant to a separate license agreement. All rights in the Bond IP are reserved by the licensors. Nothing in this EULA grants you any rights in the Bond IP beyond the limited right to access and use the Game as expressly permitted herein.
1.3. What does this EULA apply to? This EULA applies to our game 007 First Light (the “Game”), any Game keys or codes plus all other Game products and services (e.g. Virtual Items (as defined in section 5.1 below), customer and technical support, wikis, blogs and social media services relating to the Game. We will refer to “007 First Light Services” to cover all of these things.
1.4. When does this EULA apply to you? As soon as you download, install or use any of the 007 First Light Services. If you do not agree to this EULA, please do not use any of the 007 First Light Services.
1.5. What happens if we change this EULA and/or the 007 First Light Services?
a. We may change this EULA and/or change, patch or update the 007 First Light Services from time to time, for example: (i) to reflect changes in applicable laws or regulations; (ii) to adapt to developments in technology (including security); (iii) to adapt to changes in market conditions, business practice, game balance or player behaviour; (iv) due to licensing changes; and (v) for your benefit or advantage. Changes and updates to the 007 First Light Services may result in mandatory and/or automatic updates. Therefore, older, non-updated versions may become unusable and unsupported over time as a result. We may also stop supporting older devices / platforms over time.
b. For non-significant changes to this EULA, we will make the amended version available on our website and/or on the Game store pages. For significant changes to this EULA, these will be notified to you reasonably in advance unless we are unable to (for example in the event of an urgent change). Changes will come into effect as soon as they go live (for small changes) or following the expiry of a notice period (if they are significant). If you do not agree to those changes, then unfortunately you must cease using the 007 First Light Services; in order to make the 007 First Light Services work properly we need to have everyone using them under the same rules instead of different people having different rules.
1.5. Are there any other important documents you should read? When you access or use the 007 First Light Services, IOI may collect and process personal data relating to you. All such processing is carried out in accordance with IOI’s Privacy Policy https://ioi.dk/legal/privacy-policy/007firstlight, which forms an integral part of this EULA and sets out how IO handles personal data and the rights available to you. If you have an existing IOI player account (“IOI Account”) or create a new one, your access to and use of such IOI Account will be governed by the IOI Account Terms of Service (https://account.ioi.dk/tos).
2. Using the 007 First Light Services
SUMMARY: you may be required to set up an account with the platform / device you’re playing on to purchase, access and play the Game and you may require an IOI Account to access and make full use of all of the features and functionality of the Game. You need to be at least 13 years old to use the 007 First Light Services. If you’re between 13 and 18 years old, you need parental permission. Please keep your account secure!
2.1. Is a platform or IOI account required? You may be required to create and/or maintain an account with third parties (such as a PlayStation, Microsoft, Steam etc.) and/or IOI in order to access and use the Game and/or other online aspects of the 007 First Light Services (such as cloud saves, achievements/trophies, cross-progression, or the ability to download and install updates or patches for the Game).
2.2. Account Safety. You are responsible for protecting your IOI Account and platform accounts (as applicable) for activities on your account and ensuring that your passwords are secure and not shared with other people. We recommend you make use of any other security precautions the platforms recommend (e.g. two-factor authentication) where this is available. In order to protect the 007 First Light Services, players and IOI itself, we reserve the right if necessary to reject or disable any IOI Account if it would breach this EULA or other applicable rules.
2.3. Are there any age restrictions? Legally, you must be at least 13 years old to use the 007 First Light Services. If you are between 13 and 18 years old (or whatever the age of adulthood is in your country), please ask your parent or guardian to review and approve this EULA and supervise your use of the 007 First Light Services. By agreeing to this EULA, you represent and warrant that you are over 18 years old or you are the adult legal guardian of the underage account holder (who is still above 13 years old).
The Game may have been assigned age ratings (such as PEGI or ESRB ratings) reflecting its content and may include depictions of violence, sexual themes, and strong language that some players may find disturbing. If you are sensitive to this type of material, or if it may be triggering for you, please take this into consideration before playing the Game.
2.4. Are there any technical requirements or restrictions?
a. The 007 First Light Services will have minimum requirements depending on your chosen device / platform. It is your responsibility to ensure you meet these requirements before downloading or using the 007 First Light Services. To access online parts of the 007 First Light Services and download updates or patches for the Game you will need internet access too – again, this is your responsibility and at your cost.
b. In order to protect the 007 First Light Services, IOI and its players (and to enforce this EULA), we may deploy anti-cheat and/or other software tools that run in the background of your device or related devices / peripherals when you use the 007 First Light Services. You agree that we may automatically update such software, and the EULA will automatically apply to any such updates.
2.5. Will there be content or access from third parties?
a. The 007 First Light Services may be distributed on platforms operated by third parties, in which case you may also need accounts with those third parties too. Again, your use of them is your responsibility – and we cannot promise that they will work, what they will be like or if they are free.
b. You might also get links from us to third party websites or content through the 007 First Light Services. We will exercise reasonable caution here, but we are not responsible for their content.
2.6. Are there any health & safety concerns to be aware of? A very small percentage of people experience epileptic seizures when exposed to certain light patterns or flashing lights. Exposure to these patterns or backgrounds on a computer screen, or while playing video games, may induce an epileptic seizure in these individuals. If you, or anyone in your family, have an epileptic condition, consult your physician prior to playing. If you experience dizziness, altered vision, eye or muscle twitches, loss of awareness, disorientation, any involuntary movement, or convulsions while playing the Game, immediately discontinue use and consult your physician. Player discretion is advised.
2.7. Are there any accessibility features in the Game? Yes, the Game includes accessibility features intended to enhance usability for a wide range of players. However, we do not guarantee that these features will meet all individual requirements or be compatible with all assistive technologies. Accessibility features may vary by platform and may be updated, modified, or removed over time.
3. Rules for the 007 First Light Services
SUMMARY: this section sets out the rules you must follow for using the 007 First Light Services (e.g. no hacking, cheating or harmful conduct). Breaking these rules could result in: (1) you being suspended or banned from the 007 First Light Services (temporarily or permanently); and/or (2) your IOI player account being disabled.
3.1. In order to use the 007 First Light Services, we require players to comply with certain rules. Please read these rules carefully since failure to follow them (or any attempt to breach them) will be considered a material breach of this EULA, which could lead to the suspension or termination (temporary or permanent) of your access to the 007 First Light Services and/or your IOI Account – see section 8.2(a). Here are the rules:
a. Personal Enjoyment. Only use the 007 First Light Services for your personal enjoyment and not for any commercial or political purposes. The only exception to this is that you are allowed to stream or create videos of the Game, which can be monetised through standard advertising offerings on the relevant platform (e.g. YouTube, Twitch), provided you follow all other rules. The Game includes music licensed from third parties. We may include a mode that limits the output of licensed music during use of the Game. However, to maintain the intended Game experience, some parts of the Game may feature licensed music even when this mode is turned on. You agree that streaming or creating videos of the Game is at your own risk and IOI does not accept any liability to you in connection with this (including in relation to copyright strikes or equivalent notices in relation to content you create on your channels).
b. Hacking and Cheating. Do not create, use, promote, make available and/or distribute cheats, exploits, automation software, robots, bots, mods, hacks, spiders, spyware, cheats, scripts, trainers, extraction tools or other software that interact with or affect the 007 First Light Services in any way. Encouraging cheating or knowingly playing or collaborating with cheaters (even if you’re not cheating yourself) will also be considered a breach of this EULA.
c. Conduct. Do not do or say anything in connection with the 007 First Light Services or otherwise (for example, when interacting with IOI staff or other users on social media) that is or may be considered illegal, threatening, racist, harassing, xenophobic, sexist, discriminatory, abusive, defamatory or otherwise harmful or offensive.
d. Restricted Access. Do not copy, rent, sell, lend, lease, sublicense, distribute, publish or publicly display the 007 First Light Services, any IOI player account or any of your rights under this EULA to any other party in any way not expressly authorised under this EULA.
e. Technical Misuse. Do not modify, merge, distribute, translate, reverse engineer, or obtain or use source code of, decompile or disassemble the 007 First Light Services unless you are specifically allowed by applicable law.
f. Interference with Services and Servers. Do not: (i) deliberately or maliciously interrupt or interfere with 007 First Light Services, including customer or technical support; (ii) impersonate IOI staff; (iii) interfere with or disrupt IOI or third-party network software or servers; or (iv) access areas of the 007 First Light Services or servers that have not been made available to the public.
g. Data Mining. Do not intercept, mine or otherwise collect data or information from the 007 First Light Services using unauthorised third-party software.
h. Names / Trade Marks. Do not use IOI, the names of any 007 First Light Services or other IOI names or logos or trade marks for any unauthorised purposes.
i. Infringing Content. Do not do anything in connection with the 007 First Light Services that infringes any copyright, trade mark, patent, trade secret, privacy, publicity, or other rights of others. This prohibition includes any unauthorized use of the Bond IP, including creating, distributing, or selling any merchandise, content, or materials that incorporate the James Bond character, name, likeness, 007 designation, or related trademarks without authorization from Amazon.
j. Mods. You may not create, use, distribute, or make available any modifications of the Game, including but not limited to altered game files, unauthorised add-ons, or derivative versions of the Game software, unless we have expressly permitted this in writing. Any attempt to modify or redistribute the Game without permission is a breach of this EULA.
k. Malicious Code. Do not post or upload any files that contain any malicious code, including viruses, spyware, Trojan horses, worms, time bombs, intentionally corrupted data, any other files that contain malicious code or that may in any way damage or interfere with the operation of the 007 First Light Services.
l. Geographic / Regional Restrictions. You must follow any applicable geographic or regional, language or location-based restrictions, requirements or rules regarding the 007 First Light Services.
3.2. We may use both human moderators and technological means to uphold our rules. If you think that we have made an error regarding any suspension or cancellation, please contact us as set out in section 8.3(b).
3.3. To the extent permitted by applicable law, the rules in section 3.1 apply not only to the 007 First Light Services but also if you create user generated content or engage with IOI or its staff in any way (e.g. via our website, social media or at in-person events).
4. Ownership of the 007 First Light Services
SUMMARY: If you create any content in relation to 007 First Light Services, you automatically give IOI and certain third parties permission to use such content at their discretion. None of the 007 First Light Services may be used to train AI models, software or tools.
4.1. Who owns the 007 First Light Services? The 007 First Light Services, including (but not limited to) their visual components, characters, story, items, music, graphics, computer code, user interface, look and feel, game mechanics, gameplay, audio, video, text, layout, databases, data, tools and all other content and all intellectual property rights and other legal and exploitation rights regarding them, are either owned by us or we license them from third parties. All rights in the 007 First Light Services are reserved except as explained in this EULA. No ownership right or interest or other rights in the 007 First Light Services or any part of it is transferred to you. The 007 First Light Services and their intellectual property rights are protected by copyright, trade mark and other intellectual property laws worldwide. We give you a personal, limited, revocable, non-exclusive, non-transferable and non-assignable licence to display, view, download, install, play and use the 007 First Light Services on authorised devices / platforms. This licence is for your personal use only (so you cannot give, ‘sell’, lend, gift, assign, sub-license or otherwise transfer it to someone else) and does not give you any ownership rights in the 007 First Light Services.
4.2. User generated content. If you create any user generated content in the Game relating to the 007 First Light Services, you grant IOI an irrevocable, perpetual, worldwide, royalty-free, sub-licensable, transferable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, display, and perform such user-generated content. Notwithstanding the license granted above, you may not use the Bond IP (including the James Bond character, name, likeness, 007 designation, or related trademarks) in any user-generated content outside of (i) gameplay streaming and video creation as permitted in Section 3.1(a), or (ii) the Game itself, without express written permission from Amazon. Any other unauthorized commercial use of the Bond IP is strictly prohibited and may result in immediate termination of your access to the 007 First Light Services. Please note that any use of the James Bond character, name, likeness, 007 designation, or related Bond IP in connection with your IOI Account (including profile customization, community content, or marketing communications) is subject to the terms of the 007 First Light End User License Agreement and requires authorization from Amazon. Unauthorized commercial use of the Bond IP is strictly prohibited.
4.3. What is our position on AI training? IOI, as the legal entity which owns, licenses and/or otherwise controls all the relevant intellectual property rights, including copyright, in the works of IOI (including without limitation the 007 First Light Services), hereby exercises its reservation of rights under Article 4(3) of the EU Directive 2019/790 with respect to text and data mining as defined in Article 2(2) of the same Directive, including but not limited to, using the copyright and related right protected works and subject matters of IOI, for training, fine-tuning AI models, systems or applications, or any similar activities, now known or hereinafter devised. This reservation of rights applies equally to similar legislative provisions in other jurisdictions now in force or hereinafter enacted to the extent relevant.
4.4. Does IOI accept suggestions or feedback? You are welcome to give us feedback and suggestions to improve the 007 First Light Services (“Feedback”) – in such case please visit ioi.dk/legal for more information about how to contact us. We appreciate your Feedback, but we may choose not to use or accept it at our discretion. You give us a non-exclusive, permanent, irrevocable, worldwide, sub-licensable, royalty-free licence to use, modify, reproduce, create derivative works from, distribute, transmit, communicate and publicly display/perform your Feedback. In any event Feedback will be received by us without any obligations or liability to you, financial or otherwise.
5. Virtual Items
SUMMARY: you may be able to buy and/or otherwise obtain in-game items and content such as cosmetics or downloadable content – there are additional rules for these. They do not have any ‘real world’ monetary value and you cannot buy, sell or trade these with other players.
5.1. Do the 007 First Light Services offer virtual items or virtual currencies? You may be able to purchase and/or otherwise obtain (for example, as a free download) virtual, in-game digital items and content including, for example, cosmetic items and downloadable content for the 007 First Light Services (“Virtual Items”). We are the sole provider and issuing authority regarding Virtual Items and only 007 First Light Services players can use them. There are no virtual currencies that can be purchased with ‘real world’ money in the Game.
5.2. Are there any additional payment requirements you should know about? If you buy Virtual Items, you agree to the pricing, payment and billing policies applicable to them, as notified to you at the time of purchase. You are responsible for ensuring that you have authorisation to purchase Virtual Items, which includes obtaining account holder/parent/guardian approval if applicable. You may not make fraudulent charge-back or refund requests. You are responsible for applicable fees and taxes.
5.3. What are the legal requirements regarding Virtual Items? Virtual Items are digital items only with no cash-value or real-world existence and cannot be ‘bought’, ‘sold’, gifted, transferred or redeemed, whether or not for other Virtual Items, ‘real world’ money, goods, services or items of monetary value. Trading Virtual Items is prohibited (unless we specifically permit otherwise in the applicable 007 First Light Services). The right to use any Virtual Items that you obtain is limited to a limited, non-exclusive, non-assignable, non-transferable, non-sub-licensable, revocable licence to use such Virtual Items solely for your personal entertainment and non-commercial use in the relevant 007 First Light Services only. You have no property interest or right or title in any Virtual Items, which remain IOI’s property. IOI reserves the right to reverse, change or amend Virtual Items transactions or other matters if necessary to protect the 007 First Light Services and/or to enforce this EULA.
5.4. Will these Virtual Items expire or be revoked? Virtual Items may expire if stated in the 007 First Light Services (for example, some Virtual Items may be limited to certain seasonal events). We are not obliged to provide Virtual Items to you. IOI reserves the right to revoke from players (without notice or compensation) any Virtual Items that have been obtained by players as a result of breaching one or more of the rules set out in this EULA.
5.5. Will Virtual Items ever change? The existence of a particular offer for Virtual Items is not a commitment by us to maintain or continue to make the Virtual Items or that offer available in the future. We may change or amend the Virtual Items as we set out in section 1.5(a) – where you have already paid for Virtual Items you may be entitled to a full or partial refund.
5.6. Can you refund purchases of Virtual Items? Your refund rights will depend on the terms of any applicable device / platform via which you access the 007 First Light Services on.
6. Liability
SUMMARY: there are some situations where we may be legally responsible to each other. These positions differ depending on whether you’re in the EU or UK (section 6.3) or outside the EU or UK (section 6.4).
6.1. Our warranties (promises) to you. We warrant that: (i) we have the right to enter into this EULA and to grant you the licence to use the 007 First Light Services in section 4.1; (ii) we will provide the 007 First Light Services with reasonable care and skill; and (iii) we will use reasonable efforts to comply with applicable laws under this EULA.
6.2. Your warranties (promises) to us. You warrant that you: (i) have the full power and ability to enter into this EULA and will follow fully its terms; and (ii) will not use the 007 First Light Services in any way that infringes the rights (including intellectual property rights) of any third party.
6.3. Limitation of liability (EU and UK).
a. This section applies to you if you are resident in the United Kingdom or European Union. If you are resident in the United States of America or other non-UK/EU territory, please see section 6.4 below.
b. We do not exclude or limit (or seek to exclude or limit) our liability to you where it would be unlawful to do so. This includes our liability for: (i) death or personal injury caused by our negligence (or the negligence of our employees, agents or subcontractors); (ii) fraud or fraudulent misrepresentation; (iii) breach of your statutory rights as a consumer; or (iv) other liability which may not be excluded by applicable law.
c. We only supply the 007 First Light Services for domestic and private use. If you use the 007 First Light Services for any commercial, business or re-sale purposes we will have no liability to you for any loss of profits, loss of business, business interruption or loss of business opportunity.
d. If we fail to comply with this EULA, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this EULA, or our failure to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the EULA was agreed to, both we and you knew it might happen. We are not responsible for any loss or damage that is not foreseeable.
e. If the 007 First Light Services damage a device or digital content belonging to you, and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or have in place the advised minimum technical requirements. For the avoidance of doubt, IOI (and its group companies) will not be responsible or liable for any damage caused to your device or other digital content in the event you configure your hardware outside the manufacturer’s specification (e.g. overclocking) or as a result of tampering or modifying the 007 First Light Services in breach of this EULA.
f. Subject always to section 6.3(a)-(e) (inclusive) above: (i) the total liability of IOI (and its group companies) arising out of or in connection with this EULA will not exceed the total amount you have paid to us under this EULA during the twelve (12) months immediately prior to the event which caused the liability; and (ii) the 007 First Light Services are provided on an “as is” basis and we make no specific warranty or representation in relation to the quality, completeness or accuracy of the 007 First Light Services.
6.4. Limitation of liability (USA and non-UK and EU countries).
a. The following section applies to players in the USA and other non-EU and UK countries.
b. OUR DISCLAIMERS.
(i) THE 007 FIRST LIGHT SERVICES (INCLUDING ANY UPDATES) ARE PROVIDED TO YOU ON AN "AS IS", “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE 007 FIRST LIGHT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE GAME WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IOI, ITS AFFILIATES, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR HARM OF ANY KIND ARISING FROM THE USE OR INABILITY TO USE OR ‘LOSS’ RELATING TO THE 007 FIRST LIGHT SERVICES. YOU UNDERSTAND THAT CERTAIN PORTIONS OF THE 007 FIRST LIGHT SERVICES ARE MADE POSSIBLE BY THIRD PARTIES. YOU AGREE THAT IOI DOES NOT CONTROL ANY THIRD PARTIES AND WILL NOT BE RESPONSIBLE FOR ANY LOSSES OR HARM THAT THEY CAUSE EITHER DIRECTLY OR INDIRECTLY.
(ii) TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IOI, ITS AFFILIATES, PARTNERS AND LICENSORS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR INDEPENDENT CONTRACTORS, BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR: (1) ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSSES, OR (2) DAMAGES ARISING FROM INTERRUPTIONS; DELETION OF FILES, EMAIL, OR DATA; SYSTEM ERROR, FAILURE OR MALFUNCTION; VIRUSES; DELAYS IN OPERATION OR TRANSMISSION; OR LOSS OF PROFITS, DATA, USE, BUSINESS OR GOOD-WILL; OR (3) YOUR MISUSE OF THE 007 FIRST LIGHT SERVICES OR ANY CONTENT AVAILABLE ON OR THROUGH THE 007 FIRST LIGHT SERVICES. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE ASSERTED LIABILITY OR DAMAGES ARE BASED ON CONTRACT, INDEMNIFICATION, TORT, STRICT LIABILITY, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY.
c. OUR LIABILITY CAP.
(i) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU IN CONNECTION WITH THE 007 FIRST LIGHT SERVICES OR THIS EULA EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE ACTUALLY PAID US (IF ANY) IN CONNECTION WITH THE MATTERS UNDERLYING ANY CLAIM(S).
(ii) IF APPLICABLE LAW DOES NOT ALLOW ALL OR ANY PART OF THE ABOVE LIMITATION OF LIABILITY TO APPLY TO YOU, THE LIMITATIONS WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
d. YOUR INDEMNITY TO US.
IF SOMEONE SUES IOI, ITS AFFILIATES, OR LICENSORS, YOU MAY HAVE TO PAY FOR THEIR DEFENSE AND LEGAL FEES. YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS ON DEMAND IOI, ITS AFFILIATES, LICENSORS AND PARTNERS, AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR INDEPENDENT CONTRACTORS, FROM AND AGAINST ANY AND ALL CLAIMS ASSERTED AGAINST ANY OF THEM ARISING OUT OF OR RELATING TO YOUR USE OR ACTUAL OR ALLEGED MISUSE OF THE 007 FIRST LIGHT SERVICES, VIOLATION OF THIS EULA, OR YOUR NEGLIGENCE OR MISCONDUCT. THIS APPLIES TO ALL LIABILITIES, CLAIMS AND EXPENSES, INCLUDING LEGAL FEES AND COSTS, ARISING FROM SUCH CLAIMS. IF CLAIMS ARE BROUGHT AGAINST US, THEN YOU WILL COOPERATE FULLY WITH US AND WE RESERVE THE RIGHT TO TAKE OVER THEIR DEFENCE SUBJECT TO INDEMNIFICATION BY YOU. YOU WILL NOT SETTLE ANY SUCH CLAIMS WITHOUT OUR PRIOR WRITTEN CONSENT.
e. INJUNCTIVE RELIEF.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY LOSS, DAMAGE OR HARM YOU SUFFER ARE NOT IRREPARABLE, AND OTHER REMEDIES WILL BE ADEQUATE, SUCH THAT YOU ARE NOT ENTITLED TO INJUNCTIVE OR OTHER EQUITABLE RELIEF AGAINST US.
f. Residents of California. If you reside in the state of California you are entitled to the following specific consumer rights information: you may contact the Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs by mail at 400 R St., Suite 1080, Sacramento, California, 95814, or by telephone at 916.445.1254.
7. Termination
SUMMARY: you can terminate this EULA by stopping all use of the 007 First Light Services. We may terminate or suspend (temporarily or permanently) your access to any / all of the 007 First Light Services including your IOI player account if you seriously breach this EULA. See section 7.3 in relation to appeals.
7.1. When and how can you terminate this EULA? You can terminate this EULA at any time by permanently stopping use of all 007 First Light Services. Termination will not affect already existing rights or obligations of us or you.
7.2. When can we suspend or terminate your access to the 007 First Light Services?
a. We may cancel or suspend (temporarily or permanently) your access to any and/or all of the 007 First Light Services (including access to your IOI player account) if you materially breach this EULA (e.g. the rules in section 3 above or any other breach which is serious and/or which could cause real harm to IOI, its staff, the 007 First Light Services or other 007 First Light Services players). If we cancel or suspend your account in this way we will not have any obligations or liabilities to you at all.
b. If IOI decides itself to stop providing any 007 First Light Services permanently, we will try to give you at least sixty (60) days’ notice.
7.3. Can players appeal bans?
a. If your ban has been issued by a third-party (such as an anti-cheat or security provider) and you would like to appeal, please contact that third party directly.
b. If your ban or other sanction has been issued by IOI and you would like to appeal, please email legal@ioi.dk .
8. Dispute Resolution
SUMMARY: any legal queries, complaints or claims regarding this EULA are under Danish law.
8.1. Governing law and disputes.
a. You and we agree that your use of the 007 First Light Services, this EULA, and any issues arising out of or in connection with them will be governed by and interpreted in accordance with the laws of Denmark. Any dispute arising out of or in connection with this EULA, including any dispute regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Denmark. This does not exclude any mandatorily applicable rules or remedies that may be available to you under the law of your country of residence. Notwithstanding the foregoing, if you have a Dispute (defined below) with the IOI Parties (also defined below) that arises under U.S. law, that Dispute must be resolved through individual arbitration in accordance with Section 8.2 below.
b. We and you both agree to make reasonable and good faith efforts to resolve any dispute between us informally - you can contact us at legal@ioi.dk . Normally we would suggest that this dispute resolution period lasts 30 days unless exceptional circumstances exist. If it is not resolved during this time, the next steps depend on where you live. Notwithstanding the foregoing, you and we have the legal right to commence legal claims against each other if we consider it necessary. If you bring a claim against IOI, you should address it to legal@ioi.dk .
9. Platform Terms
SUMMARY: for the avoidance of doubt, IOI provides the 007 First Light Services, and not any of the platforms.
9.1. This EULA is between you and IOI, and is not between you and any of the platforms that the Game operates on (including without limitation PlayStation, Xbox, Steam) (the “Platforms”). IOI is solely responsible for the 007 First Light Services.
9.2. Your use of the 007 First Light Services may be subject to the Platforms own terms (e.g. the licence you are granted to use the 007 First Light Services on specific devices). You are solely responsible for complying with the terms, policies, and requirements of the applicable Platform and any related platform account that you use to access and use the 007 First Light Services on and nothing in this EULA is intended to modify or supersede any agreement between you and a Platform.
10. Other Legal Matters
SUMMARY: this section sets out a few extra (hopefully self-explanatory) rules on how this EULA works. For example, this EULA is just between you and us and there may be certain situations where this EULA needs to be moved to another company.
10.1. If any parts of this EULA is found not to be legally enforceable, this will not affect any other part of it.
10.2. This EULA does not create any rights for anyone else, other than IOI’s affiliates and licensors (including Amazon and their respective affiliates) which shall be considered express third party beneficiaries of this EULA with full rights to enforce its terms.
10.3. Please remember that we are subject to various laws and we may be required to comply with law enforcement or other legal requirements, including import/export controls.
10.4. You and we agree that the UN Convention on Contracts for the International Sale of Goods does not apply to the 007 First Light Services or this EULA.
10.5. We can assign, subcontract or transfer this EULA to a third party or another member of our group if necessary for the support of the 007 First Light Services, as part of any reorganisation or merger, or for other business reasons, provided that any such assignment to a non-affiliate requires Amazon's prior written consent as Licensor of the Bond IP, and provided that this does not negatively affect your rights under this EULA (or alternatively with your consent).
10.6. No failure or delay by us or you to exercise any right or remedy provided under this EULA or by law will constitute a waiver of that or any other right or remedy, nor will it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy by us or you will preclude or restrict the further exercise of that or any other right or remedy.
10.7. This EULA does not create any exclusive relationship between us nor any partnership, joint venture, employment or agency.
