Metamory Terms of Service

These Terms of Service (hereinafter referred to as the "Terms") set forth the contents and conditions of provision of the cloud service "Metamory" (hereinafter referred to as the "Service") that enables users to store, save, and share personal photo files.
Please also refer to our Privacy Policy for information on how we handle the data you provide. By using the Service, you are deemed to have understood and agreed to all provisions of these Terms.
1. Service Description
The Service provides users with the following functionalities:
Transfer of multiple and large data or photo files (hereinafter collectively referred to as "Content") in coordination with Email, client applications, and third-party services specified in Article 5 (e.g., VRChat, Amazon Web Service, Google).
Storage and management of Content that users have sent, received, or shared (collectively referred to as "Transmission, etc.") on Metamory.
Transfer of Content stored in Metamory.
Thumbnail viewing, previews, comments, categorization, editing, sharing, and searching of photos within stored Content.
Extensions for use in third-party services designated by us.
2. Application for Use
You may apply to use the Service by agreeing to these Terms and registering the required information using the method designated by us.
Minors are generally not allowed to use the Service. If a minor wishes to use the Service, they must obtain consent from a legal guardian.
If an organization wishes to use the Service, an authorized representative must apply on behalf of that organization.
By applying for use, you agree to the following:
You are solely responsible for determining to what extent you use the Service to transmit, receive, or share Content. We are not responsible for any disadvantage or damage caused by misdelivery unless due to our intentional misconduct or gross negligence.
You must comply with applicable legal obligations (including but not limited to copyright law, unfair competition prevention law, defamation laws, export controls, and technical management laws) when using the Service. We are not responsible for any damages resulting from your violation of laws unless due to our intentional misconduct or gross negligence.
You shall not use the Service to transmit, receive, or share the following types of information:
Information that infringes on third-party rights (including but not limited to copyrights, moral rights, patents, trademarks, design rights, utility model rights, trade secrets, honor, portrait rights, privacy rights, or publicity rights).
Information that is contrary to public order and morals.
Information containing viruses, malware, or that interferes with software/hardware or collects data improperly.
Information that violates laws or these Terms.
You may only use the Service within Japan. We are not responsible for any damage incurred by using the Service outside of Japan, unless due to our intentional misconduct or gross negligence.
3. Acceptance of Application
You may use the Service once we accept your application.
4. Authentication and Password Management
You will be asked to register a user ID and password ("Authentication Credentials") at the time of application for the purpose of identification.
You are solely responsible for managing your Authentication Credentials and may not allow third parties to use them, or transfer, sell, or lend them under any circumstances.
Any use of the Service using your registered credentials will be deemed to have been performed by you.
If you suspect that your credentials have been leaked or used by a third party, or if your device storing the credentials is lost or stolen, you must immediately follow the prescribed procedures to request suspension of your account. You are responsible for any resulting damage unless caused by our intentional misconduct or gross negligence.
You must provide accurate information upon account registration. You may delete your account at any time. If we determine that you have provided false or inappropriate information, we may delete your account.
5. Third-Party Services
You may use the Service in coordination with third-party applications, services, or products ("Third-Party Services") with which we are affiliated. Use of these services is not mandatory and is at your discretion. You are solely responsible for obtaining any necessary licenses or making payments for these services.
We make no warranties and accept no liability regarding the use of Third-Party Services, unless due to our intentional misconduct or gross negligence. For questions, please contact the provider of the Third-Party Service.
The Service may contain links to websites or services not operated by us. We are not responsible for their content, privacy policies, or practices, unless otherwise specified.
6. Access to and Deletion of Content
We will not access, host, back up, or share your Content without your consent, unless necessary to provide the Service or as required by these Terms.
However, we may provide your Content to third parties if required by law (e.g., criminal procedures, wiretap laws, or disclosure obligations under specific telecom laws).
If we determine that any Content violates laws, public order, or these Terms—or if a third party reasonably requests deletion of such Content—we may delete the Content without prior notice.
7. Prohibited Activities
The following actions are prohibited when using the Service:
Non-standard usage:
Publishing download URLs of Content transferred via the Service to message boards or platforms likely to receive high traffic.
Simultaneous use of multiple browsers or other means to send/receive Content from the same user (same IP address).
Excessively burdening the server or network, or any actions that may disrupt the provision of the Service.
Any use of the Service in a way that causes damage to us or other users, including but not limited to infringement of third-party intellectual property rights, portrait rights, publicity rights, or privacy; impersonation; transmission or storage of viruses or other harmful programs; illegal access; and any actions that may fall into these categories.
Illegal or inappropriate conduct:
Sending or receiving content that is illegal, harmful, threatening, defamatory, harassing, obscene, offensive, invasive of privacy, discriminatory, racist, or otherwise unlawful.
Actions that are contrary to public order and morals, or that may be so judged.
Criminal acts or acts that may lead to criminal acts.
Political campaigning or similar acts.
Social conduct related to sex work, religion, or politics.
Unauthorized use:
Sharing Authentication Credentials among multiple people.
Selling or transferring Authentication Credentials.
Disclosing Authentication Credentials to third parties or allowing them to use them.
Illegally using or disclosing another person’s Authentication Credentials.
Other prohibited actions:
Collecting or storing personal information of other users without authorization or with malicious intent.
Sending junk mail, spam, chain letters, or engaging in pyramid schemes.
Disrupting or damaging software, hardware, or systems through viruses or malware; unauthorized access; or sending Content for such purposes.
Falsifying headers or identifiers to disguise the origin or nature of Content.
Using the Service for commercial purposes.
Reselling or sublicensing the Service.
Using the Service in a manner that causes or risks significant disruption to other users’ experience.
Any other acts that we deem inappropriate.
8. Service Plans
A. Available Plans
In addition to a free plan, we plan to offer the following paid plans:
Paid plans are currently under preparation and not yet available.
The free plan is currently available for use.
B. Terms of Paid Plans
By using a paid plan, you agree that we may charge your registered payment method on the first day of each billing cycle. If the billing cycle begins in a month that does not include the charge date, the payment will be processed on the last day of that month. If you change your billing cycle, the new cycle will take effect from the next payment date. You may not cancel or receive a refund for a paid plan after the start of the billing cycle, regardless of the reason, unless caused by our intentional misconduct or gross negligence.
You are responsible for reviewing the contents of each paid plan before subscribing.
We are not liable for any charges incurred due to your failure to review the paid plan details.
You must use your own payment method and are responsible for managing all issues related to your payments.
You may not cancel payments or access the Service fraudulently or with malicious intent.
We reserve the right to modify the pricing or payment methods of paid plans. In such cases, we will provide at least 30 days’ advance notice.
9. Disclaimers
You agree to the following disclaimers:
We do not guarantee that the Service is free from factual or legal defects (including but not limited to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, or security, as well as errors, bugs, or rights violations). You are responsible for backing up your own Content. We are not liable for any disadvantage or damage (including interruption of work, loss of data, or lost profits) resulting from poor transmission or server failure, unless caused by our intentional misconduct or gross negligence.
We are not liable for any disadvantage or damage arising from events beyond our control, such as natural disasters (e.g., earthquakes, floods), wars, riots, pandemics (e.g., influenza), legal revisions, power outages, labor disputes, suspension of cloud or communication services used by us, or hardware failures not due to our intent or gross negligence.
We are not liable for any disadvantage or damage incurred due to the unavailability of the Service during service interruptions, unless caused by our intentional misconduct or gross negligence. You are solely responsible for communication, provider, and other associated costs, even if you are unable to use the Service.
You are responsible for confirming the details of paid plans in advance. We are not liable for any disadvantage or damage resulting from your failure to do so, unless caused by our intentional misconduct or gross negligence.
If you use someone else’s payment method without authorization, we are not liable for any resulting disadvantage or damage, unless caused by our intentional misconduct or gross negligence.
We are not liable for any disadvantage or damage resulting from terminating your access to the Service or deleting your Content and stored data, unless caused by our intentional misconduct or gross negligence.
10. No Warranty
We make no express or implied warranties regarding the Service. The Service is provided "as is," and we make no guarantees about its merchantability, fitness for a particular purpose, or non-infringement of rights.
11. Service Interruptions
We may suspend or interrupt the Service without prior notice if necessary due to force majeure or system maintenance. We are not liable for any disadvantage or damage arising from such suspension or interruption, unless caused by our intentional misconduct or gross negligence.
12. Suspension or Termination of Service
If we determine that you have not complied with these Terms or are suspected of doing so, we may take any appropriate measures without prior notice. These include temporary suspension, accessing or deleting your Content, disabling access, terminating the Service, or disconnecting from third-party services.
If we terminate the Service for you, we may delete all or part of your Content. Deleted Content cannot be restored. We are not liable for any resulting disadvantage or damage, unless caused by our intentional misconduct or gross negligence.
13. Notices and Communications
Notices or communications between you and us will be conducted via email to the address you registered, unless otherwise specified. A notice is deemed delivered once we send the email, regardless of whether you check it. You are responsible for any disadvantage from failing to check your email.
14. General Provisions
You may not transfer, assign, delegate, or pledge your contractual position, rights, or obligations under these Terms to any third party. We may assign our contractual position, rights, or obligations to our affiliates without prior consent from you.
These Terms are governed by the laws of Japan.
If any dispute arises regarding these Terms or their interpretation, the parties shall attempt to resolve it in good faith. If unresolved, the Tokyo District Court shall have exclusive jurisdiction in the first instance.
15. Amendments to the Terms
We may revise these Terms by posting the updated version on our website. If you continue to use the Service after the effective date of the revised Terms, you are deemed to have agreed to them.

You agree that we may collect the following information in accordance with the next article:

Advertising identifier

Information obtained via linked third-party services:
IDs used on such services
Any information disclosed to us under the privacy settings of the linked services

Access logs
Usage records (e.g., file names, sizes, transmission/reception type)
Additionally, for paid plans specified in Article 8, our contracted payment processor may collect:
Credit card company name
Credit card number
Expiry date
Security code
17. Use and Provision of Personal Information to Third Parties
We will use the personal information collected under the previous article in accordance with our Privacy Policy.
