Scionide END USER LICENSE AGREEMENT (EULA)
PLEASE READ THIS AGREEMENT CAREFULLY.
This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Stella Group Corporation, a Florida corporation doing business as Syonix ("Company", "We", or "Us"), governing your use of the video game software titled Scionide ("Game"), including all software, assets, updates, modifications, content, and documentation associated therewith.
By installing, copying, downloading, or otherwise using the Game, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Game.
1. LICENSE GRANT
Subject to your full compliance with this Agreement, Syonix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) copy of the Game on a single personal computer or gaming device solely for your personal, non-commercial entertainment purposes.
2. OWNERSHIP
The Game is licensed, not sold. All rights, title, and interest in and to the Game, including without limitation all intellectual property rights, are and shall remain the exclusive property of Stella Group Corporation. This includes but is not limited to all assets, art, music, characters, design, names, themes, and trademarks.
3. RESTRICTIONS
You may not:
Copy, reproduce, distribute, or publicly display the Game, in whole or in part, except as expressly authorized.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or other proprietary information from the Game.
Modify, translate, adapt, or create derivative works based on the Game.
Remove, alter, or obscure any proprietary notices or labels on the Game.
Use the Game for any commercial purpose without express written permission from Syonix.
Sell, rent, lease, license, sublicense, or transfer your rights under this Agreement.
Use any unauthorized tools or techniques to rip, extract, or gain access to any Game assets (including but not limited to models, textures, audio files, or code). Any attempt to do so is strictly prohibited and subject to legal consequences.
4. SOLE DISTRIBUTION RIGHTS
You acknowledge and agree that Stella Group Corporation is the sole authorized distributor of the Game. You shall not distribute, resell, or facilitate resale or unauthorized access to the Game. Any unauthorized distribution is a material breach of this Agreement and may result in termination of your license and legal action.
5. USER-GENERATED CONTENT
If the Game allows creation or submission of user-generated content ("UGC"), you retain ownership of your UGC, but grant Syonix a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, distribute, display, perform, and modify the UGC in connection with the Game. You agree not to submit UGC that infringes any third-party rights or violates any laws.
6. UPDATES AND PATCHES
We may deploy patches, updates, or other modifications to the Game at any time without notice. These may be required for continued use of the Game. Failure to install updates may render the Game unusable.
7. TERMINATION
This license is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any terms. Upon termination, you must cease all use of the Game and destroy all copies.
8. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GAME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE IS AT YOUR SOLE RISK.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STELLA GROUP CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OF THE GAME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Stella Group Corporation and its affiliates, licensors, officers, directors, employees, and agents from and against all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement or improper use of the Game.
11. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising out of or relating to this Agreement or the Game shall be resolved exclusively through binding arbitration conducted in Miami Dade County, Florida, United States of America under the rules of the American Arbitration Association. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL AND TO BRING OR PARTICIPATE IN LITIGATION IN COURT.
12. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Stella Group Corporation concerning the Game and supersedes all prior or contemporaneous communications, whether electronic, oral, or written.
