**THIS END USER LICENSE AGREEMENT ("AGREEMENT") SHOULD BE READ CAREFULLY BEFORE USING CODEJACKER. BY INSTALLING, COPYING, OR OTHERWISE USING THE GAME, THE USER AGREES TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF THE USER DOES NOT AGREE TO THESE TERMS, THE USER MUST NOT INSTALL OR USE THE GAME.**

## 1. Preamble and Definitions

This End User License Agreement ("Agreement") is a legal agreement between the individual and/or entity using the Game ("User") and **Ongakken Corporation OÜ**, a company organized under the laws of **the Republic of Estonia**, with its registered office at **Kalaranna 8/2-30, 10415, Tallinn** ("Company").

### 1.1 Definitions

The following definitions are functional and behavioral. Classification of any tool, software, system, conduct, and/or content under these definitions shall be determined by its function, behavior, and/or effect, regardless of its name, branding, marketing, technical architecture, and/or how the creator and/or operator describes it.

- **"Game"** means CodeJacker, including all software, code, data files, images, sounds, music, and other content, updates, patches, and modifications thereto.

- **"Services"** means all online services, features, and functionalities provided in connection with the Game, including but not limited to multiplayer matchmaking, competitive ranked play, official tournaments, and Steam Workshop integration. Certain Services are provided by Valve Corporation through Steam infrastructure and are subject to Valve's policies (see Section 1.2).

- **"Content"** means all text, graphics, audio, video, software, data, and other materials included in and/or generated by the Game.

- **"Workshop Content"** means any user-created content uploaded to and/or distributed through Steam Workshop for use with the Game, including but not limited to custom maps, campaigns, and challenge files.

- **"User Content"** means any content created, uploaded, transmitted, and/or otherwise made available by the User through the Game and/or Services.

- **"Automated Assistance Tool"** means any software, system, service, model, algorithm, and/or process that performs any of the following functions, regardless of its name, underlying technology, and/or how it is marketed and/or described:
- (a) Generates, suggests, recommends, and/or proposes code, text, and/or gameplay actions based on input, context, and/or game state;
- (b) Completes, predicts, and/or autocompletes code, text, and/or commands beyond basic text editor functionality;
- (c) Analyzes code, game state, and/or gameplay to provide strategic recommendations and/or tactical suggestions;
- (d) Makes decisions, provides guidance, and/or automates actions that would otherwise require human judgment and/or input;
- (e) Learns from, adapts to, and/or improves based on data, feedback, and/or interaction patterns;
- (f) Processes natural language to understand intent and/or generate responses.
This includes, without limitation, large language models, code generation models, code completion tools, diffusion models, transformer-based models, neural networks, expert systems, decision trees, reinforcement learning agents, and any hybrid and/or derivative systems. The absence of a specific technology from this list shall not exclude it if it performs any of the functions described above.

- **"Cheat"** means any tool, software, hardware, technique, exploit, method, and/or assistance that performs any of the following functions, regardless of its name and/or how it is described:
- (a) Modifies, intercepts, and/or manipulates game data, memory, network traffic, and/or game state;
- (b) Provides information not intended to be available to the User, including but not limited to opponent positions, hidden code, and/or obscured game elements;
- (c) Automates gameplay actions, inputs, and/or decisions that are intended to be performed manually by the User;
- (d) Provides any advantage not available through the Unmodified Game to all Users;
- (e) Circumvents, disables, and/or interferes with any game security, anti-cheat, and/or integrity system;
- (f) Involves receiving assistance, guidance, information, and/or advice from any External Party (as defined below) during gameplay.

- **"Unmodified Game"** means the Game in its default state immediately following purchase and download from Steam, prior to any alteration, configuration change beyond in-game settings, file modification, injection, overlay, and/or third-party addition. For the avoidance of doubt: the state of the Game at the moment the Steam download completes is the Unmodified Game. Any deviation from this state, whether through file changes, memory manipulation, external software interaction, and/or any other means, results in a modified Game.

- **"External Party"** means any individual who is not an Active Participant in the User's current game session. This includes, without limitation:
- (a) Spectators, observers, and/or viewers of the User's gameplay (whether in-person and/or remote);
- (b) Individuals on voice calls, video calls, and/or screen-sharing sessions who are not Active Participants;
- (c) Chat participants, stream viewers, and/or any other person viewing and/or communicating with the User who is not an Active Participant;
- (d) Coaches, advisors, and/or assistants who are not Active Participants;
- (e) Any person physically present with the User who is not an Active Participant.

- **"Active Participant"** means an individual who is currently connected to and playing in the same game session as the User, as a member of the User's team. For the avoidance of doubt: spectators and observers are NOT Active Participants, regardless of whether the Game provides a spectator mode. Only players actively participating on the User's team in the current match are Active Participants.

### 1.2 Valve Corporation Services and Deferral

**Certain services and functionalities are provided by Valve Corporation ("Valve") through Steam infrastructure.** The Company defers to Valve's policies, terms, and practices for these services. The User acknowledges and agrees that:

(a) **Valve-Handled Services:** The following services are provided, operated, and/or controlled by Valve, and disputes, issues, and/or concerns regarding these services shall be directed to Valve:
- (i) **Matchmaking:** All multiplayer matchmaking, lobby creation, and player connection services are provided through Steam's networking infrastructure;
- (ii) **Voice Chat Relay:** Voice communication relay services are provided through Steam's voice chat servers; voice data transmitted through Steam's relay is subject to Valve's privacy policy and terms of service. **Exception:** This deferral to Valve does not limit the Company's right to record voice communications during the Steam Playtest program pursuant to Section 6, to which Users expressly consent upon enrollment;
- (iii) **Steam Cloud:** Cloud save synchronization is provided by Valve's Steam Cloud infrastructure;
- (iv) **Steam Workshop:** Workshop hosting, distribution, and subscription services are provided by Valve;
- (v) **Authentication:** User authentication is performed through Steam's account system;
- (vi) **Purchases and Refunds:** All purchase transactions and refund requests are handled by Valve through the Steam store;
- (vii) **Steam Networking:** Network relay, NAT traversal, and connection services are provided by Valve's Steam Networking infrastructure.

(b) **Valve's Policies Apply:** For services listed in Section 1.2(a), Valve's Steam Subscriber Agreement, Privacy Policy, and other applicable Valve policies govern. The Company is not responsible for Valve's services, their availability, performance, and/or any actions taken by Valve.

(c) **No Company Liability for Valve Services:** The Company shall not be liable for any issues, damages, losses, and/or disputes arising from Valve-handled services, including but not limited to:
- (i) Matchmaking failures, delays, and/or imbalances;
- (ii) Voice chat quality, latency, and/or availability;
- (iii) Steam Cloud synchronization issues;
- (iv) Steam account restrictions and/or bans imposed by Valve;
- (v) Purchase and/or refund disputes;
- (vi) Network connectivity issues within Valve's infrastructure.

(d) **Referral to Valve:** For issues related to Valve-handled services, the User shall contact Valve through Steam Support: https://help.steampowered.com/

(e) **Company-Handled Services:** The Company remains responsible for Game content, gameplay mechanics, in-game rules, anti-cheat enforcement within the Game, official competitions, and other services not explicitly listed in Section 1.2(a).

## 2. License Grant

### 2.1 Grant of License

Subject to the User's compliance with this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to:

(a) Download, install, and use the Game through Steam on devices the User owns and/or controls, solely for the User's personal, non-commercial entertainment purposes. The Game is distributed exclusively through Steam, and this license is tied to the User's valid Steam account.

(b) Access and use the Services in connection with the Game.

(c) Create and share streaming content and video recordings of the User's gameplay, including for commercial purposes, subject to Section 7.

### 2.2 Restrictions on License

This license does not include any right to:

(a) Sell, rent, lease, lend, sublicense, and/or otherwise transfer the Game and/or the User's rights under this Agreement to any third party.

(b) Use the Game for any commercial purpose other than streaming and content creation as permitted under Section 7.

(c) Copy and/or distribute the Game except as expressly permitted herein.

### 2.3 Reservation of Rights

All rights not expressly granted to the User are reserved by the Company. The Game is licensed, not sold.

## 3. Restrictions

### 3.1 Prohibited Conduct

The User agrees that the User shall NOT:

#### 3.1.1 Modification and Reverse Engineering

(a) Modify, adapt, translate, and/or create derivative works based on the Game and/or any part thereof.

(b) Reverse engineer, decompile, disassemble, and/or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, and/or organization of the Game.

(c) Remove, alter, and/or obscure any proprietary notices, labels, and/or marks on the Game.

(d) Circumvent, disable, and/or otherwise interfere with security-related features of the Game and/or Services.

#### 3.1.2 Artificial Intelligence, Machine Learning, and Automated Assistance

(a) Use any portion of the Game, including but not limited to gameplay footage, code samples, graphical assets, audio, and/or any other Content, for the purpose of training, developing, and/or improving any machine learning model, artificial intelligence system, and/or similar technology, whether for commercial and/or non-commercial purposes.

(b) **Use any Automated Assistance Tool (as defined in Section 1.1) during the runtime of the Game for use in the Game.** This prohibition applies regardless of the tool's name, branding, underlying technology, and/or how it is marketed and/or described. The use of any such tool during gameplay, whether in competitive, ranked, casual, and/or any other game mode, constitutes cheating and shall be grounds for immediate termination of the User's license.

(c) **Functional Test:** A tool shall be considered an Automated Assistance Tool if it performs any function described in Section 1.1, regardless of:
- (i) What the tool is called and/or how it is branded;
- (ii) Whether the creator and/or operator claims it is "not AI," "not an LLM," "not machine learning," and/or any similar disclaimer;
- (iii) The specific technical architecture, algorithm, and/or implementation method;
- (iv) Whether it operates locally, remotely, and/or in a hybrid configuration;
- (v) Whether it is free, paid, open-source, and/or proprietary.

(d) Permit, authorize, and/or assist any third party in using the Game and/or Content for machine learning and/or artificial intelligence purposes.

(e) **No Technical Defense:** The User shall not escape liability under this Section by arguing that a tool does not meet a specific technical definition. If a tool provides automated assistance that affects gameplay, code generation, and/or decision-making, it is prohibited.

#### 3.1.3 Cheating and Exploitation

(a) Use any Cheat (as defined in Section 1.1), including but not limited to exploits, automation software, bots, hacks, mods, and/or any unauthorized third-party software designed to modify and/or interfere with the Game and/or the gameplay experience.

(b) Attempt to gain an unfair advantage over other players through any means not intended by the Game's design, including but not limited to exploiting bugs, glitches, and/or design flaws. **Functional Test:** An advantage shall be deemed "unfair" if it is not available to all Users through the Unmodified Game operating as intended.

(c) Engage in match-fixing, win-trading, boosting, and/or any other activity that undermines competitive integrity.

(d) Use any technique to manipulate and/or artificially inflate rankings, statistics, and/or achievements.

(e) Use any external tool, overlay, and/or assistance that provides gameplay advantages not available to all Users through the Unmodified Game. This includes any tool that:
- (i) Displays information not visible in the standard Game interface;
- (ii) Automates any input and/or action;
- (iii) Analyzes game state and/or provides recommendations;
- (iv) Modifies and/or enhances visual, audio, and/or input processing in ways that confer advantage.

#### 3.1.3A External Assistance Prohibition

**Receiving assistance from any External Party during gameplay constitutes cheating and is strictly prohibited.**

(a) **Prohibited External Assistance includes, without limitation:**
- (i) "Backseat gaming," wherein an External Party observes the User's gameplay and provides guidance, suggestions, callouts, and/or strategic advice;
- (ii) Screen-sharing, streaming, and/or broadcasting gameplay to any External Party who then provides real-time and/or near-real-time assistance;
- (iii) Voice calls, video calls, text chats, and/or any other communication with External Parties for the purpose of receiving gameplay assistance;
- (iv) Having an External Party physically present who observes and advises the User during gameplay;
- (v) Receiving information from spectators and/or observers about opponent positions, actions, strategies, and/or any other game state information;
- (vi) Any other form of assistance, guidance, and/or information from any person who is not an Active Participant on the User's team.

(b) **Permitted Team Communication:**
- The User may freely communicate with Active Participants on the User's team using any method, including but not limited to: in-game voice chat, in-game text chat, Discord, TeamSpeak, Mumble, telephone, radio, and/or any other communication medium.
- **The critical distinction is participation:** Communication is permitted ONLY with individuals who are currently connected to and actively playing in the same game session as the User, on the User's team.

(c) **Spectators Are Not Teammates:**
- Spectators, observers, stream viewers, and/or any other non-playing individuals are External Parties, regardless of any personal and/or team affiliation with the User.
- Receiving any information and/or assistance from spectators during gameplay constitutes cheating, even if the spectator is a friend, teammate in other matches, coach, and/or team member who is not actively playing in the current session.

(d) **Streaming and Content Creation:**
- The User may stream and/or record gameplay for content creation purposes pursuant to Section 7.
- However, the User shall not receive real-time and/or near-real-time assistance, callouts, and/or information from stream viewers and/or chat participants during competitive and/or ranked gameplay.
- Reading chat and/or receiving viewer input that affects gameplay decisions during competitive play constitutes cheating.

(e) **Consequences:**
- Violation of this Section 3.1.3A shall result in immediate enforcement action, up to and including permanent ban, regardless of whether the External Party's assistance actually affected match outcome.

#### 3.1.4 Mandatory Reporting of Exploits and Cheating

**The User shall report to the Company:**

(a) Any bugs, glitches, and/or design flaws the User discovers that could provide an unfair advantage and/or be exploited.

(b) Any suspected and/or witnessed cheating, exploitation, and/or use of unauthorized software and/or Automated Assistance Tools by other Users during gameplay.

(c) Any behavior that appears to violate this Agreement, even if the User is not certain a violation has occurred.

**This reporting obligation applies:**

(a) Immediately upon discovery and/or observation of such issues.

(b) Even when based on reasonable suspicion rather than certainty.

(c) Regardless of whether the conduct benefits and/or harms the reporting User.

**Failure to report:** The User's failure to promptly report known and/or suspected violations shall itself constitute a breach of this Agreement and shall result in enforcement action against the User.

Reports shall be submitted to **cj@ongakken.com** and/or through the in-game reporting system.

#### 3.1.5 Distribution

(a) Distribute, share, upload, and/or otherwise make available the Game and/or any portion thereof through any channel other than Steam. The Game is distributed exclusively through Steam, and any distribution outside of this authorized channel is strictly prohibited.

(b) Share, sell, and/or transfer the User's Steam account and/or Game license to any third party.

(c) Enable, facilitate, and/or assist others in obtaining unauthorized copies of the Game.

#### 3.1.6 General Misconduct

(a) Harass, threaten, embarrass, and/or cause distress and/or discomfort to any other User and/or any Company employee and/or representative.

(b) Transmit and/or facilitate distribution of content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, and/or otherwise objectionable.

(c) Impersonate any person and/or entity, including any Company employee and/or representative.

(d) Interfere with and/or disrupt the Services, servers, and/or networks connected to the Services.

#### 3.1.7 Complicity and Party Liability

**The User shall be considered a party to any violation of this Agreement if the User:**

(a) **Joins and/or participates** in harassment, bullying, and/or abuse initiated by another User, regardless of whether the User initiated the conduct.

(b) **Supports, encourages, and/or endorses** cheating, exploitation, harassment, and/or any other prohibited conduct by another User, whether through words, actions, and/or in-game assistance.

(c) **Fails to disengage** from a situation where other Users are engaging in prohibited conduct and instead remains present and/or participatory. For purposes of this Section, "disengage" means: (i) ceasing all participation in the prohibited conduct; (ii) leaving the immediate environment where practicable; and (iii) reporting the conduct pursuant to Section 3.1.4.

(d) **Coordinates and/or conspires** with other Users to violate this Agreement, even if the User does not directly perform the prohibited act.

(e) **Provides assistance** to another User in violating this Agreement, including but not limited to sharing exploits, providing cheating tools and/or Automated Assistance Tools, and/or covering for another User's misconduct.

**Harassment campaigns:** If a User joins, supports, and/or participates in any harassment campaign, including but not limited to harassment based on gender, race, ethnicity, nationality, religion, sexual orientation, disability, and/or any other characteristic, the User shall be considered a party to that harassment and shall be subject to the same enforcement actions as the initiating party, up to and including immediate permanent ban.

**Equal liability:** Being a party to a violation carries the same consequences as directly committing the violation. The User shall not avoid responsibility by claiming to have only "followed along" and/or "not started it."

**Silence as complicity:** As stated in Section 3.1.4, failure to report known and/or suspected violations shall itself constitute a breach. Remaining silent while witnessing harassment and/or other misconduct, particularly when the User could have reported it, shall be treated as complicity.

## 4. User-Generated Content (Steam Workshop)

### 4.1 Workshop Content

The Game supports user-created content through Steam Workshop. If the User creates and uploads Workshop Content, the following terms shall apply:

### 4.2 Ownership

The User retains all ownership rights in any original content the User creates and uploads as Workshop Content.

### 4.3 License Grant to Company and Users

By uploading Workshop Content, the User grants:

(a) **To the Company:** A perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Workshop Content in connection with the Game and Services, and to sublicense these rights to third parties.

(b) **To All Other Users:** A perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to download, use, and enjoy such Workshop Content in connection with the Game.

### 4.4 Representations and Warranties

By uploading Workshop Content, the User represents and warrants that:

(a) The User is the original creator of the Workshop Content, and/or the User has obtained all necessary rights, licenses, consents, and permissions to upload and license the Workshop Content as set forth herein.

(b) The Workshop Content does not infringe, violate, and/or misappropriate any third party's intellectual property rights, privacy rights, publicity rights, and/or any other legal rights.

(c) The Workshop Content complies with all applicable laws and regulations.

(d) The Workshop Content does not contain any viruses, malware, and/or other harmful code.

### 4.5 Prohibited Workshop Content

The User shall NOT upload Workshop Content that:

(a) The User does not have the legal right to distribute.

(b) Infringes any third party's copyright, trademark, patent, trade secret, and/or other intellectual property rights.

(c) Contains content that is illegal, obscene, defamatory, and/or otherwise violates this Agreement.

**Uploading content to which the User does not own the rights, and/or for which the User has not obtained proper authorization, constitutes a material breach of this Agreement and shall result in immediate termination of the User's license.**

### 4.6 No Obligation

The Company has no obligation to monitor, review, and/or host any Workshop Content. The Company reserves the right to remove any Workshop Content at any time for any reason without notice.

### 4.6A Valve Workshop Policies and Legal Compliance

(a) **Deferral to Valve Policies:** Workshop Content is hosted and distributed through Steam Workshop, a service provided by Valve Corporation. All Workshop Content shall comply with Valve's Steam Workshop policies, terms, and guidelines, including but not limited to the Steam Subscriber Agreement and Steam Workshop Terms of Service.

(b) **Jurisdictional Legality:** Workshop Content shall not contain any material that is illegal in any jurisdiction where Steam Workshop is served. The User acknowledges that Steam Workshop is available globally, and content that is legal in the User's jurisdiction may be illegal in other jurisdictions where Steam Workshop operates.

(c) **Valve's Enforcement:** Valve may independently remove, restrict, and/or take action against Workshop Content that violates Valve's policies, regardless of whether the Company takes separate action. The Company defers to Valve's determinations regarding Workshop policy violations.

(d) **Cumulative Enforcement:** Valve's enforcement actions and Company enforcement actions are cumulative and independent. Content may be subject to removal and/or User sanctions by Valve, by the Company, and/or by both.

### 4.7 Prohibited Workshop Content Categories

**In addition to Section 4.5, the following content categories are strictly prohibited:**

(a) **Extremist and Terrorist Content:** Content that promotes, glorifies, supports, and/or depicts terrorism, terrorist organizations, violent extremism, and/or extremist ideologies.

(b) **Hateful Content:** Content that promotes hatred, discrimination, and/or violence against individuals and/or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, and/or any other protected characteristic.

(c) **Political Extremism:** Content that promotes extreme political ideologies, political violence, insurrection, and/or the overthrow of governments.

(d) **Illegal Content:** Content that depicts, promotes, and/or facilitates illegal activities, including but not limited to drug trafficking, human trafficking, child exploitation, and/or other criminal conduct.

(e) **Harassment Content:** Content designed to harass, threaten, doxx, and/or target specific individuals.

(f) **Misinformation:** Content that spreads dangerous misinformation regarding public health, elections, and/or other matters of public safety.

### 4.8 User Sole Responsibility

**THE COMPANY BEARS NO RESPONSIBILITY FOR USER-GENERATED CONTENT.**

(a) **Transfer of Responsibility:** All responsibility for Workshop Content and User Content rests solely and exclusively with the User who created and/or uploaded such content. The Company is not the creator, author, and/or originator of any User-generated content.

(b) **No Endorsement:** The presence of Workshop Content and/or User Content on the Company's platforms does not constitute endorsement, approval, and/or verification by the Company.

(c) **User Liability:** The User who uploads Workshop Content and/or User Content shall be solely liable for:
- (i) Any claims, damages, and/or legal actions arising from the content;
- (ii) Any intellectual property infringement;
- (iii) Any harm caused to individuals and/or groups;
- (iv) Any violations of law and/or regulation;
- (v) Any breach of this Agreement.

(d) **Indemnification:** The User shall indemnify, defend, and hold harmless the Company from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from and/or relating to the User's Workshop Content and/or User Content.

### 4.9 Company Response to Violations

(a) **Detection and Removal:** The Company shall respond to detected violations of Sections 4.5 and 4.7 by removing the offending content. However, the Company's removal of content does not constitute acceptance of responsibility for the content's creation and/or distribution.

(b) **No Monitoring Obligation:** The Company is under no obligation to proactively monitor, screen, and/or review Workshop Content and/or User Content prior to and/or after publication.

(c) **User Reporting:** Users may report violating content through the in-game reporting system and/or by contacting **cj@ongakken.com**.

(d) **Enforcement Action:** Users who upload content violating Sections 4.5 and/or 4.7 shall be subject to enforcement action under Section 10, up to and including permanent ban, in addition to any legal liability they may face.

## 5. Competitive Play and Esports

### 5.1 Official Competitions

The Company may organize official competitive events, tournaments, and esports activities ("Official Competitions"). Participation in Official Competitions shall be subject to:

(a) This Agreement.

(b) Any additional rules, guidelines, and/or terms specific to the Official Competition ("Competition Rules").

(c) In the event of a conflict between this Agreement and Competition Rules, the Competition Rules shall prevail with respect to the relevant Official Competition.

### 5.2 Eligibility

To be eligible for Official Competitions and any associated prizes, the User must:

(a) Be in good standing with respect to this Agreement, meaning the User has not breached any terms hereof.

(b) Comply with all Competition Rules.

(c) Meet any age, residency, and/or other eligibility requirements specified in the Competition Rules.

### 5.3 Disqualification

The Company reserves the right to disqualify any participant from Official Competitions for:

(a) Violation of this Agreement and/or Competition Rules.

(b) Cheating and/or unsportsmanlike conduct.

(c) Any conduct that the Company, in its sole discretion, determines is detrimental to the integrity of the competition.

### 5.4 Prizes

Any prizes awarded in Official Competitions are subject to applicable taxes and withholding. The Company may require winners to execute additional documents, including tax forms and publicity releases, as a condition of prize delivery.

## 6. Steam Playtest Program

### 6.1 Applicability

This Section 6 applies to any User who has enrolled in and been accepted to the Steam Playtest program for CodeJacker, and/or is accessing the Game prior to its official Steam release.

### 6.2 Express Consent to Recording and Release

**BY ENROLLING IN THE STEAM PLAYTEST PROGRAM AND/OR LAUNCHING THE GAME, THE USER EXPRESSLY, VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY AGREES AND CONSENTS TO THE FOLLOWING. THE USER ACKNOWLEDGES HAVING READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS, AND THAT THIS CONSENT AND RELEASE SHALL NOT BE REVOKED AND/OR WITHDRAWN ONCE THE USER HAS PARTICIPATED IN ANY PLAYTEST SESSION.**

#### 6.2.1 Recording Rights

(a) **Gameplay Recording:** The Company may record, capture, store, and retain in perpetuity the User's gameplay sessions, including but not limited to video footage of the User's in-game actions, screen content, cursor movements, text inputs, usernames, and all other aspects of the User's interaction with the Game.

(b) **Voice Chat Recording:** The Company may record, capture, store, and retain in perpetuity the User's voice communications made through the Game's voice chat feature, including conversations with other playtesters, the User's voice, vocal expressions, and any sounds the User transmits.

(c) **Likeness and Persona:** To the extent the User's voice, username, avatar, and/or any other identifying characteristics are captured in recordings, the User grants the Company the right to use such elements as part of the recordings.

#### 6.2.2 Irrevocable Perpetual Universal License

The User hereby grants to the Company, its successors, assigns, licensees, and designees, **in perpetuity throughout the universe**, a **perpetual, irrevocable, unconditional, worldwide, royalty-free, fully paid-up, sublicensable, transferable license** to:

(a) Use, reproduce, record, re-record, edit, modify, adapt, crop, alter, dub, translate, reformat, and create derivative works from all recordings of the User's gameplay and voice communications;

(b) Publish, distribute, transmit, broadcast, stream, display, perform, exhibit, and otherwise exploit such recordings and derivative works;

(c) Use such recordings **exclusively for promotional, marketing, advertising, and publicity purposes**, including but not limited to:
- Theatrical and digital trailers
- Promotional videos and sizzle reels
- YouTube, Twitch, TikTok, and all other social media platforms (current and future)
- Press materials, media kits, and press releases
- Television, radio, and digital advertisements
- Store pages, websites, and marketing collateral
- Documentary and behind-the-scenes content
- Trade shows, conventions, and public exhibitions
- Investor presentations and business development materials
- Awards submissions and festival entries
- Any other promotional and/or marketing purpose

(d) Exercise the foregoing rights in any and all media, formats, and technologies now known and/or hereafter devised, **in perpetuity throughout the universe**.

#### 6.2.3 Scope Limitation

**For the avoidance of doubt and in the interest of good faith:**

(a) The license granted in Section 6.2.2 is limited to **promotional and marketing uses only**. Recordings shall not be incorporated as primary content into separately sold commercial products, including but not limited to:
- Downloadable content (DLC) sold for additional payment
- In-game characters, voice packs, and/or cosmetic items sold commercially
- Standalone products and/or spin-off titles
- Any content for which end users would be charged a separate fee specifically to access the User's recorded voice and/or likeness

(b) This limitation does not restrict the Company's right to use recordings in:
- Promotional materials for any product, including paid DLC and/or expansions
- Trailers, advertisements, and/or marketing for any commercial product
- The base Game and/or any updates thereto distributed to existing license holders
- Free content updates and/or patches
- Any non-commercial and/or promotional context

(c) If the Company wishes to use the User's recordings in a manner beyond the scope defined in this Section 6.2.3, the Company shall seek the User's separate written consent, which the User may grant and/or withhold in the User's sole discretion.

#### 6.2.4 Irrevocability and No Withdrawal

**THE USER EXPRESSLY ACKNOWLEDGES AND AGREES THAT:**

(a) **This license and release is IRREVOCABLE.** Once the User has participated in any Playtest session, the User shall not revoke, rescind, and/or withdraw consent, even if the User later ceases participation in the Playtest program, requests account deletion, and/or otherwise ends the relationship with the Company.

(b) **The Company may continue to use recordings indefinitely.** Even if the User requests removal of data under GDPR, CCPA, and/or any other privacy regulation, recordings already made and any materials derived therefrom may continue to be used by the Company without restriction, to the maximum extent permitted by applicable law.

(c) **The User has no right to demand removal.** The User shall have no right to demand that the Company remove, delete, cease using, and/or recall any recordings and/or materials incorporating such recordings, regardless of any change in circumstances, change of mind, and/or any other reason.

(d) **This consent survives termination.** This consent and release shall survive any termination and/or expiration of this Agreement, the User's Steam account, and/or the User's participation in the Playtest program.

#### 6.2.5 Waiver of Rights

To the fullest extent permitted by applicable law, the User hereby irrevocably and unconditionally waives:

(a) **Moral Rights:** Any and all moral rights, droit moral, and/or similar rights the User may have in any jurisdiction, including but not limited to the right of attribution, the right of integrity, the right to object to derogatory treatment, and the right to withdraw from circulation.

(b) **Privacy and Publicity Rights:** Any and all rights of privacy, rights of publicity, and any other rights of a similar nature, in any jurisdiction worldwide.

(c) **Right to Inspect and/or Approve:** Any right to inspect and/or approve any use of recordings, any derivative works, and/or any advertising and/or promotional materials.

(d) **Right to Compensation:** Any right to compensation, royalties, residuals, and/or any other payment for the Company's use of recordings, regardless of the nature, extent, and/or commercial success of such use.

(e) **Right to Injunctive Relief:** To the maximum extent permitted by law, any right to seek injunctive and/or equitable relief that would restrain the Company's use of recordings. The User agrees that monetary damages, if any, shall be an adequate remedy for any breach by the Company.

#### 6.2.6 Representations and Warranties

The User represents and warrants that:

(a) The User is of legal age to enter into binding agreements in the User's jurisdiction, and/or the User has obtained the consent of a parent and/or legal guardian.

(b) The User has the full right, power, and authority to grant the rights and releases set forth in this Section.

(c) The User's participation in the Playtest and any recordings thereof do not and shall not violate any agreement the User has with any third party.

(d) The User understands that the Company is relying on this consent and release in making significant investments in promotional materials and activities, and that the Company would be irreparably harmed if the User were permitted to withdraw this consent.

#### 6.2.7 Indemnification

The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of and/or relating to:

(a) Any breach of the User's representations and warranties under this Section;

(b) Any claim by a third party arising from the User's participation in the Playtest and/or any recordings thereof;

(c) Any attempt by the User to revoke, rescind, and/or challenge the validity of this consent and release.

### 6.3 Condition of Participation

**PARTICIPATION IN THE STEAM PLAYTEST PROGRAM IS CONDITIONED UPON THE USER'S ACCEPTANCE OF THIS SECTION 6 IN ITS ENTIRETY.** If the User does not agree to these terms, the User shall not enroll in and/or participate in the Steam Playtest program. By enrolling in the Steam Playtest program and/or launching the Game, the User confirms having read, understood, and voluntarily agreed to be bound by all terms in this Section, with full knowledge of their legal significance.

### 6.4 Identification

The Company may, in its sole discretion, identify the User by Steam username, real name (if provided), and/or any other identifier in promotional materials, and/or may use recordings without any identification and/or attribution. The User has no right to demand credit and/or attribution.

### 6.5 No Obligation to Use

The Company is under no obligation to use any recordings and/or to include the User in any promotional materials. The Company may select, edit, and/or omit recordings in its sole discretion.

### 6.6 Acknowledgment of Consequences

**THE USER ACKNOWLEDGES HAVING CAREFULLY READ THIS SECTION 6, FULLY UNDERSTANDING ITS CONTENTS, VOLUNTARILY AGREEING TO ITS TERMS, AND UNDERSTANDING THAT THIS RELEASE IS INTENDED TO BE AS BROAD AND INCLUSIVE AS PERMITTED BY LAW. THE USER FURTHER ACKNOWLEDGES THAT BY PARTICIPATING IN THE PLAYTEST PROGRAM, THE USER IS GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO CONTROL HOW THE USER'S VOICE AND GAMEPLAY ARE USED IN PERPETUITY.**

## 7. Content Creation and Streaming

### 7.1 Permission to Stream

The Company grants the User permission to create, publish, and monetize video content, livestreams, and other derivative audiovisual works featuring footage of the Game ("Creator Content"), subject to the following conditions:

(a) Creator Content must be the User's original work and shall not consist primarily of unedited and/or minimally edited gameplay footage without commentary, analysis, and/or other creative contribution.

(b) The User may monetize Creator Content through advertising, sponsorships, subscriptions, donations, and/or other means.

(c) Creator Content shall not misrepresent any affiliation with, sponsorship by, and/or endorsement from the Company unless such relationship actually exists and has been confirmed in writing.

### 7.2 Recording by Other Players and Public Nature of Communications

**THE USER ACKNOWLEDGES AND AGREES THAT OTHER PLAYERS MAY RECORD GAMEPLAY AND THAT ALL IN-GAME COMMUNICATIONS ARE PUBLIC.**

#### 7.2.1 Public Communications Doctrine

**All voice communications, text communications, and visible player actions transmitted through the Game shall be treated as public communications, analogous to radio broadcast communications.**

(a) **No Expectation of Privacy:** The User has NO expectation of privacy in any communication and/or action transmitted through the Game's multiplayer features. By using voice chat, text chat, and/or participating in multiplayer gameplay, the User consents to the public nature of these communications.

(b) **Analogous to Radio:** In-game voice and text communications shall be treated with the same legal status as unencrypted radio communications, which are considered public and may be received, recorded, and/or monitored by any party capable of receiving them. The User transmits communications with full knowledge that:
- (i) Any participant in the game session may receive the communication;
- (ii) Any participant may record, store, and/or redistribute the communication;
- (iii) The communication is not private, confidential, and/or privileged;
- (iv) No reasonable expectation of privacy attaches to any in-game communication.

(c) **Visible Actions:** All in-game actions visible to other players (cursor movements, code edits, gameplay decisions, use of utilities, etc.) are public and may be observed, recorded, analyzed, and/or redistributed by any player capable of observing them.

(d) **Waiver of Privacy Claims:** By using the Game's multiplayer features, the User waives any claim and/or cause of action against the Company, other players, and/or third parties based on alleged privacy violations arising from the observation, recording, and/or redistribution of the User's in-game communications and/or actions.

#### 7.2.2 Recording by Other Players

(a) **Other Players May Record:** Other players in the match may record, stream, and/or broadcast the session, which may include:
- (i) The User's in-game actions, cursor movements, and code edits;
- (ii) The User's voice communications (if the User uses voice chat);
- (iii) The User's Steam display name and avatar;
- (iv) Any other aspect of the User's participation visible and/or audible to other players.

(b) **Company Does Not Control Other Players:** The Company does not control, prevent, and/or regulate other players' personal recording activities. Other players are permitted to record pursuant to Section 7.1.

(c) **Distinction from Company Recording:**
- **Standard Gameplay:** The Company does not automatically record and/or store gameplay and/or voice data on Company-controlled servers during standard (non-Playtest) gameplay sessions;
- **Steam Playtest:** If the User participates in the Steam Playtest program, the Company may record gameplay and voice communications pursuant to Section 6, to which the User expressly consents upon enrollment;
- **Other Players:** Regardless of whether the Company records, other players may independently record at their discretion.

(d) **User's Options:** If the User does not wish to be recorded and/or observed by other players, the User may:
- (i) Mute their microphone and/or disable voice chat;
- (ii) Refrain from multiplayer gameplay;
- (iii) Accept that recording and observation by other players is a normal and permitted part of multiplayer gaming, and that all multiplayer communications and actions are public.

### 7.3 Company Use of Creator Content

By creating and publishing Creator Content, the User grants the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the User's Creator Content for promotional, marketing, and educational purposes.

### 7.4 Revocation

The Company reserves the right to revoke this permission for any User who violates this Agreement and/or uses the permission in a manner that, in the Company's sole judgment, is harmful to the Company's reputation and/or interests.

## 8. Data Collection and Privacy

### 8.1 Opt-In Telemetry

The Game includes an optional telemetry system that, with the User's consent, collects gameplay data to help the Company improve the Game. **Participation is entirely voluntary**, and the Company genuinely appreciates those who choose to help make CodeJacker better for everyone.

### 8.2 Types of Data Collected

If the User opts in to telemetry, the Company may collect:

(a) **Gameplay Analytics:** Actions taken during gameplay, match statistics, win/loss records, and gameplay patterns.

(b) **Performance Data:** Frame rates, loading times, hardware specifications, and system performance metrics.

(c) **Crash Reports:** Technical information about crashes and errors to help the Company identify and fix bugs.

(d) **Behavioral Data:** How the User interacts with game features, menus, and systems to help the Company improve user experience.

### 8.3 How the Company Uses This Data

The Company uses collected data solely to:

(a) Identify and fix bugs and performance issues.

(b) Balance gameplay and improve competitive integrity.

(c) Develop new features and content.

(d) Improve overall game quality and user experience.

### 8.4 Privacy Policy

The Company's collection and use of personal information is governed by the Privacy Policy, available at **https://store.steampowered.com/eula/3635790_eula_1**. By using the Game, the User acknowledges having read and understood the Privacy Policy.

### 8.5 GDPR Compliance

If the User is located in the European Union, the User has certain rights under the General Data Protection Regulation (GDPR), including the right to access, correct, delete, and port personal data, and the right to withdraw consent at any time. ## 9. Intellectual Property

### 9.1 Company Ownership

The Game, including all Content, and all intellectual property rights therein, are and shall remain the exclusive property of the Company and its licensors. This includes, but is not limited to:

(a) All software, code, and technology.

(b) All graphics, artwork, animations, and visual elements.

(c) All music, sound effects, and audio.

(d) All text, storylines, and documentation.

(e) The "CodeJacker" name, logo, and all related trademarks and trade dress.

### 9.2 Trademarks

"CodeJacker" and the CodeJacker logo are trademarks and/or registered trademarks of the Company. The User shall not use these marks without prior written permission, except as reasonably necessary to identify the Game in Creator Content as permitted under Section 7.

### 9.3 Third-Party Components

The Game may include third-party software and content licensed to the Company. Such components remain the property of their respective owners and are subject to their respective license terms. See the licenses directory included with the Game for details.

### 9.4 No Implied Licenses

Nothing in this Agreement grants the User any rights and/or licenses except as expressly stated herein. All rights not expressly granted are reserved.

## 10. Termination

### 10.1 Termination for Breach

The Company may terminate this Agreement and the User's license to use the Game if the User breaches any term of this Agreement. Examples of breaches that may result in termination include, but are not limited to:

(a) Cheating, hacking, and/or using unauthorized software and/or Automated Assistance Tools.

(b) Using any Automated Assistance Tool (as defined in Section 1.1) during gameplay.

(c) Distributing the Game outside of Steam.

(d) Harassment and/or abusive behavior toward other Users.

(e) Uploading Workshop Content that infringes third-party rights.

(f) Engaging in illegal activity in connection with the Game.

(g) Repeated violations of Competition Rules.

### 10.2 Enforcement Discretion and Confidentiality

**The User acknowledges and agrees that:**

(a) **Suspicion-Based Enforcement:** The Company may suspend, restrict, and/or terminate the User's access to the Game and Services at any time, with and/or without prior notice, based on suspicion of a violation of this Agreement. The Company is not required to have conclusive proof of wrongdoing to take enforcement action; a reasonable suspicion shall be sufficient grounds for any enforcement action, including permanent bans.

(b) **No Obligation to Disclose:** The Company is under no obligation to provide the User with:
- The specific reason for any enforcement action
- The time, date, and/or session in which the suspected violation occurred
- Evidence, logs, metadata, and/or any other information supporting the enforcement decision
- The identity of any reporting party and/or witness
- The specific detection method and/or system that flagged the User's account

(c) **Confidentiality of Enforcement Methods:** The Company's enforcement methods, detection systems, and decision-making processes are confidential and proprietary. The User shall have no right to access, inspect, and/or challenge these systems and/or their outputs.

(d) **Burden of Proof in Appeals:** If the User chooses to appeal an enforcement action, the burden is on the User to demonstrate that the User did not violate this Agreement. The Company is not required to prove and/or justify its enforcement decision.

(e) **No Liability for Enforcement:** To the maximum extent permitted by applicable law, the User waives any claim against the Company arising from enforcement actions taken under this Agreement, including but not limited to claims for wrongful termination, defamation, loss of access, and/or loss of purchased content.

(f) **Finality:** Enforcement decisions are final. While the Company may, in its sole discretion, consider appeals, no appeal process is guaranteed, and the Company's decision on any appeal is conclusive and binding.

### 10.3 Effect of Termination

Upon termination:

(a) All rights granted to the User under this Agreement shall immediately cease.

(b) The User shall immediately stop using the Game and delete all copies in the User's possession.

(c) The Company may, in its discretion, disable the User's access to the Services, remove the User's Content, and take any other action it deems appropriate.

(d) The User forfeits all rights to any virtual items, progress, achievements, and/or other in-game benefits associated with the User's account.

### 10.4 Survival

Sections 3, 4.3, 6, 8, 9, 10, 11, 12, 13, and 14 shall survive termination of this Agreement.

## 11. Disclaimers and Limitation of Liability

### 11.1 "As Is" Disclaimer

THE GAME AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS AND/OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

### 11.2 No Warranty of Service

THE COMPANY DOES NOT WARRANT THAT THE GAME AND/OR SERVICES SHALL BE UNINTERRUPTED, ERROR-FREE, SECURE, AND/OR FREE OF VIRUSES AND/OR OTHER HARMFUL COMPONENTS.

### 11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, AND/OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, AND/OR OTHER INTANGIBLE LOSSES.

(b) THE COMPANY'S TOTAL LIABILITY TO THE USER FOR ALL CLAIMS ARISING OUT OF AND/OR RELATING TO THIS AGREEMENT AND/OR THE GAME SHALL NOT EXCEED THE AMOUNT THE USER PAID FOR THE GAME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

### 11.4 Force Majeure

The Company shall not be liable for any failure and/or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil and/or military authorities, fire, floods, accidents, strikes, and/or shortages of transportation, facilities, fuel, energy, labor, and/or materials.

### 11.5 Consumer Rights

Nothing in this Agreement affects any statutory rights that the User may have as a consumer which cannot be waived and/or limited by contract.

## 12. Governing Law and Dispute Resolution

### 12.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of **the Republic of Estonia**, without regard to its conflict of law provisions.

### 12.2 Jurisdiction

The User agrees to submit to the exclusive jurisdiction of the courts located in **Tallinn**, **the Republic of Estonia** for the resolution of any disputes arising out of and/or relating to this Agreement and/or the Game.

### 12.3 Informal Resolution

Before initiating any formal dispute resolution proceeding, the User agrees to first contact the Company at **cj@ongakken.com** and attempt to resolve the dispute informally for at least thirty (30) days.

## 13. Miscellaneous

### 13.1 Entire Agreement

This Agreement, together with the Privacy Policy and any Competition Rules, constitutes the entire agreement between the User and the Company regarding the Game and supersedes all prior agreements and understandings.

### 13.2 Severability

If any provision of this Agreement is held to be invalid and/or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

### 13.3 Waiver

The failure of the Company to enforce any right and/or provision of this Agreement shall not constitute a waiver of such right and/or provision.

### 13.4 Assignment

The User shall not assign and/or transfer this Agreement and/or any rights hereunder without the Company's prior written consent. The Company may assign this Agreement without restriction.

### 13.5 Amendments

The Company reserves the right to modify this Agreement at any time. The Company shall notify Users of material changes through the Game, Steam, and/or other reasonable means. The User's continued use of the Game after such notification constitutes acceptance of the modified Agreement.

## 14. Age Restriction and COPPA Compliance

### 14.1 Age Requirement

**The Game is not intended for children under the age of 13.** By installing, accessing, and/or using the Game, the User represents and warrants that the User is at least 13 years of age.

### 14.2 Steam Account as Age Verification

The User acknowledges that:

(a) **Steam Account Requirement:** Use of the Game requires a valid Steam account. By creating and maintaining a Steam account, the User has already represented to Valve Corporation that the User meets their minimum age requirements.

(b) **Reliance on Steam Verification:** The Company relies in part on Steam's age verification and account requirements as evidence that the User meets the minimum age requirement to use the Game.

(c) **Affirmation Upon Launch:** Each time the User launches the Game, the User affirms being at least 13 years of age. Launching the Game constitutes an active representation of the User's age eligibility.

### 14.3 Prohibition on Use by Children

If the User is under 13 years of age, the User shall NOT:

(a) Install, access, and/or use the Game.

(b) Create an account and/or participate in any online features.

(c) Provide any personal information to the Company and/or through the Game.

### 14.4 Parental Responsibility

If the User is a parent and/or legal guardian and permits a child between the ages of 13 and 18 (or the age of majority in the User's jurisdiction) to use the Game, the User agrees to:

(a) Supervise the child's use of the Game.

(b) Be bound by this Agreement on behalf of the child.

(c) Be responsible for all activities conducted by the child under this Agreement.

### 14.5 Discovery of Underage Use

If the Company discovers that a user is under 13 years of age, the Company shall:

(a) Immediately terminate their access to the Game and Services.

(b) Delete any personal information the Company has collected from them.

(c) Take any other steps required by applicable law.

### 14.6 Reporting Underage Users

If a parent and/or guardian believes their child under 13 has accessed the Game and/or provided personal information to the Company, they should contact the Company immediately at **cj@ongakken.com**. The Company shall promptly investigate and take appropriate action, including deletion of the child's personal information.

### 14.7 Zero Tolerance for Age Misrepresentation

**Any misrepresentation of age shall result in immediate, permanent, and irrevocable termination of the User's license and ban from all Company services.**

This includes, without limitation:

(a) Providing false age information during account creation and/or at any other time.

(b) Claiming in any communication (including in-game chat, voice chat, and/or any other medium) to be under the age of 13, whether such claim is true and/or false.

(c) Claiming to be of a different age than the User's actual age to circumvent any age-related restriction.

(d) Assisting another person in misrepresenting their age.

**Consequences of age misrepresentation:**

(a) **Immediate Ban:** The User's access to the Game and all Services shall be terminated immediately upon discovery.

(b) **Permanent:** The ban is permanent and shall not be lifted.

(c) **Irrevocable:** The ban shall not be appealed, reversed, and/or reconsidered.

(d) **Network-Wide:** The ban applies across all Company services, products, and platforms, including any future games and/or services the Company may offer.

(e) **No Refund:** The User forfeits any right to a refund for the Game and/or any purchased content.

**If the User states in any communication that the User is under 13 years of age, even if such statement is false, made in jest, and/or made sarcastically, the User shall be permanently banned.** The Company enforces this policy strictly and without exception to protect both minors and the integrity of the community.
