END USER LICENSE AGREEMENT (EULA)
IMPORTANT – READ CAREFULLY:
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "you") and Nathan Badour ("Licensor"). By installing or using this software ("Software"), you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. GRANT OF LICENSE
Subject to the terms and conditions of this EULA, Licensor hereby grants you a non-exclusive, non-transferable, revocable license to install and use the Software solely for personal, non-commercial purposes on your computer.
2. RESTRICTIONS
You agree that you will not:
Modify, adapt, translate, or create derivative works of the Software.
Reverse engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law.
Distribute, sublicense, rent, lease, lend, or otherwise transfer the Software to any third party.
Remove or alter any proprietary notices or labels on the Software.
3. OWNERSHIP
The Software is licensed, not sold, to you under this EULA. Licensor retains all rights, title, and interest, including all intellectual property rights, in and to the Software.
4. TERMINATION
This EULA is effective until terminated. Your rights under this EULA will automatically terminate without notice if you fail to comply with any term of this EULA. Upon termination, you must immediately stop using the Software and delete all copies of the Software from your computer.
5. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
6. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL LIABILITY FOR DAMAGES UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SOFTWARE.
7. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Nathan Badour operates, without regard to its conflict of law principles.
8. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior understandings or agreements, whether written or oral, regarding such subject matter.
