LUCKY CALF Game Terms of Service

This Terms of Service (hereinafter referred to as “Agreement” or “Terms”) is a legally binding agreement entered into by and between you and LUCKY CALF PTE. LTD. and its affiliates and subsidiaries (individually and collectively, "LUCKY CALF", "we", "us" or "our") in relation to you visit our websites, use or access our games, whether played on mobile devices, PCs, our websites or other approved platforms, and/or otherwise use or access any of our provided services, including software systems, customer support, marketing and advertising, and community services (collectively the " LUCKY CALF's Products and Services " or "our products and services").
YOU PARTICULAR ATTENTION IS DRAWN TO THE LIMITATION OF LIABILITY CONTAINED IN SECTION 18.
YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING ON THE “START” “START GAME”BUTTON WHERE APPLICABLE, OR BY ACCESSING OR USING OUR SERVICES OR BY DOWNLOADING OR POSTING ANY CONTENT ON OR THROUGH OUR SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ANY TERM OF THIS AGREEMENT, PLEASE DO NOT, EITHER DIRECTLY OR INDIRECTLY, ACCESS OR USE OUR SERVICES OR APPLICATION CONTENT IN ANY WAY.
1. INTRODUCTION
The purpose of this Agreement is to clarify all rights and obligations between you and LUCKY CALF PTE. LTD. regarding every kind of products and service of LUCKY CALF PTE. LTD. and its affiliates and subsidiaries.
2. Eligibility and Registration
2.1 In order to access the full feature set of our Services, and to post any User Content on or through our Services：when you use or access our products and services from Luckyee, you must register to create a Luckycalf Account (collectively, the “Account”)；when you use or access our products and services form other approved platforms, you should comply with the requirements of the relevant platform. Whether or not you have registered to create a Luckycalf Account, when you are the one who visit our websites, use or access our games, whether played on mobile devices, PCs, our websites or other approved platforms, and/or otherwise use or access any of our provided services, including software systems, customer support, marketing and advertising, and community services, you become our user (hereinafter referred to as “user” or “you”).
2.2 YOU MAY USING THE LUCKY CALF'S PRODUCTS AND SERVICES ONLY IF YOU ARE NOT CHILDREN OR MINORS UNDER THE AGE OF 18 AND MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION AND YOU ARE NOT INDIVIDUAL SPECIFICALLY PROHIBITED BY US OR ANY APPLICABLE LAWS AND REGULATIONS FROM USING THE LUCKY CALF'S PRODUCTS AND SERVICES.
2.3 During your registration process for Luckycalf Account, you will be required to provide certain information, including your email address, and you will establish a username and a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. LUCKY CALF reserves the right to suspend or terminate your Luckycalf Account if any information provided during the registration process or thereafter proves to be inaccurate, not current, incomplete，or in a name other than your own. We also reserve the right to terminate your Luckycalf Account if it has been inactive for more than 365 days.
2.4 If you are not register to create a Luckycalf Account, you may only browse or use in limited ways those parts of our products and services that are not limited to Luckycalf Account Users only. You are responsible for safeguarding your password. You agree not to disclose your password to any third party or to allow any third party to use your Luckycalf Account, and you agree to take sole responsibility for any activities or actions under your Luckycalf Account, whether or not you have authorized such activities or actions. You will immediately notify LUCKY CALF of any unauthorized use of your Luckycalf Account. Your Luckycalf Account may be terminated if someone else uses it to engage in activity that violates these Terms or is otherwise improper or illegal.
2.5 EVEN THOUGH WE USE THE WORD “YOUR” TO DESCRIBE AN LUCKYCALF ACCOUNT YOU REGISTERED FOR, YOU AGREE THAT YOU HAVE NO OWNERSHIP OR OTHER PROPERTY INTEREST IN THE LUCKYCALF ACCOUNT AT ALL, AND YOU FURTHER AGREE THAT ALL RIGHTS IN AND TO THE LUCKYCALF ACCOUNT ARE AND ALWAYS WILL BE OWNED BY AND INURE TO THE BENEFIT OF LUCKY CALF. WE RESERVE ALL RIGHTS TO MAINTAIN, MANAGE, CONSOLIDATE, SWITCH, MIGRATE, TERMINATE, DISPOSE, ALTER AND ADMINISTER OUR SERVICES AND THE DATA OF THE SERVICES FOR THE PROVISION OF THE SERVICES AS WE MAY DEEM FIT IN OUR SOLE DISCRETION WITHOUT ANY LIABLITY TO YOU WHATSOEVER.
3. Modification
LUCKY CALF reserves the right, at its sole discretion, to modify, discontinue or terminate our Services, including any portion thereof, on a global or individual basis, or to modify these Terms, at any time and without prior notice. The modified Terms shall not be given retroactive effect. By continuing to access or use our Services, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using our Services.
4. No Unlawful or Prohibited Use
By using our Services, you represent and warrant to LUCKY CALF that you will not use our Services, or any of the content obtained from our Services, for any purpose that is unlawful or prohibited by this Agreement.
5. Protection of Personal Information
All the information collected from you is subject to Local Laws and LUCKY CALF shall try our best efforts to protect your provided information. Use of LUCKY CALF's Products and Services is also governed by LUCKY CALF's Privacy Policy. Please see LUCKY CALF's Privacy Policy for more information regarding to the collection and use of your information. 6. User Contributions
6.1 Our Services may contain various websites, forums, communities, networks, or other interactive features that allow you to post, submit, publish, display, or transmit any content or materials on or through the LUCKY CALF’s Products and Services ("User Contributions"), including but not limited to any text, forum post, chat post, profile, widget, message, link, feedback, email, music, sound, graphics, picture, video, code, audio visual or other materials appearing on or transmitted to or from the LUCKY CALF's Products and Services. LUCKY CALF has no obligation to monitor these User Contributions, but we may do so and reserve the right, in our sole discretion, to monitor, filter, moderate, edit and/or remove any or all of User Contributions that are objectionable or inappropriate at any time without prior notice. LUCKY CALF may also at any time terminate or suspend your access to any of the User Contributions for any reason and without prior notice.
6.2 Any of the User Contributions may not be illegal, fraudulent, deceptive, obscene, threatening, defamatory, invasive of privacy, infringing intellectual property rights, injurious to third parties, or otherwise inappropriate or objectionable, and may not consist of or contain viruses or other kinds of destructive script code, plug-in unit, programs or software. You acknowledge that you shall be fully and solely responsible for you own behavior when using the LUCKY CALF's Products and Services, including but not limited to any User Contributions posted by you. You also acknowledge and confirm that under no circumstance, shall LUCKY CALF be liable for any User Contributions posted by you. You further confirm that any of the User Contributions are neither endorsed nor controlled by LUCKY CALF.
6.3 You acknowledge and agree that when you use the LUCKY CALF's Products and Services, you have no expectation that your User Contributions will be private and LUCKY CALF may disclose your User Contributions for any reason without prior notice.
6.4 Any User Contributions that you post will be considered non-confidential and non-proprietary and you confirm that you irrevocably and unconditionally grant LUCKY CALF a global, fully paid up, royalty-free, perpetual, transferable, sub-licensable and unlimited right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works of, reformat, distribute, manufacture, sell, license, sublicense, transfer, rent, lease, transmit, communicate, publicly display, publicly perform, provide access to, or otherwise practice such User Contributions or any portion thereof, in any and all media, formats and forms, known now or hereafter devised. You understand that you shall not be entitled to claim any compensation, charges, fees, consideration, or other remuneration in connection with your User Contributions for any reason, including our exercise of the rights you grant to us in this section and that we are not obligated to exercise such granted rights. Furthermore, you agree that any such submission by you shall not create any contractual relationship between you and LUCKY CALF. You also grant all other users, who can access to your User Contributions, the right to use, copy, modify, display, perform, create derivative works from, communicate about or otherwise distribute your User Contributions on or through the LUCKY CALF's Products and Services without prior notice, attribution or compensation to you. Except to the extent such waiver is prohibited by law, you hereby waive the benefit of any provision of law known as "moral rights" or "droit moral" or any similar law in any country worldwide. Your grant of rights to User Contributions under these Terms and the aforementioned waiver of any applicable moral rights shall survive the termination of these Terms.
6.5 You represent and warrant that the User Contributions: (1) are accurate and not fraudulent or deceptive; (2) do not violate any rights or interests (including but not limited to intellectual property rights) of LUCKY CALF and/or third parties; (3) shall retain the exclusive right to grant the rights and licenses described in these Terms; (4) contain no defamatory, obscene, or unlawful material. You understand that User Contributions may be copied by other users and discussed within or outside of the LUCKY CALF’s Products and Services, and if you do not have the right to submit User Contributions for such use, it may subject you to liability. Please note that LUCKY CALF takes no responsibility and assumes no liability for any content posted by you or any third parties.
6.6 WE CANNOT GUARANTEE THAT YOU WILL NOT ENCOUNTER CONTENT THAT YOU CONSIDER OFFENSIVE OR OTHERWISE INAPPROPRIATE, AND WE ACCEPT NO LIABILITY FOR ANY FAILURE TO REMOVE (OR DELAY IN REMOVING) ANY SUCH CONTENT. YOU MAY, HOWEVER, MAKE COMPLAINTS BY ACCESSING OUR SUPPORT SERVICE.
7. Ownership / Intellectual Property
7.1 LUCKY CALF shall own all rights, titles and interests (including but not limited to the ownership, intellectual property rights, neighboring rights and other rights and interests) in and to every kind of products and service of LUCKY CALF PTE. LTD. and its affiliates and subsidiaries under this Agreement. You acknowledge that your use of the LUCKY CALF's Products and Services does not confer you any right or interest or otherwise, in any aspect or feature of it, including but not limited to (if any) any in-game rewards, achievements, characters, Virtual Currency, levels and other content. You further acknowledge that any character data, game progress, game customization and/or other data pertaining to your use of the LUCKY CALF's Products and Services may cease to be available to you at any time without prior notice in the sole discretion of LUCKY CALF.
7.2 Any or all of the LUCKY CALF's Products and Services (including trade secrets, database rights, copyright, patent, trademark and other intellectual property rights and interests thereof) are copyrighted and protected by any applicable laws (including but not limited to any applicable copyright laws and international treaties). To be specific, any materials that are part of the LUCKY CALF's Products and Services (including but not limited to any content, websites, games, programs, tools, source codes, object codes, HTML, content, files, patches, updates, modifications, derivative works, printed or electronic documentation, instructions, design, Accounts, passwords, themes, concepts, stories, storylines, technology, architecture, logic, structure, sequence, organization, themes, symbols, instructions, design, text, data, sounds, photographs, audio clips, audiovisual, video, artwork, graphics, logos, names, button icons, images of vehicles, accessories, virtual components, equipment, materials, selection and arrangement, titles, methods of operation, software, related documentation, and all other features contained in the LUCKY CALF's Products and Services) are protected by applicable laws from unauthorized use.
7.3 You agree that any or all of the LUCKY CALF's Products and Services may not be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, or otherwise exploited without LUCKY CALF's express prior written permission. Any use of our copyrighted materials, including but not limited to make derivative works, requires the express prior written consent of LUCKY CALF. Please note any unauthorized reproduction or redistribution of the LUCKY CALF's Products and Services shall be prohibited and may result in severe legal penalties.
8. User Content
8.1 "User Content" means feedback, suggestions, comments, ideas, and/or any other information, including but not limited to software and code, that you provide, publish, or otherwise communicate directly or indirectly to LUCKY CALF or our agents pertaining to the LUCKY CALF's Products and Services. You confirm that you irrevocably grant LUCKY CALF a global, irrevocable, fully paid up, royalty-free, perpetual, sub-licensable, transferable, assignable and unlimited license, allowing LUCKY CALF to use, disseminate, copy, modify, sub-license, translate, publish, distribute, network transmit, publicize, promote, perform, display, create derivative works, sell, offer to sell and/or otherwise use User Content for any purposes. You further confirm that any User Content provided by you hereunder may not infringe intellectual property rights, related rights and/or other proprietary or personal rights.
8.2 If any such right or interest in the User Content may not be licensed or transferred under any applicable laws (such as moral or other personal rights), you hereby expressly waive and agree not to assert any such rights, credit and/or claim for any compensation from LUCKY CALF.
9. No Infringing Use
You will not use our Services to offer, display, distribute, transmit, route, provide connections to or store any material that infringes copyrighted works or otherwise infringes, violates, or promotes the infringement or violation of the Intellectual Property Rights of any third party.
10. Virtual Items and Virtual Currency
10.1 YOU AGREE TO MONITOR THE LUCKY CALF'S PRODUCTS AND SERVICES TO RESTRICT ANY USE BY CHILDREN OR MINORS. YOU ACCEPT FULL RESPONSIBILITY FOR ANY UNAUTHORIZED USE OF OUR PRODUCTS AND SERVICES BY CHILDREN OR MINORS, AND THIS INCLUDES ANY USE OF YOUR CREDIT CARDS OR OTHER PAYMENT OR SETTLEMENT INSTRUMENTS OR DEVICES BY CHILDREN OR MINORS.
10.2 Our Services may include an opportunity for you to purchase virtual, in-game currency ("Virtual Currency") with real money. The LUCKY CALF's Products and Services may also include the purchase of virtual, in-game digital items ("Virtual Goods") with real money or Virtual Currency. You acknowledge that Virtual Currency and Virtual Goods shall never be redeemed for real money or any item with monetary value. You understand that both Virtual Currency and Virtual Goods are licensed, not sold, to you under this Agreement and LUCKY CALF reserves and retains all right, title, interest or otherwise, in and to the Virtual Goods and Virtual Currency.
10.3 Your right to use any Virtual Currency or Virtual Items is a limited, non-exclusive, non-assignable, non-transferable, non-sublicensable, revocable license to use such Virtual Currency and Virtual Items solely for your personal entertainment and non-commercial use in the Services only. Except inside the LUCKY CALF's Game(s), you may not transfer, sell, gift, exchange, trade, lease, sublicense, rent or otherwise use Virtual Currency or Virtual Goods, which is a violation of this Agreement and will result in a termination of your Account with the reserve of LUCKY CALF's rights to continue claiming for compensation.
10.4 LUCKY CALF reserves the right to modify, manage, control or eliminate Virtual Currency and/or Virtual Goods in its sole discretion. You acknowledge and agree that LUCKY CALF may engage in actions that may impact the perceived value or purchase price, if applicable, of Virtual Currency or Virtual Goods at any time, except as otherwise required by applicable laws.
10.5 When you provide payment information to LUCKY CALF or its authorized processor, you represent that you are an authorized user of any payment method specified by you, and you authorize LUCKY CALF to charge such payment method for the full amount of the purchase transaction.
10.6 You agree and consent that due to the special nature of online game services, there is no physical goods transaction, and your purchasing experience comes from online game services provided by the game manufacturer. Therefore, refund is not applicable unless we have a special agreement with you.
11. Child
11.1 YOU ACKNOWLEDGE THAT THE BELOW STATEMENT WOULD CHANGE AT ANY TIME IF ANY PROTECTION POLICY OF MINORS IN YOUR COUNTRY/REGION UNDERGOES CHANGES.
11.2 YOU REPRESENT THAT YOU ARE NOT CHILDREN OR MINORS UNDER THE AGE OF 18 AND MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION WHEN USING THE LUCKY CALF'S PRODUCTS AND SERVICES. IF YOU ARE UNDER THE AGE OF 18 OR NOT MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION, YOU MAY NOT ACCESS OR USE ANY OF LUCKY CALF'S PRODUCTS AND SERVICES IN ANY WAY.
11.3 SUBJECT TO THE LAWS, REGULATION OR RATING SYSTEM DEMAND IN YOUR JURISDICTION, CHILD OR MINOR MAY UTILIZE AN ACCOUNT ESTABLISHED BY THEIR PARENT OR LEGAL GUARDIAN. IN THE EVENT THAT YOU PERMIT YOUR MINOR CHILD OR THE MINOR IN YOUR CARE TO ACCESS OR USE ANY LUCKY CALF'S PRODUCTS AND SERVICES, YOU HEREBY AGREE TO THIS AGREEMENT ON BEHALF OF YOURSELF AND YOUR CHILD, AND YOU AGREE THAT YOU WILL BE RESPONSIBLE FOR ANY USE OF THE LUCKY CALF'S PRODUCTS AND SERVICES BY YOUR CHILD, WHETHER OR NOT SUCH USE IS AUTHORIZED BY YOU.
12. General Prohibitions
12.1 You agree not to do any of the following while using our Services, Application Content, or User Content:
(1) Post, upload, publish, submit or transmit any text, graphics, images, software, music, audio, video, information or other material that: infringes, misappropriates or violates a third party's Intellectual Property Rights, or rights of publicity or privacy;
(2) Violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability, which is fraudulent, false, misleading or deceptive; or is defamatory, obscene, pornographic, vulgar or offensive; or promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; or is violent or threatening or promotes violence or actions that are threatening to any other person; or promotes illegal or harmful activities or substances (including but not limited to activities that promote or provide instructional information regarding the manufacture or purchase of illegal weapons or illegal substances);
(3) Use, display, mirror, frame or utilize framing techniques to enclose our Services, or any individual element or materials within our Services, LUCKY CALF's name, any LUCKY CALF or LUCKY CALF licensor's trademark, logo or other proprietary information, the content of any text or the layout and design of any page or form contained on a page, without LUCKY CALF's express written consent;
(4) Access, tamper with, or use non-public areas of our Services, LUCKY CALF's computer systems, or the technical delivery systems of LUCKY CALF's providers;
(5) Attempt to probe, scan, or test the vulnerability of any LUCKY CALF system or network or breach any security or authentication measures;
(6) Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by LUCKY CALF or any of LUCKY CALF's providers or any other third party (including another LUCKY CALF User) to protect our Services or Application Content;
(7) Attempt to access or search our Services or Application Content, or download Application Content from our Services, through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by LUCKY CALF or other generally available third-party web browsers (such as Google Chrome, Microsoft Internet Explorer, Mozilla Firefox, Apple Safari or Opera);
(8) Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
(9) Use any meta tags or other hidden text or metadata utilizing a LUCKY CALF or LUCKY CALF licensor's trademark, logo URL or product name without LUCKY CALF's express written consent;
(10) Use our Services or Application Content for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
(11) Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way our Services or Application Content to send altered, deceptive or false source-identifying information;(k) Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way our Services or Application Content to send altered, deceptive or false source-identifying information;
(12) Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide our Services or Application Content; Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing our Services;
(13) Collect or store any personally identifiable information from our Services, or from other users of our Services, without their express permission; Impersonate or misrepresent your affiliation with any person or entity;
(14) Violate any applicable law or regulation; Encourage or enable any other individual to do any of the foregoing;
(15) Post User content or take any action that infringes or violates the rights of another User: Bully, harass or intimidate any User of the Services; Solicit User login credentials from another User or collect User content or otherwise access the Services by automated means including but not limited to, bots, robots, spiders;
(16) Create an Account for anyone other than yourself;
(17) Use your User profile for personal commercial gain;
(18) Use cheats, exploits, hacks, bots, mods or third-party software designed to gain an advantage, perceived or actual, over other Users, or modify or interfere with the Service;
(19) Abuse or exploit a bug, glitch or mechanism in the Service; or Engage in any fraudulent behavior, including but not limited to credit card scams or credit card misappropriation;
(20) Posting spam or reposting removed content in the official Forums. This includes but is not limited to posting the same content multiple times or reposting a thread or topic that has been removed from the forums;
(21) Account sharing, including but not limited to the sharing of username and password for others to login for you.
12.2 LUCKY CALF will have the right to investigate and prosecute violations of any of the above, including Intellectual Property Rights infringement and Services security issues, to the fullest extent of the law. LUCKY CALF may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.
12.3 You acknowledge that LUCKY CALF has no obligation to monitor or record your access to or use of our Services or Application Content, or to monitor, record, or edit any User Content, but agree that we have the right to do so for the purpose of operating our Services, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. You acknowledge and agree that you have no expectation of privacy concerning uploads, transmissions, or submissions of any User Content.
12.4 LUCKY CALF reserves the right, at any time and without prior notice, to remove or disable access to any User Content that LUCKY CALF, in its sole discretion, considers to be in violation of these Terms or otherwise harmful to our Services. We encourage Users to report any suspected misconduct or misuse of our Services by contacting us by Luckycalf's Service Center (https://kf.luckyee.com/luckyee).
13. Links and Third-Party Materials
13.1 Our Services may contain links to third-party websites or resources. You acknowledge and agree that LUCKY CALF is not responsible or liable for:
(1) the availability or accuracy of such websites or resources; or
(2) the content, products, or services on or available from such websites or resources.
Links to such websites or resources do not imply any endorsement by LUCKY CALF of such websites or resources or the content, products, or services available from such websites or resources.
13.2 You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. If you elect to use our Services on mobile, desktop carrier networks, such carrier's normal billing rates will apply. In addition, certain content, products, and services available via our Services may include materials from third parties, including Third-Party Applications.
13.3 You agree that LUCKY CALF is not responsible for examining or evaluating third-party content, or such content's accuracy, and LUCKY CALF does not warrant and will not have any liability or responsibility for any Third-Party Applications, or for any other materials, products, or services of third parties.
13.4 You agree that you will not use any Third-Party Applications, or other third-party materials, in a manner that would infringe or violate the rights of any other party, and that LUCKY CALF is not in any way responsible for any such use by you.
14. Termination of Accounts
14.1 Without limiting other remedies, LUCKY CALF may at any time suspend or terminate your Account and refuse to provide access to our Services if LUCKY CALF suspects or determines, in its own discretion, that you may have or there is a significant risk that you have:
(1) failed to comply with any provision of these Terms or any policies or Rules established by LUCKY CALF; or
(2) engaged in actions relating to or in the course of using our Services that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption for you, Users, LUCKY CALF or any other third parties or our Services; or
(3) infringed the proprietary rights, rights of privacy, or Intellectual Property Rights of any person, including as a repeat infringer.
14.2 In addition, LUCKY CALF may notify authorities or take any other actions it deems appropriate, without notice to you, in the event of any of the above. If you have any requests, concerns, questions, please contact us as soon as possible by Luckycalf's Service Center (https://kf.luckyee.com/luckyee).
15. Effects of Termination, Suspension of Account
15.1 Upon termination of your Account for any reason by you or us, you will lose all access to such account. Terminated Accounts cannot be reinstated; any Account that may be registered by you after termination of an Account is a unique account.
15.2 If your Account is terminated for any reason by you or us, you understand and agree that any Virtual Items to which you had access via your Account at the time of termination will be lost and no longer be available to you, and you will have no right to them. If your Account is terminated for any reason by you or us, you understand and agree that LUCKY CALF may redeem and use the Virtual Currency in the Account at the time of termination for any purpose that it may choose, and that on termination you will have no right to that Virtual Currency. In addition, if there is no activity in your Account for 365 days (Inactive Account), you understand and agree that:
(1) LUCKY CALF may redeem and use the Virtual Currency in the Inactive Account at such time for any purpose that it may choose, and that on the account becoming an Inactive Account you will have no right to that Virtual Currency; and
(2) any Virtual Items to which you had access via the Inactive Account up to the account becoming an Inactive Account will be lost and no longer be available to you, and you will have no right to them.
15.3 YOU AGREE THAT LUCKY CALF IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR UNUSED VIRTUAL ITEMS OR VIRTUAL CURRENCY IN AN INACTIVE ACCOUNT OR THAT WAS IN A TERMINATED ACCOUNT, NO MATTER HOW EITHER CAME ABOUT. After any termination, you understand and acknowledge that we will have no further obligation to provide our Services and all licenses and other rights granted to you by these Terms will immediately cease. LUCKY CALF will not be liable to you or any third party for termination of our Services or termination of your use of our Services.
15.4 UPON ANY TERMINATION OR SUSPENSION OF YOUR ACCOUNT, ANY CONTENT, MATERIALS, OR INFORMATION (INCLUDING USER CONTENT) THAT YOU HAVE SUBMITTED ON OUR SERVICES OR THAT WHICH IS RELATED TO YOUR ACCOUNT MAY NO LONGER BE ACCESSED BY YOU. Furthermore, LUCKY CALF will have no obligation to maintain any information stored in our database related to your Account or to forward any information to you or any third party. Any suspension, termination or cancellation will not affect your obligations to LUCKY CALF under these Terms (including, without limitation, proprietary rights, and ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension, termination, or cancellation.

OUR SERVICES, APPLICATION CONTENT, AND USER CONTENT ARE PROVIDED AS IS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, LUCKY CALF EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. LUCKY CALF MAKES NO WARRANTY THAT OUR SERVICES, APPLICATION CONTENT OR USER CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. LUCKY CALF MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES OR CONTENT PURCHASED OR OBTAINED THROUGH OUR SERVICES OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH OUR SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM LUCKY CALF OR THROUGH OUR SERVICES, APPLICATION CONTENT OR USER CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
17. Indemnity
You agree to defend, indemnify, and hold LUCKY CALF, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with User Content you submit to LUCKY CALF, your access to our Services or Application Content, or your violation of these Terms.
18. Limitation of Liability
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF OUR SERVICES, APPLICATION CONTENT, AND USER CONTENT THEREIN REMAINS WITH YOU. NEITHER LUCKY CALF NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING OUR SERVICES OR APPLICATION CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE OUR SERVICES OR CONTENT THEREIN, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LUCKY CALF HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. YOU SPECIFICALLY ACKNOWLEDGE THAT LUCKY CALF IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. FURTHER, LUCKY CALF WILL HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY USER CONTENT OR THIRD-PARTY CONTENT UPLOADED ONTO OR DOWNLOADED FROM OR THROUGH OUR SERVICES. IN NO EVENT WILL LUCKY CALF’ AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE OUR SERVICES OR APPLICATION CONTENT OR USER CONTENT THEREIN OR PROVIDED THEREBY EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN LUCKY CALF AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, AND SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
19. Trademarks & Other Proprietary Rights Notices
All trademarks, service marks, logos, trade names and any other proprietary designations of LUCKY CALF or our licensors used in association with the Services are trademarks or registered trademarks of LUCKY CALF or our licensors. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of the respective owners of same.
20. Controlling Law & Dispute Resolution & Severability
20.1 These Terms and any action related thereto will be governed by the laws of Singapore without regard to its conflict of law's provisions. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of 3 arbitrator(s). The language of the arbitration shall be Chinese.
20.2 SUBJECT TO APPLICABLE LAWS AND REGULATIONS, BOTH PARTIES CONFIRM THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION.
20.3 Should any provision of these Terms be adjudged by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed severed herefrom and shall not affect the validity, legality, or enforceability of the remaining provisions. The surviving provisions shall remain in full force and effect.
21. Entire Agreement
These Terms constitute the entire and exclusive understanding and agreement between LUCKY CALF and you regarding our Services and Application Content, and these Terms supersede and replace any and all prior oral or written understandings or agreements between LUCKY CALF and you regarding our Services and Application Content.
22. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without LUCKY CALF's prior written consent. Any attempt by you to assign or transfer these Terms, without LUCKY CALF's consent, will be null and of no effect. LUCKY CALF may freely assign these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
23. Notices
23.1 You consent to the use of: (1) electronic means to complete these Terms and to deliver any notices or other communications permitted or required hereunder; and (2) electronic records to store information related to these Terms or your use of our Services.
23.2 Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given: (1) by LUCKY CALF via email (in each case to the address that you provide) or (2) by posting on or through our Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
24. General
24.1 The failure of LUCKY CALF to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LUCKY CALF.
24.2 Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
24.3 References to "include”, “includes" and "including" shall be construed so as to mean include without limitation, includes without limitation and including without limitation, respectively.
24.4 Affiliate in this Agreement shall mean an entity that directly or indirectly controls, or is controlled by or is under common control with LUCKY CALF hereto.
24.5 LUCKY CALF may translate this Agreement into other languages. If there is any difference between the English version and other language versions, then the English version, subject to applicable laws and regulations, shall prevail.
24.6 In addition to any other limitations which may be set forth herein, LUCKY CALF may not be responsible for any delay or failure to perform resulting from causes outside the reasonable control of LUCKY CALF, such as acts by governmental authorities, acts of God or other events outside of the reasonable control of LUCKY CALF.
24.7 You agree that (1) these Terms are intended to cover any Third-Party who is an affiliate of LUCKY CALF (“Affiliate Party”); (2) your obligations to LUCKY CALF under these Terms extend to Affiliate Party as applicable unless otherwise agreed under any Third-Party Terms with any such Affiliate Party; and (3) Affiliate Party are third party beneficiaries under these Terms who may rely on and directly enforce these Terms against you as such.
24.8 You represent that you are entering into this Agreement on a completely voluntary basis and you expect no compensation other than what is expressly granted under this Agreement.
24.9 You further confirm that you will respect local customs or practices and the use of the LUCKY CALF's Products and Services shall obey any applicable laws or local regulations. You shall immediately stop using or accessing the LUCKY CALF's Products and Services when local laws or local regulations so require.

LTD. and its affiliates and subsidiaries (individually and collectively, "LUCKY CALF", "we", "us" or "our") in relation to you visit our websites, use or access our games, whether played on mobile devices, PCs, our websites or other approved platforms, and/or otherwise use or access any of our provided services, including software systems, customer support, marketing and advertising, and community services (collectively the " LUCKY CALF's Products and Services " or "our products and services").

2. Eligibility and Registration
2.1 In order to access the full feature set of our Services, and to post any User Content on or through our Services：when you use or access our products and services from Luckyee, you must register to create a Luckycalf Account (collectively, the “Account”)；when you use or access our products and services form other approved platforms, you should comply with the requirements of the relevant platform. Whether or not you have registered to create a Luckycalf Account, when you are the one who visit our websites, use or access our games, whether played on mobile devices, PCs, our websites or other approved platforms, and/or otherwise use or access any of our provided services, including software systems, customer support, marketing and advertising, and community services, you become our user (hereinafter referred to as “user” or “you”).
2.2 YOU MAY USING THE LUCKY CALF'S PRODUCTS AND SERVICES ONLY IF YOU ARE NOT CHILDREN OR MINORS UNDER THE AGE OF 18 AND MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION AND YOU ARE NOT INDIVIDUAL SPECIFICALLY PROHIBITED BY US OR ANY APPLICABLE LAWS AND REGULATIONS FROM USING THE LUCKY CALF'S PRODUCTS AND SERVICES.
2.3 During your registration process for Luckycalf Account, you will be required to provide certain information, including your email address, and you will establish a username and a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. LUCKY CALF reserves the right to suspend or terminate your Luckycalf Account if any information provided during the registration process or thereafter proves to be inaccurate, not current, incomplete，or in a name other than your own. We also reserve the right to terminate your Luckycalf Account if it has been inactive for more than 365 days.
2.4 If you are not register to create a Luckycalf Account, you may only browse or use in limited ways those parts of our products and services that are not limited to Luckycalf Account Users only. You are responsible for safeguarding your password. You agree not to disclose your password to any third party or to allow any third party to use your Luckycalf Account, and you agree to take sole responsibility for any activities or actions under your Luckycalf Account, whether or not you have authorized such activities or actions. You will immediately notify LUCKY CALF of any unauthorized use of your Luckycalf Account. Your Luckycalf Account may be terminated if someone else uses it to engage in activity that violates these Terms or is otherwise improper or illegal.
2.5 EVEN THOUGH WE USE THE WORD “YOUR” TO DESCRIBE AN LUCKYCALF ACCOUNT YOU REGISTERED FOR, YOU AGREE THAT YOU HAVE NO OWNERSHIP OR OTHER PROPERTY INTEREST IN THE LUCKYCALF ACCOUNT AT ALL, AND YOU FURTHER AGREE THAT ALL RIGHTS IN AND TO THE LUCKYCALF ACCOUNT ARE AND ALWAYS WILL BE OWNED BY AND INURE TO THE BENEFIT OF LUCKY CALF. WE RESERVE ALL RIGHTS TO MAINTAIN, MANAGE, CONSOLIDATE, SWITCH, MIGRATE, TERMINATE, DISPOSE, ALTER AND ADMINISTER OUR SERVICES AND THE DATA OF THE SERVICES FOR THE PROVISION OF THE SERVICES AS WE MAY DEEM FIT IN OUR SOLE DISCRETION WITHOUT ANY LIABLITY TO YOU WHATSOEVER.
3. Modification
LUCKY CALF reserves the right, at its sole discretion, to modify, discontinue or terminate our Services, including any portion thereof, on a global or individual basis, or to modify these Terms, at any time and without prior notice. The modified Terms shall not be given retroactive effect. By continuing to access or use our Services, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using our Services.
4. No Unlawful or Prohibited Use
By using our Services, you represent and warrant to LUCKY CALF that you will not use our Services, or any of the content obtained from our Services, for any purpose that is unlawful or prohibited by this Agreement.
5. Protection of Personal Information
All the information collected from you is subject to Local Laws and LUCKY CALF shall try our best efforts to protect your provided information. Use of LUCKY CALF's Products and Services is also governed by LUCKY CALF's Privacy Policy. 6. User Contributions
6.1 Our Services may contain various websites, forums, communities, networks, or other interactive features that allow you to post, submit, publish, display, or transmit any content or materials on or through the LUCKY CALF’s Products and Services ("User Contributions"), including but not limited to any text, forum post, chat post, profile, widget, message, link, feedback, email, music, sound, graphics, picture, video, code, audio visual or other materials appearing on or transmitted to or from the LUCKY CALF's Products and Services. LUCKY CALF has no obligation to monitor these User Contributions, but we may do so and reserve the right, in our sole discretion, to monitor, filter, moderate, edit and/or remove any or all of User Contributions that are objectionable or inappropriate at any time without prior notice. LUCKY CALF may also at any time terminate or suspend your access to any of the User Contributions for any reason and without prior notice.
6.2 Any of the User Contributions may not be illegal, fraudulent, deceptive, obscene, threatening, defamatory, invasive of privacy, infringing intellectual property rights, injurious to third parties, or otherwise inappropriate or objectionable, and may not consist of or contain viruses or other kinds of destructive script code, plug-in unit, programs or software. You acknowledge that you shall be fully and solely responsible for you own behavior when using the LUCKY CALF's Products and Services, including but not limited to any User Contributions posted by you. You also acknowledge and confirm that under no circumstance, shall LUCKY CALF be liable for any User Contributions posted by you. You further confirm that any of the User Contributions are neither endorsed nor controlled by LUCKY CALF.
6.3 You acknowledge and agree that when you use the LUCKY CALF's Products and Services, you have no expectation that your User Contributions will be private and LUCKY CALF may disclose your User Contributions for any reason without prior notice.
6.4 Any User Contributions that you post will be considered non-confidential and non-proprietary and you confirm that you irrevocably and unconditionally grant LUCKY CALF a global, fully paid up, royalty-free, perpetual, transferable, sub-licensable and unlimited right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works of, reformat, distribute, manufacture, sell, license, sublicense, transfer, rent, lease, transmit, communicate, publicly display, publicly perform, provide access to, or otherwise practice such User Contributions or any portion thereof, in any and all media, formats and forms, known now or hereafter devised. You understand that you shall not be entitled to claim any compensation, charges, fees, consideration, or other remuneration in connection with your User Contributions for any reason, including our exercise of the rights you grant to us in this section and that we are not obligated to exercise such granted rights. Furthermore, you agree that any such submission by you shall not create any contractual relationship between you and LUCKY CALF. You also grant all other users, who can access to your User Contributions, the right to use, copy, modify, display, perform, create derivative works from, communicate about or otherwise distribute your User Contributions on or through the LUCKY CALF's Products and Services without prior notice, attribution or compensation to you. Except to the extent such waiver is prohibited by law, you hereby waive the benefit of any provision of law known as "moral rights" or "droit moral" or any similar law in any country worldwide. Your grant of rights to User Contributions under these Terms and the aforementioned waiver of any applicable moral rights shall survive the termination of these Terms.
6.5 You represent and warrant that the User Contributions: (1) are accurate and not fraudulent or deceptive; (2) do not violate any rights or interests (including but not limited to intellectual property rights) of LUCKY CALF and/or third parties; (3) shall retain the exclusive right to grant the rights and licenses described in these Terms; (4) contain no defamatory, obscene, or unlawful material. You understand that User Contributions may be copied by other users and discussed within or outside of the LUCKY CALF’s Products and Services, and if you do not have the right to submit User Contributions for such use, it may subject you to liability. Please note that LUCKY CALF takes no responsibility and assumes no liability for any content posted by you or any third parties.
6.6 WE CANNOT GUARANTEE THAT YOU WILL NOT ENCOUNTER CONTENT THAT YOU CONSIDER OFFENSIVE OR OTHERWISE INAPPROPRIATE, AND WE ACCEPT NO LIABILITY FOR ANY FAILURE TO REMOVE (OR DELAY IN REMOVING) ANY SUCH CONTENT. YOU MAY, HOWEVER, MAKE COMPLAINTS BY ACCESSING OUR SUPPORT SERVICE.
7. Ownership / Intellectual Property
7.1 LUCKY CALF shall own all rights, titles and interests (including but not limited to the ownership, intellectual property rights, neighboring rights and other rights and interests) in and to every kind of products and service of LUCKY CALF PTE. LTD. and its affiliates and subsidiaries under this Agreement. You acknowledge that your use of the LUCKY CALF's Products and Services does not confer you any right or interest or otherwise, in any aspect or feature of it, including but not limited to (if any) any in-game rewards, achievements, characters, Virtual Currency, levels and other content. You further acknowledge that any character data, game progress, game customization and/or other data pertaining to your use of the LUCKY CALF's Products and Services may cease to be available to you at any time without prior notice in the sole discretion of LUCKY CALF.
7.2 Any or all of the LUCKY CALF's Products and Services (including trade secrets, database rights, copyright, patent, trademark and other intellectual property rights and interests thereof) are copyrighted and protected by any applicable laws (including but not limited to any applicable copyright laws and international treaties). To be specific, any materials that are part of the LUCKY CALF's Products and Services (including but not limited to any content, websites, games, programs, tools, source codes, object codes, HTML, content, files, patches, updates, modifications, derivative works, printed or electronic documentation, instructions, design, Accounts, passwords, themes, concepts, stories, storylines, technology, architecture, logic, structure, sequence, organization, themes, symbols, instructions, design, text, data, sounds, photographs, audio clips, audiovisual, video, artwork, graphics, logos, names, button icons, images of vehicles, accessories, virtual components, equipment, materials, selection and arrangement, titles, methods of operation, software, related documentation, and all other features contained in the LUCKY CALF's Products and Services) are protected by applicable laws from unauthorized use.
7.3 You agree that any or all of the LUCKY CALF's Products and Services may not be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, or otherwise exploited without LUCKY CALF's express prior written permission. Any use of our copyrighted materials, including but not limited to make derivative works, requires the express prior written consent of LUCKY CALF. Please note any unauthorized reproduction or redistribution of the LUCKY CALF's Products and Services shall be prohibited and may result in severe legal penalties.
8. User Content
8.1 "User Content" means feedback, suggestions, comments, ideas, and/or any other information, including but not limited to software and code, that you provide, publish, or otherwise communicate directly or indirectly to LUCKY CALF or our agents pertaining to the LUCKY CALF's Products and Services. You confirm that you irrevocably grant LUCKY CALF a global, irrevocable, fully paid up, royalty-free, perpetual, sub-licensable, transferable, assignable and unlimited license, allowing LUCKY CALF to use, disseminate, copy, modify, sub-license, translate, publish, distribute, network transmit, publicize, promote, perform, display, create derivative works, sell, offer to sell and/or otherwise use User Content for any purposes. You further confirm that any User Content provided by you hereunder may not infringe intellectual property rights, related rights and/or other proprietary or personal rights.
8.2 If any such right or interest in the User Content may not be licensed or transferred under any applicable laws (such as moral or other personal rights), you hereby expressly waive and agree not to assert any such rights, credit and/or claim for any compensation from LUCKY CALF.
9. No Infringing Use
You will not use our Services to offer, display, distribute, transmit, route, provide connections to or store any material that infringes copyrighted works or otherwise infringes, violates, or promotes the infringement or violation of the Intellectual Property Rights of any third party.
10. Virtual Items and Virtual Currency
10.1 YOU AGREE TO MONITOR THE LUCKY CALF'S PRODUCTS AND SERVICES TO RESTRICT ANY USE BY CHILDREN OR MINORS. YOU ACCEPT FULL RESPONSIBILITY FOR ANY UNAUTHORIZED USE OF OUR PRODUCTS AND SERVICES BY CHILDREN OR MINORS, AND THIS INCLUDES ANY USE OF YOUR CREDIT CARDS OR OTHER PAYMENT OR SETTLEMENT INSTRUMENTS OR DEVICES BY CHILDREN OR MINORS.
10.2 Our Services may include an opportunity for you to purchase virtual, in-game currency ("Virtual Currency") with real money. The LUCKY CALF's Products and Services may also include the purchase of virtual, in-game digital items ("Virtual Goods") with real money or Virtual Currency. You acknowledge that Virtual Currency and Virtual Goods shall never be redeemed for real money or any item with monetary value. You understand that both Virtual Currency and Virtual Goods are licensed, not sold, to you under this Agreement and LUCKY CALF reserves and retains all right, title, interest or otherwise, in and to the Virtual Goods and Virtual Currency.
10.3 Your right to use any Virtual Currency or Virtual Items is a limited, non-exclusive, non-assignable, non-transferable, non-sublicensable, revocable license to use such Virtual Currency and Virtual Items solely for your personal entertainment and non-commercial use in the Services only. Except inside the LUCKY CALF's Game(s), you may not transfer, sell, gift, exchange, trade, lease, sublicense, rent or otherwise use Virtual Currency or Virtual Goods, which is a violation of this Agreement and will result in a termination of your Account with the reserve of LUCKY CALF's rights to continue claiming for compensation.
10.4 LUCKY CALF reserves the right to modify, manage, control or eliminate Virtual Currency and/or Virtual Goods in its sole discretion. You acknowledge and agree that LUCKY CALF may engage in actions that may impact the perceived value or purchase price, if applicable, of Virtual Currency or Virtual Goods at any time, except as otherwise required by applicable laws.
10.5 When you provide payment information to LUCKY CALF or its authorized processor, you represent that you are an authorized user of any payment method specified by you, and you authorize LUCKY CALF to charge such payment method for the full amount of the purchase transaction.
10.6 You agree and consent that due to the special nature of online game services, there is no physical goods transaction, and your purchasing experience comes from online game services provided by the game manufacturer. Therefore, refund is not applicable unless we have a special agreement with you.
11. Child
11.1 YOU ACKNOWLEDGE THAT THE BELOW STATEMENT WOULD CHANGE AT ANY TIME IF ANY PROTECTION POLICY OF MINORS IN YOUR COUNTRY/REGION UNDERGOES CHANGES.
11.2 YOU REPRESENT THAT YOU ARE NOT CHILDREN OR MINORS UNDER THE AGE OF 18 AND MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION WHEN USING THE LUCKY CALF'S PRODUCTS AND SERVICES. IF YOU ARE UNDER THE AGE OF 18 OR NOT MEET THE ADDITIONAL AGE RESTRICTIONS IN YOUR JURISDICTION, YOU MAY NOT ACCESS OR USE ANY OF LUCKY CALF'S PRODUCTS AND SERVICES IN ANY WAY.
11.3 SUBJECT TO THE LAWS, REGULATION OR RATING SYSTEM DEMAND IN YOUR JURISDICTION, CHILD OR MINOR MAY UTILIZE AN ACCOUNT ESTABLISHED BY THEIR PARENT OR LEGAL GUARDIAN. IN THE EVENT THAT YOU PERMIT YOUR MINOR CHILD OR THE MINOR IN YOUR CARE TO ACCESS OR USE ANY LUCKY CALF'S PRODUCTS AND SERVICES, YOU HEREBY AGREE TO THIS AGREEMENT ON BEHALF OF YOURSELF AND YOUR CHILD, AND YOU AGREE THAT YOU WILL BE RESPONSIBLE FOR ANY USE OF THE LUCKY CALF'S PRODUCTS AND SERVICES BY YOUR CHILD, WHETHER OR NOT SUCH USE IS AUTHORIZED BY YOU.
12. General Prohibitions
12.1 You agree not to do any of the following while using our Services, Application Content, or User Content:
(1) Post, upload, publish, submit or transmit any text, graphics, images, software, music, audio, video, information or other material that: infringes, misappropriates or violates a third party's Intellectual Property Rights, or rights of publicity or privacy;
(2) Violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability, which is fraudulent, false, misleading or deceptive; or is defamatory, obscene, pornographic, vulgar or offensive; or promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; or is violent or threatening or promotes violence or actions that are threatening to any other person; or promotes illegal or harmful activities or substances (including but not limited to activities that promote or provide instructional information regarding the manufacture or purchase of illegal weapons or illegal substances);
(3) Use, display, mirror, frame or utilize framing techniques to enclose our Services, or any individual element or materials within our Services, LUCKY CALF's name, any LUCKY CALF or LUCKY CALF licensor's trademark, logo or other proprietary information, the content of any text or the layout and design of any page or form contained on a page, without LUCKY CALF's express written consent;
(4) Access, tamper with, or use non-public areas of our Services, LUCKY CALF's computer systems, or the technical delivery systems of LUCKY CALF's providers;
(5) Attempt to probe, scan, or test the vulnerability of any LUCKY CALF system or network or breach any security or authentication measures;
(6) Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by LUCKY CALF or any of LUCKY CALF's providers or any other third party (including another LUCKY CALF User) to protect our Services or Application Content;
(7) Attempt to access or search our Services or Application Content, or download Application Content from our Services, through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by LUCKY CALF or other generally available third-party web browsers (such as Google Chrome, Microsoft Internet Explorer, Mozilla Firefox, Apple Safari or Opera);
(8) Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
(9) Use any meta tags or other hidden text or metadata utilizing a LUCKY CALF or LUCKY CALF licensor's trademark, logo URL or product name without LUCKY CALF's express written consent;
(10) Use our Services or Application Content for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
(11) Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way our Services or Application Content to send altered, deceptive or false source-identifying information;(k) Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way our Services or Application Content to send altered, deceptive or false source-identifying information;
(12) Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide our Services or Application Content; Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing our Services;
(13) Collect or store any personally identifiable information from our Services, or from other users of our Services, without their express permission; Impersonate or misrepresent your affiliation with any person or entity;
(14) Violate any applicable law or regulation; Encourage or enable any other individual to do any of the foregoing;
(15) Post User content or take any action that infringes or violates the rights of another User: Bully, harass or intimidate any User of the Services; Solicit User login credentials from another User or collect User content or otherwise access the Services by automated means including but not limited to, bots, robots, spiders;
(16) Create an Account for anyone other than yourself;
(17) Use your User profile for personal commercial gain;
(18) Use cheats, exploits, hacks, bots, mods or third-party software designed to gain an advantage, perceived or actual, over other Users, or modify or interfere with the Service;
(19) Abuse or exploit a bug, glitch or mechanism in the Service; or Engage in any fraudulent behavior, including but not limited to credit card scams or credit card misappropriation;
(20) Posting spam or reposting removed content in the official Forums. This includes but is not limited to posting the same content multiple times or reposting a thread or topic that has been removed from the forums;
(21) Account sharing, including but not limited to the sharing of username and password for others to login for you.
12.2 LUCKY CALF will have the right to investigate and prosecute violations of any of the above, including Intellectual Property Rights infringement and Services security issues, to the fullest extent of the law. LUCKY CALF may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.
12.3 You acknowledge that LUCKY CALF has no obligation to monitor or record your access to or use of our Services or Application Content, or to monitor, record, or edit any User Content, but agree that we have the right to do so for the purpose of operating our Services, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. You acknowledge and agree that you have no expectation of privacy concerning uploads, transmissions, or submissions of any User Content.
12.4 LUCKY CALF reserves the right, at any time and without prior notice, to remove or disable access to any User Content that LUCKY CALF, in its sole discretion, considers to be in violation of these Terms or otherwise harmful to our Services. 13.1 Our Services may contain links to third-party websites or resources. You acknowledge and agree that LUCKY CALF is not responsible or liable for:
(1) the availability or accuracy of such websites or resources; or
(2) the content, products, or services on or available from such websites or resources.
Links to such websites or resources do not imply any endorsement by LUCKY CALF of such websites or resources or the content, products, or services available from such websites or resources.
13.2 You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. If you elect to use our Services on mobile, desktop carrier networks, such carrier's normal billing rates will apply. In addition, certain content, products, and services available via our Services may include materials from third parties, including Third-Party Applications.
13.3 You agree that LUCKY CALF is not responsible for examining or evaluating third-party content, or such content's accuracy, and LUCKY CALF does not warrant and will not have any liability or responsibility for any Third-Party Applications, or for any other materials, products, or services of third parties.
13.4 You agree that you will not use any Third-Party Applications, or other third-party materials, in a manner that would infringe or violate the rights of any other party, and that LUCKY CALF is not in any way responsible for any such use by you.
14. Termination of Accounts
14.1 Without limiting other remedies, LUCKY CALF may at any time suspend or terminate your Account and refuse to provide access to our Services if LUCKY CALF suspects or determines, in its own discretion, that you may have or there is a significant risk that you have:
(1) failed to comply with any provision of these Terms or any policies or Rules established by LUCKY CALF; or
(2) engaged in actions relating to or in the course of using our Services that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption for you, Users, LUCKY CALF or any other third parties or our Services; or
(3) infringed the proprietary rights, rights of privacy, or Intellectual Property Rights of any person, including as a repeat infringer.
14.2 In addition, LUCKY CALF may notify authorities or take any other actions it deems appropriate, without notice to you, in the event of any of the above. 15. Effects of Termination, Suspension of Account
15.1 Upon termination of your Account for any reason by you or us, you will lose all access to such account. Terminated Accounts cannot be reinstated; any Account that may be registered by you after termination of an Account is a unique account.
15.2 If your Account is terminated for any reason by you or us, you understand and agree that any Virtual Items to which you had access via your Account at the time of termination will be lost and no longer be available to you, and you will have no right to them. If your Account is terminated for any reason by you or us, you understand and agree that LUCKY CALF may redeem and use the Virtual Currency in the Account at the time of termination for any purpose that it may choose, and that on termination you will have no right to that Virtual Currency. In addition, if there is no activity in your Account for 365 days (Inactive Account), you understand and agree that:
(1) LUCKY CALF may redeem and use the Virtual Currency in the Inactive Account at such time for any purpose that it may choose, and that on the account becoming an Inactive Account you will have no right to that Virtual Currency; and
(2) any Virtual Items to which you had access via the Inactive Account up to the account becoming an Inactive Account will be lost and no longer be available to you, and you will have no right to them.
15.3 YOU AGREE THAT LUCKY CALF IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR UNUSED VIRTUAL ITEMS OR VIRTUAL CURRENCY IN AN INACTIVE ACCOUNT OR THAT WAS IN A TERMINATED ACCOUNT, NO MATTER HOW EITHER CAME ABOUT. After any termination, you understand and acknowledge that we will have no further obligation to provide our Services and all licenses and other rights granted to you by these Terms will immediately cease. LUCKY CALF will not be liable to you or any third party for termination of our Services or termination of your use of our Services.
15.4 UPON ANY TERMINATION OR SUSPENSION OF YOUR ACCOUNT, ANY CONTENT, MATERIALS, OR INFORMATION (INCLUDING USER CONTENT) THAT YOU HAVE SUBMITTED ON OUR SERVICES OR THAT WHICH IS RELATED TO YOUR ACCOUNT MAY NO LONGER BE ACCESSED BY YOU. Furthermore, LUCKY CALF will have no obligation to maintain any information stored in our database related to your Account or to forward any information to you or any third party. Any suspension, termination or cancellation will not affect your obligations to LUCKY CALF under these Terms (including, without limitation, proprietary rights, and ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension, termination, or cancellation.

OUR SERVICES, APPLICATION CONTENT, AND USER CONTENT ARE PROVIDED AS IS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, LUCKY CALF EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. LUCKY CALF MAKES NO WARRANTY THAT OUR SERVICES, APPLICATION CONTENT OR USER CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. LUCKY CALF MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES OR CONTENT PURCHASED OR OBTAINED THROUGH OUR SERVICES OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH OUR SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM LUCKY CALF OR THROUGH OUR SERVICES, APPLICATION CONTENT OR USER CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
17. Indemnity
You agree to defend, indemnify, and hold LUCKY CALF, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with User Content you submit to LUCKY CALF, your access to our Services or Application Content, or your violation of these Terms.
18. Limitation of Liability
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF OUR SERVICES, APPLICATION CONTENT, AND USER CONTENT THEREIN REMAINS WITH YOU. NEITHER LUCKY CALF NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING OUR SERVICES OR APPLICATION CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE OUR SERVICES OR CONTENT THEREIN, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LUCKY CALF HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. YOU SPECIFICALLY ACKNOWLEDGE THAT LUCKY CALF IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. FURTHER, LUCKY CALF WILL HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY USER CONTENT OR THIRD-PARTY CONTENT UPLOADED ONTO OR DOWNLOADED FROM OR THROUGH OUR SERVICES. IN NO EVENT WILL LUCKY CALF’ AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE OUR SERVICES OR APPLICATION CONTENT OR USER CONTENT THEREIN OR PROVIDED THEREBY EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN LUCKY CALF AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, AND SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
19. Trademarks & Other Proprietary Rights Notices
All trademarks, service marks, logos, trade names and any other proprietary designations of LUCKY CALF or our licensors used in association with the Services are trademarks or registered trademarks of LUCKY CALF or our licensors. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of the respective owners of same.
20. Controlling Law & Dispute Resolution & Severability
20.1 These Terms and any action related thereto will be governed by the laws of Singapore without regard to its conflict of law's provisions. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of 3 arbitrator(s). The language of the arbitration shall be Chinese.
20.2 SUBJECT TO APPLICABLE LAWS AND REGULATIONS, BOTH PARTIES CONFIRM THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION.
20.3 Should any provision of these Terms be adjudged by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed severed herefrom and shall not affect the validity, legality, or enforceability of the remaining provisions. The surviving provisions shall remain in full force and effect.
21. Entire Agreement
These Terms constitute the entire and exclusive understanding and agreement between LUCKY CALF and you regarding our Services and Application Content, and these Terms supersede and replace any and all prior oral or written understandings or agreements between LUCKY CALF and you regarding our Services and Application Content.
22. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without LUCKY CALF's prior written consent. Any attempt by you to assign or transfer these Terms, without LUCKY CALF's consent, will be null and of no effect. LUCKY CALF may freely assign these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
23. Notices
23.1 You consent to the use of: (1) electronic means to complete these Terms and to deliver any notices or other communications permitted or required hereunder; and (2) electronic records to store information related to these Terms or your use of our Services.
23.2 Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given: (1) by LUCKY CALF via email (in each case to the address that you provide) or (2) by posting on or through our Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
24. General
24.1 The failure of LUCKY CALF to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of LUCKY CALF.
24.2 Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
24.3 References to "include”, “includes" and "including" shall be construed so as to mean include without limitation, includes without limitation and including without limitation, respectively.
24.4 Affiliate in this Agreement shall mean an entity that directly or indirectly controls, or is controlled by or is under common control with LUCKY CALF hereto.
24.5 LUCKY CALF may translate this Agreement into other languages. If there is any difference between the English version and other language versions, then the English version, subject to applicable laws and regulations, shall prevail.
24.6 In addition to any other limitations which may be set forth herein, LUCKY CALF may not be responsible for any delay or failure to perform resulting from causes outside the reasonable control of LUCKY CALF, such as acts by governmental authorities, acts of God or other events outside of the reasonable control of LUCKY CALF.
24.7 You agree that (1) these Terms are intended to cover any Third-Party who is an affiliate of LUCKY CALF (“Affiliate Party”); (2) your obligations to LUCKY CALF under these Terms extend to Affiliate Party as applicable unless otherwise agreed under any Third-Party Terms with any such Affiliate Party; and (3) Affiliate Party are third party beneficiaries under these Terms who may rely on and directly enforce these Terms against you as such.
24.8 You represent that you are entering into this Agreement on a completely voluntary basis and you expect no compensation other than what is expressly granted under this Agreement.
24.9 You further confirm that you will respect local customs or practices and the use of the LUCKY CALF's Products and Services shall obey any applicable laws or local regulations. You shall immediately stop using or accessing the LUCKY CALF's Products and Services when local laws or local regulations so require.
