This End User License Agreement ("Agreement") is a legally binding contract between you ("Licensee" or "You") and Funscript Flow ("Licensor," "We," or "Us") governing your use of the Funscript Flow software and services ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
Grant of License
Subject to the terms and conditions herein, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Software in accordance with the selected usage tier. No rights beyond those expressly granted are conferred by this Agreement.
Tiered Usage Terms
2.1 Evaluation Tier
a. Scope: The Software generates funscript files solely for evaluation purposes.
b. Limitations: Use is strictly limited to non-commercial evaluation.
2.2 Paid Tier
a. Scope: Permits use for personal purposes, or for commercial use by individuals with annual revenue less than $100,000.
b. Distribution: Distribution of generated scripts is permitted for non-commercial purposes only, unless otherwise specified.
c. Restrictions: Commercial use is prohibited for individuals or organizations with annual revenue of $100,000 or more.
2.3 Commercial License
a. Scope: This Commercial License permits Licensee to use the Software for business and profit-making activities. Such use includes, but is not limited to, studios packaging scripts with their videos, individuals hand-editing generated scripts as a service, or other similar use cases.
b. Exclusions: Notwithstanding the foregoing, Licensee is expressly prohibited from integrating the Software as a component of any service that includes, distributes, or otherwise involves video content provided by third parties without Licensor’s prior written consent.
c. Compliance: Licensee is solely responsible for ensuring that its commercial use of the Software complies with all applicable laws, regulations, and contractual obligations with third parties. Licensee agrees to indemnify and hold harmless Licensor from any claims arising out of or related to Licensee’s commercial use.
d. Modifications and Additional Terms: Any modifications, adaptations, or enhancements of the Software for commercial purposes beyond the scope set forth herein shall require the prior written consent of Licensor and may be subject to additional fees and terms as mutually agreed upon by the Parties.
2.4 Custom Licenses
a. Scope: Licenses provided for integration with video platforms, bundling with hardware, incorporation into other applications, or access to source code.
b. Procedure: Terms, conditions, and pricing shall be negotiated directly with Licensor.
Restrictions and Prohibitions
a. Reverse Engineering: Licensee shall not modify, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
b. Redistribution: Licensee shall not distribute, resell, or sublicense the Software, in whole or in part.
c. Compliance: Licensee agrees to comply with all applicable laws and regulations in connection with its use of the Software.
Termination
Licensor reserves the right to terminate this Agreement immediately upon notice if Licensee breaches any of its terms. Upon termination, Licensee shall cease all use of the Software and destroy all copies in its possession. Termination shall not affect Licensor’s right to seek any available legal remedies.
Disclaimer of Warranties and Limitation of Liability
a. Disclaimer: The Software is provided "as is" without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
b. Limitation of Liability: In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages or for any loss of profits, revenue, data, or use, whether in an action in contract or tort, even if advised of the possibility of such damages.
Modifications
Licensor reserves the right to modify the terms of this Agreement at any time. Continued use of the Software following any such modifications constitutes acceptance of the revised terms.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is domiciled, without regard to its conflict of law provisions.
