1. Introduction
This End-User License Agreement ("EULA") is a legal agreement between D'arce Labs ("Licensor") and you ("Licensee") for the software product The Pitch ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not install or use the Software.
2. License Grant
Licensor grants Licensee a non-exclusive, non-transferable license to use the Software for internal business purposes only. This license allows you to:
Install and run the Software on a limited number of devices (specify number).
Make a backup copy of the Software for archival purposes only.
3. Restrictions on Use
You may not:
Reverse engineer, decompile, disassemble, or modify the Software.
Distribute, sublicense, rent, lease, or transfer the Software to any third party.
Remove or alter any copyright notices or other proprietary markings from the Software.
Use the Software for any illegal or unauthorized purpose.
4. Ownership
The Software and all intellectual property rights associated with it are the sole property of Licensor. This EULA grants you only a limited license to use the Software and does not transfer any ownership rights to you.
5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL FUNCTION WITHOUT INTERRUPTION OR BE ERROR-FREE.
6. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR DAMAGE TO COMPUTER SYSTEMS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Term and Termination
This EULA will be effective upon your acceptance and will continue until terminated. You may terminate this EULA at any time by uninstalling the Software. Licensor may terminate this EULA immediately upon your breach of any of its terms. Upon termination, you must uninstall the Software and return all copies of the Software to Licensor.
8. Confidentiality
The Software may contain confidential information of Licensor. You agree to hold such confidential information in confidence and not to disclose it to any third party without the prior written consent of Licensor.
9. Entire Agreement
This EULA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
10. Severability
If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
11. Waiver
No waiver by Licensor of any breach of any provision of this EULA shall constitute a waiver of any other or subsequent breach.
12. Amendment
Licensor may amend this EULA at any time by posting the amended EULA on its website or by providing you with a copy of the amended EULA. Your continued use of the Software after the amended EULA is posted or provided to you shall constitute your acceptance of the amended EULA.
