END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and MXR Technologies LLC ("MXR," "Company," "We," or "Us") governing your use of MXR’s software, services, applications, and related content provided through www.mixerxr.com (collectively, the "Software" or "Platform").
By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.
1. License Grant
MXR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes, subject to this Agreement.
2. Restrictions
You may not:
Reverse engineer, decompile, or disassemble the Software;
Modify, copy, or create derivative works;
Resell, sublicense, or distribute the Software;
Use the Software for any unlawful or unauthorized purpose.
3. Ownership
MXR retains all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights.
4. User Content
You retain ownership of content you create or upload using MXR but grant MXR a worldwide, non-exclusive license to use, host, and display your content solely for operating and improving the Platform.
5. Updates and Changes
MXR may modify or update the Software at any time, with or without notice. Continued use constitutes acceptance of those changes.
6. Term and Termination
This Agreement remains in effect until terminated. MXR may suspend or terminate your access if you violate this Agreement. Upon termination, you must stop using the Software and delete all copies.
7. Disclaimer of Warranties
The Software is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, MXR is not liable for indirect, incidental, or consequential damages, even if advised of the possibility.
9. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.
