Software License and Use Agreement (EULA)
This Agreement may have been translated for convenience. In the event of any error, ambiguity, or discrepancy between the translated version and the original French version, the latter shall prevail. The translation shall not affect the meaning, interpretation, or applicability of the original French Agreement.
Preamble
Please read this Software License Agreement ("EULA") carefully before installing or using a video game ("Game") provided by Digital Material ("the Provider", "the Owner", "we", "us", or "our"). By installing or using these Games, you agree to abide by the terms and conditions of this EULA. If you do not agree to these terms, you may not install or use the Game.
Digital Material: Trade name belonging to the Owner.
Company, Owner: Digital Material.
Customer, buyer, player, user: any professional or natural person capable, within the meaning of Articles 1123 et seq. of the French Civil Code, or legal entity, of using a Game of the Owner.
By accepting this EULA, you confirm that you have read, understood, and agreed to all the terms and conditions set forth below.
Article 1 - License Agreement
Digital Material hereby grants you a limited, non-exclusive, non-transferable, and revocable license to use the Game exclusively for personal, non-commercial use, in accordance with the terms and conditions of this EULA. By downloading, installing, and using the game, you agree to these Terms.
Article 2 - Game Ownership
The Game and all associated content (including, but not limited to, graphics, music, source code, scripts, characters, and names) are the exclusive property of Digital Material and are protected by copyright, trademark, and other intellectual property laws.
You acquire no ownership rights in the Game beyond the limited license granted in this EULA. All rights not expressly granted in this EULA are reserved by Digital Material.
Article 3 - Limitations of Use
As a user of the Game, you agree not to:
-Copy, reproduce, distribute, display, transmit, or publish all or part of the Game, except to the extent permitted by applicable law or the license granted to you in this EULA.
-Decompile, disassemble, or attempt to discover the source code of the Game.
-Rent, lend, distribute, or sell the Game to third parties.
-Use the Game in a manner that violates laws, regulations, or third-party rights.
Article 4 - Updates and Modifications
The Owner may, at any time and without notice, modify, update, or suspend the Game's features, including to fix bugs or improve the user experience.
You agree that these updates will be integrated into the Game and, if possible, automatically installed.
Article 5 - License Duration
The license to use the Game is valid as long as you comply with the terms of this EULA. In the event of a violation of any of the terms of this EULA, Digital Material may revoke your license immediately, without notice. Upon revocation of your license, you must uninstall and cease all use of the Game.
Article 6 - Warranties and Limitations of Liability
The Game is provided "as is," without any express or implied warranties. Digital Material does not guarantee that the Game will be error-free, bug-free, or that it will meet all your expectations as a player. Under no circumstances will Digital Material be liable for any direct, indirect, special, or consequential damages resulting from the use of or inability to use the Game, including loss of data, profits, or opportunities. The customer is aware and fully understands that in the event of non-compliance with the EULA, and/or misuse of a product, fraud, cheating, or any suspicious operations on his account, his access to a service or product may be suspended manually or automatically without a set duration and without notification from the owner. The customer is aware and fully understands the relationship between video games, photosensitive epilepsy, and video game-induced seizures. The user or customer unconditionally and irrevocably acknowledges that the owner has taken all reasonable steps to inform them of the link between video games and photosensitive epilepsy and video game-induced epileptic seizures.
Article 7 – Personal Data Protection
Digital Material reserves the right to collect and process the player's personal data, on a non-systematic basis, in accordance with its Privacy Policy. By accepting this EULA, you consent to the possible collection, processing, and use of your personal data solely in connection with the use of the Game and its services. In addition to the data mentioned in the Privacy Policy, Steam username and other Steam account information, the collection of which is authorized by Steam, may be collected as necessary and only for purchases made through the Steam platform.
Article 8 - Online and Multiplayer Use
If the Game includes online or multiplayer features, you agree to abide by all rules of conduct and terms of service governing these services, and not to disrupt the gaming experience of other users.
The Provider reserves the right to suspend or terminate your access to these online services if you violate the applicable rules.
Article 9 - Termination
This EULA terminates automatically if you breach any of its provisions. Upon termination, you must immediately stop using the Game and uninstall all copies of the Game. The sections of this EULA which, by their nature, should survive termination will remain in effect, including, but not limited to, the sections on intellectual property, limitation of liability, and termination.
Article 10 - Governing Law and Jurisdiction
This EULA is governed by French and European law, without regard to its conflict of laws rules. Any dispute relating to this EULA will be submitted to the exclusive jurisdiction of the competent courts of the country mentioned, unless applicable law requires another forum for consumers.
Article 11 – General Provisions
This EULA constitutes the entire agreement between you and Digital Material regarding the use of the Games and supersedes all prior or contemporaneous agreements, whether written or oral.
If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, such provision will be modified to the extent necessary to make it valid, and the remaining provisions will remain in full force and effect.
Digital Material's failure to enforce any provision of this EULA does not constitute a waiver of that provision.
Article 12 - Intellectual Property
The purchase of Owner Content does not authorize the purchaser to extract, duplicate, distribute, or publish the content in any form without the prior authorization of Digital Material. All intellectual property rights relating to the content (video games, 3D models, textures, sounds, etc.) remain the exclusive property of Digital Material. The delivered products (including but not limited to video games, 3D models, textures, and other associated files) may not be reproduced, published, or resold by the customer. The user is only authorized to use these products for personal use or as part of a specific project, provided that such use does not violate this EULA. All intellectual property rights relating to the video games, 3D models, as well as all other content provided by Digital Material, including copyrights, trademarks, patents, and other proprietary rights, are reserved. Nothing in this EULA transfers or grants any rights other than those expressly granted by the limited use license. In the event of a violation of Digital Material's intellectual property rights, legal action may be taken, including the pursuit of damages and prosecution for infringement. The user agrees to indemnify Digital Material in the event of any violation of these rights. Any use of our rights without our authorization is prohibited.
