END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity) and [Your Company Name] (“Licensor”), which governs your use of the game software Scramble Up! (“Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. License Grant

Licensor hereby grants you a non-exclusive, non-transferable, limited license to install copies of the Software solely for your personal, non-commercial use, subject to the terms and conditions of this Agreement.

2. Ownership

The Software is licensed, not sold. This Agreement does not grant you any ownership rights to the Software. All title and intellectual property rights in and to the Software, including but not limited to any content, data, or media provided by Licensor, are and shall remain the property of Licensor or its suppliers.

3. Restrictions

You agree not to:

• Modify, reverse engineer, decompile, or disassemble the Software.
• Rent, lease, or lend the Software.
• Copy, distribute, or create derivative works of the Software or any part thereof.
• Use the Software for any commercial purpose without prior written consent from Licensor.

4. Termination

This Agreement is effective from the date you first use the Software and will continue until terminated. Licensor may terminate this Agreement at any time without notice if you fail to comply with any terms of this Agreement. Upon termination, you must immediately uninstall and destroy all copies of the Software.

5. Disclaimer of Warranties

The Software is provided “AS IS” without warranty of any kind. To the maximum extent permitted by law, Licensor disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in any way related to the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the state or Texas, without regard to its conflict of law principles.

8. Amendments

Licensor reserves the right to modify this Agreement at any time by providing notice within the Software or by other communication. Your continued use of the Software following any such modification shall be deemed acceptance of the modified Agreement.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Licensor.
