END USER LICENSE AGREEMENT (EULA) FOR CORKSCREW

IMPORTANT – PLEASE READ CAREFULLY:
THIS END USER LICENSE AGREEMENT ("AGREEMENT") IS A LEGAL CONTRACT BETWEEN YOU ("USER" OR "YOU") AND CHARLIEDOESSTUFF ("DEVELOPER") FOR THE USE OF THE VIDEO GAME SOFTWARE KNOWN AS CORKSCREW ("SOFTWARE"), INCLUDING, BUT NOT LIMITED TO, ANY DOWNLOADABLE CONTENT ("DLC") AND USER-GENERATED SUBMISSIONS VIA THE STEAM WORKSHOP. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND THE APPLICABLE TERMS, GUIDELINES, AND POLICIES OF STEAM/VALVE CORPORATION ("STEAM TERMS"). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT OR THE STEAM TERMS, DO NOT INSTALL OR USE THE SOFTWARE.



1. License Grant

Subject to the terms and conditions of this Agreement, Developer grants User a limited, non-exclusive, non-transferable (except as provided in Section 5), revocable license to install and use the Software solely for User's personal, non-commercial purposes, in accordance with the Steam Terms.



2. Restrictions

2.1 Reverse Engineering
User may engage in limited reverse engineering of the Software solely for the purpose of achieving interoperability or understanding functionality necessary to create or adapt submissions for the Steam Workshop, provided that such activities do not involve the reproduction, disclosure, or use of the Software's source code, proprietary algorithms, or other confidential information.

2.2 No Unauthorized Use
Except as expressly permitted in Section 2.1, User shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material in the Software.

2.3 Proprietary Notices
User shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.



3. Ownership and Intellectual Property

3.1 Ownership
The Software, including all intellectual property rights therein, is and shall remain the exclusive property of Developer and its licensors. No title or ownership rights are transferred to User under this Agreement, except for the limited license granted herein. All rights not expressly granted herein are reserved by Developer.

3.2 Developer Identity
Developer operates under the pseudonym "CHARLIEDOESSTUFF" and does not disclose personal identity or contact information in connection with the Software.



4. Steam Workshop and User-Generated Content

4.1 Additional Content
Developer may provide additional content, including DLC and user-generated submissions via the Steam Workshop and other Modification Distribution Platforms, which shall be subject to this Agreement and the Steam Terms.

4.2 License to Submissions
By submitting any material ("Submission") to the Steam Workshop and similar platforms for use with the Software, User grants Developer a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, distribute, and create derivative works of the Submission in connection with the CORKSCREW Intellectual Property and its promotion. User represents and warrants that they have the necessary rights to grant this license and that the Submission does not violate any third-party rights.

4.3 User's Rights
User retains partial ownership of their Submissions and may use them in other projects, commercial or otherwise, provided that such use does not infringe upon Developer's rights under this Agreement or the Steam Terms. User's Original projects containing assets from their Submissions do not need permission from Developer if the project is unrelated to CORKSCREW. Submissions made into separate projects in ways that spite or negatively frame Developer or CORKSCREW, however, are exceptions and are subject to Developer and this Agreement.



5. Transferability

Notwithstanding the non-transferable nature of the license, User may transfer the license to use the Software to an immediate family member or legal heir, provided that the transferee agrees to be bound by the terms of this Agreement and the Steam Terms. Such transfer shall be subject to Steam's policies regarding license transfers.



6. Updates and Modifications

Developer may, at its sole discretion, provide updates, patches, or modifications to the Software, including DLC and user-generated content. Such updates shall be governed by this Agreement unless accompanied by separate terms. Developer is under no obligation to provide any updates, support, or maintenance for the Software.



7. Termination

Developer may terminate this Agreement and the license granted herein immediately if User breaches any provision of this Agreement. Upon termination, User must cease all use of the Software. User is not required to destroy existing copies of the Software, but may not continue to use them outside of opening the Software for its intended use. Sections 3, 4, 8, 9, 10, 11, 12, and 13 shall survive termination of this Agreement.



8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. DEVELOPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DEVELOPER DOES NOT WARRANT THAT THE SOFTWARE WILL MEET USER'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.



9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DEVELOPER'S TOTAL LIABILITY TO USER FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY USER FOR THE SOFTWARE.



10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the courts of England and Wales.



11. Additional Platform Terms

User's use of the Software and any Submissions is also subject to the Steam Terms. In the event of any conflict between this Agreement and the Steam Terms, the Steam Terms shall prevail.



12. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.



13. Entire Agreement

This Agreement, together with the Steam Terms, constitutes the entire agreement between User and Developer regarding the use of the Software and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.



BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, INCLUDING ANY DLC, STEAM WORKSHOP CONTENT OR RELATED CONTENT, USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND THE STEAM TERMS.
